In the event any court of competent jurisdiction deems
that the magnitude of the territory or length of term to
be too extensive and therefore unreasonable, the
provisions herein shall be automatically amended to carry

~o satisfy all payables of the Restaurant including accrued taxes
incurred prior to Closing and shall indemnify Buyer for any claim
made by any creditor or taxing authority for said payables and
taxes,
SeLler shall likewise be entitled to collect and receive at
Se ller' s cost and exper.se all receivables of the Restaurant accrued

of the Restaurant or of Seller except as herein expressly set

ARTICLE II
2.01. Closioo: Closino Date, The closing of the sale and
purchase contemplated hereby (the "Closing") shall take place on or
before September 15, 1995, or on such other date as the parties
shall mutually agree (such date hereinafter referred to as the
"Closing Date"), at such location as mutually agreed by the
part ies.

2,02, Risk of Los!l. The risk of loss or damage shall be
on Seller until Closing, If a materilll portion of the property
c<'1'/er..,\ by this Agreement i.s destroyed "I' damaged by fire or other
r:asualt)' 01: in any other manner shall not be available for transfer
prior t,) Closing. Buyer shall have the option (a) to terminate this
Agreement; (bl to proceed to Closing IInd reduce the Purchase Price
under Section 1.02 above by the amount of the loss; or (c) to
pr0ceed to Clo$ing at the full Purchase Price and receive the full
insurance proceeds recoverable by Seller by reason of such damage,
loss or destruction.
2.03. Possession. Buyer sha 11 take possession of the
Restaurant at Closing. All Assets shall be delivered free and
dear Qf all liens and encumbremces. A Bill of Sale shall evidence
the transfer of title to the Assets.
ARTICLE III
REPRESENTATIONS ANQ WARRANTIES
3.01. Recresentations and Warranties oL-~eller. Seller
het'eby represents and warrants to Buyer as follows:

pledged. mortgaged or subject to any lien or any other
encumbrances or restrictions of any kind and, upon
consummation of the sale, Buyer wi 11 obtain good and
marketable title to the Assets, free and clear of all
liens and encumbrances of any kind whatsoever,
(b) Seller has disclosed to Buyer all contracts
and agreements relating to the Restaurant and operation
thereo f .
lcl As of the date of closing hereunder, all
taxes, inc luding all federa 1. state and local
obligations, either have been paid or arrangements for
the same have been made.
(d) Seller has ,-omplied with all provisions of
all contracts and commitments c0ncerning the Restaurant
and, to the best of Seller's knowledge, is not in default
under the terms thereo f .
(e) There is no litigation pending or. to the
best of Seller's knowledge. threatened against the
Restaurant or any Qf the Asset.s whkh are the subject of
this Agreement.
(f) Seller shall cont inue to opera te and conduct

4.01. Buyer shall not be obligated to close unless the
Buyer shall have obtained satisfactory financing needed to enable
Buyer to purchase the Assets hereunder and the real property on
which the Restaurant is located.
ARTICLE V
INDEMNIFICATION
5,01, Indemnification by Seller, Seller its successors
and assigns agree to indemnify and hold Buyer and its successors
and assigns harmless from: I I) any and a 11 loss, claim, liabi li ty,
damage or deficiency resulting from. in whole or in part, any
misrepresentation, breach of warranty, breach of this Agreement or
non-fulfillment of any covenant or provision of this Agreement on
the part of Seller under the terms of this AQreement or any
document or instrument executed or delivered by Seller, or which
arise out of or are based upon any untrue statement or alleged
untrue statement of a material fact contained in this Agreement or
in any document furnished in connection therewith or which arise
out of or are based upon any omission or alleged omission to state
therein a material fact required to make the statements therein not
untru"'! or misleading; (2) any and all loss, claim, liability,
damage or deficiency arising out of, connected with or in llny
manner related, in whole or i,n part. to Seller's ownership llnd
operation of the Restaurant on or prior to the Closing or any other

25, Plaintiff breached the Asset Purchase Agreement and the
contemporaneous ocal agreement by failing to make reasonable
efforts to secure financing,
26, Plaintiff agreed to purchase Zak's Country Restaurant
and Ice Cream for Sixty-Four Thousand and 00/100 ($64,000,00)
Dollars,
27, Plaintiff requested that the sale and purchase be
conducted in two separate agreements.
28, One agreement involved a written agreement dated July
18, 1995 which is attached to the Plaintiff's Complaint as
Exhibit "A",
29, I n a second agreement, Plaintif f agreed to pay
Defendants Ash Ten Thousand and 00/100 ($10,000.00) Dollars cash
in two installments of Five Thousand and 00/100 ($5,000,00) each,
30, On July 18, 1995, Plaintiff paid the first Five
Thousand and 00/100 ($5,000.00) Dollar installment towards the
eventual Ten Thousand and 00/100 ($10,000,00) Dollar agreement.
31, On November 6, 1995, Plaintiff and Defendants Ash
entered into an Extension Agreement to extend the closing date an
additional ninety (90) days to allow Plaintiff to obtain
financing. A copy of the Extension Agreement is attached hereto
as Exhibit "A",
32, On or after November 6, 1995, Plaintiff took possession
of the premises by obtaining the keys to the property by removing
the outside public phone booth and by having the electric utility
and garbage disposal service changed to her name.
COUNTERCLAIM
42. Paragraph 1 through 41 are incorporated by reference as
though fully set forth herein.
43. Defendants Ash are entitled to recover any and all
damages, including reasonable attorney's fees, pursuant to
paragraph 5,02 of the July 18, 1995 contract,
44, Plaintiff's failure to fulfill the covenant of the
