COMPLAINT Plaintiff, Royal Insurance Company, as subrogee of Continental Medical systems, Inc., by and through its undersigned counsel, hereby files this Complaint against the defendants Tricord Systems, Inc" Amber Express Co., Ltd" Amber Express Co., Ltd., Inc" Amber Group International, Inc" Kerek Air Freight Corporation and Freight-Land-Sky, Inc, and in support thereof avers the following: 1. Plaintiff, Royal Insurance Company, as subrogee of Continental Medical systems, Inc., ("Royal") is a corporation engaged in the insurance business with its principal place of business at 9300 Arrowpoint Boulevard, Charlotte, North Carolina 28273, 2. Defendant, Tricord Systems, Inc., ("Tricord") is a corporation organized and existing under and pursuant to the laws of the State of Delaware, with a regular place of business at 2800 Northwest Boulevard, Minneapolis, Minnesota 55441 and at all times relevant hereto, was engaged in the manufacture and sale of computer equipment. 3. Defendant, Amber Express Co., Ltd. is a corporation organized and existing under and pursuant to the laws of the State of Illinois, with a regular place of business at 135 South LaSalle Street, Suite 2152, Chicago, Illinois 60603. 4. Defendant, Amber Express Co., Ltd" Inc. is a corporation organized and existing under and pursuant to the laws 2 of the state of Illinois, with a regular place of business at 5216 N. Wesley Ter., DesPlaines, Illinois 60018, 5, Defendant, Amber Group International, In~, is a corporation organized Bnd existing under and pu~suant to the laws of the state of Illinois, with a regular place of business at 135 South LaSalle Street, Suite 2\52, Chicago Illinois 60603. 6, Defendant, Kerek Air Freight, ("Kerek") is a corporation organized and existing under and pursuant to the laws of tho State of Delaware with a regular place of business at 1417 Manheim Pike, Lancaster, Pennsylvania 17601. 7. Defendant, Freight-Land-sky, Inc. ("Freight-Land") is a corporation organized and existing under and pursuant to the laws of the State of Delaware, with a regular place of business at 2843 Armstrong Valley Road, Halifax, Pennsylvania 17032. 8. Royal issued Policy No. TL-434456, for the period May 1, 1993 to May 1, 1996, to Continental Medical Systems, Inc, 9. Royal has made payment to its insured, Continental Medical Systems, Inc. relative to this matter under Policy No. TL-434456 and Royal as subrogee of its insured now seeks recovery from the defendants. 10, On or about April 29, 1994, continental Medical Systems, Inc, purchased a Tricord Powerframe ES5000 computer (the "computer") from Tricord Systems, Inc. 11, Tricord made the arrangements for the transportation and delivery of the computer from Tricord's facility in Minnesota to Continental Medical System, Inc.'s facility in Mechanicsburg, 3 Pennsylvania. (Plaintiff does not have a complete copy of the shipping document(s)). 12, Upon information and belief, on April 29, 1994, Tricord tendered the computer to Amber Express co" Ltd" for transportation, 13, Upon information and belief, the computer was transported and delivered from Tricord's facility in Minnesota to Continental Medical System, Inc.'s facility in Mechanicsburg, Pennsylvania by Amber Express Co., Ltd., Amber Express Co., Ltd" Inc., Amber Group International, Inc, (hereinafter COllectively referred to as "Amber"), l<erek Air Freight corporation and Freight-Land-Sky, Inc, 14. On or about May 5, 1995, Freight-Land-sky, 1nc, delivered the computer to Continental Medical systems, Inc.'s facility in Mechanicsburg, Pennsylvania. 15. At the time of delivery, the shock wa~ch on the carton containing the computer was red indicating rough handling during transportation and the computer was found to be in a damaged condition. 16. As a direct result of the foregoing, continental Medical Systems, Inc. suffered damages to its property. 17. Royal, pursuant to the policy of insurance issued to continental Medical Systems, Inc., paid Continental Medical Systems, Inc. $61,120.00 for its loss. 18. Royal, as subrogee of continental Medical Systems, now seeks recovery from defendants for the amount paid. 4 COUNT I PLAINTI" V, AMIIR IIPRI88 CO" LTD" AKBIR IIPRI88 CO" LTD., INC" AMIIR GROUP INTIRNATIONAL, INC., 'RIIGHT-LAWD-8ay, INC, AND alRla AIR 'RIIGHT CORPORATION 19. Plaintiff incorporates the allegations of Paragraphs 1 through 18 hereof as though the same were fully set forth at length herein, 20, Defendants are liable to plaintiff as carriers in interstate commerce for defendants' f.ailure to transport and deliver the computer in good condition. Plaintiff incorporates the allegations of Paragraphs 1 through 20 hereof as though same were fully set forth at length herein, 22, The damages sustained by plaintiff were caused by the negligence, carelessness and/or negligent omissions of defendants, their agents, servants, representat~ves, officers, workmen and/or employees acting within tho course and scope of their employment, which consisted of the following acts and/or omissions: a. Failing to properly and adequately handle and transport the computer; b, Failing to take proper and adequate steps to prevent damage to the computer; 5 c. Failing to properly hire, supervise, train and/or control their agents, officers, servants, employees, subcontractors, workmen or representatives with regard to their pickup, handling, storage and/or delivery of property; d. Carelessly permitting or causing the computer to be damaged; and e. Otherwise failing to use due care under the circumstances. 23. As a direct and proximate result of defendants' negligent conduct aforesaid, Continental Medica). systems sustained damage to its property. 24. Royal has made payment to Continental Medical Systems, Inc, in the amount of $61,120.00 and now seeks recovery from defendants for the amount paid. WHEREFORE, plaintiff demands judgment against defendants in the amount of $61,120.00, together with interest, costs and attorney's fees. COUNT I II PLAINTIFF V, TRICORD 8Y8TZMS, INC. 25. Plaintiff incorporates the allegations of paragraphs 1 through 24 hereof as though same were fully set forth at length herein. 26, The damage to the aforesaid computer was caused by the negligence, carelessness and/or negligent OMissions of defendant Tricord, its agents, servants, representatives, officers, workmen and/or employees acting in the course and scope of their employment, which consisted of the fOllowing acts and/or omissions: 6 a. Failing to take all reasonable precautions to prevent damage to the computer during trans~ortation; b, Failing to make a contract for transportation of the computer that was reasonable, having regard to the nature of the goods; and c. otherwise failing to use due care under the circumstances. 27, As a direct and proximate result of the foregoing, plaintiff sustained damages as aforesaid. WHEREFORE, plaintiff demands judgment against defendant Tricord in the amount of $61,120.00, together with interests, costs and attorney's fees, COUNT IV PLAINTIrr V, ALL DlrlNDANT8 28. Upon information and belief, defendants entered into oral and/or written contracts with each other in connection with the transportation and delivery of the computer. 30. Continental Medical Systems, Inc. was a direct, incidental, expected and/or intended third-party beneficiary of said contracts. 31. As a result of the negligent, careless and/or other liability producing conduct of defendants, as previously set forth, defendants breached said contracts. 32. The Complaint fails to set forth a cause of action and/or a claim for relief against Answering Defendant upon which relief can be granted. 2. Plaintiff's claim is barred because Plaintiff failed to comply with the terms and conditions of the applicable shipping documents, including but not limited to House Air Waybill number 83392 and Air Waybill number 618378. 3. Plaintiff's claim is barred because it failed to provide timely notice and failed to file suit in a timely manner. 4. Plaintiff is not the real party in interest and/or lacks standing to pursue the instant action. 5. Plaintiff's claim is barred because the loss was caused by the insufficiency or the unsuitability of the packing, and/or praparation of the shipment for transportation, and/or improper handling instructions. 6. Plaintiff's claim is barred because the loss was cause was caused by the inherent vice of the shipment. 7. Plaintiff failed to fully and properly mitigate its damages. 8. Plaintiff's claim is barred because the shipper presented the claim to Answering Defendant and the claim was settled in exchange for a release. 9. The acceptance of tl:e amount of $245.00 by Tricord Systems was pursuant to the check which indicated said payment was in "full, final, and conclusive release and discharge of any and all claims for damages" to the "computer". . 16, Plaintiff'lS claim is barred by the acceptance of the payment by Amber in full and complete satisfaction of any and all claims to Tricord, the consignor of the shipment. 17, Prior to institut:.ng this action, Plaintiff had a .copy of the Forward Air, Inc. airfreight weigh bill in their possession. 18. Prior to instituting this action, Plaintiff had in its possession, a copy of the canceled check from Amber to Tricord and the endorsement that said payment was in "full and final and conclusi ve release and disch'lrge of any and all claims for damage" to the "computer". 19. Plaintiff knew or should have known prior to instituting this lawsuit that its damages for liability were limited by the expressed terms of Amber Express Company, airbill number 83392. 20, Plaintiff knew or should have known prior to instituting this lawsuit that Tricord Systems accepted payment from Amber Express, Ltd, in full, final, and conclusive release and discharge of all claims for damage to the "computer", 21. Plaintiff knew or should have known that prior to instituting this lawsuit that the shock indicator on the "computer" were activated prior to the "computer" being in the possession and control of Freightland Sky, 22. Plaintiff's institution of this lawsuit against Defendant Freightland Sky was obdurate, vexatious, and in bad faith. On October 18, 1996 I wrote to counsel for Plaintiff to request that Amber be dismissed from the action and I provided him with the documents supporting the fact that Amber had paid the released value for the shipment. (See Exhibit C). 4. On November 8, 1996, I spoke with Plaintiff's counsel about the payment by Amber and the fact that there was no basis to proceed against Amber; I was told that matter was being investigated. 5. On January 30, 1997, I again wrote to counsel for Plaintiff and requested that Amber be dismissed from the action. (See Exhibit OJ. 6. On February 4, 1997, I spoke with Plaintiff's counsel and was informed that the matter still was being investigated. 7. On February 5, 1997, in a letter copied to Plaintiff's counsel, I noted that I was waiting for Amb~r to be dismissed from the action. (See Exhibit E). 8. On February 7, 1997, I again provided counsel for Plaintiff with the documents supporting the fact that Amber had paid the applicable limitation amount and should be dismissed from the action. (See Exhibit F). 9. On April 10, 1997, I again wrote to Plaintiff's counsel and requested that Amber be dismissed from the action. (See Exhibit G). 10. Plaintiff is not the real party in interest and/or lacks standing to pursue the instant action. 5. Plaintiff's claim is barred becausp. the loss was caused by the insufficiency or the unsuitability of the packing, and/or preparation ~f the shipment for transportation, and/or improper h~ndling instructions. 6. Plaintiff's claim is barred because the loss was cause was caused by the inherent vice of the shipment. 7. Plaintiff failed to fully and properly mitigate its damages. B. Plaintiff's claim is barred because the shipper presented the claim to Answering Defendant and the claim was settled in exchange for a release. 9. The shipment was transported at shipper's risk with no declared value and, therefore, any recovery against Answering Defendant is limited to the release value of fifty cents per pound or the equivalent of $245.00 for the shipment at issue. -8- ) 10. The Court lacks personal jurisdiction over Answering Defendant. 11. Plaintiff is estopped from asserting a claim against Answering Defendant. 12. The claim against Answering Defendant has been waived. 13. Plaintiff has failed to join certain necessary parties. 14. The loss at issue was caused by parties other than Answering Defendant and parties over whom Answering Defendant had no control or right of control. 15. Answering Defendant claims the benefit of the terms and conditions of its Tariff and of the pertinent federal regulations. 16. The loss was the result of a fortuitous occurrence for which Answering Defendant is not responsible. 17. Plaintiff's assured and/or parties with whom it was in privity were contributorily negligent. 18. To the extent to which it might be applied to the within action, Pennsylvania Rule of Civil Procedure 238, as amended or interpreted by the Pennsylvania Supreme Court, on its face and as applied, is violative of the Pennsylvania Constitution and the United States Constitution. We note that we have advised you on numerous occasions that our client, Amber Express Co., Ltd. had paid the claim pursuant to the terms of the applicable Air waybill and obtained a Release in consideration of said payment. We also have provided you with copies of the supporting documents including the settlement check and Release. We repeatedly have requested that you dismiss Amber Express Co., Ltd.
