COMPLAINT
1, Plaintiff herein, Anchor Fire Protection Co., Inc.
("Anchor") is a Pennsylvania business corporation with a principal
place of business at Route 29, Frederick, Pennsylvania.
2. Defendant herein, Mountbatten Environmental Insurance and
Surety Company, Inc. ("Mountbatten") is a corporation authorized to
transact business as a surety company in the Commonwealth of
Pennsylvania with a principal place of business located at 33 Rocky
Ilill Road, Bala Cynwyd, Pennsylvania.
3. Defendant herein, CFJ Properties is upon information and
belief a corporation organized and existing under the laws of a
jurisdiction other than the Commonwealth of Pennsylvania with a
principal place of address at 50 West 9990 South, Brigham City,
Utah.
4. On or about April 1, 1994, Anchor entered into a
subcontract with Cumberland Group Limited ("Cumberland"), a
Pennsylvania corporation, whereby Anchor agreed to furnish and
install the wet sprinkler system for the Travel Plaza, Phase 3
construction project (the "Project") on behalf of the Owner, CFJ
Properties. A true and correct copy of the subcontract is attached
hereto as Exhibit "A" and made a part hereof.
5, During the course of the Project, Anchor, at the specific
direction and request of Cumberland, performed certain Change Order
work which increased the amount owed to Anchor for the work
performed on the Project. True and correct copies of the Change
Orders for this work are attached hereto as Exhibit "B" and made a
part hereof.
6, Also during the course of the Project, Anchor, at the
specific direction and request of Cumberland, performed certain
additional work which increased the amount owed to Anchor for the
work performed on the proj ect . True and correct copies of the
invoices and supporting work slips for this work are attached
hereto as Exhibit "C" and made a part hereof.
6. Anchor completed all of the work required of it, including
the additional work ordered by Cumberland, in a timely fashion and
in a good and workmanlike manner.
7. To date, a balance of $7,525.00 remains due and owing to
Anchor from Cumberland for the work performed on the Project, A

true and correct copy of Anchor's final invoice is attached hereto
as Exhibit "D" and made a part hereof.
COUNT I - BREACH OF PAYMENT BOND
ANCHOR V. MOUNTBATTEN
B, Anchor incorporates the allegations contained in
paragraphs 1 through 7 as if fully set forth at length herein.
9. On or about December 21, 1993, Mountbatten issued a
Payment Bond on behalf of Cumberland for the Project. A true and
correct copy of said bond is attached hereto and marked Exhibit "E"
and made a part hereof.
10. The purpose of said bond was to assure that
subcontractors and suppliers of Cumberland performing work or
supplying material for the project would be paid.
11. In the event of Cumberland's failure to pay suppliers
and/or subcontract:ors, Mountbatten, by virtue of the bond agreed to
be liable for the cost of all labor and materials furnished to the
Project on behalf of its principal, Cumberland.
12. The amount due to Anchor by Cumberland has been past due
for a period in excess of ninety (90) days after Anchor last
performed work on the project.
13. Anchor has complied with all notice obligations and other
preconditions necessary to maintain this action on the bond.
14. Despite demand upon Mountbatten and Cumberland, each has
refused to pay Anchor the sum due.
15. Mountbatten's failure and refusal to pay the amount owed
to Anchor for the labor and materials furnished on the Project
constitutes a material breach of the bond.

WHEREFORE, Plaintiff, Anchor Fire Protection Company, Inc.
demands judgement in its favor and against Defendant, Mountbatten
Environmental Insurance & Surety Company, Inc. in the amount of
$7,525.00 with interest thereon and the costs of this suit.
COUNT II - UNJUST ENRICHMENT
ANCHOR V. CFJ PROPERTIES
16. Anchor incorporates the allegations contained in
paragraphs 1 through 15 as if fully set forth at length herein.
17. As the Owner of the Project, CFJ received the benefit of
the labor and materials provided by Anchor on the Project,
18. Despite receiving the benefit of Anchor's work, CFJ
Properties has failed and refused to pay Anchor for the work
performed.
19. CFJ Properties acceptance of the labor and materials
supplied by Anchor, without payment therefor, constitutes an unjust
enrichment to CFJ Properties to the detriment of Anchor.
WHEREFORE, Plaintiff, Anchor Fire Protection Company, Inc.
demands judgment in its favor and against Defendant, CFJ Properties
in the amount of $7,525.00 with interest thereon and the costs of
this suit.

Defendants, The Mountbatten Surety Co., Inc. (formerly
Mountbatten Environmental Insurance and Surety Co, Inc.
hereinafter "Mountbatten"), and CFJ Properties ("CFJ"), by and
through their attorneys, Duane, Morris & Heckscher, answer
Plaintiff's Complaint as follows:
1. After reasonable investigation, defendants state that
they are without knowledge or information sufficient to form a
belief as to the truth of the averments of paragraph 1 of the
Complaint.

attached to the Complaint as Exhibit "A" is a true and correct
copy of the Standard Form of Agreement Between Contractor and
Subcontractor, which comprises part of the subcontract (the
"Subcontract") between plaintiff and cumberland Group, Ltd,

attached to the Complaint as Exhibit "A" is a complete copy of
all documents comprising the Subcontract,

change orders to the Subcontract. Defendants expressly deny that
the documents attached to the Complaint as Exhibit "B" are copies
of all of the change orders to the subcontract.

performed additional work, and that Cumberland issued change
orders, some of which increased the compensation payable to
plaintiff under the Subcontract, For further answer, defendants
state that, after reasonable investigation, they are without

accurately and completely describe additional work performed by
plaintiff.
