forms of Uealth and Life Insurance covered by this Agreement for insurancu
compani<la which the Agency ia authorized to represent and to transact busineas
all hureinaftur aut forth, upon the tun". and condition. of thin Agruement
within the State or Territory in which the Agent is duly licensed to solicit
such insllrance, The Agent agree a to diligently devote himself /hurself soluly
to the business of this appointment and to prevent lapaing of insurance
effected hereunder. The Agent shall not be licensed to represent any other
insurance companies or agencies while this Agreement i. in effect, without the
express, advance, written permission of the Agency,
2, Such territory is not assigned exclusively to the Agent and the Agency
expressly reserves to itself the right to appoint within said territory, or to
assign to said territory, other perllons or organizations to act on its behalf
therein.
3, An investigation may be made as to the Agent's character, general
reputation, personal characteristics, health and mode of living, Further
infonnation regarding such inquiry, if one is made, is available to the Agent
upon written requeat,
RELATIONSUIP OF 1'llE PARTIES
4, Nothing herein contained shall be construed to create the relationship
of employer and employee between the Agency and the Agent, The Agent may
exercise his/her own judgment aa to the time and manner in which he/she may
perfonn the services required to be performed by him/her under this Agreement,
but the Agency may from time to time prescribe rules and regulations
respecting the conduct of the business covered herein not interfering with
such freedom of action of the Agent.
5. In the performance of any and all of his/her obligations and duties
hereunder, the Agent shall be and is acting on hia or her own behalf and not
as an employee, partner or associate of the Agency, and the Agent shall not
hold himself or herself out in any capacity other than an Agent authorized to
solicit applications for health and life insurance,

CCHlISSIONS
7, Agency shall pny, subject to n11 the teruls nnd conditions of this

termination, commissions on new businoss at the rntes set forth in the
sepnrllte Schedule of Commissione signed by 1111 authorized Officer, which may be

The Agent I s conunissions shall consist of the followingl
(a) First Year COllunissionsl Those percentages of the Premium for the
first Policy Year liS shown in the Schedule of COllullissions.
(b) Renewal Conunissions: Thosn percentages as shown in the Scheduln of
Commi66 ions , which are percentages of the renewal premiums for the Sucond year
and through the life of the policy pnynble as thu Agency receiveG the
cOllullission on that policy.
(c) The Aguncy shall, and dous have the right at any timu, to incruase or
decrea.se tho rate of first year cOlTuuissiol\G and/or 6UUGcqucnt rCl\tJwuls 011 uny
and all policies sold through the Aguncy.
8, Except for r\!newal cOllunisGilln described bulow, the Agullt shall not be
entitled to any compensation from the Agency after this Agreement is
terminated by either party. Any swns, wh'lther described us ovnrride, bonus,
profits, incentive payments, or otherwise, will only be paid GO along as this
Agreement is in force.
VESTING OF RENEWALS
9. (II) After termination of this contract by either party, the Agency
will continue to pay monthly renewal cOIMlissions to the Agent on the adjusted
volume of all individual health and life insurance written hereunder, IInd on
which the Agency is receiving renewal cOl11lllissions. provided the Agent shall
have performed WIder all provisions of this contract and it haa been in force
continuously for a period of at least twenty-four (24) months,

declined or rejected by the Agency or IIn insurance company represented by the
Agency I or upon any unearned portion of any policy canceled by or at the
request of the insured, If any conunission or other compensation to which the
Agent is not entitled under the tennB of this Agreement is nevertheless
allowed or paid to or retained by the Agent, the Agent agrees to pay the same
to the Agency upon demand, COllunission shall not be a110wull upon any policy
which is reinstatell thirty-one (31) days o~ more after the date of any unpaill
premiwn, wIless the application for reinstatemunt is secured solely th~ough
the instrwnentality of the Agent.

12, The Agency may oHuet against any claim for cOllullissionB herewlller,
any debt now due or which may becomu lIuu the Agency f~olll the Agent, and such
debts shall be a first lien against Bny commission lIuu the Agent herewlder.
Any advances mn~. to the Agent by the Agellcy shall be conuidered as an
indebtedness of the Agent to the Agency, If this Ag~eument is te~minatud fo~
any reason or cauae, or without cauue, and if there is any outstanding
indebtedness of the Agent to the Agency, such indebtednesu shall become due
and payable on date of termination of this Agreement and if not so paid, then
interest at the rate of fifteen percent (15',t) per annum, compounded annually
from date of termination of this Agreement until date of payment of the

14. The Agent shall cOllfonn to the rules and regulations of the Ag"ncy
now or hureafter to become in forc.., which rulus and regulations shall
constitute Il part of this Agreement, This provision shall not be construed to
alter thu Independent Contractor status of the partieu as providud in Section
4 hereof,
15, Agent agrees he/she shall not, at any tillie, inducu any of the
policyholders insured through the companies that the Agency represents, to
cease to carry their insurance with said agency, or induce or attnmpt to
induce Bny Agent who is contracted through the Agency to cease his/her
association with the Agency; or submit, directly or illdirnctly, to other
compllnies" proposals or applications for insurance, or violate any of the law.
or regulation. governing insurance sales in the state or otates in which the
Agent is licensed. In the event thr,t Agent violates any of these obligations.
notwithstanding anything to the contrary herein, the Agent's interust in
renewal cOl1\l11issions under this Agreement shall invnediately ceasu and
terminate, This provision shall not limit the rights or remedies of the
Agency for civil dwnages or other relief. including injwlctive reliof, as may
be permitted by law,
16. The Agent agrees that he/she will not be licensed to represent any
company other than the ones representud through the Agency, Agent also agrees
that he/she will not solicit any insurance for any company or organization
other th.ln through the Agency, WIles" written consent has been expresseu by
the Agency,
17. It is wlderstood and agreed that either party IIIUY tenninatn this
Agreement by giving to the other written notice of hia/her desire to do so,
anything herein contained to the contrary notwithstunding,
18, Agent understnnds and acl<nowlodgus that all of the following
constitute trade secrets and proprietary info~nation of the agency: (a) all
policies, expirations and intarests therein, (b) all customer base lists of

by whomever at the agency they were acquirud or duvulopud, (e) all policy

the agency, or its carriers, in the possuuion or cOlltrol of tho agent snd (d)
the nalllOS, Gddressee, premiwus, due dates, expiration da tes Gnd similar
information. Agont wldurstands that all of thu forugoillg, including any notes
or transformation of such information, ot in any f01111 whatsoever, Ilre, Ilnd
.hall remain, the property of the Agency and shall be immediately Bccowlted
for and surrendered OVU1' to the Agency upon tUl'millation or dumand by thu
Agoncy, Agent expres.ly Ilgrees to hold ull such infol1l1lltion in confidence
both during, and after termination of, the duration of this Agreement, Agent
agrues that upon uny misappropl'iation of thusu items, or upon divulging this
confidential information to others, or upon using samu for agunt"s personal
benefit other than for writing authorized insurallce through the agency, or
upon failing to immedietely sUl'render SWlle UpOIl dClllalld, then Agunt shllll bu
lillble to the Agency for any attorney fees, costs and expenses, in addition to
damllg08 and any other remedies aVllilable at law to thu Aguncy, incurred as a
result thereof, including but not limited to attomuys' feus alld costs
incurred to seek to obtain a Cuase and Desist Order, or other rulief, to .top
violations of this paragraph.
19. The Agunt shall be responsible for and shall maintain appropriate
insurance or occupational licenseo necessary in order to perf 01111 in ac<.;ordanc.
with this Agreement.
20, Agent agrees that after tel1llination of this contract he/she will not
call on, meet with, correspond with or otherwise have contact with thoue
policyholders for a period of two years thereaftur for thu purpose of, or
having the result of, rewriting, canceling, lapsing or replacing those
policies with Bny other policy of any company.
21, While this contract is in force, or during a two-year period directly
after tannination of this contract, it is further Wlderstood and agreed that
if the Agent does, directly or indirectly, cause or assist in causing,
lapsing, rewriting, or replacing of any policies, that the agreed damages to
the Agency shall be ons and one-half (1-1/2) times the annual premiwn of such
policies written through the Agency, it being difficult to detel1.ine the
Agency I S actu.al damage wi th mathematical preds ion.
DISPUTES AND LITIGATION
22. If any dispute shall arise between the Agent, and eny other Agent of
the Agency, or Bny applicant to or policyholder in the Agency, upon IDlY matter
whatsoever relat~ng to the business of the Agency, such dispute shall be
submitted to the Agency as arbitrator thereof and its decision uhall be
final, The agent shall not litigate any such dispute without the written

consent of the Agency. In the eVent of such litigation the entire expense and
damages shall be borne by the Agent.
If any legal action is brought against either party hereto, or against
both parties jointly, by reason of any alleged act, fault or failure of the
Agent in connection with his/her activities hereunder, the Agency may require
the Agent to defend such action, or at its sole option may defend therein and
expend Buch SW"DS as mey be necessary therefore, including at torney I s fees, and
the Agent shall be chargeable therewith as well as with Ilny lIJIlount which lllay
be recovered against the Agency on demand, except in those cases when in the
sole judgment of the Agency, the Agent has not been at fault and should not be
held responsible,
23, Forbearance or neglect on the part of the Agency to insist upon
compliance by the Agent with the terms end provisions of this Agreement end
rules and regulations of the Agency shell not be construed as or constitute a
waiver thereof,
ARIlITRATION
24, It is agreed that the laws of the Commonwealth of Pennsylvania will
govern the construction of this contract and all disputes with regard to the
contract, or any part thereof, or the perfon1lBnce by either of the parties,
unless the parties themselves can settle such disputes amicably, must be
submitted to arbitration at the domicile of the Agency in CumberlUlld County,
Pennsylvania, The Agent agrees that should a dispute arise under this
contract, the Agency shall be entitled to an injwlction to preserve the ststus
quo pending the outcome of arbitration, upon ex parte application to a court
of competent juriSdiction, without notice, The parties agree to the
sufficiency of an injunction bond of One lIundred Dollars ($100,00). If the
Agency prevails in ony court proceedings or arbitration against the Agent, the
Agent agrees to pay all costs reasonably expended by the Agency, including
reasonable attorney's fees.
GOVERNING LAW AND VEIlUE
25, This Agreement is subject to and is to be interpreted in accordance
with the laws of the Co~nonwealth of Pennsylvania, Venue for any action, suit
or other proceeding, including non-contract disputes, shall be in Cumberland
County, Pennsylvania, The parties hereto waive any other venue unless agreed
to in advance by the parties to this Agreement.
TERMINATION OF PREVIOUS AGREa1ENTS

1. Agent SbBll Not Compete, Upon teneinlltion, with or without cause by
the Agent or Agency, the Agent shall not compete with the health insurance
businoss of the Agency, for a period of 24 months after the effectivu date of
notice of termination, within a radiuB of 35 milod of tho brandl office(B)
from which Agent worked (or from ony brench office to which he waB auigned
within 1 year prior to tenllination),
2, ''Not Compete" Defined, "Not Compete" shull mean, Agent will not,
directly or indirectly, engage in a busineds subBtantially similar to, or
competitive with, the Agency in tho health lineB of the Agency. Agent
unde1'6tands this is intended to preclude agent from engaging in such
prohibited businen activities in any capacity including: as an owner, agent,
officer, director, employee, consultant, stockholder or othe""ise l,n the
specified area and for the opecified time,
3, Dealing witb l'olicyboldera Probibited. "Not Compete" shall also me on
that Agent shall not, during the above time, have any dealings with Agency
policyholders (past, present or hereafter acquired) in any manner whatsoever
for the purpose of, or reBulting in, or which would likely result in, the
discuss ion or conunun~ca t ion 0 f, or re la t ing to, insurance ma t te rs (inc Iud ing ,
but not limited to, reviewing, lapsing, terminating, writing, rewritl.ng,
extending, or modifying any current, prior, or future insurance coverage, or
to snalyze, compare, advise or consult about SWlle) , In the event of
accidental or wIBvoidable contact with ony Buch policyholder, Agont agrees to
advise them that he/she can neither service their insurance needs, nor cOUllBel
them about swne, and to auvise them to contact the Agency ..bout all 5uch
insurance matters. To further implement this paragraph, the Agent agrees to
sign, and hereby authorizes the Agency to send, letters to any or all
policyholders to inform them as indicO-ted in the immediately preceding
sentence. "Dealings", as used herein, shall mean and include any form of
communication. by letter, phone. personal conta~t or oth.rwis., Agent's

5. Tradu Secrets/Cou.fidentilllity. Agent acknowledguu und undorstands
that the Agency"s confidential information, trade secrets, IlIId parr.icularl.y,
but not limited to, customer infonllation and leads infnr1l111tion and luads
development techniques, represent I1sseta of the Agency which are of great
value to the Agency (or competitol-S) and doveloped at .ub.tantial cost to the
Agency, Accordingly, Agent has agreed to preserve the A~ency". right. and
confidentiality to such matters by paragraph 18 of Agont"a appointmo~t
contract with the Agency and auch paragraph is hereby incorporated by
reference and mude a part of thh Noncompete Agreumunt aa fully as if
reiterated herein, Any violation of such trade secrets paragraph shall
constitute a violation of this Noncompete Agreement,
6, Future COlIIIIliusiouD Surrendered. Agunt fully Wldurstands and agrees
that Agent's right to receive conullissionG payable, if any, on renowal., or
otherwi&e, after termination is contingent upon Agent'. continuing to comply
fully with the terms hereof and that, upon violation of any provision hereof,
the Agent shall be deemed to have forfeited or .urrendered such future
commiss ion rights, if any.
7. Remedies/!:IaIIIsgcs. In addition to any remediea otherwise available at
law, or as provided above, the Agency shall be entitled to recover daJ1lages for
the Agent"s replacement of, or interference with, business of the Agency,
whether, done directly or indirectly by the Agent or to which Agent is a
participant in any manner, Both parties recognize the difficulty, or
impossibility, of determining the resulting dWllage to th.. Agency with
mathematical precision, and hereby agree that the WIlOWlt of dwnages shall be
deemed to be, as liquidated dWllages and not as a penalty, for replacement or
business interference, an amoWlt equal to two (2) times the Agency's
cOllvllission on the "block of business" of the Agent, (plus the Agency's
Convnission on the "block of business" of any other of the Agency"s
policyholders affected which were not part of the Agent's own "block of
business") and; for violations hereof other than replacement or business
interference, a one (1) times multiple (instead of two (2) times) shall be
used as and for liquidated damages, "Block of business" means and includes a
particular group of policyholders. The "Agency's COII.nission" for a block of
business, as used herein, shall mean the highest annual cOIlu"lIission amount ever
