COMPLAINT
AND NOW, this ..gtttJ( day of 9" iy , 1996, comes Harris
Savings Bank by and through its counsel, Richard C. Ruben, Esquire and
states the following in support of its Complaint:
1. The Plaintiff is Harris savings Bank, formerly Harris savings
Association, hereinafter "Harris", a corporation organized and existing
under the laws of the Commonwealth of Pennsylvania and having its
principal place of business at Second and pine streets, Harrisburg,
Pennsylvania 17101.
2. The Defendant is Pennsylvania Properties, a Pennsylvania General
Partnership whose address is 199 North 40111 Street, Dauphin County,
Harrisburg, Pennsylvania 17111.
J. That on or about January 26, 1990, Defendant and Homestead service
Corporation executed a Note in favor of Harris Savings Association in
the principal amount of $920,00.00. Said Note was for the purpose of
financing real property situate 4075 Market street, Hampden Township,
Cumberland county, Camp Hill, Pennsylvania 17011. A true and correct
copy of the Note is attached hereto and incorporated herein as Exhibit
ItA".

4. That the Note, Exhibit "~,, is secured by a Mortga'Je on 4075 Market
street, Hampden Township, cumberland county, camp Hill, Pennsylvania
17011 dated January 26, 1990 and recorded in the Office of Recorder of
Deeds Cumberland county, Pennsylvania in Record Book 965, Page 886 on
February 2, 1990, a copy of which is attached hereto and incorporated
herein as Exhibit "B".
5. That Harris Savings Bank is the holder of the Mortgage, Exhibit "B"
as the result of the conversion of Harris Savings Association into
Harris Savings Bank.
6. That Homestead Service corporation, its successors and assigns were
released from any and all obligation under the Note dated January 26,
1990 as secured by the Mortgage dated January 26, 1990 by Release dated
July 29, 1994. A copy of which is attached her~to and incorporated
herein by reference as Exhibit "c" and the real property was conveyed to
Pennsylvania Properties as real owners by Doed dated August 4, 1994 and
recorded August 8, 1994 at Deed Book 111, Page 598.
7. That Defendant is in default under the terms of the Note and
Mortgage in that it has failed to pay late charges due in the amount of
Three Thousand, Fifteen Dollars and !I/ItXJ ($3,015.81) as provided for in
the Note and Mortgage and has accrued delinquent real estate taxes for
1994 in the amount of $8,587.47 and for 1995 in the amount of $9,989.06
as of June 24, 1996.
8. That in addition to the unpaid principal, accrued interest at the
contract rate of 10.38% until paid, reasonable legal fees which are
believed and alleged to be $40,000.00, costs of collection and costs to
preserve the collateral are due and payable.

notwithstanding, It Is expressly understood and agreed that the Obligation
of this Note shall cover, .IS well, any other additional advances that may
be made by Obligee to Obligor at any time or times hereafter, provided that
at no time may the total balance due by Obligor to Obligee hereunder,
whether the same represents, In whole or In part, the InItial advance or
any future advance or advances exceed the oliginal amount of this
obligatlon.

arrearages in said monthly installments are equal to at least two

notice from the Obligee, or tItle to said mortgaged premises Is transferred
to anyone other than the survivor of the Obligor wIthout written consent
of the Obligee and the execution of a collateral bond by the transferee, or
in caGe of any default under the terma hereof or of the accompanying
mortgage whereby the security of the OblIgee Is or shall be ImpaIred, then
in any such case, the saId principal sum, and additional advances, or so
much thereof as shall remaIn unpaid, shall, at the option of Obligee, its
successors or assigns, become due, and payment of the same and all accrued
intecest and charges, taxes, water rents and costs of Insurance as
aforesaid, together with an attorney's commission as above mentioned,
besides costs of Hult, may be enforced and recovered at once, anything
herein contained to the contrary notwithstanding.

or the successors or assigns of the undersigned to pay the outslalldlng
principal balance of this Note and observe the covenants of the undersigned
contained herein, wIthout affecting the guaranty of any person,
corporation, partnership or other entity for payment of the outstanding

consent of the undersigned, the successors or assigns of the undersigned or
guarantors and without liabILIty on the part of the holder hereof, the
holder hereof may, at the optIon of the holder hereof, extend the time for
payment of saId outstandIng prIncipal balance or any part thereof, reduce
the payments thereof, releaue anyone lIable on any of said outstanding
principal balance, accept a renewal of this Note, modify the terms and time
of payment of saId outstanding principal balance or join in any extension
or subordination agreement, and agree In wrIting with the undersigned to
modify the rate of Interest or period of amortIzation at this Note or
change. the amount of the monthly installments payable hereunder.

REAFFIRMATION AND HOLD HARMLESS AGREEMENT
WBIlRBAS Pennsylvania Properties, a Pennsylvania general

partnership consisting of Michael J. Greene, Herbert c. Moore and
Richard M. Moore is indebted to Harris Savings Bank, fot"lllerly
Harris Savings Association (Harris) by reason of a certain
Adjustable Rate Note dated January 26, 1990 in the original
principal amount of $920,000.00; and
WHEREAS Homestead Service corporation is also an obligor on
said Note; and
WHIlREAS said Note is secured by a mortgage dated January 26,
1990 and recor.ded in the Office of the Recorder of Deeds,
Cumberland County, pennsylvania; and
WHEREAS said Note provides that ".. . without affecting the
obligation of the undersigned or the successors or assigns of the
undersigned to pay the outstandlng principal balance of this Note
and observe the covenants of the undersigned contained herein,
.
without affecting the guarantee of any pllrson, corporation,
partnership or other entity for payment of the outstanding
principal balance, . . . the holder hereof may, . . . release anyone liable
on any of said outstanding principal balance... "; and
WHEREAS the Resolution Trust corporation (hereinafter "RTC")
has requested Harris Savings Bank in consideration of its
satisfaction of a second mortgage on the security for the above

referenced Note, namely 4075 Market street, Camp Hill, Pennsylvania
which consideration also runs to the benefit of Pennsylvania
properties, to execute a Release of the RTC as successor in
interest to Homestead savings Association from any obligation to
Harris on the $9"0,000.00 January 26, 1990 ~otll. A copy of said
Release is attached hereto as Exhibit "A"; and
WHEREAS that not withstanding Harris' right to release any
obligor under the Note Harris has requested pennsylvania properties
to execute a reaffirmation of its obligations under the Note and an
Agrellment to hold Harris harmless as the result of Harris'
execution of the Release to be granted to the RTC as successor to
Homest~4d Savings Association; end
WHE1UIAS Pennsylvania Properties for its benefit desires Harris
to execute the requested Release.
Now therefore Pennsylvania properties agrlles as follows:
1. That Harris savings Bank may execute the Release of Exhibit
"A"; and
2. That Pennsylvania Properties reaffirms its indebtlllC1ness to
Harris savings Bank in the full amount of the remaining
principal Dalance of the debt; and
3. That Pennsylvania Properties reaffirms each and every covenant
and condition of the Note as the obligation of said
pennsylvania proporties; and
4. That Pennsylvania Properties and its partners individually and

WHBRBAS_ the HOMESTEAD SERVIOB OORP., a Pennsylvania business
corporation, the RESOLUTION TRUST OORPOkATION in its oapacity as
rllceiver for HOMESTEAD FEDERAL SAVINGS ASSOCIATION, as successor in
interest to HOMESTEAD SAVINGS ASSOCIATION
and
PENNSYLVANIA
PROPERTIES, a Pennsylvania general partnership (hereinafter
"owners") are the owners of a parcel known as 4075 Market street,
Hampden Township, camp Hill, Cumberland county, pennsylvania; and
WHEREAS, Harris savings Association (hereinafter "Harris") has
extended a loan evidenced by a Note dated January 26, ~990, for
$920,000.00 which is secured by a Mortgage dated January 26, 1990,
recorded in the Cumberland county Recordor of Deeds Office in
Mortgage Book 965, Page 886, which is a first mortgage lien against
the premises; and
WHEREAS, Homestead savings ASRociation holds a Note secured by
a Mortgage which is in a second lien position dated January 26,
1990, recorded in the Cumberland county Recorder of Deeds office in

Mortgage Book 986, Page 895, which is to be paid and satisfied; and
WHEREAS, Homostead Service Corporation wishes to be fully
released from any obligations or liabilities under the said Harris
Mortgage above referenced.
NOW, THEREFORE, in consideration of One Dollar ($1.00) and the
covenants and conditions contained herein, the parties herein agree
as follows:

Ruben. Esquire and states the following in support of its Motion:
1. Plaintiffi'Movant is Harris Savings Bank ("Harris". formerly Harris Savings Association)
a Pennsylvania Banking Corporation organized and existing under the laws of the
Commonwealth of Pennsylvania and having its principal place of business at Second and
Pine Streets, Harrisburg. Pennsylvania 17101
2, Defendant/Respondent is Pennsylvania Properties. a Pennsylvania General Partnership and
mortgagor of a commercial property at 4075 Market Street. Camp Hill. Cumberland
County, Pennsylvania 17011.
3. That on July 5. 1996, Harris filed a Complaint In Mortgage Foreclosure with respect to
the Pennsylvania Properties' property due to a default In\ts mortgage recorded at Record
Book 965. Page 886.
4. That Judgement was entered on September 11, 1996 on lllll'ris' Complaint against the
defendant and the mailer set for Sheriff Sale on December 4. 1996.
5. That prior to the scheduled Sheriffs Sale the Defendalll. Pennsylvania Properties cured
the mortgage default by paying all payments current and paying delinquent Real Estate
Taxes.
6, That Defendant's mortgage was restored by Plaintiff to the same position as If the default
had not occurred.
