NOW COMES, Plaintiff, L. Edward Moyer, II, by and through his
attorney, John L. Perry, Esquire, and states the following I
1. Plaintiff, L. Edward Moyer, II is an adult individual
residing at 1252 Harrisburg Pike, carlisle, Pa 17013.
2. Defendant, Timothy Scott McDonald, is an adult individual
ourrently residing at 272 Line Road, Kennett square, PA 19438.
3. Defendant, Harry T. Edmundson, is an adult individual
whose principal place of business is located at 315 Newport Pike,
Christiana, PA 17509.
4. Defendant, Norman B. Slater, is an adult individual
currently residing at 4034 East Newport Road, Gordonvllle, PA
17529.
5. Defendant, Jerry L. Pettit, is an adult individual with
his principal place of business located at 121 South Broad Street,
Suite 1600, Philadelphia, PA 19107.
6. Defendant, Deer Run Appalachian Camp, L.L.C. is a
domestic limited liability company organized under the laws of the
Commonwealth of Pennsylvania with it's principal place of business
at 121 South Broad Street, Suite 1600, Philddelphia, PA 19107.
7. For the last s~veral years Plaintiff has resided on land
located in south Middleton Township owed by Plaintiff and the
estate of his father, Laverne E. Moyer, as tenants-in-common.
8. For the past several years Plaintiff has operated a
campground known as Moyers Mountain Retreat located on the above
referenced real property.
9. On or about May 17, 1996 Plaintiff entered into agreement
with the above named Defendants individually and with Deer Run
Appalachian Camp Ground, L.L,C, regarding the sale of the personal
property and good will associated with Moyers Mountain Retreat Camp
Ground.
10. This agreement was reflected in a Bill of Sale and
Agreement of Sale attached as Plaintiff's Exhibit "A" and "B".
11, On or about June 3, 1995 Defendants and/or their agents
forcible removed Plaintiff from his residences at the former Moyers
Mountain Campground located in south Middleton Township.
12. Defendants are currently in possession of certain
personal property described in Plaintiffs exhibit "C" attached
hereto.
13. The fair market value of the property in question is
$5,105.
14. The personal property described in Plaintiffs exhibi t "c"
was not the subject of any of the above referenced agreements
between Plaintiff and Defendants.
15. Despite numerous requests, Defendants have refused to
relinquish possession of Plaintiffs property.
16. Plaintiff has been and will continue to be damaged by

THIS BILL OF SALE, dated as of the /7 ~ day ot Hay, 1996,
from L. EDWARD MOYER, II, an adult individual residinq in
Cumberland County, Pennsylvania (hereinafter "Seller"), to DEER
RUN APPALACHIAN CAMPGROUND, L.L.C., a limited liability company
organized and existing under the laws of the Commonwealth of
Pennsylvania (hereinafter "Buyer").
WIT N E SSE T H:
WHEREAS, Seller and Buyer have 3greed to the sale and
transfer of Seller's undivided one-half interest as tenant in
common in and to certain personalty situate on real estate
located in South Middleton Township, Cumberland County, Pennsyl-
vania, said personalty being more particularly described on
Exhibit "A" attached hereto (hereinafter the "Equipment"), and
in and to goodwill associated with Moyer's Mountain Retroat Camp-
ground ("Goodwill").
NOW, THEREFORE, in consideration of the sum of Nine Thousand
Five Hundred Dollars ($9,500), receipt of which is hereby ac-
knowledged by Seller, plus Buyer's promise to pay an additional
Fifteen Thousand Five Hundred Dollars ($15,500) in accordance
with the terms of the Agreement of Sale for Personalty and
Goodwill of even date herewith, the parties agree as follows:
1. Seller does hereby sell, transfer, assign and vest in
Buyer, its successors and assigns forever, all of his right,
title and interest (excluding whatever right, title and interest

therein i. held by the I.tate of Laverne E. Moyer, deceased) in
and to the Equipment de.cribed on Exhibit "A" attached hereto and
to the Goodwill of Moyer" Mountain Retreat Campground as operat-
ed individually by Seller.
2. Subject to liens and encumbrances currently of record,
if any, Seller has good and marketable title to his interast in
all of the Equipment and Goodwill, free and clear of liens and
encumbrances, and delivers the Equipment and Goodwill herewith
with warranties of title as aforesaid. Seller makes the afore-
said warranty of good title with respect to each and every item
of Equipment described on Exhibit "A".
3. Seller hereby constitutes and appoints Buyer, its
successors and assigns, as Seller's true and lawful attorney and
attorneys, with full power of substitution, in Seller's name and
stead, on behalf and for the benefit of Buyer, its successors and
assigns, to demand and receive any and all of the Equipment and
to give receipts and releases for and in respect of the Equip-
ment, or any part thereof, and from time to time to institute and
prosecute in Seller's name, at the sole expense and for the
benefit of Buyer, its successors and assigns, any and all pro-
ceedings at law, in equity or otherwise, which Buyer, its succes~
sors and assigns, may deem proper for the collection or reduction
to possession of any of the Equipment, and to do all acts and
things with respect to the Equipment which Buyer, its successors
and assigns, shall deem desirable,

4. Seller hereby covenants that, trom time to time atter
the delivery ot thie inetrument, at Buyer'e requeet, Seller will
do, execut., acknowledqe and deliver, or will cause to be done,
executed, acknowledged and delivered such turther acts, convey-
ances, transters, assiqnments, powers ot attorney and assurances
as Buyer may reasonably require to convey, transter to and vest
in Buyer, and to put Buyer in possession of, any of the Equip-
ment.
5. This Bill at Sale shall be binding on and inure to the
benefit ot and be enforceable by the parties hereto and their
respective successors and assigns. Nothing in this Bill of Sale
shall be deemed to create or imply any right or benefit in any
person other than Buyer or Seller, or their respective successors
and assiqns.
6. This instrument shall be governed and enforced in
accordance with the laws at the Commonwealth of Pennsylvania.

AGREEMENT or SALE FOR PERSONALTY AND GOODWILL
THIS AGREEMENT, made and entered into this J 7 ~ day of Kay,
1996, by and between the L. EDWARD MOYER, an adult individual
re8idinq in CuJllberland County, Pennsylvania ("Seller")' and
TIMOTHY SCOTT MCDONALD, HARRY T. EDMUNDSON, NORMAN B. SLATER and
JEFFREY L. PETTIT, all adult individuals, or their assigns or
desiqnees (the "Buyers").
WIT N E SSE T H :
WHEREAS, Seller is the owner of certain personalty and
goodwill associated with the operation of a campground facility
known as Moyer's Mountain Retreat Campground situate in South
Middleton Township, Cumberland County, Pennsylvania; and
WHEREAS, Seller wishes to sell, and Buyers wish to buy, the
said Property Interest upon the terms and conditions hereinafter
stated.
NOW, THEREFORE, in consideration of the mutual covenants and
conditions contained herein, and intendinq to be legally bound,
the parties agree as follows:
1. SALE AND DELIVERY. Seller hereby agrees to sell and
deliver to Buyers, and Buyers hereby agree to purchase from
Seller, the personalty and goodwill above described.
2. PURCHASE PRICE. In consideration of the sale and
delivery of the aforesaid personalty and goodwill, Buyers agree
to pay to Seller the total purchase price of Nine Thousand Five
Hundred Dollars ($9,500), which shall be paid in cash, cashier's

check or personal check on or before Settlement as hereinafter
defined. Additionally, in the event that Buyers are able to
neqotiate a discharge of all Federal tax liens entered of recor~
against the real property situate on Sheet Iron Roof Road, South
Middleton Township, Cumberland County, Pennsylvania, and said
discharge is achieved at no cost to Buyers and occurs on or
before December 31, 1996, Buyers shall pay Seller additional
consideration of Fifteen Thousand Five Hundred Dolla:s ($15,500),
in cash, cashier's check or treasurer's check upon discharge of
the Federal tax lien(s).
3. SETTLEMENT. Settlement hereunder shall take place on
or before ten (10) days after execution of this Aqreement.
4. TRANSFER OF TITLE AND POSSESSION. Title to and posses-
sion of the personalty and goodwill shall be conveyed to Buyers
at Settlement. Seller shall convey by special warranty bill of
sale subject to the provisions of Paragraph 5 of this Agreement.
5. WARRANTIES OF TITLE. Title to Seller's personalty and
qoodwill shall be qood and marketable fee simple title, free and
clear of all liens except those liens and encumbrances that are
specifically identified on Exhibit "A" attached hereto. Title
shall be certifiable by Buyers' attorney or insurable at regular
rates by a reputable title insurance company without exceptions
objectionable to Buyers.
6. DISCLAIMER OF FITNESS WARRANTY. Seller makes no
express or implied warranties with respect to the physical
condition or possible uses of the personalty and goodwill.

Buyers acknowledge that personalty is beinq sold on an "as is"
basis.
7. COMPLETE UNDERSTANDING. This Aqreement contains the
entire understandinq between the parties hereto with respect to
the subject matter hereor, and supersede. any prior written or
oral aqreements between them. There are no representations,
aqreements, arrangements or understandings, oral or written,
between or amonq the parties hereto relating to the subject
matter of this instrument which are not fully expressed herein.
8. HEIRS AND ADMINISTRATORS. All rights given in this
instrument to Seller and Buyers shall accrue to their heirs,
executors, administrators, successors and assigns.
9. CONSTRUCTION. This Agreement shall be interpreted and
construed in accordance with the laws of the Commonwealth of
Pennsylvania.
10. RECEIPT OF COPY. All parties hereto acknowledge
receipt of a fully executed copy of this Agreement.
11. INTENTION TO BE BOUND. It is the intention ar each or
the parties hereto to be legally bound by the terms of this
Aqreement and to bind their executors, administrators, heirs,

9. ~STRUCTIOtl. This Agreement shall be interpreted and
construed in accordance with the laws of the Commonwealth of
Pennsylvania.
10. RECEIPT OF COPY. All parties hereto acknowledge
receipt of a fully executed copy of this Agreement.
11. INTENTION TO BE BOUND. It is the intention of each ot
the parties hereto to be ~egally bound by the torms of this
Agreement and to bind their executors, administrators, heirs,

is denieu' at its principal plaoe of business at 121 South Broad
street, suite 1600, Philadelphia, PA 19107. Rather, it is
averred that its registered office is at that address.
7. Denied as stated. It is admitted that f.or the past
several years plaintiff has resided on land located in South
Middleton Township owned by defendant Deer Run Appalachian
Campground, L.L.C., and the estate of Laverne E. Moyer. As
stated in paragraph 9, plaintiff sold his interest in the
property to defendant Deer Run Appalachian campground, L.L.C.
8. Denied as stated. It is admitted that until 1994
plaintiff operated a campground known as Moyers Mountain Retreat
located on the property refqrenced in paragraph 7. It is averred
that in 1994 the Pennsylvania Department of Environmental
Resources obtained an order from the commonwealth' Court
prohibiting the plaintiff from operating the property as a
oampground.
9. Denied as stated. It is admitted that on May 17, 1996,
plaintiff entered into an agreement with the individual
defendants for the sale of the plaintiff's property and good will
associated with Moyer's Mountain Retreat. It is averred that the
individual defendants assigned their interest in the agreement to
the Deer Run Appalachian Campground, L.L.C. Furthermore, it is
averred that on or about May 17, 1996 the plaintiff conveyed his
interest in the real property described in paragraph 7 above to
defendant Deer Run Appalachian campground, L.L.C.

10. Admitted.
11. Denied as stated. It is admitted that on or about
June 3, 1995, Deer Run Appalachian Campground, L.L.C. caused the
plaintiff to be forcibly removed from his former residence at the
rormer Moyer's Mountain Campground because of the plaintiff's
interrerence with the defendants' efforts to improve and operate
the former campground. It is further averred that defendants had
consented to plaintiff remaining at the campground for a short
period to permit him time to remove his possessions, provided
plaintiff ceased his harmful and disruptive conduct which he
failed to do.
12. It is admitted that Defendant Deer Run Appalachian
Campground, L.L.C. is currently in possession of some of the
property described in plaintiff's exhibit C. It is denied that
all of the property belongs to the plaintiff.
13. Defendants are without knowledge or information
sufficient to form belief as to the truth or falsity of the
statement as to the fair market value of the property.
Accordingly, said paragraph is denied.
14. Denied as stated. It is admitted that some of the
peroonal property in plaintiff'S exhibit C was not conveyed to
the defendants as a result of the agreement described in
paragraph 10.
15. Denied. Defendants have offered to permit the
plaintiff'S agents to remove all the property that belongs to

plaintirr. Plaintirf has failed to take advantage of the
opportunities offered to him.
16. It is denied that Plaintiff has been and will Qontinue
to ):Je damaged by any detention of property he alleges to be his.
It is further denied that the defendants have engaged in any
wrongful detention of plaintiff's property.
17. It is denied that defendants have wrongfully retained
any of the plaintiff's property or that its conduct has been
outrageous, willful or in reckless disregard of the plaintiff's
rights.

18. Paragraphs 6 and 9 of the Defendant's Answer are
incorporated herein by reference.
19. The bill. of sale attached to the complaint as Exhibit A
page 4 indicates that a mobile home was included in the sale to
the defendants. Installed in the said mobile home is the
rafrigerator, dishwasher, stove, dryer, Speed Queen washer and
air conditioner described in plaintiff'S exhibit C which
plaintiff contends that defendants have wrongfully retained.
20. Defendants have made arrangements with the plaintiff'S
attorney for plaintiff's agents to retrieve the existing
computer, photocopier, fax machine, typewriter, filing cabinets,
televisions, VCR, camcorder, desk, Chairs, office fixtures, IRS
manuals, law books, computer books, gas grill, one gas cylinder,
one telephone, one waterhose, CD/tapes/video entertainment
