NOW COMES the plaintiff, Upper Allen Township (hereinafter
referred to as "the Township"), by its attorneys, Keefer, Wood,
Allen' Rahal, and avers the following:
1. The Township is a first-class township municipality
organized and existing in accordance with the laws of the
Commonwealth of Pennsylvania. with its principal place of
business located at 100 Gettysburg Pike, Mechanicsburg, Upper
Allen Township, Cumberland County, Pennsylvania.
2. Defendant, Chase Partners, Inc. (hereinafter referred
to as "Chase"), is a corporation doing business in Pennsylvania
with a primary business address of suite 233, 700 River Avenue,
Pittsburgh, Allegheny County, FA 15212.
3. On or about November 16, 1994, Chase submitted a plan
to Robert J. sabatini, Jr., secretary-Manager of the Township,
for a computer-based municipal operation system (Municipal
Management System) for the Township (hereinafter referred to aa
"MMS"). In the proposal, Chase expressly stated "(w]e have the

experience and training to ensure the smooth creation and
implemantation ot your municipal system." A true and correct
copy ot the plan submithd by Chue to the Townsh1,p tor the MMS
18 attached hereto as EKhibit "A" and incorporated here by
reterence.
4. Under purchase order dated May 17, 1995 (Purchase Order
No. 5344), the Township accepted the proposal submitted by Chase
with the eKception ot the development ot a tixed assets/inventory
managemont system in the amount ot $1,500 (item no. 5 in the
proposal). A true and correct oopy ot the purohase order is
attaohed hereto as Exhibit "B" and inoorporated here by
reterenoe.
5. As a result ot the purohase order submitted by the
Township, Chase issued a statement dated June 29, 1995, tor a
total amount due upon installation ot $19,800. A true and
correct oopy ot the statement issued by Chase is attached hereto
ae Exhibit "c" and inoorporated here by referenoe.
6. On July 20, 1995, the Township issued a check in the
amount ot $19,800, made payable to Chase Partners, Inc., in
ijccordanoe with the purchase order and the statement. The check
wae depoeited by Chase. A true and correct copy ot the cancelled
check 18 attached hereto as Exhibit "0" and inoorporated here by
reterence.

B. The problems continued and in January, 1996, variou.
telephone calla were made to Chase as well as written
communications sent by regular mail and facsimile transmisaion.
True and correct copies ot the telephone log and the letter dated
January 1~, 1996, trom Sharon Regal ot the Township are attached
hereto aa Exhibit "E" and incorporated here by reterence.
9. The Township continued to experience problems with the
MMS lold and installed by Chase. In a memorandum dated February
12,1996, Marlin A. Yohn, Sr., the Treasurer of the Township,
advised Chase ot the tax collection problems he was experiencing
and the frustration he was encountering. A true and correct copy
of the memorandum is attached here to as Exhibit "F" and
incorporated here by reterence.
10. By memorandum dated February 14, 1996, Mr. sabatini
advised the president ot Chase, Scott Fazden, of the outatanding
iasues concerning the MMS program. A true and correct copy of
that memorandum is attached as Exhibit "G" and incorporated here
by reterence.

11. A. a r..ult ot that letter, .pecitic deadline. were
..tabli.h.d by which certain action. would be taken by Cha.. in
ord.r to bring the MHS into compliance with the contract. The..
agr.ed-upon aation. did not occur, and a .ubsequent letter was
eent by Mr. Sabatini to Mr. Fazden, dated March 11, 199~. A true
and correct copy ot that letter is attached hereto as Exhibit "H"
and incorporated here by reference.
12. Chase attempted to correct the problems encountered by
the Township in an effort to properly administer the sewer
I billing_ tor the Township. However, more problems were
encountered and other issues not addressed, as set forth in the
letter from Mr. Sabatini to Mr. Fazden, dated April 25, 1996. A
deadline ot April 30, 1996, to correct these problems was set by
Mr. sabatini in his letter. A true and correct copy of that
letter and its attachments are attached as Exhibit "1" and
incorporated here by reference.
13. No adequate response was made by Chase to the letter
from Mr. sabatini, dated April 25, 1996, which resulted in a
l~tter trom the Township Solicitor to Chase dated May 28, 1996.
Demand wae made upon Chase to refund the monies expended and no
response was received by the Township.
14. Ae a result of these problems and a total "crash" of
the payroll module in June, the Township was forced to retu~n to

the BUR Datacenter to obtain the .ervice. that were to be
provided by the MMS from Chase.

Breach of contract
15. Paragraphs 1 through 14 above are incorporated here by
reference as if set forth in full.
16. chase breached its contract with the Township as set
forth in paragraphs 3-14 above, along with the exhibits referred
to and incorporated in those paragraphs. In some aspects, chas.
failed to bring modules on line and in other cases it failed to
have the modules operate properly.
17. As a result of chase's breach of the contract, the
Township has incurred the following damages:
(a) $19,800 for the cost and installation of the MMS
program;
(b) $4,000 for the cost of using EUR Datacenter on a
temporary basis to provide the services that were to be
performed by MMS program purchased from Chase;
(0) approximately $500 associated with additional
temporary help needed by the Township to reload the system
for uee by EUR Datacenter from the Chase system; and

Per our discussion of yesterday, the following Is a list of outstanding Issues related to the
1. Tax Collectlo., Module:
a. The Tax Collactor wishes only to post receipts, not Issue bills and post
receipts, Bills will continue to be Issued by EUR Datacenter.
b, Request on December 28 for change In default setting for printing of receipt
and other Items needs to be changed from YES to NO.
c, Request on December 28 for the addition of the school personal tax base to
be added along with a personal tax category on the menu.
d. Request for 1995 township and county records for real estate and per capita
which was made by Tax Collector In May was not added and activated.
e, 1996 township and county tax records need to be added to the system.
, My concern Is that real estate bills are mailed on March 1st, and receipts are
received startln~ March 2nd. It Is essential that the tax collection module be fully
operational before the end of February.
2, Utility Billing Module:
a. Township needs to have you replace previous records from EUR with new
records generated In February. You Indicated that blank billing dates would
have to be examined by your programmers before the Information In put Into
the system.

While doing receipts, the screen will "ash Invalid bill dates and renuct two
Identical bill dates, Edit screen Information Is correct. Switching back to thl;l
receipt screen must renect the correct Information or the next sewl:lr bill will
be Incorroct.
When doing a customer edit by name only, It will say Insufficient memory
causing a shutdown of the system and a subsequent rebooting,
Customer balance reports are blank
Delinquent account report has not been set up to Identify a limited number
of accounts (accounts with balances of over $200, for example),
Other reports have not been set up,
We need addltlonallnformallon on rate change procedure,

The next sewer billing Is on April 1 st. and will ranect new, higher rates, It Is
necessary for this system to be fully operational no later than March 7th,
3. Building/Code Enforcement Module:
a, This module has not been put Into place, I believe that the tax parcel
Information has not been put on the system,
b. Training must stili be provided In this system.
4, GIS Module:
a, This module has not been put Into place, The Township has a map on
AutoCAD 12/13 that will be the base map for the Township,
b, Training must stili be provided In this system.
5. Accounting Module:
a. This module 15 generally operational; however, there are stili several glitches
that Dave Is working with Ginny on.
There are a number of deadlines that absolutely must be met for the Township to properly
utilize the system and continue municipal operations. The tax module system must be In
place no later than February 26th; the sewer module must be In place by March 7th.
Please contact me with all Information needs, Including addition files on computer disk, and
we will forward them Immediately.

applications. It is admitted that various contacts were made
with Chase to correct problema but that these problems were
caused by the Defendant.
a. It is ~dmitted that the Township began experiencing
problems, but it is denied that said problems were the result of
the MMB software and other Chase software. It is further
admitted that the Plaintiff contacted the Defendant by telephone
and mail regarding the problems it was having with its computer
system but Defendant avers that the prublems experienced
by the Plaintiff caused by the Plaintiff and/or its agents.
9. It is denied that the Township experienced problems with
the MMB software Bold and installed by Chase. It is averred
that said problems incurred by the Plaintiff was caused by
Plaintiff andlor its agent. It is admitted that Marlin A. Yohn,
Br. sent a letter to Chase advising it of the tax collection
problems that he was experiencing but Defendants aver that said
problems were caused by the Plaintiff andlor its agents.
10. It is admitted that on February 14, 1996, Mr. Babatini
advised the president of Chase, Scott Fadzen, of the outstanding
issues concerning the MMS program but it is averred that the
problems experienced by the Plaintiff concerning the MMS program
were caused by the Plaintiff and/or its agente.
11. It is admitted that as a result of the letter deadlines
were established by which certain actions would be taken by Chase
in order to assist the Plaintiff, but the Defendant avers that
the Defendant was attempting to correct problems that occurred
because of problems caused by the Plaintiff and/or its agents.
l~. It is admitted that Chase attempted to oorrect problems
enoountered by the Township in an effort to properly administsr
the sswer billings for the Township, however, the Defendants aver
that said problems were caused by the Plaintiff and/cr its
agents. It is admitted that Mr. Sabatini sent a letter to Mr.
Fadzen on April 25, 1996 but it is averred that any problems were
caused by the Plaintiff and/or its agents.
13. It is denied that no adequate response was made by Chase
to the letter from Mr. Sabatini, dated April 25, 1996. It is
admitted that the Township Solicitor sent a letter dated May 28,
1996 but it is averred that any problems were caused by the
Plaintiff and/or its sgents.
14. It is denied that any of the problems that the Plaintiff
experienced or the IIcrash" of the payroll module in June had
anything to do with MMS software or the Defendant's assistance.
The Defendant is without information or belief as to whether
the Plaintiff returned to EUR Datacenter to obtain the servioes
but Defendant's deny that it had anything to do with the MMS
software to be provided by Chase.
COUNT I
15. Defendant incorporates herein by reference their answers
to paragraphs 1 through 14 of the Complaint, as if the same were
set forth at length herein.
16. The averments contained in paragraph 16 of the complaint
are denied.
17. The averments contained in paragraph 17 of the Complaint
are denied.
18. The averments contained in pftragraph 18 of the complaint
are denied.
19. The averments contained in paragraph 19 of t~e complaint
are denied.
WHEREFORE, Defendants demand judgment in their favor and
against the Plaintiff, in addition to their attorneys' fees
and costs of suit.
NEW MATTER
20. As a oourtesy and not as part of the contract, the
Defendants did a data conversion from the data provided by
EUR Datacenter.
21. The data elements provided by EUR Datacenter did not
use the same primary data keys.
22. Defendant informed the Plaintiff that. the conversion
was sU9pect because of the lack of a common key.
23. Plaintiff was advised that the only fullproof method
for data acquisition was to manually enter the tax and billing
records into the chase system.
24. Contrary to that advise, the Plaintiff requested the
Defendant to continue to work with the data provided by EUR.
25. Plaintiff was advised that the work that had been done
on the EUR database had been done gratis and was not part of the
original contract. Further, the Plaintiff was advised that they
were ninety (90) days delinquent on their 1996 data maintenance

NOW, COMES plaintiff, Upper Allen Township, by and through its
counsel, Keeter, Wood, Allen & Rahal, and files this answer to the
new matter, averring as followSl
20. Denied. It is specifically denied that the defendant was
not required as part of the contract with Upper Allen Township to
pertorm a data conversion from the data provided by BUR Data
Center. The contract called for the Ucreation and implementation
of the municipal system, U which could not be implemented without
making a data conversion.
21. After reasonable investigation, plaintiff is without
sufficient knowledge or information to torm a belief as to the
truth of the matter asserted. Accordingly, it is denied and proof
thereof demanded at tr.ial.
By way of further ~nswer, it is averred that no common
key was required for at least the tax collection and building
permit portions of the program.
22. Denied as stated. It is admitted only that the defendant
expressed some concern to the plaintiff regarding a common key
i..u., but indicated t:hat it should not be a problem with the
conversion.
23. Denied aa stated. It is admitted that athr the
detendant encountered numerOUB problema with the convereion, it
instructed the plaintiff to manually enter the tax and bl.1Unq
records. This was attempted by peraonnel of the plaintitt without
succes..
24. Denied as stated. Pl~intiff requested the defendant to
work with EUR Data center, lSince the defendant indicated they
thought it could be done. Both plaintiff and defendant agreed that
conversion of the data was better than manual entry of the data.
However, the system did not properly operate even when the data wa.
manually entered by the plaintiff as ft last resort.
25. Denied. Defendant never advised plaintiff that the work
performed on the EUR data base had been done "gratis" and was not
part ot the original contract. To the contrary, it was part of the
original contract.
By way of further answer, it is admitted that plaintitf
did not pay the 1996 datI! maintenance contract tee, since the
system was not operational. Plaintiff advised defendant that it
would not pay for "maintenance" of a system that was not yet
operational, but assured the defendant that upon the system
becominq operational, it would be paid in full for the maintenance
contraC't.

DEFENDANT'S RESPONSE TO PLAINTIFF REQUEST FOR PRODUCTION OF
DOCUMENTS
AND NOW comes the Defendant, by and through their attorney
and makes the following Objections and Answers to the Defendant's
First Request for Production of Documents.
Defendant objects to the Request for Production of Documents
to the extent that they call for production of information that
is subject to an applicable privilege, and the attorney work
products doctrine. Defendant further objects to ~he Request for
Production of Documents to the extent that they call for the
prOduction of proprietary and confidential information.
Defendant will produce relevant and non privileged documentation
covered by this objection which has not already addressed by
the Order of Court, subject to the entry of an appropriate
protective order or designation of confidentiality. Any
documentation produced by any party which is subject to this
objection and designation of confidentiality shall be deemed
confidential to all parties, and inadvertent production of such
dOGumentation by one party without a designation of
confidentiality shall not constitute a waiver of such

SPECIFIC REQUESTS I
1. Any and all correspondence that you direoted to Upper
Allen Township with regard to the purchasG, installation or
problems that Upper Allen Township was having relative to the
software and programs provided by Chase Partners. This will
inolude all falCes, faosimiles, notes or other documents.

Robert C. Tourek, Esquire, should not be granted leave to
withdraw as counsel and responds as folloWSI
1. Plaintiff has no objection to Robert C. Tourek,
Esquire, being granted leave to withdraw a~ counsel, provided
(a) that his withdrawal results in no d$lay in the payment of the
promissory note, dated February 2B, 1997, in the amount of
$17,500, executed by Chase Partners, !nc., and (b) that his
withdrawal of appearance will create no delay in the plaintitf's
ability to confess judgment as authorized under the promissory
note it payment is not made by April 7, 1997, and execute upon
the judgment.
