AND NOW, comes the Plaintiff, LIGHTSTYLES, LTD., by itl
attorneys, SNELBAKER & BRENNEMAN, P.C" and avers the following
cause of aotionl
1. The Plaintiff is LIGHTSTYLES, LTD., a Pennsylvania
business oorporation, having its registGred offioe at 501 Wilson
Lane, Mechanicsburg, Cumberland County, Pennsylvania 17055.
2. The Defendant is GREEN lULLS HOME CENTER CORP., a
business corporation, having a place of business at R.R. 1, Box
1706, Mohnton, Berks county, Pennsylvania 19540.
3. On or about August, 1995, Defendant ordered from and
through Adam Wholesalers, 1627 Ritner Highway, carlisle,
Cumberland County, Pennsylvania 17013, a quantity of windows as
manufactured by Marvin Windows of Warroad, Minnesota, said order
consisting of the items set forth on "Exhibit A" attached hereto
and incorporated herein by reference thereto.
4. Defendant agreed to pay to Adam Wholesalers the sum of
$8,762.00 for the windows mentioned in paragraph 3 above.
5. Because of Adam Wholesalers' loss of franchise to market
Marvin Windows in Defendant's geographical area. Adam Wholesalers

assigned the order to W,T, Galliher & Bro., Ino., of 7740
Southern Drive, Springfield, VA 221&0.
6. After the subjeot windows were manufaotured by Marvin
Windows, Marvin Windows shipped the windows through W.T. Galliher
, Bro., Ino., direot to Defendant's oustomer, Michael percetti,
whioh windows were duly acoepted by Defendant through his
oustomer aforssaid.
7. On or about October 1, 1996, Plaintiff became the
franchisee for Marvin Windows serving Defendant's geographical
area.
8. On or about Deoember 30, 1995, W.T. Galliher' Bro.,
Inc., transferred and assigned to Plaintiff the account
receivable owing by Defendant.
9. On or about October 19, 1995, Defendant ordered from
Plaintiff two additional Marvin Windows as more specifically set
forth on "Exhibit B" attached hereto and incorporated herein by
reference thereto.
10. Defendant agreed to pay to Plaintiff the sum of
$2,281.34 for the windows mentioned in paragraph 9 above.
11. On or about Novembar 16, 1995, Plaintiff caused the two
newly manufactured windows to be delivered to Def~ndant.
12. Plaintiff allowed and granted to Defendant a credit of
$866.19 against the amount due on the first window shipment
mentioned above.
13. Defendant now owes Plaintiff the sum of $10,187,15
recapitulated as follows I

AND NOW, comes the Plaintiff, Lightstyles, Ltd., by its
Attorneys, Snelbaker, arenneman & Spare, P.c., and responds to
Defendant's New ~latter as follows ~
REPLY TO NEW MATTER
15. After reasonable investigation, Plaintiff is without
knowledge or information sufficient to form a belief as to the
truth of the following averments: (a) that Defendant had a pre-
existing business relationship with Forge Wholesaler, and (b) the
Defendant's alleged recent knowledge of Forge Wholesaler.'s sole
authorization to fill orders in the 19540 zip code area, and the
same are deemed to be denied pursuant to Pa.R.C.P. 1029(c), and
strict proof thereof is demanded at the trial of the case, if
relevant. It is admitted that Defendant had a preexisting
business relationship with Adam Wholesalers, Inc., that Adam
Wholesalers, Inc. and Forge Wholesaler had authority to fill
orders for Marvin Windows, and that Defendant's plac& of business
is located in the 19540 Postal Service zip code area. It is
denied that only Forge Wholesaler could fill orders for Marvin

window. in the 19&40 lip code area. On the contrary, it i.
averred that Adam Wholesaler., Inc. and Lightstyle., Ltd. (among
other.) coUld fill orders within said zip cede area.
16. After reasonable investigation, Plaintiff is without
knowledge or information sutticiant to torm a beliet as to the
truth ot the following avermentsl (e) the alleged plaoement of
an order by Michael percetti, (b) the fact ot awaiting a price
quotation by Forge Wholesaler, and (c) all conduct by David
Kemmer, and the same are deemed to be denied pursuant to
Pa.R.C.P. 1029(c), and strict proot thereof is demanded at the
trial of the Cbse, if relevant. It is admitted that Robert L.
Slagle was employed by Adam Wholesalers, Inc., on July 29, 1995,
and until October 6, 1995, and that Mr. Slagle is presently the
president of Plaintiff. It is denied that Mr. Slagle directed
Mr. Kemmer to seek to solicit purchase orders tor Marvin Windows
trom Detendant. On the contrary, it is averred that Mr. Kemmer
had discretion as to whom he would solicit for business.
16. After reasonable investigation, Plaintiff is without
knowledge or intormation SUfficient to form a belief as to the
truth of the alleged representations by Mr. Kemmer as contained
in the first sentence of the second paragraph 16. It is denied
that Robert L. Slagle directed Mr. Kemmer to not disclose
anything to Defendant, and specifically that Adam Wholesalers,
Inc., was not authorized to fill orders from Defendant. It is
specifically denied that Adem Wholesalers, Inc., was not
authorized to fill orders from Defendant. On the contrary, Adam

Marvin Windows and Mr. Slagle did not direct Mr. Kemmer to relate

17. After reasonable investigation, Plaintiff is without
knowledge or information SUfficient to form a belief as to the
truth of the following avermentst (a) Mr, Kemmer's alleged
representations, and (b) the alleged inducement to enter into an
agreement to purchase Marvin Windows through Adam Wholesalers,
Inc., and the same are deemed to be denied pursuant to Pa.R.C.P.
1029(c), and strict proof thereof is demanded at the trial of the
caso, if relevant. It is admitted that "Exhibit A" is a true and
correct copy of a quotation from Adam Wholesalers, Inc.
It is
denied that "Exhibit A" is an agreement. By way of further
response, the characterization of "Exhibit A" as an agreement is
a conclusion of law to which no response is required and is
deemed to be denied pursuant to Pa.R.C.P. 1029(d). By way of
further response, the statement that Defendant accepted the
quotation is a conclusion of law to which no response is required
and is deemed to be denied pursuant to Pa.R.C,P. 1029(d).
18. After reasonable investigation, Plaintiff is without
knowledge or information sufficient to form a belief as to the
truth of the following avermentst (a) Defendant's alleged belief
of Mr. Kemmer's authority and (b) Defendant's alleged reliance on
such authority, and the same are deemed to be denied pursuant to
I Pa.R.C.P. 1029(c), and strict proof thereof is demanded at the

3 to 4 Week turnaround on all orders placed by Defendant. On the
contrary, it is averred that Adam Wholesalers, Inc., made no such
blanket quarantee to Defendant. After reasonable investigation,
Plaintiff is without knowledge or information BUffioient to form
a belief as to the truth of the following averments I (a) that
Miohael Peroetti oomplained about delivery to Defendant on or

additional 6 to 8 weeks occurred 1 (b) that it was necessary for
Defendant to keep its customer, (c) that Defendant was "forced"
to award a credit to Mr. Percetti, (f) that Defendant awarded a
credit of $1,000 to Mr. Percetti, and (g) that "Exhibit 8" is a

true and correct copy of Hr. Percetti/s account summary/ and the

relevant. It is denied that Mr, Slagle fraudulently converted
"the purchase order", said allegation being impertinent,
soandalous and defamatory. It is averred on the oontrary th~t
Hr. Slagle at no time converted the purchase order.

truth of all of the averments contained in paragraph 22, and the

24. It is admitted that Robert L. Slagle is the president
of Plaintiff. All of the remaining statements in paragraph 24

statements, all are specifically denied. On the contrary, it is
averred that Mr. Slagle did not "siphon ot!" purchase orders for

25. It is denied that Plaintiff converted any purchasli
order to its own use at any time and significantly altered
invoices to add additional feos and charges. On the contrary and
as averr.ed in paragraph 24 above, the true facts surrounding the
transaotion with Defendant are contained in Plaintiff's
Complaint, all averments of which ar.e incorporated herein by
reference thereto in further denial of the allegations in
paragraph 25.
26. The content of paragraph 26 is a series of
irresponsible concluuions of law to Which no response is required

Adam Wholesalers or Marvin Windows. After reasonable
investigation, Plaintiff is without knowledge or information
sufficient to form a belief as to the truth of the following
averments I (a) the alleged representations, and (b) Defendant's
alleged reliance upon a prior course of dealing, and the same are
deemed to be denied pursuant to Pa.R.C.P. 1029(c), and strict

35. It is admitted that Robert L. Slagle was formerly an
employee of Adam WhOlesalers, Inc., and worked in its sales
operations. It is denied that Mr. Slagle directed sales
representatives to solicit sales of Marvin Windows for his own
subsequent purposes. On the contrary, it is averred that at all
times while an employee of Adam Wholesalers, Inc., Mr. Slagle
devoted his efforts tQ the interests of his employer and did not
influence the employer's sales representatives to produce sales

for his personal benefit. It is further speoifioally denied that
Mr. Blagle oonverted orders for his personal use or for the

knowledge or information sufficient to form a belief as to the
truth of the following averments I (a) that the purchase order
was significantly delayed, and (b) that the alleged delay
resulted 1n damage to the customer's home, and the same are

The characterization of Plaintiff's conduct as "fraudulent and

by its own admission in paragraph 37 of its counterolaim,
Defendant had no obligation to credit or pay $1,000 to its
austomer, thus inourring no legal liability as the result of its
gratuity.
WHEREFORE, Plaintiff respectfully requests your Honorable
Court to enter judgment in favor of Plaintiff (Lightstyles, Ltd.)

1. On December 31, 1996, Plaintiff by counsel served
Defendant by counsel with Plaintiff's First Bet of
Interrogatories Direoted to Plaintiff ("Written
Interrogatories") .
2. No objections were made by Defendant to the Written
Interroga tor ies.
3. Defendant by counsel submitted answers to the Written
Interrogatories under date of February 3, 1997, a copy of which
are attaohed hereto marked "Exhibit A" and incorporated herein,
together with a letter dated February 3, 1997, advising that
documents and supplementary responses to incomplete answers would
be forthcoming, a copy of said letter being attaohed hereto

5. In response to Exhibit C, Defendant's oounsel requested
"professional courtesy" to extend the supplementary response
period for twenty (20) days from the date of the letter
containing said request, to witl March 27, 1997, a oopy of said
letter being attaohed hereto marked "EXhibit 0" and incorporated
herein by referenoe theroto.
6. More than 85 days have elapsed and Defondant has failed
t.o provide the supplementary responses as promised in Exhibits B
end D.
7. The answers to interrogatories 4, 6, 9, 19, 20, 21, 22,
24, 25, 26, 30, 31, 32 and 39 are incomplete and believed by
Plaintiff to be the answers intended to be supplemented per
Defendant's letters in Exhibits Band D.
8. Pa.R.C.P. 4006(a) (2) requires a party to answer each
interrogatory fully and completely.

Court to order. Defendant to answer each of the Written
