4. The name of the Plan to whioh thi$ order applies is the
MOiler Ino., Employee Stook ownership Plan (ESOP) (hereinafter
s:eferred to 41 "ESOP"), Further, any suooessor plan to the ESOP
ahall also be subjeot to the terms of this order.
5. The Order is entered in aooordanoe with the Internal
Revenue Code of 1986, as amended.
6. This Order relates to the ps:ovision of marital property
riqhts to the Alternate Payee under the Pennsylvania Divorce
Code, 23 Pa.C.S, 553301 et seq.
7. Amount of Alternate Payee's benefitl This Order hereby
assiqns to the Alternate Payee, fifty per.cent of the funds of the
ESOP to whioh Partioipant was entitled as of September 30, 1996.
Said sum is calculated to be $50,025,79. It is understood and
aooepted by the parties that said sum shall be paid by the
I Administrator of the ESOP to the Altes:nate Payee in five (5)
equal installments paid over a period of five (5) years. If

non-marital portion of the ESOP. The ESOP provides for a form of
distribution under the terms of a QORO which permits distribution
to Participant and to an Alternate Payee at an earlier date than
the date of the Participant's retirement, the Participant and the I
Alternate Payee have seleoted the option to elect suoh alternate
distribution in aooordance with the ESOP's provisions, policies
and procedures,
8. This order ia not intended, and shall not be construed
in suoh a manner as to require the ESOPI
(a) to prOVide any type or form of benefit option not
otherwise prOVided under th~ terms of the ESOP,
(b) to require the ESOP to provide increased benefits
determined on the basis of aotuarial value, or
(cl to reqUire the payment of any benefits to the
Alternate Payee that are required to be paid to another alternate
payee under another Order previously deemed to be a QORO.

diltribution or payments mAde to the Alternate Payee under the
terms of this order, And as such, will be required to PAY the
appropriate federal inaome tAxes on such distribution.

1. The parties have agreed to a distribution/ and have
distributed their marital property with the exception ~t Guy J.
Rollins' Employee Stock ownership Plan (ESOP).
2. Pursuant to their agreement as to distribution of their
marital property, the parties agreed to the entry of a Qualified
Domestic Relations Order by which Rosalee Rollins shall receive,
at the request of GUY Rollins, fifty (SO) per cent of his
Employee Stock ownership Plan (ESOP) evaluated as of september
30, 1996 and payable to GUY J. Rollins from the Mosler Inc.,
Employee Stock ownership Plan (ESOP).
3, A Qualified Domestio Relations Order is required, by
ERISA to effect such assignment, and by the United States
Internal Revenue Code to defer Federal Income Tax consequences.

1. Plaintiff is Rosalee Rollins, 57 years of age, who

currently resides at 967 W. Tr.indle Road, Lot ~2, Mechaniosburg,
PA 17055.
3. Plaintiff and Defendant have both r.esided in the
commonwealth of Pennsylvania for at least six (6) months prior to
the filing of the complaint in Divor~e.
4. The Plaintiff and Defendant were married on June 23,
1967 in West Berlin, New Jersy by a minister.
S. There were three children born between the parties
during thl.s marriage. All of the children are over 18 years old.
6. There were no prior aotion. in divoroe or annulment
oommenced by the partie..
7. The parties have not entered into a written agreement as
to alimony, ooun.el fees, costs and property division.
a. The Plaintiff has been advised of the availability of
counseling and that the Plaintiff may have the right to request
that the Court require the parties to r~~cicipat~ in counseling.
9. While the parties were domiciled within the Commonwealth
of Pennsylvania, and through no fault of Plaintiff, the innocent
and injured spouse, the Defendant, in violation of the marriage
vows and the laws of the commonwealth, has offered such indigni-

intolerable and life burdensome.
