company. At all times relevant hereto, Century 21 was the buying
agent for Davis.
5. On or about May 1, 1996, Medcalf and Davis entered into
an Agreement for the Sale and Purchase of Real Estate ("Sales
Agreement") pursuant to which Medcalf agreed to sell and Davis
agreed to buy the Tiverton property. A true and correct copy of
the Sales Agreement is attached as Exhibit "A" and incorporated
by reference.
6. Incorporated in the Sales Agreement, and separately
executed by the parties, was a Home Inspection Addendum to
Agreement of Sale ("Home Inspection Addendum"). A true and
correct copy of the Home Inspection Addendum is attached as
Exhibit "B" and incorporated by reference.
7. The Home Inspection Addendum permitted Davis to have a
professional home inspecting company inspect the Tiverton
property and issue a report. In the event the report cited a
major defect (one costing more than $250 to repair) Davis was
obligated to notify Medcalf in writing, of such defect.
8. In addition, if the report would cite a major defect,
Medcalf would have the option of electing to correct the defect
at Medcalf's expense prior to settlement, or electing to do
nothing. In the event that Medcalf would elect to correct the
defect, the Agreement of Sale would remain in full force and
effect, so long as Medcalf notified Davis of such election within
five days of receiving notification of the major defect from
Davis.

9. Any defect noted on the report which cost less than
$250 to repair was to be considered minor, and any objections to
such defects were waived by Davis pursuant to the Home Inspection
Addendum.
10. Upon execution of and in accordance with the Sales
Agreement, Davis deposited $5,000 with Coldwell to hold in escrow
until settlement (the "Deposit").
11. On May 6, 1996, Davis had the Tiverton Property
inspected pursuant to the Home Inspection Addendum. subsequent
to the inspection, a Home Inspection Report (the "Report") was
issued, a true and correct copy of which is attached as Exhibit
"c" and incorporated by reference.
12. The Report defined a "satisfactory" condition as one
that was "[f]unctional at the time of inspection" and "in working
or operating order with no readilv visible evidence of a
substantial defect." The Report defined a "fair" condition as
one "exhibit[ing] an existing defect or hav[ing] a high potential
for a defect to develop."
13. Only one element was cited in the Report as a "fair"
condition. All other applicable elements in the Report received
"satisfactory" ratings.
14. The element which received a "fair" rating in the
Report was the "Ground Slope at Foundation" in the site Elements
category (hereinafter "Grading"). The comments on the Report
from the inspector with regard to this condition were to
"[r]egrade soil away from rear of house."

15. On or about May 10, 1996, Century 21, on behalf of
Davis, notified Coldwell, in writing, that Davis was treating the
Grading as a "potential major defect." A true and correct copy
of this notice is attached as Exhibit "D", and incorporated by
reference.
16. On May 15, 1996, Century 21, as Davis' agent, sent to
Coldwell, as Medcalf's agent, a quote indicating that the Grading
could be corrected for $650. A true and correct copy of this
quote and accompanying letter are attached as Exhibit "E", and
incorporated by reference.
17. On or before May 15, 1996, Coldwell, as Medcalf's
agent, notified Century 21, as Davis' agent, by telephone, of
Coldwell's intent, on behalf of Medcalf, to correct the Grading
identified in the Report.
18. Coldwell's notice to century 21 on or before May 15,
1996, satisfied the notice provision set forth in the Home
Inspection Addendum.
19. As a result of Coldwell's notice to Century 21 on or
before May 15, 1996, the Horne Inspection Addendum was satisfied,
and the Agreement of Sale remained in full force and effect.
20. On May 16, 1996, Century 21 sent a letter to Coldwell
stating that Davis was withdrawing their offer to purchase the
Tiverton property because "[t]he Sellers have not addressed in
writina their intentions to correct the defect noted on the home
inspection reports...." (emphasis added). A true and correct

copy of this letter is attached as Exhibit "F" and incorporated
by reference.
21. On May 17, 1996, Coldwell sent a letter to Century 21
confirming in writing Coldwell's intent on behalf of Medcalf to
repair the Grading, which was verbally given on or before May 15,
1996. A true and correct copy of this letter is attached as
Exhibit "G", and incorporated by reference.
22. On May 21, 1996, Davis sent a letter to Coldwell and
Century 21 declaring the Sales Agreement null and void. A true
and correct copy of this letter is attached as Exhibit "H", and
incorporated by reference.
23. On May 28, 1996, counsel for Medcalf sent a letter to
Davis rejecting their declaration of the Agreement as null and
void, and demanding that Davis proceed toward settlement. A true
and correct copy of this correspondence is attached as Exhibit
"I", and incorporated by reference.
24. On May 30 and May 31, 1996, counsel for Medcalf
received correspondences from counsel for Davis confirming that
Davis would not proceed to settlement. True and correct copies
of these correspondences are attached as Exhibits "J" and "K",
and incorporated by reference.
25. Davis' declaration of the Agreement as null and void,
and their refusal to proceed to settlement, constitute an
anticipatory repudiation and/or a material breach of the Sales
Agreement for which Davis is liable to Medcalf.

26. Pursuant to paragraph 20 of the Sales Agreement,
Medcalf is entitled to retain the Deposit as liquidated damages
for Davis' breach.
27. Davis has demanded Coldwell to return the Deposit. As
a result of the dispute between the parties, Coldwell has
retained the Deposit. Pursuant to paragraph 13 of the Sales
Agreement, Coldwell refuses to release the Deposit to Medcalf
without an appropriate Order of Court.

Court rule in its favor and find Davis in material breach of
contract, and enter jUdgment in favor of Medcalf and against
Davis in the sum of $5,000 in liquidated damages, along with

BUYER(S) is not purchasing a new house and the property may have minor defects or problc:m~ assO\:ialcJ with a resale propcny. This Addendum
allows BUYER(S), at BUYER(S)' expense, an opportunity to have a professional home inspection company, which conducts inspcctiom ill accordance
with Standards of Practice of American Society of Home Inspectors (A.S.lLI.), give an opinion as to whether any defects or problems exist in
the house. BUYER(S)' inspection shall include the enlire dwelling and conditions affecting the dwelling, unless indicated below as additions or
deletions, and shall include but not be limited to an examin;lIion of all mechanical, electrical, plumbing, heating and air conditioning systems, and
appliances included in the sale as well as inspection of the foundation, walls and roof of the house. A report which docs not cile "Il,ajor" defect(s)
is considered satisfactory for the purposes of this Addendum.

A report which does cite a major defect is subject to the agreements and conditions made below. A major defect shall be defined as Jny single
defect which will cost more than S ..2.~ 0, 00 to repair as estimaled by the inspection company, or according 10 a written estimate from
a reputable professional in the relevant trade or business. Any dcfectnoted on the inspection report which costs less than lhe stated amount shall
be considered minor, and the BUYER(S) hereby waives any objection to that defect. Notwithstanding this provision, paragraph II of the Agreement
of Sale which provides all plumbing, heating, air conditioning, mechanical and electrical systems and equipment and appliances to be in proper
working order at time of settlement, remains in full force and effect at the time of sClllement.
Within len (10) calendar days of the signing of Ihe Agreement of Sale by both BUYER(S) and SELLER(S), BUYER(S) must notify SELLER(S).
in writing, of any major defects discovered by the home inspection company. This notice must be in writing and a copy of the relevam paragraph(s)
in the home inspection report must accompany the nOlice. If BUYER(S) docs nOlnOlify SELLER(S) of a major defect, in writing, within ten (10)

If the home inspection report reveals a major defect, and the BUYER(S) has timely notified SELLER(S). SELLER(S) shall notify BUYER(S) within
five (5) calendar days whether SELLER(S) will, al SELLER(S)' e.xpense, correcllhe condition prior to setllemelll. Failure of SELLERfS) 10 timely
notify BUYER(S) of the intention to correct shall mean SELLER(S) refuses to correCI ,he condition.
If SELLER(S) elects to correct the condition, this Addendum shall be deemed satisfied and tht." Agreemelll of Sale shall remain in full force and effecI.
If SELLER(S) elecls not to correct the condition, then, wilhin five (5) calendar days of BUYER(S)' receipt of SELLER(S)' notificalion of election,
BUYER(S) shall give written notice to SELLER(S) or BUYER(S)' election to do one of the following:
(a) accept the properlY with [he condition revealed by the inspcction withou! abatement to price;
(b) negotiate the cost of correcting the condilion with SELLER(S), but if SELLER(S) refuses to negOliale the COSt or the parties cannot
reach an agreemenl as to the price, then BUYER reserves Ihe right 10 declare the Agrt."ement of Sale null and void;
(c) declare the Agreement of Sale null and void.
In lhe event that the Agreement of Sale is declared null and void, lhen there ~hall be no funher obligation or liability of either pany and all deposit
money shall be relUrned to BUYER in compliance with applicable regulations.
BUYER(S) and SELLER(S) hereby acknowledge Ihat any AGENT or SUB-AGENT will not recommend or guarantee any person or company 10
perform the inspection, certification, or correclion of any condition pursuant to the terms of this Addendum. Any AGENT or SUB-AGENT will
not selecl a contractor CO perform any service pursuanllO this Addendum and will place orders for such services only at BUYER(S)' or SELLER(S)'
direction.
Notice: Any notice required hereunder shall be deemed given when actually receivcd by any AGENT, SUB.AGENT, or BUYER(S) or SELLER(S).
Release: BUYER(S) acknowledges that upon receipt of said home inspection report, BUYER(S) is relying solely on said inspcClion repon and not
on any representalions, expressed or implied, by the SELLER(S) or any AGENT or SUB.AGENT. Upon acceptance of said repon under the lerms
agreed to above and scttlement on the property, BUYERIS) releases and discharges SEl.LER(S), any AGENTS, SUB-AGENTS and employees
and any officer or panner of anyone of them of and from all manner of claims, rights and actions whatsoever, in law or equity, ill connection

Dear John:
After much deliberation and anguish, my clients. William and Ginger Davis
have decided to withdraw from the purchase of the Medcalf/Kelly property at
1100 TIverton Road, Mechanicsburg for the following reasons:
The Sellers have not addressed in writing their intentions to correct the
defects noted on the home inspection reports faxed to your office on 5/9/96 and
5/10/96llnd how and when the defects will be corrected. Specifically those
defects ere:
1. Warped siding at patio
2. Improper drainage away from house at end around rear window
well.
3. Lack of maintenance records and Incomplete knowledge
regarding operating condition of healing and air conditioning
system.
The Davis' feel that the delays In knowing the time frllme for the correction of
thelle items and how the corrections will be done have put undue pressure on
them concerning settling and moving into this home and therefore they have
dectded to withdraw their purchllse offer and request immediate return of their
five thousand escrOw deposit held by your company.

Settlement Date: May 31, 1996
Dear Mr. and Mrs. Davis:
Please be advised that I have been retained to represent the
interests of Douglas and Karen Medcalf, regarding an Agreement of
Sale and Purchase of Real Estate dated May 1, 1996 by and between
Mr. and Mrs. Medcalf and you. I have been provided certain
correspondence regarding this transaction, including the
Agreement, and a Home Inspection Addendum to the Agreement.
Apparently you take the position that because Mr. Taylor's
(Agent for Seller) letter of May 17, 1996 was not "received
within the five (5) day time-frame set-forth in the Home
Inspection Addendum," you may declare the Agreement null and
void. You are mistaken. You must be aware of the fact that,
while on vacation, Mr. Taylor contacted Mr. Snyder (Agent for
Buyer) orally within the required five days, and that Mr. Taylor
told Mr. snyder that the conditions referenced would be corrected
at the expense of the Seller's Agent prior to settlement. This
was stated, even though there is no reference in the Home
Inspection Report to any items as a "major defect." Mr. Taylor's
oral contact was reduced to a written letter on May 17, 1996
after his return from vacation. There is nothing in the Ilome
Inspection Addendum which requires the Seller to respond in
writinq. In fact, an examination of the contract shows many

other references which must be in writing, but this particular
response does not require a writing requirement. Therefore, an
oral response is legally satisfactory in all respects. Once Mr.
Taylor responded to your agent on May 15, 1996, you were fully
informed that the correction of the conditions would be made at
the expense of the Seller's Agent, and not at the Buyer's
expense.
Your declaration of "null and void" is wrongful and
unacceptable, and the Medcalfs, as Sellers, are not bound by your
declaration. In fact, the Medcalfs consider you bound to proceed
toward settlement.
By custom, you must inform us of the time and place of
settlement, and the name of your title insurance agent or
company. Unless informed otherwise, we will consider the
settlement date May 31, 1996, the date set forth in the
Agreement. If you do not inform us about the time and place of
settlement, and the name of the title insurance agent (or
company), we, as the authorized representatives of the Seller,
will appear at the Office of the Recorder of Deeds in the
Cumberland County Court House in Carlisle on Friday, May 31, 1996
at 3:00 PM. We will be prepared to tender a deed upon payment of
the balance of the purchase price in cash, certified check and/or
mortgage funds, as required by the Agreement.

COUNTERCLAIM
Defendants further say that they have a cause of action against
the Plaintiffs for the sum of $5,000.00 of the following nature and
character:

28. Defendants, William and virginia, are adult individuals
residing at 3819 pamay Drive, Mechanicsburg, pennsylvania.
29. Plaintiffs, Douglas and Karen Medcalf, are adult
individuals residing at 4088 Avenida Sevilla, California.
30. On or about May 1, 1996, Defendants entered into an
Agreement for the Sale of Real Estate with plaintiffs for the
purchase of property located on Tiverton Drive, Mechanicsburg,
pennsylvania. (See Plaintiffs' Exhibit A).
31. On or about May 1, 1996, Defendants and Plaintiffs entered
into a Home Inspection Addendum which provided for the election of
remedies available to the sellers or buyers. (See Plaintiffs'
Exhibit B). Defendants paid a $5,000.00 deposit to plaintiffs at the
signing of the Agreement.
32. On or about May 6, 1996, Defendants had the Tiverton
property inspected by HouseMaster which issued a report rating the
grading as fair. (See Plaintiffs' Exhibit C).
33. On or about May 10, 1996, Defendants' realtor notified
Plaintiffs' realtor of the major defect resulting from the grading at
the property. (See Plaintiffs' Exhibit D).
34. On or about May 15, 1996, Defendants' realtor requested a
response from Plaintiffs' realtor regarding repairs to the home
inspection items. (See Plaintiffs' Exhibit E). The estimate listed
the cost to repair the grading defect as $650.00.
35. On or about May 16, 1996, Defendants' realtor sent a letter
to Plaintiffs' realtor advising that the Agreement of Sale was
declared void as the result of Plaintiffs' failure to comply with the
Horne Inspection Addendum. (See Plaintiffs' Exhibit F).
36. On or about May 17, 1996, John Taylor of Coldwell Banker
MGM, Plaintiffs' realtor, sent a letter to Defendant's realtor
stating that the Plaintiffs "have no interest in participating in
further costs involved in this transaction." The letter further
indicated that the deposit would not be returned. (See Plaintiffs'
Exhibit G).
37. The May 17, 1996 letter from Plaintiffs' realtor, Coldwell
Banker, evidenced their intent not to repair the defect in the
grading and therefore, plaintiffs breached the terms of the Agreement
of Sale and the Home Inspection Addendum.
VERIFICATION
I verify that the statementg made in the Petition for Time
Credit are true and correct. I understand that false statements
herein are made subject to the penalties of 18 Pa.C.S. Section 4904,
