CIVIL ACTION ~ AND NOW, comes Carl G. Wass, Esquire, Caldwell & Kearns, P.C., attorneys for the Plaintiff, and files the following Complaint. 1. The Plaintiff is Lorraine Newbury, an adult individual, trading under her own name by the designation "The Newbury Group", who resides at 2346 Timberline Court, Lower Paxton Township (Dauphin County), Harrisburg, Pennsylvania, 17112. 2. The Defendant is Rehab Medicine Associates, P.C., a professional corporation comprised of a physician, whose principal office is located at 5124 East Trindle Road, Mechanicsburg, Pennsylvania, 17055. 3. At all times relevant to this Complaint, Jay J. Cho, M.D., has held himself out to be, and he is in fact, the authorized representative of Rehab Medicine Associates, P.C. Hereinafter, Jay J. Cho, M.D., will be designated "Dr. Cho." 4. In or about the first week of January, 1996, Dr. Cho verbally agreed to engage the services of the Plaintiff for the purpose of providing to the Defendant corporation certain business consulting services of a fiscal management and fiscal analysis nature. Plaintiff is in the private business of providing business consulting services of a fiscal management and fiscal analysis nature to physicians in and about the Greater Harrisburg area. 5. At the time when Plaintiff's services were engaged by the Defendant, it was verbally agreed that the business consulting services of the Plaintiff would be provided to the Defendant for a period of three months, and that the services of Plaintiff would be billed to Defendant and paid by Defendant at a verbally-agreed, discounted, rate of $20 per hour, the Plaintiff having related to Dr, Cho that her normal hourly rate was $30 per hour. 6. For the period of approximately three months, Plaintiff did perform the requested business consulting services for and on behalf of the Defendant, and did submit billings to Defendant for her services, designating her hourly rate at $30 per hour, but then providing a "courtesy adjustment", thereby reducing the amount of her invoices to the agreed rate of $20 per hour. A copy of the summary of the hours of services rendered by Plaintiff to Defendant between January 11, 1996, and April 5, 1996, is attached hereto, identified as Exhibit A, and incorporated herein by reference. 7. All invoices presented by Plaintiff to Defendant for the period January 11 through April 5, 1996, at the discounted rate ("negotiated adjustment") have been paid to Plaintiff by the Defendant, as more fully reflected in the aforementioned Exhibit A. 8. In or about the first week of April, 1996, at about the time the three-month verbal agreement between Plaintiff and Defendant was to expire, Dr. Cho verbally offered to the Plaintiff the opportunity to continue to perform her management and analysis services for the Defendant as an employee of the Defendant with an annual salary of $35,000. 9. Plaintiff declined the verbal offer of Dr. Cho and proposed, instead, that she continue to perform her management and analysis services on behalf of the Defendant corporation as a contracted consultant, but based upon her normal hourly rate of $30 per hour, or, more precisely, at a monthly stipend of $3,500. 10. Pursuant to her proposal to serve as a contracted business manager for the Defendant, Plaintiff presented to Dr. Cho a document entitled "Proposal, Responsibilities and Goals" in which the Plaintiff outlined the responsibilities and goals which she proposed to achieve for and on behalf of the Defendant corporation. A copy of the aforementioned document is attached hereto, identified as Exhibit B, and incorporated herein by reference. 11. Notwithstanding the verbal offer of Dr. Cho that Plaintiff perform her management and analysis services as an employee of the Defendant corporation, and notwithstanding the refusal of Plaintiff to do so, and not withstanding Plaintiff's proposal to continue her services upon a contract basis of $3,500 per month, the parties did not reach any verbal agreement as to the nature of Plaintiff's work as an employee or as a contracted consultant, nor did they reach agreement with regard to the rate at which Plaintiff would be compensated. 12. Notwithstanding the failure of the parties to reach agreement, as set forth in the immediately preceding paragraph, the business relationship between Plaintiff and Defendant, nevertheless, continued, unabated. At the request of the Defendant, Plaintiff continued to provide management and analysis services. 13. From April 8, 1996, through May 29, 1996, Plaintiff continued to provide, at the request of the Defendant, management and analysis services to the Defendant corporation; provided such services for a total of 223.75 hours during that period of time; and, has submitted her billing to the Defendant, claiming compensation for her services at the rate of $30 per hour, or $6,712.50. The aforementioned Exhibit A, attached hereto, on pages 7 through 9 thereof, sets forth the specific dates of the rendition of services by the Plaintiff which produce the total number of hours worked and the total of the compensation claimed. 14. From and after April 8, 1996, the Plaintiff was not an employee of the Defendant corporation; the prior three-month business consultation agreement had terminated; and, Plaintiff rendered her services to Defendant corporation thereafter, at the request of Defendant, after Plaintiff had informed the Defendant that she would perform services only on a contracted basis at her normal $30-per-hour rate (or $3,500 per month) . 15. Despite repeated demands made by Plaintiff upon the Defendant to pay to her the invoiced sum for her services, as aforesaid, in the sum of $6,712.50, the Defendant has failed and refused to pay any sum of money to the Plaintiff. 16. Plaintiff's statement, attached hereto as Exhibit A, was transmitted to the Defendant on June 27, 1996. WHEREFORE, Plaintiff prays Your Honorable Court to enter judgment in her favor and against the Defendant in the sum of $6,712.50, together with interest from June 27, 1996, and costs of suit. As previously stated, I will not accept less than $30.00 per hour, which is my normal fee. The basis of the discount you received for the first three months was that I knew you had severe financial problems. Under my management, your cash flow has been corrected; May's cash receipts are nearly double each of the four months prior to my arrival. Your employees are motivated and the "dead wood" has been eliminated. I would like to address issues listed in your letter of June 5, 1996: 1. You contend that I "have not been comfortable with my position within the office lately." Actually, I'm quite comfortable in the office but I will not willingly give additional hours until I receive full payment for April and May.
