On February 7, 1997, on defendants' preliminary objections, the oountln
eleclment was dismissed becausE! defendants purchalled the property for which a
deed was transferred to them on December 13, 1996, PlalntlH's olalm for damages
remains. Defendants flied an answer to plaintiff's complaint with new mel1er and a
oounterclalm, In their counterolalm, defendants seek damages against plaintiff for ar
alleged violation of the Unfair Trade Practices and Consumer Protection Law, 73 P,S.
Section 201-2(2), common law fraud, and slander, In their new mal1er, defendants
allege that (1) ELG, Ino" I... controlled as a subsidiary/control business unit of
Vanguard Developmont CorporBtlon, (2) Edward L, Glasgow Is president of ELG, Ino"
and an offloer of Vanguard Development Corporation, (3) Samuel Nemroff Is vloe
president of ELG, Ino., and an ol1loer of Vanguard Development Corporation, (4)
Guardian Real Estale, Ino" Is a subsidiary/control business unit of Vanguard
Development Corporation, and (5) Don Adams and Mary Ann WIlliams served as real
estate agents for the sale of the Mayapple Vanguard Condominium Development and
at all times pertinent to the cause of aollon alleged by plaintiff was acllng within the
scope of their dutlos for Guardian Real Estate.
On February 28, 1997, on the motion of defendants, a Rule was entered
against plaintiff to show cause why defendants should not be allowed to Join
Vanguard Development Corporation, Guardian Real Estate, Edward L. Glasgow,
Samuel Nemroff, Mary Ann Williams and Don Adams as additional defendanta,

of Clvlf Prooedure 2252 provides:
(a) Exoept as provided by Rule 1706,1, [relating to class actions] any
defendant or additional defendant may join as an additional defendant
any person, whether or not a party to the aotlon, who may be
(1) solely liable on the plaintiff's cause of action, or
(2) liable over to the joining party on the plaintiff's cause of aotlon, or
(3) jointly or severally liable with the joining party on the plaintiff's cause
of action, or
(4) liable to the joining party on any cause of action ariSing out of the
