The Plaintiff is 13AR13ARA MESSNER, an adult individual residing at 17 Thornhill, Ct" carlisle, Cunlperland county Pennsy 1 vania. 2, The Defendant is constantinos J. Mallios, an adult individual who resides at 715 sandbank Road, Mt, Holly Springs, Cumberland County, Pennsylvania, 3. The Defendant is the owner of a certain tract of subdivided real estate known as phases II through VI of the Westgate Development (hereafter the Westgate DevelopmGnt) being more fully bounded and descr ibed in the Deed dated July 21, 1986 and recorded in the cumberland county Recorder of Deeds Office in Deed Book 32'A, Page 964. A true and correct copy of said Deed is attached hereto, marked Exhibit "A" and made a part hereof. 4. On or about August 10, 1995, the Defendant began seeking investors for the Westgate Development and supplied to vadous persona, includinQ thll J.lll'lintLff, a documant entitled "W~atg6te Investors pro-Forma", a true and correct copy of which is attached h.Heto/ I11llr\l.ad Ellhibit "a" and made a part hereof. 5. pursuant to the aforesaid pro'Forma, the l?laintLff agreed that sha would invest $2'5,000,00 in the Westgate Development in ellchange for which the pefflndant, would pay the plaintiff a retum on her investment of ~50,000,00 for a total of $75,000,00 to be paid from the proceeds dedved from the sale of lata in the Wl'lstgate Developn1ent together wi th interest at the rate of 12% par annum on the $:?5/ 000.00 investment untLl the first lot was sold, and ellpressly or impliedlY agraed that as a result thereof, Plaintiff would have an equitable interest in the Westgate Development, 6, pursuant to the aforeaaid agreement, the plaintiff paid the Defendant the sum of $25,000,00 as her investment in the Westgate Development and the Dafendant ex.ecuted a promissory Note in favor of the Plaintiff, a true and cor,rect COpy of which is attached herl'lto, marked Ex.hibit "e" and made a par thereof. 7. MALLIOS having an address % 318 South Baltimore street, Mt. Holly Springs, Pennsylvania (hereinafter whether singUlar or plural oalled tho "Maker") promiees to pay to BARBARA MESSNER, having an oddress at Five Ridgeway Drive, carlislo, South Middleton Township, Cumberland County, Pennsylvania (hereinafter called the "Payee") the sum of Twenty- five Thousand and no/l00 ($25,000.00) Dollars, lawful money of the United States of Amerioa, on demand upon default (see payment terms below), (hereinafter culled the "Maturity Date"), unless the same is extended as hereinafter provided, with interest at the rate of one (1\) percent per annum limited as set forth below. The principal debt shall be repaid in periodic installments at the rate of Five Hundred and no/100 ($500.00) Dollars for each lot sold from Phases II through VI of the We~tgate Development (situate par.tly in south Middleton Township and partly in Mt. Holly springs Borough, Cumberland county, Pennsylvania), as and when each lot is sold by Maker. Until such time as the tirst lot is sold, Maker shall pay interest at the rate of one (1\) percent per month (twelve (12%] percent per annum). At such time as the first lot is sold, no further interest shall acorue beyond such date, and Payee shall be entitled solely to the per lot payments specified herein for each and every lot sold from the specified Phases of the development. Should individual marketing of the lots in Phases II through VI be abandoned, either voluntarily or involuntarily by Maker such that phases are not submitted for municipal approval and land is sold in bulk acreage, then in such event, Maker's total obligation to Payee hereunder shall be the repayment of the full principal amount of Seventy-five Thousand and no/lOa ($75,000.00) Dollars, together with the payment of all interest accrued to the date of the sale of the first lot. The Maker may prepay the principal indebtedness of this Note in whole or in part, At any time on giving the Payee at least thirty (30) days prior written notice of his intention to prepay.
