C 0 M P L A I N T
AND NOW comeB the Plaintiff, NORRELL SERVICES, INC., by and
through its attorney, Jeanne B. Wigbels, Esquire, and respectfully
represents as follows in support of this Complaint I
1. The Plaintiff, Norrell Services, Inc., is a corporation
engaged in the busineBs of providing short term and long term
personnel and managed staffing, whose principle place of business
is located at 1300 Market Street, Suite *2, Lemoyne, Pennsylvania,
17043.
2. The Defendant, Blue Mountain Search, is a company which is
engaged in the business of finding employeeB for positions offered
by its clients, whoBe principle place of bUBiness is located at 94
Motel Drive, Myerstown, Pennsylvania, 17067.
3. The Defendant, Allyson H. Schaeffer, is engaged in the
business of finding employees for positions offered by its clients
and is the owner of Defendant Blue Mountain Search.
4. On or about February 22, 1996, Plaintiff and Defendants
entered into a contact which provided that Plaintiff would pay
Defendants a flat fee of $2100.00 in exchange for Defendants'
providing, and guaranteeing for six monthB, an individual to fill

the position of sales associate for the Plaintiff. Said contract
is attached as Exhibit A.
5. On February 21, 1996, Plaintiff paid Defendants $2100.00
for a six-month guarantee for the position of sales associate to be
filled by M. Patrice Massey.

II 6. On April 26, 1996, Ms. Massey submitted her letter of
II resignation. See attached Exhibit B.

9. Defendants' breach has resulted in a loss to Plaintiff of
$2100.00, the cost of the contract. A claim is made therefore.
10. Defendants' breach has resulted in lost revenue to
Plaintiff which would have been generated had a replacement been
provided. A claim is made therefore.
WHEREFORE, the Plaintiff, Norrell Services, Inc., demands
judgment against the Defendants, Blue Mountain Search and Allyson
H. Schaeffer, for the cost of the contract, lost revenue plus
interest, court costs, and attorneys' fees as allowable by law,
which amount exceeds that which requires compulsory arbitration.

Dear Pat.
I have reached a difficult decision and would like to submit my resignation from
Norrell. As per our contract, I am submitting written notice that my last day of
employment would be May 28, 1996.
I am sorry for the inconvenience and disappointment this will cause. When I
accepted this position I really believed that this would be a long term career
commitment. Unfortunately. I can not keep worklng for you past the above
mentioned date. My reasons include a very high frustration level due to the client
base I am worklng with. tensions within the office and feeling that no matter what I
do I will never do enough. My family comes first and I don't want special
consideration because of that, but I feel that little every day natural occurrences
become major inconveniences because of the commute involved.
I love sales and I believe that I have done a good job for you. I am not going to go to
work for another agency and I still believe in the potential Norrell has to provide for
Its clientsl I am going to go work for myself. I believe that will be the best way to
fulfill my family and financial obligations.

1. Admitted, upon information and belief.
2. Denied. It is specifically denied that Defendant
Blue Mountain Search is a company which is engaged in the
business of finding employees for positions offered by its
clients, whose principal place of business is located at 94 Motel
Drive, Myerstown, Pennsylvania 17067. To the contrary, Defendant
Blue Mountain Search is not a company. By way of further answer,
Defendant Blue Mountain Search is not engaged in the business of
finding employees for positions offered by its clients, whose
principal place of business is located at 94 Motel Drive,
Myerstown, Pennsylvania 17067. To the contrary, Defendant Blue
Mountain Search no longer operates in business.
3. Denied. It is specifically denied that Defendant
Allyson H. Schaeffer is engaged in the business of finding
employees for positions offered by its clients and is the owner
of Defend~nt Blue Mountain Search. To the contrary, Defendant
Allyson H. Schaeffer is not engaged in the business of finding
employees for positions offered by its clients.
4. Admitted in part/ denied in part. It is admitted

that plaintiff and Defendants entered into a contract which
provided that Plaintiff would pay Defendants a flat fee of
$2100.00 in exchange for Defendants' providing, and guaranteeing
for six months, an individual to fill the position of sales
associate for the Plaintiff. It is specifically denied that
plaintiff and Defendants entered into said contract on or about
February 22, 1996. To the contrary, Plaintiff and Defendants
entered into said contract on February a, 1996. Further, Exhibit
"A" is not a copy of the contract by and between Plaintiff and
Defendants. In fact, Exhibit "A" is the invoice shipped by
Defendants to Plaintiff for Defendants' reduced fee in providing
plaintiff with an individual to fill the position of sales
associate. A true and correct copy of the actual contract by and
between Plaintiff and Defendants is attached hereto as Exhibit
"A" and incorporated herein by reference. By way of further
answer, Defendants' guarantee for six months is effective only if
plaintiff informs Defendants in writing of all the facts relating
to the termination of any employee placed by Defendants within
five busineGs days after said termination. Finally, the
guarantee is also only effective if Defendants receive payment of
their fee, in full, at the start date of the individual placed to
fill the position.
5. Admitted in part, denied in part. It is admitted
that Ms. Massey commenced employment with Plaintiff on February
26, 1996. It is specifically denied that on February 21/ 1996,
Plaintiff paid Defendants $2100.00 for a six-month guarantee for

the position of sales association to be filled by M. patrice
Massey. To the contrary, Plaintiff paid Defendants $2100.00 on
February 27/ 1996 for placing Ms. Massey. As such, Plaintiff was
not entitled to the six-month guarantee alleged in its complaint.
6. Admitted, upon information and belief.
7. Denied. It is specificallY denied that Defendants
failed to provide a replacement pursuant to the six-month
guarantee contained in the contract. To the contrary, pursuant
to the terms and conditions of the contract, Defendants were not
obligated to provide a replacement, because the six-month
guarantee was not in effect, as a result of Plaintiff's failure
to adhere to the terms of the contract. By way of further
answer, Defendants incorporate herein by reference their New
Matter set forth below.

allegations of paragraph B are specifically denied. To the
contrary, Defendants incorporate herein by reference their answer
to paragraph 7 above in its entirety.

contrary, Defendants did not breach the contract by and between
them and plaintiff. By way of further answer, Defendants

allegations of paragraph 10 are specifically denied. To the
contrary, Defendants have not breached the contract by and
between them and Plaintiff. By way of further answer, Defendants
incorporate herein by reference their answer to paragraph 7 above
in its entirety.
WHEREFORE, Defendants respectfully request this Court
to dismiss Plaintiff's complaint in its entirety, with prejudice.
NEW MATTER
11. Paragraphs 1 through 10 of Defendants' Answer are
incorporated herein by reference as if set forth herein at
length.
12. Plaintiff's complaint fails to set forth a cause
of action for which relief may be granted.
13. plaintiff's complaint is barred under the clean
hands doctrine.
14. Plaintiff breached the contract by and between it
and Defendants when it failed to notify Defendants, in writing,
of all the facts relating to the termination of Ms. Massey's
employment within five business days after said termination, and
as a result of said breach, is not entitled to the replacement
guarantee of six months set forth on Exhibit "A" to plaintiff's
Complaint.

15. Plaintiff breached the contract by and between it
and Defendants when it failed to pay Defendants their fees, in
full, at the start date of Ms. Massey, and as a result of said
breach, is not entitled to the replacement guarantee of six
months set forth on Exhibit "A" attached to Plaintiff's
Complaint.
16. As a result of plaintiff's breach of the contract
by and between Plaintiff and Defendants, Plaintiff's Complaint is
barred under the doctrine of estoppel.
17. Plaintiff's complaint is barred under the doctrine
of justification.
lB. Plaintiff's complaint is barred under the doctrine
of waivex-.
19. Plaintiff's complaint is barred by the limitations
set forth in a contract by and between the parties, a true and
correct copy of which is attached hereto as Exhibit "A" and
incorporated herein by reference.
20. In an attempt to appease the Plaintiff, Defendants
attempted to find a qualified candidate to replace Ms. Massey for
the position of sales associate with plaintiff.
21. During the search for the qualified candidate, the
Plaintiff set parameters that were extremely stringent and
without justification, making it nearly impossible for the
Defendants to find such a candidate.
22. As a result of the Plaintiff's failure to
cooperate with any of the suggestions made by Defendants, the

a qualified candidate to replace Ms. Massey for the position of
sales associate with Plaintiff and strict proof thereof is
demanded.
2l. Denied. It is denied that Plaintiff set parameters that
were extremely stringent and without justification; it is denied
that Defendants searched for a qualified candidate; it is denied
that Plaintiff made it nearly impossible for Defendants to find a
qualified candidate and strict proof thereof is demanded.
22, Denied. It is denied that Plaintiff failed to cooperate
with suggestions made by Defendants and strict proof thereof is
demanded, It is further denied that the position was not filled
because of any behavior on the part of Plaintiff and strict proof
thereof is demanded,
WHEREFORE, Plaintiff, Norrell Services, Inc" continues to
demand judgment against the Defendants, Blue Mountain Search and
Allyson H. Schaeffer, for the cost of the contract, lost revenue
plus interest, court costs, and attorneys' fees as allowable by
law, which amount exceeds that which requires compulsory
arbitration.
