6. Defendent Sandra L. Golden is an adult Individual who resides at 346 Old
U.S. Route 16, York Springs, Adsms County, Pennsylvania.
6. Defendant Kent E. Golden Is an adult Individual who resides at 370 Ridge
Road, York Springs, Adams County, Pennsylvania.
7. Defendant Doralyn S. Golden Is an adult individual who resides at 370
Ridge Road, York Springs, Adams County, Pennsylvania.
8. Defendant Golden Ridge Farms Is a Pennsylvania partnership with its
principal business location at 370 Ridge Road, York Springs, Adams County,
Pennsylvania.
9. Defendants G. Lynn Golden, Emory C. Golder, and Kent E. Golden are
general partners and operate or conduct business in the name of Defendant Golden
Ridge Farms.
10. Defendant Golden Ridge Farms opened an account with Plaintiff which
allowed the Defendants to purchase certain materials from Plaintiff on credit
provided that it paid for those materials within the terms of that account.
11. On or about June 27, 1996, Defendant Golden Ridge Farms ordered
certain material from Plaintiff to be delivered to the Shell Station job in the
quantities and the types as more particularly described In the invoices issued for
those purchases which are labeled as Exhibits A 1 and A2, which are attached
hereto and made a part horeof.

12. Plaintiff delivered those materials In accordence with the order to the
location requestad by Defendant Golden Ridge Farms.
13. The total amount of these orders is $1,943.14. Despite repeated
requests by Plaintiff, Defendent Golden Ridge Farms has failed or refused to pay for
the materials it received from Plaintiff. Defendant Golden Ridge Farms has
breached the agreement with Plaintiff by Its failure or refusal to pay for the
materialB received in accordance with the terms and conditions of the credit
account opened by Defendant Golden Ridge Farms from Plaintiff.
14. Plaintiff has been damaged in the amount of $1,943.14 as a result of
the breach of the llgreement by Defendant Golden Ridge Farms for the materials it
received from Plaintiff.
16. In accordance with the terms and conditions of the credit account and
the invoices, Plaintiff is entitled to receive delinquency charges in the amount of
one and one-quarter (1 1/4%) percent per month for all outstanding balances due
and owing.
16. Plaintiff is entitled to delinquency charges calculated to November 28,
1996, in the amount of $77.72, and at the additional rate of one and one-quarter
(1 1/4%) percent per month thereafter to final date of judgment.

17. Defendants Emory C. Golden, G. Lynn Golden, and Kent E. Golden are
jointly and severaliy liable for all amounts due and owing to Plaintiff since they are
all general partners of Golden Ridge Farms.
18. Defendants Emory C. Golden, G. Lynn Golden, Kent E. Golden, Dorlllyn
S. Golden, Sandra l.. Golden, and Jacquelin Golden also signed a certain Guaranty
dated March 10, 1992, wherein they guaranteed to Plaintiff to be individually liable
for any and all amounts due and owing by Defendant Golden Ridge Farms.
Attached hereto and marked as Exhibit B Is a true and correct copy of the
Guaranty .
19. Pursuant to the Guaranty, Plaintiff is entitled to a coliection fee of
twenty (20%) percent of the outstanding balance due and owing, or $388.63.
20. Defendants Emory C. Golden, G. Lynn Golden, Kent E. Golden, Doralyn
S. Golden, Sandra L. Golden, and Jacquelin Golden are jointly and severally liable to
Plaintiff for the sums due and owing by Defendant Golden Ridge Farms pursuant to
the Guaranty agreement in the amount of $2,409.49, plus continuing interest
pursuant to the terms and conditions of the credit account at the rate of one and
one.quarter (1 1/4%) percent per month.
WHEREFORE. Plaintiff demands judgment against the Defendants, both
jointly and severally, in the amount of $2,409.49, plus interest calculated at the

For valuable consideration, the receipt of which is acknowledged and
intending to be legally bound hereby, the Undersigned jointly and severally
unconditionally guarantee to you the full and prompt performance by
GOLD~N RIDGE FARMS
herein called "Obligor" of all obligations which Ob1igor presently or
hereafter may have to you and payment when due of all sums presently or
hereafter owing by Obligor to you, and agree to indemnify you against any
losses you may sustain and expenses you may incur as a result of any wrong-
ful act of Obligor.
For the purposes of this gauranty and indemnity, all sums owing to
you by Obligor shall be deemed to have become immediately due and payable
if (a) Obligor defaults in any of its obligations to you; (b) a petition
under any Chapter of the Bankruptcy Act, as amended, or for the appointment
of a receiver of any part of the property of Obligor be filed against Obligor,
~nrl b~ not dismissed within thirty days; (c) such a petition be filed by
Obligor; (d) Obligor makes a general assignment for the benefits of creditors.

an attachment be levied or tax lien be filed against any of Obligor's property.
This shall be a continuing guaranty and indemnity and irrespective of
the 1ack of any notice to or consent of Undersigned, thei r obligations here-
under shall not be impaired in any manner whatsoev~r by any
(a) new agreements or obligations of Obligor with or to you; amendments,
extensions, modifications, renewals or waivers of default as to any existing
or future agreements or obligations of Obligor or third parties with or to
you, or extensions of credit by you to Obligor.
(b) adjustments, comprises or releases of any obI igations of ObI igor.
Undersigned or other parties, or exchanges. releases or sales of any security
of Obligor, Undcrsigncd or other parties;
(c) fictitiousness, incorrectness, invalidity or unenforceability, for
any reason, of any instrument or writing, or acts of cOfJl11ission or omission
by you or Obligor;
(d) compositions, extensions. moratoria cr other rclief !)rantcd to
Obligor pursuant to any statute presently in force or hereafter enacted. or
(e) interruption:. in the business rtlations between you and Obligor.
Notice of your acceptance her'eof. of default and non-payment by ObI igor
or any other parties, of presentment, protest and demand, and of all other
matters of which Undersigned otherwise might be entitled, is waived.
The cbligations hereunder of each of Undersigned are joint and several.
and shall be binding upon their respective heirs and per'sonal representatives.
The failure of any person to st'gn this guaranty and indemnity shall not affect
the liability hereunder of any signer thereof. The death or release from
liability hereunder of any of Undersigned shall not relieve the others from
Habil ity hereunder. Each of Undersigned may tenninate his obI igations
hereunder as to then future transactions between you and ObI igor by regis-
tered mail notice to you at your above stated address, provided. however,
that such termination shall not effect either his liability hereunder with
respect to any obligations of ObI igor to you incurred prior to your receipt
of such notice, or the continuing liability of such of the others of Under-
signed as have not given such notice.
Undersigned shall reimburse you, on demand, for all expenses incurred
by you in the enforcements or attempted enforcement of any of your rights
hereunder against any of Undersigned.

.Confesslon: As security ,for any such obligations, the Undersigned
hereby authorize any attorney of any Court of record of any state to appear
for them or any of them and to confess a judgment against them or any of
them for entire unpaid ba14nce due by Obligor at any time, whether Immatured
installments or otherwise, with or without declaration, with costs of suit,
release of errors, without stay of execution and with twenty (20S) per cent
added for collection; and they also waive the right of inquistlon,on any
real estate that may be levied upon to collect this note, and do hereby
voluntarily condemn the same, and authorize the Prothonotary or clerk to
enter upon the execution l'irt t their said voluntary condemnation, and they
further agree that said estate may be sold on an execution writ and they
further hereby waive and release all relief from any and all appraisements,
stay or exemption laws of any state now in force or hereafter enacted.
This guaranty and indemnity is assignable, shall be construed liberally
in your favor and shall inure to the benefit of your successors and assigns.
If Obligor shall default in the perfonmance of any of Obligor's obligations
to you, and If any third party makes any payment to you with respect thereto,
such third party shall, to the extent thereof, be subrogated to all of your
rights against Undersigned hereunder.
