COMPLAINT IN MORTGAGE FORECLOSURE
1. plaint if f, Amedcan Met'chants Life Insurance Company
(hereinafter "plaintiff) is a Florida corporation located at Post
Office Box 899, Jacksonville, Florida, with its principal office
located at 301 Bay Street, STE 2315, Jacksonville, Florida and
brings this action to foreclose that certain Mortgage dated April
30, 1987, between Defendants Richard W. Moore, individually and
as a general partner, Herbert C. Moore, individually and as a
general partner, Michael J. Greene, individually and as a general
partner; and pennsylvania properties, a general partnership, as
Mortgagors; and plaintiff's predecessor in interest, Consumers
Life Insurance Company (hereinafter "Consumers"), a Delaware
Corporation, with its principal offices at 1110 Fernwood Avenue,

Camp Hill Cumberland County, pennsylvania, as Mortgagee, which
Mortgage is recorded in the Office of the Recorder of Deeds of
Cumberland County in Mortgage Book 862, Page 659. A copy of the
Mortgage is attached hereto and made a part hereof as Exhibit
"All,
2. By instrument dated March 20, 1987, between Defendallts
a~d Consumers, Consumers offered and Defendants accepted the
terms and conditions contained within a Letter of Commitment (the
"Loan Commitment"). By its specific terms and conditions, this
Loan Commitment was to survive the mortgage loan closing and was
to continue in full force and effect until the satisfaction of
the obligation of Defendants to Consumers. A copy of the Loan
Commitment is attached hereto and made a part hereof as Exhibit
"B",
3. By instrument dated December 27, 1994, and effective
December 28, 1994, by and between Consumers and Plaintiff,
Consumers assigned the aforementioned Mortgage to American
Merchant'S Life Insurance Company, plaintiff herein. said
Assignment was duly recorded in the Office of the Recorder of
Deeds of cumberland County in Book 488, page 878. A copy of said

assignment is attached hereto and made a part hereof as Exhibit
IIC" .
4. Defendan~ Pennsylvania Properties, is a Pennsylvania
General Partnership with an address of c/o Moore, Moore & Greene,
199 North 40th Street, Harrisburg, Pennsylvania 17111.
Defendants Richard W. Moore, Herbert C. Moore, and Michael J.
Greene are the general partners of defendant Pennsylvania
Properties.
5. The Mortgage secures Defendant's Mortgage Note, dated
April 30, 1987, in the initial amount of $800,000.00 which
personally obligated Richard W. Moore, Herbert C. Moore, Michael
J. Greene, Bonnie L. Moore, Marianne Moore and Kim Greene.
Pursuant to the specific terms of the Mortgage Note, the terms
and conditions of the aforesaid Loan Commitment and Mortgage were
incorporated by reference within the Mortgage Note, further
providing that the terms and conditions of the Loan Commitment
and Mortgage "shall be given full force and effect as if
contained herein in their entirety". The Loan Commitment,
Mortgage Note and Mortgage (the "Mortgage Documents") provide for
three (3) phases of payments: (1) the construction phase; (2) the

Cumberland County, Pennsylvania, more particularly bounded
and described as follows:
BEGINNING at a point on the southeast side of Charles Road,
said point being at the corner of Lot No. 37, Section "B",
on the hereinafter mentioned plan of lots; thence along the
southeastern side of Charles Road by the arc of a curve to
the left having a radius of 335 feet, an arc distance of
110.67 feet to a point; thence continuing along the
southeast side of Charles Road, North 27 degrees 44 minutes
East a distance of 28.14 feet to a point at the intersection
of Charles Road and Del Brook Road; thence along the
southern side of Del Brook Road South 62 degrees 16 minutes
East a distance of 22.78 feet to a point; thence continuing

distance of 332.92 feet to a point; thence by the arc of a
curve to the right having a radius of 20.97 feet, an arc

Manor Drive; thence along the western side of Manor Drive
South 25 degrees 47 minutes East a distance of 109.44 feet
to a point; thence South 75 degrees 12 minutes West a
distance of 368.01 feet to a point at the corner of Lot No.
37; thence along the eastern side of Lot No. 37, North 43
degrees 20 minutes 20 seconds West a distance of 188.63 feet
to a point on the southeastern side of Charles Road, the
place of BEGINNING.
BEING the lot designated C-2, situate at the southeast
corner of the intersection of Charles Road and Del Brook
Road, as shown on Plan of Lots of Del Brook Manor, dated May
12, 1964, recorded in the Office of the Recorder of Deeds of
Cumberland County in Plan Book 15, Page 42.
HAVING THEREON ERECTED an office complex.
BEING the same premises which P & S Developments, Inc., a
Pennsylvania Corporation, by Deed dated March 1, 1979, and
recorded on the second day of March 1979, in the Cumberland
County Recorder of Deeds Office, in and for the County of
Cumberland, Pennsylvania, in Deed Book "H", Volume 28, Page
760, granted and conveyed unto R. W. Moore, H. C. Moore, T.

corporation ("Consumers"), and AMERICAN MERCHANTS LIFE INSURANcE
COMPANY ("American MerChants").

WHEREAS, Consumers made a loan (the "Loan'" to Richard
W. Moore, Herbert C. Moore, and Michael J. Greer :/d/b/a
Pennsylvania Properties, a general partnershi - "Borrower")
evidenced by that certain Mortgage Note dat~ _ 30, 1987,
made by Borrower payable to the order of Con~_~ers in the
original principal amount of Eight Hundred Thousand Dollars
($800,000.00) (together with any amendments, modifications or
supplements thereto, the "Note") i and
WHEREAS, the Note is secured by that certain Mortgage
dated April 30, 1987, granted by Borrower in favor of Consumers
to secure an amount of Eight Hundred Thousand Dollars
($800,000.00) (together with any amendments, modifications or
supplements thereto, the "Mortgage"), which Mortgage is recorded
in the Office of the Cumberland County Recorder of Deeds in Book
862, Page 659.
WHEREAS, the parties hereto desire that the Loan,
together with the documents evidencing and securing the same, be
assigned to Assignee, under the terms and conditions set forth
herein.
NOW THEREFORE, in consideration of the premises and of
the agreements hereinafter set forth, and for other good and
valuable consideration, the receipt of which is hereby
acknowledged, the parties hereto agree as follows:
1. Assianment. Consumers hereby sells, assigns,
transfers and sets over to American Merchants (without recourse)
all of Consumers' rights, title and inter~sts in and to the Loan,
the Note and the Mortgage, and all sums of money due and to
become due in respect thereof, as well as any and all security
agreements or other documents ancillary to the Loan, the Note and
the Mortgage (COllectively, the "Loan Documents"). American
Merchants accepts such assignment and agroes to act as obligee
pursuant to the respective terms of each of the Loan Documents.
2. ReDresentations. Warranties and Covenants. ~l~

2.l Power ~nd Authoritv. consumers has all the
requisite power and authority to executa, deliver and perform the
Assignment and to assign and transfer to American Merchants all
of the rights, title and interests assigned hereunder.
2.2 Authorization. The execution and delivery of
this Assignment has been duly authorized by all ne~"~~ary action
on behalf of Consumers and does not require anv ~onal
consent or approval of any person or entity a"' . not or will
not violate any provision of Consumers' artic~~~ ot incorporation
or bylaws.
2.3 Exclusive Procertv. All of the rights, title
and interests assigned to American Merchants hereunder are the
exclusive property of consumers, and Consumers has not granted to
any other person or entity any rights, title or interests with
respact thereto.
3. Miscellaneous.
3.l Successors and Assians. This Assignment
shall be binding on Consumers, its successors and assigns, and
shall inure to the benefit of American Merchants, its successors
and assigns.
3.2 Governinc Law. This Assignment shall be
governed by, and construed and interpreted in accordance with,
the laws of the Commonwealth of Pennsylvania, including its
statutes of limitation, but without regar.d to its rules
concerning conflicts of laws.
3.3 Counteroarts. This Agreement may be executed
in any number of counterparts, each of which shall be deemed to
be an original, but all of which together shall constitute one
and the same instrument.
3.4 Headinas. The headings and captions used
herein are for convenience of reference only and shall not be
used in construing or interprgting this Assignment or to
otherwise limit or affect the meaning of any provision hereof.

FOR VALUE RECEIVED, without defalcation, RICHARD W. MOORE,
HERBERT C. MOORE and MICHAEL J. GREENE, t/d/b/a, PENNSYLVANIA
PROPERTIES, a general partnership, having its current place of
business at 199 No~th 40th street, Harrisburg, Dauphin county,
Pennsylvania, l7lll (hereinafter referred to as the "Borrower"),
hereby promises to pay to the order of CONSUMERS LIFE INSURANCE
COMPANY ("Consumers"), at 1110 Fernwood Avenue, Camp Hill, Pen-
nsylvania 170l1, the principal sum of EIGHT HUNDRED THOUSAND DOL-
LARS ($800,000.00) in lawful money of the United States of
America, together with interest on the unpaid balance thereof
calculated as follows:
(a) Between the date of the mortgage and December 3l, 1987,
the Borrower(s) will be required to pay on the first of each
month, interest on the unpaid balance, at the rate of Nine and
one-half (9 l/2%) percent per annum.
(b) Upon completion of the construction period, on or
before December 31, 1987, there shall be 84 monthly installment
payments, each including principal and interest on EIGHT HUNDRED
THOUSAND DOLLARS ($800,000.00) at the rate of Nine and one-half
percent (9 1/2%) interest based on a Twenty year amortization
schedule, in the amount of SEVEN THOUSAND FOUR HUNDRED FIFTY
SEVEN AND 05/l00 DOLLARS ($7,457.05).
All monthly payments shall be applied first to
in full of accrued interest and then to the reduction
paid principal balance. If Borrower fails to pay any
of principal and/or interest for a period of fifteen
after the same shall become due, then Consumers shall
to collect a late charge of four percent (4%)

This Mortgage Note is the Mortgage Note referred to in the
Mortgage Loan Commitment (the "Loan Commitment") dated March 20,
1987, between Borrower and Consumers and Consumers is entitled to
the benefits thereof and the security referred to therein, in-
cluding but not limited to the Mortgage dated even date herm-lith
from Borrower. to Consumers. The Loan Commitment and the Mortgage
are incorporated herein by reference thereto and provisions
thereof shall be given full force and effect as if contained
herein in their entirety.

If Borrower shall fail to make any payment of interest or on
the principal of this Mortgagp. Note within fifteen (l5) days from
the due date" thereof or if a default -shall occur, under and as
provided in the Loan Commitment and/or the Mortgage, then and at
any time thereafter, unless and until the default shall have been
cured or shall have been waived by Consumers, in writing,
Consumers, by written notice to Borrower, may declare all amounts
owing pursuant to this Mortgage Note and/or the Mortgage to be
due and payable at any time and may proceed to enforce payment of
this Mortgage Note either by suit in equity or by action at law,
or both. For this purpose, Borrower and each of the co-makers
hereby empower any attorney of any court of record within the
United States of America, or elsewhere, to appear for Borrower or
the co-makers and, with or without declaration, enter judgment or
judgments against Borrower or the co-makers in favor of Consumers
for the above principal sum, together with unpaid taxes, charges,
claims, assessments, sewer rents, water rents, insurance
premiums, other charges provided to be paid under the Mortgage
and/or the Loan Commitment, costs of suit and attorney's commis-
sion of five percent (5%) for collection, and interest accrued on
the unpaid principal balance and on any and all money advanc~d by
Consumers to pay any such charges, at the rate per annum from
time to time prevailing on this Mortgage Note. Borrower and the
co-makers hereby waive inquisition and condemnation of any
property that may be levied upon by virtue of any execution which
may issue forthwith upon such confession of judgment and, to the
extent permitted by applicable law, further waive all errors in
said proceedings, together with stay of or exemption from execu-
tion or extension of time of payment which may be given by any
statute now in force or which may be enacted hereafter, or by any
usage or custom.
Borrower shall have the privilege of prepaying said prin-
cipal balance or any part thereof at the time of payment of any
monthly installment, but there shall be a penalty for such
amounts so prepaid: If paid within the first year from the date
thereof 5% of the prepaid amount; if paid within the second
year from the date thereof - 4% of the prepaid amount; if paid
within the third year from the date thereof - 3% of the prepaid
amount; if paid within the fourth year from the date thereof - 2%
of the prepaid amount; if paid within the fifth year from the
date thereof - l% of the prepaid amount; and thereafter without
penalty.
RICHARD W. MOORE, HERBERT C. MOORE, MICHAEL J. GREENE,
BONNIE L. MOORE, MARIANNE MOORE and KIM GREENE, each individually
join in this Mortgage Note as co-makers and co-obligors and agree
to be jointly and severally liable to Consumers.
Presentment for payment, demand,
protest, and notice of protest, are hereby
