12. Denied. At the time of the acquisition of the samples, displays and
programs. Engle Brothers, Inc. was in Chapter 11 Bankruptcy and already owed Plaintiff
an amount In excess of $36.000.00. Plaintiff made it very clear to Debtor that there
would be no sales whatsoever on credit without some type of security, hence the
Personal Guaranty.
13. Denied. It is denied that Debtor was first made aware that Engle Brothers,
Inc. would not receive any goods unless a Personal Guaranty was signed by Mr. Paul
G. Engle until after the aforesaid samples, displays and programs were purchased. It
was made abundantly clear by Plaintiffs representatives to Mr, Paul G. Engle, from the
inception, that Engle Brothers, Inc. would receive no goods on open account credit
unless there was a Personal Guaranty executed.

6, The balance due and owing by Engle Br05, Inc. 10 Plaintiff Is the sum of EIGHTEEN THOUSAND, FOUR
HUNDRED SEVEN DOLLARS AND FIFTY-SEVEN CENTS ($18.407.57), as appears by the Statement of Account hereto
attached, made a part hereof and marked as Exhibit "C",
7, Due to the default of Engle Bros,. tnc, to Plaintiff, and under the terms of the Guaranty referenced herein
at Exhibit "A", attorneys' fees ha'le been added to said account In the total amount of TWO THOUSAND, SEVEN
HUNDRED SIXTY-ONE DOLLARS AND FOURTEEN CENTS ($2.761.14),
8, Plaintiff has frequently demanded payment from Defendant of said amount due and owing as aforesaid,
but Defendant has refused and neglected and still refuses and neglects to pay said amount of any part thereof,
WHEREFORE, Plaintiff brings this suit to recover from Defendant the sum of TWENTY-ONE THOUSAND, ONE
HUNDRED SIXTY-EIGHT DOLLARS AND SEVENTY-ONE CENTS ($21,168,71), together with Interest thereon from
January 1, 1998,

2. Admitted.
3. Admitted in part and denied in part. It is admitted
that on or about May 7, 1992, Defendllnt, Paul G. Engle,
e)'pcuted 11 document captioned "Unconditional Guarantee of
Payment" for debts incurred and unpaid by an entity known as
Engle Brothers, Inc. It is denied that Defendant's execution
of this unconditional guaranty of payment was done in order to
induce the Plaintiff, Shaw Industries, Inc., to extend credit
to the entity known as Engle Brothers, Inc. and strict proof
thereof is demanded.
4. Admi tted in part and denied in part. It is admitted
that Plaintiff, Shaw Industries, Inc., did sell and deliver
goods, wares and merchandise to the entity known as Engle
Brothers, Inc. It 1s denied that this action of the Plaintiff
in selling and delivering these goods, wares and merchandise
to Engle Brothers, Inc. was done based upon the execution of
the unconditional guaranty agr/ilement by the Defendant, Paul G.
Engle and strict pr.oof thereof is dem&nded.
5. Admitted in part and denied in part. It is admitted
that Engle Brothers, Inc. did agree to par Plaintiff an agre.d

upor. amount regarding the goods, wares and merchandise that
were delivered by the Plaintiff. It is denied that these
prices were just and reasonable and were the market prices
therefore and strict proof thereof is demanded.
6. The averments contained in Paragraph 6 of
Plaintiff's Complaint represent conclusions of fact to which
no response is required. If it is later judicially determined
that a response is so required, the averments contained in
Paragraph 6 are denied and strict proof thereof is demanded.
By way of further answer, the invoices as attached as Exhibit
"B" to the Plaintiff's Complaint represent a total outstanding
balance of Fourteen Thousand six Hundred Forty Seven and
26/100 Dollars ($14.647.26) rather than the amount claimed in
Paragraph 6 of Plaintiff's Complaint. Furthermore, the amount
evidenced by Exhibit "0" of Plaintiff's Complaint fails to
account for several credit memos that were issued as a result
of Plaintiff's delivery of defective or incorrect products.
7. The averments contained in Paragraph 7 of
Plaintiff's Complaint are denied and strict proof thereof is
demanded. By way of further answer, the claim for attorney's
fees as contained in Paragraph 7 of the Plaintiff's Complaint
