the property in cash, however. Finocchio Investigated the purchase of the property through

1996. Defendant, Kh'k Naugle was the purchaser of tho property,
19. Kirk NauglQ (NaugIQ) operate<l a trucking bus)ness and had provided contract hauling
services to First American Housing Corp, sinco Its opcratlons had begun. Naugle operated his
trucking business from a building adJacent to 150 Reading Road, Shlppensburg. Pennsylvania.
20, hI December, 1995, Digler inlormed Finocchio that First American Housing Corp.
would be required to vacate Ihe building at 150 Reading Rond by Jnnunry I, 1996.
21. In November, 1995, Finocchil) discussed with Bigler n plnnto operate First American
Housing Corp. through the Winter of 1995-1996 as the company sought to acquiro land and
construct a building for its lijture operations. This business plan included purchasing trusscs from
a supplier and then reselling the tnlsses until such time as First American Housing Corp, could
relocate its production facilities.
22. In early December, 1995, Bigler informed Finocchio thnt Oigler and Mooney were
going to form their own company and ofl'cred to purchase cerlnln equip! 11~nt Irom Finocohio.
Finocchio offered to become Involved in any new entity with Bigler. Inmld.December, 1995,
Bigler informed Finocchio that Billll:r would not be working for First American IIouslng Corp.

Defendant Mooney, The law regarding the duties of employees
limits their ~agency~ relationship with their employer to
the scope of their employment and does not extend beyond it.

to support thB averment of a fiduciary duty on the part of
Defendant Mooney beyond the manner in which he conducted hiB
job as Estimator.

location for the operation of a business similar to the business conductlld by First American
Housing Corp. Defendanls Dlgler and Mooney received compensation Irom First American
Housing Corp.lhrough the end of December, 1995.

Finnochio advised Bigler that he was not interested in purchasing
the building becaUSE! it ~Ias not lar'ge enough. On or about Augu~t
1!195 the building was sold on a Sale~ Agreement to Kittanny
Manufacturing. At Finnochio/s direction, Bigler identified
approximately five (5) different properties, some improved, some
unimproved and provided the information to Finnochio. The
Defendants have no knowledge what, if ally, ef forts Finnochio made
in an attempt to pursue acquisition of a new site for the
busines/il. As to those aVlilrments, the Defendants are without
knowledge or information sufficient to form a belief a~ to the
truthfulneps thereof, and proof thereof is demanded. By way of
further answer, on or about early September, 1995, Defendant
Bigler was advised through Kittanny ManUfacturing that First
American Housing would need to vacate the premises at 15Q Reading
Road by the end of December 1995. Bigler advised Finnochio.

September, after being advised that the premises at 150 Reading
Road must be vacated by the encl of December, Finnochio gav~
Bigler no guidance or direction what would happen at the end of
December. Bigler and Mooney discussed buying in wi th Pinnoc\lio

in the Ilhippensburg area. Bigler, Mooney and Finnoohio met in
Ootober, 1995. Bigler and Mooney advised Finnqohio they would
like to oontinue the business and would invest l3ufficient funds
to become equal owners with Finnochio. Finnochio stated he would
not become involved in businel3s with Mooney, ol3tensibly beoause
he "did not know Mooney well enough". Finnochio then advised
Mooney and Bigler that he planned to close the Shippensburg
operation and move the business to the State of Delaware no later
than April 1996, At that time, Bigler verbally advised Finnochio
that he would resign as an officer of First American Housing
effective at the end of December but would conl:.inue working until
the end of the year. In that conversation' (a) Finnochio did not
offer Bigler and Mooney an opportunity to purchase Finnochio's
interest in the business or to atart a new business with them,
and (b) neither Bigler nor Mooney indicated they wanted to start
a new business with ownership interest equal to Finnochio's
without compenaating him. On the contrary, after Finnochio
advised Bigler dnd Mooney that he intended to close I:.he
Shippensburg business and move the equipment to Delaware. Bigler
and Mooney offered to pay him a fair price for the equipment,
"
Finnochio said "no" and the meeting ended.
18. Admitted in part, Denied in part. It is admitted that
Finnochio discussed with Bigler,an idea to "broker" trueSUS
during the Winter of 95-96 after First American Housing lost its
place of business. His idea was to take orders but then buy the
products from a third party. The idea was totally impractical.
There is no profit margin in such a brokering arrangement. There
was no further discussion of efforts. to acquire a new place of
business. Finocchio did not suggest to Bigler that he contact
Naugle or anyone else. Finnochio had made it clear that he
planned to move the equipment to the State of Delaware and begin
operations there in April of 1996. Defendants have been advised

that Finnochio did contact Mi~e RoslJ at f'DAC prior to October
1995, ,but if Finnochio approached anyone elae in the ~hippensburg
area about acquiring land, he did 1.10 without the knowledge of
Bigler, Therefore, Oefendants are without knowledge or
information lJufficient to form a belief as,to the truthfulnelJlJ of
tnat averment, and proof thereof ilJ demanded. By way of further
answer, in ~ovember, 1995, Bigler again verbally advilJed
Finnochio that he would resign as officer of the corporation
effective at the end of December 1995. It ilJ believed and
therefore aVllrred that Finnochio never approached anyone in the
ahippllnaburg area about a new business location for ~irlJt
American Housing after September, 1995.
19. Admitted in part. Oenied in part. it is admitted that
Nau91e operated a trucking business from an adjacent building at
l~Q Reading Road, Snippensburg, Pennsylvania, which Naugle owned,
Naugle provided contract hauling services to Firat American
Housing, not from the inception from its operation, but during
the last year to year and a half of its operations,
20. Admitted in part, Denied in part. On or about
September 1995, Finocchio was aware that Kittanny Manufacturing
was the contract purchaser of the property at 150 Reading Road.
At some point in late November or early December of 1995, in
separate contract negotiations between Naugle, Kittanny and Al
Cogan (Cogwell Industries) KJ,ttanny Manufacturing verbally agreed
to buy Naugle's place of business at ~60 Reading Road. Further,
Naugle, at that time entered a verbal agreement to purchase the
property at 150 Reading Road which was ultimately reduced to
writing. Naugle advised Bigler of these changes, and Bigler
informed Finnochio.
21. Admitted with a qualification. When Naugle advised
Bigler that he was acquiring the property at 150 Reading Road, as
a result of the late November/early December negotiations with
Cogan and Kittanny, above at~ted, he advised Bigler that the

requirement to vacate by ,Tanuary remained in effect. Sigler 110
advilled Finnochip, Finnochio, as owner of the equipment, or
agent for the owner of the equipment, contacted Naugle directly
and made arrangements to allo~ the equipment to remain Qt the
building into late January ~996. Finnochio did not discuslI with
Naugle the possibility of continuing to lease a portion of the
structure. In fact, he asked only for authori~ation to store the
equipment until late .:January ~, 1996/ until he could move it. He
advised Naugle he was moving the equipment to Pelawarll.
22. Admitted in part. Denied in part. It is admitted that
in early J;Jecemher, chronologically bllfore bfling advised Joy Naugle
of the changes in the contracts regarding the adjacent premises
at 150 and 160 Reading Road, B.igler advised Finnochio that he and
Mooney decided to form their own company. This decision was made
and communicated premised,upon Finnochio's decision to close down
First American Housing as a Shippensburg operation and move his
equipment to Qeorgetown, Delaware. It is important to note that
Finnochio had also acquired similar equipment at the Component
Suilding Supplies sale in October 1995 most of which was stored
at 150 Reading Road. ,Sigler for the second time (the first time
being in October) offered to purchalle the equipment at 150
Reading Road from Finnochio. In that conversation Finnochio
verbally agreed to sell the equipment for $84,000,00/ the
inventory for $11,000 and the goodwill for $5/000. At that
point, ,for the first time Sigler, Mooney and Naugle discussed the
matter and agreed to form a business to replace Fh.st American
Housing. On December 14/ Naugle contacted Attorney Hamil ton Davis
in Shippensburg to prepare a contract. About one week later
Finnochio called Bigler back and stated he'had decided not to
sell the equipment. During neither conversation did Finnochio
state to Digler any interest in continuing in businesa with
Bigler in a new entity. Finnochio made no statement which would
indicate any change in his decision to move the equipment to

Georgetown, Delaware. 13igler hacl advised Finnochio In October
and in l'IoveJ$er that he had no intention of moving from
/ilennsylvania to Delaware ancl walil resigning from First American
Housin"1 at the end of December 1995. In the mid-December
conversations referrecl to in this Answer, 13igler certainly may
have repeated that statement to Finnochio. At the point of these
discussions Mooney ancl 13igler had entered discussions with Naugl~
abO\At the possibility of starting an operation at a portion of
the premises at 150 Reading Road or at the adjacent premises at
160 Reading Road. 13igler advised Finnochio of these discussions.
In fact, Bigler and Mooney were willin"1 to pay Finnochio "top
dollar" for the equipment since it was already in place, Mooney
received compensation through December 1995, but was paid
approximately one month late. 13igler was paid in December but
not for his services during the last week,
23. Admitted in part. Denied in part. Finnochio talked to
Naugle in early December, At that time Naugle advised Bigler
that the equipment could be moved to the back room and stored in
the building until late January. Finnochio never asked Naugle
about the possibility of continuing the operation of First
American Housing in the same building. Thereafter, in mid-
Deoember Naugle, Mooney and 13igler agr.eed to form a separate
corporation to continue the same type of manufacturing operation
in Shippensburg after the departure of First Amerioan HouEling.
The Cor.poration, First American Homes, was formed shortly
thereafter, Until the end of December, all quotes/bids were
placed on discs and mailed to Finnochio weekly, All existing
estimates were left on the computers. In mid-January 1996, the
movers hired by Finnochio, Anchor Enterprises, moved most of the
equipment. Finnochio was aware from October, 1995, in fact made
the decision, that the active operation of First: American Housing
would close in Shippensburg at the end of December. Before
closing the business and laying off employees at the end of

DecerMer, Oigler paid the employees and the bill/il whiqh he could.
The rent and /ilome other expen/ilee were unpaid because there were
, no further funds available to make payment. As previously
stated, thEl estimate/il were on the computers when the equipment
wa/il moved by movers hired by Finnochio, Mooney and Oigler took
their persqnal belongings and moved them temporarily to 160
Reading Road. Neither Defendant removed any records belonging to
First American Housing. In fact, in their efforts to close the
business of First American Housing in Pennsylvania, at the
direction of the Finnochio, and to make plan/il to open their own
busines/iI, they carefully follOWed the advice of their legal
counsel, Hamilton Davis.
24. Admitted in part. Denied in part. Biglsr advised
Fi~nochio in early December that Oigler and Mooney were forming
their own company. Thereaftllr in mid-December, aigler, Mooney
and Naugle agreed to form a new Company. Articles of
Incorporation were filed with the Department of State on
December 28, .1!l95. On December 29, Bigler submitted a written
re/ilignation to Finnochio, a copy of which is attached hereto,
made a part hereof and marked Elxhibit "A". Bigler went to the
Post Office to,provide forwarding information for ~irst American
Housing to its address in Georgetown, Delaware. He was advisec;1
by the Postmaster that the Post Office Box' had been assigned to.
his individual name. He therefore kept it. However, First
American Housing'S telephone number was forwarded to Delaware and
First American Homes obtained a new telephone number, On one
occasion in Jarluary 1995, First American Homes did use the
equipment owned by Finnochio to complete a project. Otherwise,
when Finnochio's equipment was removed in late January 1996,
Pirst American Homes had no equipment. Equipment was acquired by
First American Homes on or about April 10, 1996 at which time the
business actually began operations, approximately two and one-
half (2 1/2) months after Finnochio's equipment had been removed.

American Housing. Potential customers are,known throughout the
industry and are listed in trade magazines. No business was
llolicited by First American Homes until .7anuary of 1996. Bigler
and Mooney strived to their utmost to avoid misleading any
customers or suppliers. Attached hereto, made a part hereof and
marked Exhibits "B" and "CO, respectively, are copies of letters
mailed to potential customers and suppliers of the new business'
in 4anuary, 1996. As previously stated, telephone calls to First
American Housing were forwflrded to ita phone number in Delaware.
The new phone number of First American Homes was not in the then
current telephone directory.
26. Admitted in part. Denied in part. Naugle spoke with
Finnochio in early December, The conversation was as stated
above, which answers are incorporated herein by reference
thereto. 'I'his conversation took place before Naugle agreed to
join Bigler and Moo~ey in forming a new business. In that
conversation Naugle informed Finnochio that he would need one bay
at 150 Reading Road for his trucking business and that Finnochio
could store his equipment at the back portion of the building.
Finnochio never made any request to Naugle in regard to
attempting to lease the building to continue the operation of
First American Housing. At any time up to and through
Finnochio' a early December telephone call with Naugle, he could
have made arrangements to continue the operation of Firat
Americah Housing from 150 Reading Road but had already decided to
move to Delaware and so advised Naugle, as previously stated.

other building parts in Delaware and no longer competed in the
Penn~ylvania market.
66. Eascd upon information received, Defendants believe and
therefore aver that on November 14/ 199~, Finnochio sold the
equipment and hie 50~ owner~hip interest in the new corporation
(First Amerioan Hou~ing Corp of Delaware) to Asa Peugh. This
lawsuit was thereafter filed on December 27, 1996.
67. The new business known as First American Housing Corp.
of Delaware, now solely owned and operated,by Asa Peugh, does not
compete with the Defendant Corporation.
68. From the time the President and sole Shareholder of
First American Housing Corp., Finnochio, shut down the business
at the end of December 1995, until the p~esent, First American
Housing Corp. has been a pupely paper corporation, having no
business and no assetsl the equipment having been leased to a new
corporation, which did not compete and does not complete with the
De~endant Corporation and is now, and has since 'November 14,
1996, been wholl~ owned by Asa Peugh.

arrangements to remove the remaining items of equipment owned by
Finnochio (presumably) to the new facility in Delaware. It is
believed and therefore averred that the "new facility in
Delaware" was the place of business of the new corporation now

wholly owned and operated by Asa Peugh.
72. The Defendant Corporation acquired the equipment it
needed to be~in its manufacturing operations in April 199~ by
virtue of a loan through FDAC and started manu~acturing in April
1996. The only work done prior to that time was a $1,445,50
truss job, using Finnochio's equipment performed on January 15,
1996. At the time Defendant Corporation actually went into
business in April 1996, the equipment previously used by First
Amerioan Housing was already in operation by the new Corporation
limiting its operations to the State of Delaware.
73, On May 20, 1997, the Defendant Corporation filed a
fictitious name registration as "Roof Truss, Inc." and will trade

over by Defendant, Naugle, Finocchio looked tilr an opportunity to continue to use the equipment

averred lhatthe "Pennsylvania Mllrket" would Include surrounding states in which First American
Housing Corp, had sold product.
