THE CIRCUMSTANCES leading up to the execution of this Agreement are ~~;ffi11ows: t;;., CJ1 +- ( I 1. Virginia A. Mooney (decedent) died on November 28, 2005, leaving a Last Will and Testament dated September 2,2002, which was admitted to probate by the Register of Wills of Cumberland County, Pennsylvania, and Letters Testamentary were issued December 22, 2005, to Leslie Cover as Executrix. 2. The Executrix filed her First and Final Account with the Clerk of the Orphans' Court Division of Cumberland County on September 7, 2006, distributing the net value of the estate to one heir, Leslie Cover. 3. Juanita A. Mooney-Kennedy, daughter of decedent, filed written objections to the account requesting assets be divided into four equal shares among the children of decedent, Richard M. Mooney, Christine A. Holmes, Juanita A. Kennedy and Leslie A. Cover. 4. After extended negotiations between counsel for the estate and Juanita A. Mooney-Kennedy individually, said parties have arrived at an amicable resolution of their differences so that they desire to forever settle and compromise any and all claims and rights which they may possess, now or hereafter, in the Estate and to confirm their acceptance of the Second and Final Accounting (the "Account"), attached hereto as Exhibit "A." The Executrix and the Beneficiaries desire that the distributions to the Beneficiaries, as set forth on the Exhibit "A," shall be in full satisfaction of their rights in the Estate. NOW THEREFORE, in consideration of the foregoing and intending to be legally bound, jointly and severally, the Executrix and the Beneficiaries, for themselves, their successors and assigns: v 1. Represent and warrant that they have read and understand this Agreement and confirm that the facts set forth above are true and correct, to the best of their knowledge, information and belief. 2. Represent and warrant that they have read and understand Second and Final Accounting attached hereto as Exhibit "A". 3. Acknowledge that the distributive share or amount set forth on the Second and Final Accounting Schedule shall be in full satisfaction of their respective entitlements under the Will. 4. Release, remise, quitclaim and forever discharge the Executrix, her heirs, personal representatives, successors and assigns, from and against all claims that they, as legatees of the Estate, or indirectly as beneficiaries of the Will, and in connection with the Estate, had, now have or may in the future have in connection with the Estate. 5. Agree to refund, on demand, all or any part of any foresaid distribution, which has been determined by the Executrix, or by the Court, or by any court of competent jurisdiction, to have been improperly made. 6. Agree to indemnify and hold harmless, Leslie Cover, Executrix, her heirs and executors, successors and assigns to this agreement from liability, loss or expense, cause of action, claim or demand, which may be incurred as a result of the administration of the Estate of Virginia A. Mooney, deceased, or the valuation of any asset which comprises the gross estate for Pennsylvania Inheritance Tax purposes, or any errors or omissions concerning the same, or in connection with any distribution in accordance with this agreement, including, but not limited to any liability for any Pennsylvania Inheritance Tax or any other death taxes and federal and state income taxes, together with any interest and penalties thereon, and costs incidental thereto, relating in any way to the Estate of Virginia A. Mooney, deceased, and also including, but not limited to any assets which may be received or payments or distributions made in accordance with the Last Will and Testament and the provisions of this agreement by reason of any negligence or mistake of fact or law. 7. This agreement is a full and final settlement by and among the parties hereto, both fiduciary and individual, all of the same having been arrived at, concluded and executed after a full and complete disclosure of the assets and debts of the said Estate and the rights of the parties therein and thereto and all of the parties hereto, and each of them agrees to abide by the terms hereof. 8. Agree to withdraw their Objections to the Accounting. 9. Agree to execute such other or additional documents as may be necessary to effectuate the agreements set forth herein. 2 10. Acknowledge that this Agreement shall be governed by and construed in the accordance with the laws of the Commonwealth of Pennsylvania. 11. Consent to the Court exercising personal jurisdiction over them in any suit or action arising out of the enforcement of this Agreement. 12. This agreement shall be binding upon the parties hereto and upon the heirs of each party hereto. IN WITNESS WHEREOF and intending to be legally bound hereby, the parties have executed this agreement.
