COMPLAINT IN REPLEVIN AND FOR DAMAGES Plaintiff, Atlantic National Trust, LLC ("Atlantic"), by and through its attorneys, Klehr, Harrison, Harvey, Branzburg, and Ellers LLP, brings this Complaint in Replevin against defendant Donald 1. Kitner and avers in support thereof as follows: I. Plaintiff, Atlantic, is a limited liability corporation with a place of business located at 50 Portland Pier, 4th Floor, Portland, ME 04101. 2. Defendant Donald 1. Kitner ("Defendant"), is an individual and citizen of the Commonwealth of Pennsylvania with an address of 100 2nd Street, New Cumberland, P A 17070. 3. On or about March 21, 1990, in consideration for a loan from Meridian Bank to Defendant in the amount of $25,000.00, Donald 1. Kitner and Esther M. Kitner executed and PIllLI- 308494-1 1 " ^' ~-, ~ ,', " ',.-...;^_.- --.1__ "~ "1 I ! delivered a certain Promissory Note (the "March 21,1990 Note") to Meridian Bank in the amount of $25,000.00. 4. On or about May 16, 1994, in consideration for a loan from Meridian Bank to Donald 1. Kitner in the amount of$60,000.00, Donald 1. Kitner executed and delivered a certain Promissory Note (the "May 16, 1994 Note") to Meridian Bank in the amount of $60,000.00. 5. On or about February 27, 1995, in consideration for a loan from Meridian Bank to Donald 1. Kitner, Donald 1. Kitner executed and delivered a certain Promissory Note to Meridian Bank in the amount of $25,000.00 (the "February 27,1995 Note"). 6. On or about February 27, 1995, Defendant, in order to secure the obligation under the March 21, 1990 Note, May 16, 1994 Note and February 27, 1995 Note and any future obligations of Defendant to Meridian Bank, executed and delivered to Meridian Bank a Security Agreement which granted Meridian Bank a lien against inter alia the Defendant's accounts, inventory, equipment, general intangibles and all proceeds of the foregoing (the "Collateral"). A true and correct copy of the Security Agreement is attached hereto as Exhibit "A". 7. The March 21,1990 Note, May 16, 1994 Note and February 27,1995 Note and Security Agreement are sometimes hereinafter collectively referred to as the "Loan Documents". 8. Meridian Bank perfected its lien by recording a UCC-1 Financing Statement in the Commonwealth of Pennsylvania and the Prothonotary of Cumberland County. 9. Meridian Bank subsequently merged with Core States Bank, N.A. which subsequently merged with First Union National Bank. 10. On or about Apri128, 1999, First Union National Bank assigned all right, title and interest in the Loan Documents UCC-1 Financing Statements to Atlantic pursuant to an PIllLl- 308494-1 "'.1 '~ " ~ ",j",,~. ;k .; , ," <- Assignment of Loan Agreement. A true and correct copy of the Assignment of Loan Agreement is attached hereto, made a part hereof and marked as Exhibit "B". 11. The Security Agreement provides, among other things, that in the event of default, Atlantic may take possession of the Collateral. 12. As of November 23, 1999, Defendant was in default under the Loan Documents for, inter alia, failure to make payments when due, failure to advise Plaintiff of the whereabouts and condition of the Collateral and failing to provide Plaintiff protection against loss of the Collateral. 13. As a result of the Default, as of October 21, 1999, thefollowing amounts are immediately due and payable from Defendants: March 21. 1990 Note: Principal: Interest (through 10/21/99): Sub-Total: $ 24,030.33 4,002.89 28.033.22 Mav 16. 1994 Note: Principal: Interest: Sub-Total: $ 12,000.00 2,235.79 14.235.79 February 27. 1995 Note: Principal: Interest: Sub-Total: $ 23,713.81 3,950.16 23.663.97 Total Amount Owed: $ 69,932.98 Additionally, interest continues to accrue at the per diem rate of $52.56. 14. PLAINTIFF'S MOTION FOR WRIT OF SEIZURE AND RESTRAINTS Plaintiff, Atlantic National Trust, LLC ("Atlantic" or the "Plaintiff"), by and through its attorneys, Klehr, Harrison, Harvey, Branzburg & Ellers, respectfully moves this Honorable Court for the issuance of a writ of seizure to seize the property specified herein, and in support thereof avers as follows: 1. Atlantic is the Plaintiff in the above-captioned matter. 2. Donald 1. Kitner is the defendant in the above-captioned matter ("Defendant"). 3. The Plaintiff has filed a complaint in replevin (the "Complaint") against the PHlL!- 326589-1 lIo! . ..,_. ,-,-, ~ -,'-, - ~ , ' " Defendant, which, among other things, seeks possession of Defendant's accounts, inventory equipment (includes tractors and trucks used in Defendant's business), general intangibles and proceeds of the foregoing (the "Collateral"). A true and correct copy of the Complaint is marked as Exhibit "A", attached hereto and incorporated herein by reference. 4. Plaintiff perfected its interest in the Collateral by filing a UCC-I Financing Continuation Statement in the Commonwealth of Pennsylvania on February 7, 1999 under continuation number 31251616 which continued the original fmancing statement number 24181533 and in the Cumberland County Prothonotary's Office on February 8, 2000 which continued the original fmancial statement number 95-1895. 5. The Plaintiff incorporates herein by reference each and every allegation contained in the complaint in replevin as if fully set forth at length. 6. The Plaintiff is entitled to immediate possession of the aforementioned Collateral. 7. The value of the Collateral and the Plaintiff s interest therein will be adversely affected by the continued possession and use of said the Collateral by the Defendant, among other things, for the following reasons: (a) The continued use of certain Collateral by the Defendant and resultant wear and tear is significantly reducing its value; (b) The Defendant's failure to make payments and otherwise act in accordance with the Security Agreement and Note between the Plaintiff and the Defendant presents a serious, continuing and increasing risk of damage, loss and/or reduction of value to the Plaintiffs interest in the PHILl- 326589-1 " - -, '-,~, : Collateral by reason of theft, disappearance, accident or vandalism or by other disposition of the Collateral, and the Plaintiff's interest inthe Collateral is injeopardy and may be adversely affected at any time unless expedited and immediate relief is granted to protect said interests; (c) The passage of time alone reduces the value of the Collateral; , and (d) The Plaintiff has been deprived of the benefit of its bargain under the Note and Security Agreement in that the Defendant has failed to make payments to the Plaintiff as and when due, and the Plaintiff has been deprived of the use of its funds and denied resort to the Collateral securing its debt. 8. Plaintiffs counsel has contained Defendant with respect to making payments to cure the delinquency under the Note. Defendant advised Plaintiff's counsel he would make payments, but has failed to do so. 9. To the best of Plaintiff's knowledge, infonnation and belief, the Defendant has concealed, and has or may attempt to dispose of or otherwise prevent the Plaintiff from obtaining possession of the Collateral. 10. Despite repeated demands by the Plaintiff, the Defendant has WTongfully failed and refused, and continues to WTongfully fail and refuse, to return the pay to the Plaintiff the sums due and owing to the Plaintiff. 11. The value of the Collateral is not in excess of $69,932.98 and the Plaintiff has agreed to post a bond in the face amount of $139,865.96 or twice the value of PHILl- 326589-1 ,-, ,-J , ! ' the Collateral, in accordance with Pa.R.Civ.P. 1075.3. 12. The Plaintiff believes that the Collateral may be currently located at 200 S. 2nd Street, New Cumberland, P A 17070.
