IN THE COURT OF COMMON PLEAS CUMBERLAND COUNTY, PENNSYLVANIA NO. ;l.01r0. 3 '70 ~ ~ RITE-AID CORPORATION Defendant CIVIL DIVISION - LAW COMPLAINT The Plaintiff, FADA INDUSTRIES INC, by its attorneys, KNUPP, KODAK & IMBLUM, P.C., brings tWs action of Assumpsit against the Defendant to recover the sum of TWO HUNDRED FIFfY-FOUR THOUSAND, EIGHT HUNDRED SIXTY-FIVE DOLLARS AND FORTY-FIVE CENTS ($254,865.45), along with interest thereon from June 15, 1999, upon a cause of actiolR 'of which the following is a statement: 1. The Plaintiff, FADA INDUSTRIES INC., is a corporation organized and existing under the laws of the State of New York, having its principal office and place of business at 31-00 47th Avenue, Long Island City, NY 11101. 2. The Defendant, RITE-AID CORPORATION, is a corporation organized and existing under the laws of the Commonwealth of Pennsylvania, having its principal office and place of business at 30 Hunter Lane, Camp Hill, Cumberland County, Pennsylvania 17011. 3. On the dates, in the amounts, and for the prices set forth in a true and correct copy of the Plaintiff's Aged Trial Balance Report hereto attached, made a part hereof and marked ExWbit "A", Plaintiff, at the special instllll1ce and oral request of the Defendant, sold and delivered goods, wares and merchandise of the kind and description set forth on said Exhibit. 4. Plaintiff's Invoices are not attached to this pleading as an Exhibit due to the voluminous nature of same but, upon Defendant's written request to Plaintiff's Counsel, said Invoices will be made available to Defendant for review and copying in Plaintiff's Counsel's offices. The prices charged for said goods, wares and merchandise were just and reasonable, were the legal and market prices therefor and were the prices which the Defendant orally promised and agreed to pay Plaintiff therefor. 5. Defendant become entitled to certain credits against the charges aforementioned, as more particularly shown on Exhibit "A" attached hereto and made a part hereof. 6. The balance due and owing by Defendant to Plaintiff is the sum of TWO HUNDRED FIFTY-FOUR lHOUSAND, EIGHT HUNDRED SIXTY-FIVE DOLLARS AND FORTY -FIVE CENTS ($254,865.45), as appears by the Aged Trial Balance Report hereto attached, made a part hereof and marked as Exhibit "A". 7. Plaintiff has frequently demanded payment from Defendant of said amount due and owing, as aforesaid, but Defendant has refused and neglected and still refnses and neglects to pay said amount of any part thereof. WHEREFORE, Plaintiff brings this suit to recover from Defendant the sum of TWO HUNDRED FIFTY-FOUR lHOUSAND, EIGHT HUNDRED SIXTY-FIVE DOLLARS AND FORTY-FIVE CENTS ($254,865.45), along with interest thereon from June 15, 1999. It is specifically denied that the Defendant is indebted to Plaintiff for the stated amount. It is admitted that Defendant has received demands for payment in that amount; however, the amounts are unjustified and misstated. I " ~O" WHEREFORE, Defendant demands judgment in their favor and dismissal of Plaintiffs Complaint with prejudice. NEW MATTER 8. The responses above are incorporated herein as if fully set forth. 9. Plaintiff was du1y compensated for all goods shipped to Defendant by Plaintiff that were accepted as conforming goods. 10. Any goods that were shipped to Defendant for which Defendant did not pay Plaintiff were either damaged, destroyed, or otherwise unmarketable, and were thus nonconforming and were never accepted by Defendant. 11. Plaintiff did not give Defendant any instructions regarding the handling of damaged, destroyed, or otherwise unmarketable goods that were not du1y accepted by Defendant. 12. Ifany actions taken by Plaintiff could be reasonably construed to be instructions regarding the handling of damaged, destroyed, or otherwise unmarketable goods, those instructions were unreasonable under the circwnstances and were never accepted by Defendant as a contractual term. 13. It was the understanding and intent of the parties that Defendant would be permitted to dispose of any damaged, destroyed, or otherwise unmarketable good sent to Defendant and reduce the amount owed to Plaintiff by the value ofthe unaccepted goods. 14. Given that those goods for which Plaintiff may not have been compensated were damaged, destroyed, or otherwise unmarketable, it wou1d be unreasonable under the circwnstances for Defendant to return, resell, or otherwise salvage those goods upon rejection. 15. Disposal of those goods received that were damaged, destroyed, or otherwise unmarketable was reasonable under the circwnstances and was consistent with usage of trade, prior custom, and the intent of the parties. 16. At all times Defendant acted in good faith in handling and caring for nonconforming goods sent to Defendant by Plaintiff. 17. Plaintiff was given reasonable notice ofthe nonconforming nature of the goods sent to Defendant in a manner consistent with usage of trade, prior custom, and the intent of the parties. - 18. Alternatively, if any of nonconforming goods received by Defendant are deemed to have been accepted, Defendant correctly revoked that acceptance upon identifYing the nonconformity, giving notice, and acting reasonably and within the scope ofthe parties' intent by disposing of those nonconforming, unmarketable goods and deducting the value of those goods from the total amounts owed to Plaintiff. 19. Plaintiff s Complaint is barred by the doctrine of accord and satisfaction. 20. Defendant was at all times taking actions with legal justifications. 21. Plaintiff s Complaint is barred by the doctrine oflaches. 22. Plaintiff has received all payments to which it is entitled. 23. Plaintiffs Complaint is barred by the statute of frauds. 24.
