ALEXANDER and JACK GAUGH EN REALTOR, Defendants IN TRESPASS COMPLAINT AND NOW, comes the above mentioned Plaintiff, by his lawful counsel, John J. Krafsig, Jr., Esquire, who demands judg- ment against the said Defendants, in the sum of Four Thousand Five Hundred ($4,500.00) Dollars, together with legal interest thereon from March 18, 1999, and all costs of suit upon a cer- tain cause of action, whereof the following is a statement: 1. The Plaintiff is an adult individual, residing at 1441 Cockley's Meadow Drive, Boiling Springs, Cumberland County, pennsylvania 17007. 2. The Defendant, Paulette B. Alexander, is an adult individual and an Associate Broker, and at all times complained of, was acting in the full scope of her agency and authority for Defendant, Jack Gaughen Realtor, with an office situate at 3800 Market Street, Camp Hill, Cumberland County, pennsylvania 17011. - 1 - 3. The Defendant, Jack Gaughen Realtor, is believed to be a Pennsylvania Corporation with an office at 3800 Market Street, Camp Hill, Cumberland County, Pennsylvania 17011. - Count I - Action Against Paulette B. Alexander for Deceit, Concealment and Misrepresentations to the Plaintiff Relating to Purchase of Real Estate 4. The Defendant acting in the full scope of her employment as agent, employee or servant of Defendant, Jack Gaughen Realtor, in the preparation of the Agreement of Sale between the Seller, May Stare and the plaintiff/Purchaser, relating to the purchase of the real estate situate at 1441 Cockley's Meadow Drive, Boiling Springs, Pennsylvania, which in- eluded representations as to the status sewage and water service to the said real estate. 5. That attached hereto and marked as Plaintiff's Exhibit "A", are applicable exerpts from the Agreement of Sale provided to the Plaintiff by Defendant Alexander, relating to the status of water and sewage; and by an agreement entered into on or about March 18, 1999, prepared through the said Defendant Alexander in behalf of Defendant Gaughen, in which the applicable representations in paragraph 8 through 14, are made a part hereof that was provided to the Plaintiff. 6. That Defendant Alexander acting in behalf of Defendant Gaughen, is alleged to have knowledge, that prior to - 2 - the sale, that the Monroe Township Municipal Authority had given notice of a pending sewer system to be constructed, with the re- quired hook-up; in which the Authority had a charge of $3,000.00. 7. That shortly after the sale had taken place, the said Plaintiff, Galen C. Byers, the said Galen Buyers learned for the first time of the pendency, of the Monroe Township Munici- pal Authority hook-up and intended costs; and he had an oral con- versation with Defendant Alexander, in which she acknowledged that she did have such knowledge of this, but had concealed and not disclosed this material fact to the Plaintiff. 8. That Plaintiff Byers would not have entered into the said Agreement or had been induced to do so, had he been properly informed of the pendency of proposed action of the Munici- pal Authority of the intended costs of construction and hook-up. 9. That there was a mandated duty of care owed by Defendant Alexander, acting in behalf of Defendant Gaughen, to fully disclose all material facts relating to the status of the said real estate sale and purchase to the Plaintiff. 10. The failure to disclose the pendency of this action, constituted a material fact, for which the Plaintiff was entitled to full disclosure prior to inducing him to enter into the said Agreement of Sale. 11. That by reason of the said material misre- presentation, deceit and concealment made by Defendant Alexander - 3 - ".1 ~i in the course of her employment; the Plaintiff has now suffered damages being responsible for a service fee of $3,000.00 to the Monroe Township Municipal Authority and the reasonable cost of installing the hook-up, with a backhoe and necessary installation for a hook-up, which is more particularly detailed in Plaintiff's Exhibit "B", a true and correct copy of which is attached hereto and made a part hereof, with Chester G. Raudabaugh of Carlisle, Pennsylvania, in the sum of $1,500.00. 12. Defendant Alexander is liable to the Plaintiff in the sum of $4,500.00, together with legal interest thereon from March 3, 1999 and all costs of suit. WHEREFORE, the Plaintiff demands judgment against the said Defendant Alexander in the sum of Four Thousand Five Hundred ($4,500.00) Dollars, together with legal interest thereon from March 3, 1999 and all costs of suit. - Count II - Complaint against Defendant, Jack Gaughen Realtor for Deceit, Concealments and Misrepresentations, Through its Agent or Employee Committed in the Course of Her Employment with Defendant 13. That at all times complained of in this Complaint, Defendant Alexander was acting in the full scope of her employment and authority in behalf of Defendant Gaughen. 14. The Defendant Alexander acting in the full scope of her employment as agent, employee or servant of Defendant, - 4 - ~ 'J ' ~ --, '" -I-.,;.. That Defendant Alexander acting in behalf of Defendant Gaughen, is alleged to have knowledge, that prior to the sale, that the Monroe Township Municipal Authority had given notice of a pending sewer system to be constructed, with the re- quired hook-up; in which the Authority had a charge of $3,000.00. 17. That shortly after the sale had taken place, the said Plaintiff, Galen C. Byers, the said Galen Buyers learned for the first time of the pendency, of the Monroe Township Municipal - 5 - Authority hook-up and intended costs; and he had an oral conver- sation with Defendant Alexander, in which she acknowledged that she did h~ve such knowledge of this, but had concealed and not disclosed this material fact to the Plaintiff. 18. Defendants Gaughan and Alexander are jointly or severally liable to the Plaintiff in the sum of $4,500.00, together with legal interest thereon from March 3, 1999 and all costs of suit. WHEREFORE, the Plaintiff demands judgment against the said Defendant Gaughan in the sum of Four Thousand Five Hundred ($4,500.00) Dollars, together with legal interest thereon from March 3, 1999 and all costs of suit. Correct the defects before settlement, including relests, at Seller's expense, in which case Buyer accepts the Property and agrees to the RELEASE set forth in paragraph 26 of this Agreement, OR b. The corrective proposal will include, but not be limited to, the name of the remediation C1Jmpany; provisions for pnyment, including retests; and completion date for corrective measuoo.". The Answers to paragraphs 1 through 4 inclusive, are incorporated by reference. 6. It is not only admitted, Plaintiff's Exhibit "A" is a true and correct copy of the applicable excerpts from the Agreement of Sale embodied to the Plaintiff; and from the Agreement prepared by Defendant Alexander in behalf of Defendant - 1 - 'l Gaughn; and the representations in paragraphs 8 through 14, of Plaintiff's Exhibit "A", are applicable excerpts. 7. Paragraph 7, is denied; and demand is made of proof that they are not applicable excerpts, which in fact were part and parcel of the Agreement of Sale entered into on or about March 18, 1999; together with the legal effect of the demurrer to the facts, as set forth. 8. In addition to the wi thin answer to paragraph 7, which is incorporated by reference, the Defendants have a full and correct copy of the actual Agreement of Sale, as set forth in paragraph 15 of the Plaintiff's Complaint and have as much, if not more knowledge than that of the Plaintiff, as admitted by the demurrer. 9. The averment in paragraph 9, is a correct statement of law; but does not apply as pleaded, as there was attached the material part thereof, applicable to the Complaint. 10. As set forth in prior paragraphs, a full copy of the Sales Agreement is in the possession of both Defendants; and counsel for the Defendant, ignoring her own very admission applicable to paragraph 15 of the Complaint, makes an unfounded allegation, by virtue of her possession of the said Agreement and is in the nature of duplicity. 11. paragraph 11, is denied; and the answer to para- 10, is incorporated by reference. - 2 - " - 12. Paragraph 12 is simply a statement as to what was clearly set forth in paragraph 7 of the Plaintiff's Complaint. 13. The failure to provide a copy of the notification, the Plaintiff received from Monroe Township, which would evidence notification, is not required at this stage; and in the al ternati ve, the Defendant complains, as to whether the Plaintiff's knowledge was obtained by oral communication, when in fact, the fact of notification has been pleaded, and which is all that is required at this time, to apprise the Defendants of that fact; and evinces a pattern of hypertechnical objections not relevent in the proper test for pleadings in the preliminary objection stage; and further is a part of the pervasive pattern throughout these objections to ignore the legal effect of the demurrer filed by counsel for the Defendants, in which paragraph 7 of the Complaint, not only apprises parties as to when Plaintiff learned for the first time; and that Defendant Alexander acknowledged she had such knowledge, but had concealed it and not disclosed it. 14. Paragraph 14, is denied and by way of further answer, the answers to Paragraphs 11 though 13 of these answers, are incorporated by reference. 15. Paragraph 15 is a rehash of paragraphs 9, 10, 11, 13 and 14 of the Preliminary Objections, previously set forth by counsel for the Defendant; and is a further pervasive ignoring - 3 - -~' -~ - - .. Ut: of facts in a pleading that apprises the Defendant of the pendency of the action and what they are called upon to defend and the legal effect of their demurrer, which they continue to ignore. 16. Paragraph 16, is denied and the prior answers to 5 through 15 inclusive of these answers, are incorporated by reference, together with the notation that the allegations in paragraphs 1 through 4 of their preliminary Objections, show clearly that these Defendants fully understand and are apprised of the nature of the pendency of the action against them. WHEREFORE, said Motion should be dismissed. - COUNT II - 17. The answers to paragraphs 1 through 16 inclusive, of these answers, are incorporated by reference and made a part hereof. 18. A cursory reading of Plaintiff's Exhibit "B" shows that the $1,500.00 broken down for backhoe, digging, stone, pipes and fittings, pump, labor and materials. It is hard to image more specific services to be performed and the associated costs. 25. Paragraph 25, is denied; and by way of further answer, said allegation is absurd. Paragraph 21 of the Complaint is admitted by the demurrer, despite the pervasive pattern, counsel for the Defendant to assert irrelevant matters, which is - 5 - admitted, the Plaintiff suffered damages for the $3,000.00 service fee and the $1,500.00 to Chester G. Raudabaugh, as set forth in Plaintiff's Exhibit "B." 26. Paragraph 26, is denied and is an unfounded con- clusion on the part of counsel for the Defendants and had been fully apprised of not onlyspecial damages, but all damages; and said objection is devoid of merit. WHEREFORE, the Plaintiff moves to dismiss this objection. - COUNT III - 27. Answers to the Defendants' Preliminary Objections 1 through 26 inclusive, are incorporated by reference. 28. Paragraph 28, is admitted; and by way of further answer, is a further demonstration that counsel for the Defendant fully understands notice of the factual situation, which he has been called upon to defend. 29. Although the Complaint clearly sets forth the basis of the action against the Defendants, counsel for the Defendants persists in engaging in a speaking demurrer; and further fails to perceive in Aiello v. Ed D. Saxe Real Estate 499 A. 2d. 282 (1985), at page 285 expressly held, "a principal is liable to third parties for the frauds, deceits, concealments, misrepresentations, negligence of his agent, committed within the scope of his employment, even though the principal did not - 6 - .h - ;' authorize, justify, participate in, or know of such conduct, or even if he forbade the acts or disapproved of them, as long as they occurred within the agent scope of employment." 30. Even though fraud per se was not alleged, does set forth the essential elements have been averred with particularity, to wit: See the answer to paragraph 31 of these answers. 31. The Defendants persists in allegations relating to specificity in the pleading, that Plaintiff failed to plead inquiry as to the public sewer system, or that there was not a response to the said inquiry. Further, that allegedly Plaintiff's Exhibit "A", as well as the Complaint, does not establish representations made concerning the nonexistence of the sewer system. First, the settled case law, that a false misrepresentation can take many forms and it can be in writing or oral, which can take combination that which is calculated to deceive, whether by a single act or combination, or by suppression of the truth; and it is any artifice by which a person is deceived to his disadvantage. Action is predicated on concealment, deceit and misrepresentation of knowledge known to the Defendants! That is what is pleaded in essence. with regard to the elements of a false representation and deceit, essentials are that there was a misrepresentation; Paragraphs 4 of the Plaintiff's Complaint, establish that the representation is contained in Plaintiff's - 7 - ~~ ~ 'J " '-, " ,~"'" Exhibit "A" with regard to paragraphs 8 through 14 of that exhibit as well as representations to the status of sewage and water service. The false utterance consists of the very same document, set forth in paragraphs 4 and 5 of the Plaintiff's Complaint" together with paragraph 6 of the Complaint, of the prior knowing that the said representation to the Plaintiff was false. An intention that the receipent will be induced to act is established by the very fact in paragraph 7 of the Complaint, the Defendant acknowledged that they had prior knowledge, but concealed the fact, but did not disclose this. yet allowing the Plaintiff to proceed through regarding the settlement. There was justifiable reliance by the Plaintiff upon the representations prepared by an alleged reputable realtor and there was damage caused to the Plaintiff as a proximate result of the deceit and misrepresentation. Further the essence of concealment, is whether or not there was a material representation to the innocent party of a concealment of a fact or facts that would have justified the receipent to .avoid the transaction and not rely upon it. 32. Paragraph 32, is denied as pleaded; prior averments that the actual agreement was prepared by the Defendants and the knowledge relating to the representations in the said Agreement of Sale are fully known to the Defendants; and Plaintiff's prior - 8 - answers to this pleading are expressly incorporated by reference. 33. As a fact, the elements in deceit set forth in the answer to paragraph 31, which are incorporated by reference, also apply to an action in straight fraud, to wit: The manner and method of the misrepresentation; the manner and method of fraudulent utterance and the intent that the receipent be induced to act; the receipent's justifiable reliance on the misrepresentations and damage to the receipent which also has been clearly met in this contention. 34. Paragraph 34, is denied; and by way of further answer, Plaintiff's within answer, paragraphs 28 through 33 are expressly incorporated by reference and made a part hereof. 35. Paragraph 35, is denied; and by way of further answer, the averments in answers to paragraphs 27 through 34 are expressly incorporated by reference. 36. Paragraph 36, is denied; and by way of further answer, as a further part of the pervasive pattern of Defendants' counsel, not only to ignore all of the matters that she has admitted, she recognizes that which fully apprises her of the pendency of the action, and also the effect of her demurrer to the Plaintiff's averments, paragraphs 1 through 21, which are incorporated by reference, demonstrating there is no merit to said allegations. 37. paragraph 37, is denied; and the prior answers to - 9 - " , .'J " .J.' '--"""'. paragraph 36 is incorporated by reference and made a part hereof. WHEREFORE, said objections should be dismissed. - COUNT IV - 38. paragraphs 1 through 37 of these answers, are expressly incorporated by reference and made a part hereof. 3 9 . Paragraph 3 9 , is denied; and by way of further answer, is an exact rehash of paragraph 29, in which the answers to paragraph 29 is expressly incorporated by reference and made a part hereof. 40. The allegation in paragraph 40, is a rehash of paragraph 30, in which the answer to paragraph 30 is incorporated by reference and made a part hereof. By way of further answer, in fact all the elements of fraud had been averred with particulari ty. Further, the Supreme Court of Pennsylvania has clearly held, that fraudulent misrepresentation may take many forms - fraud consists of anything calculated to deceive, whether by a single act or combination, or by suppression of truth, or a suggestion of what is false, whether it be direct falsehood or by innuendo, by speech or silence, word of mouth or lookor gesture. It is any artifice by which a person is deceived to his disadvantage. The Defendants have been apprised in paragraphs 4 and 5 in the Plaintiff's Complaint, that there were representations as to the status of sewage and water service; paragraph 6, the Defendants have acknowledged that prior to the sale, of a pending sewer system to be constructed; paragraph 7, - 10 - , '!!Ii ('~: sets forth inter alia, Defendants in addition of having knowledge, concealed a material fact; paragraph 9 sets forth inter alia, a duty and failure of the Defendant to disclose all material facts; paragraph 10, that the Plaintiff was entitled to full disclosure, knowing that such representations were inducing Plaintiff to enter into the Agreement of Sale; paragraph 15 of the Plaintiff's Complaint, apprises of the utterance of false representation by means of written manner, in which the law does not require strictly oral representations; paragraph 16, again sets forth the Defendants prior knowledge, together with the concealment of material fact; paragraph 18, sets forth that the Plaintiff would not have entered into the Agreement of Sale or induced to do so, had he been proper informed of the pendency of the proposed action of the Municipal Authority; andparagraph 21 sets forth with specificity, the damages caused as a direct and proximate cause of the material misrepresentation, deceit and concealment, which elements of deceit have been previously been addressed and are also fully met in the said Complaint. 41. Paragraph 41, is denied; and by way of further answer, the prior Answers to paragraphs 3 through 40, of these answers, are expressly incorporated by reference and made a part hereof. By way of further answer, the Defendants have been apprised the representat-ions per Plaintiff's Exhibit "A, which relates to no acknowledgement of any pending sewer system action; - 11 - and that the misrepresentation was fraudulently uttered by means of the Agreement of Sale and matters set forth therein Plaintiff's Exhibit "A", which is sufficient to establish a fraudulent utterance. By way of further answer, the Defendant persists in rehashing that allegedly there was no misrepresentation made prior to the sale, that the Defendanthad demonstrated an intent for the Plaintiff to act, in which they were apprised in paragraph 4, the Defendant prepared the Agreement of Sale, with representations as to the status of the sewage and water service. At the very specific representations set forth in paragraphs 8 through 14 in Plaintiff's Exhibit "A";as set forth in paragraph 5 and paragraph 7, of the Complaint, establishes inter alia, by an acknowledgement by Defendant Alexander, that she did have knowledge of the pendency of the proceedings, but had concealed it, and not disclosed it to the Plaintiff. paragraph 8 of the Plaintiff's Complaint, sets forth that he would not have entered into the Agreement, but had been induced to do so, and had the Plaintiff been properly informed of the pendency of the proposed action; paragraph 9, sets forth there was a duty owed to fully disclose all material facts relating to the status of this matter. paragraph la, sets forth the failure to disclose the pendency of this matter, was a matter that he was entitled to a full disclosure, which was the purpose of inducing him to enter into the Agreement of Sale. In like manner, paragraphs 14, 15, 16, - 12 - J __ ""'\; 17, 18, 19, 20, and 21 of the Plaintiff's Complaint, also establish the same. 42. Paragraph 42, is denied and by way of further answer, the Defendant is attempting to engage in a speaking demurrer. Exhibit at "D-l" is an issue of fact, for which strict proof is demanded, as to when and how this Exhibit was prepared, by whom and to prove that the Plaintiff had knowledge, as contrasted to Plaintiff's Exhibit "A", together with the pervasive pattern of ignoring the Defendants demurrer admission to paragraph 7 of the Plaintiff's Complaint. 43. paragraph 43, as pleaded, is denied, and by way of further answer, the answers to paragraphs 39, 40, 41 and 42 are expressly incorporated by reference and made a part hereof, in which specific facts had been pleaded and with particularity, relating to fraud.
