TRACY DAVID FOSTER, an adult individual, No. (;V./231 ~( lLc- Defendant COMPLAINT NOW COMES plaintiff Lowell Latshaw, in his individual capacity and in his capacity as Attorney-in-Fact for Helen Latshaw, by and through his attorneys, Keefer Wood Allen & Rahal, LLP, and files this complaint, averring as follows: 1. Plaintiff Lowell Latshaw is an adult individual, residing at 8 Tree Top Place, Black Mountain, North Carolina. 2. Defendant Tracy David Foster is an adult individual, residing at 1775 Kings Arms Court, New Cumberland, Cumberland County, Pennsylvania. 3. Helen H. Latshaw is an adult individual, residing in Palm Beach County, Florida. 4. By Durable Family Power of Attorney, dated September 5, 1990 (the "Power of Attorney"), which has not been revoked and is in full force and effect, Helen H. Latshaw appointed Lowell Latshaw to act as her Attorney-in-Fact. The Power of Attorney, intp.r alia, authorizes Lowell Latshaw to do any acts on behalf of Helen Latshaw that she could do herself, including, but not limited to, collecting all sums of money that may be payable or belonging to Helen Latshaw and prosecuting actions relating to matters concerning her. Count I Breach of Contract/Installment Payments 6. The averments of paragraph 1 through 5 above are incorporated herein by reference. 7. On or about July 18, 1996, Tracy David Foster and Catherine Foster, as makers, executed an installment note (the "Installment Note") with Lowell Latshaw, wherein they borrowed $31,000 from Helen Latshaw, the lender, at an interest rate of 8.25%, which was to be repaid in monthly installments in the amount of $632.28. A true and correct copy of the installment note is attached hereto as Exhibit "B" and incorporated herein by reference. 8. At the time of the execution of the Installment Note, Catherine Foster and Tracy David Foster were married. 9. Tracy David Foster filed an action for divorce against Catherine Foster on December 27, 1996, in the Court of Common Pleas for York County, Pennsylvania, docketed as Foster v. Foster, C.C.P. Some payments were made toward the Installment Note prior to the divorce of Tracy David Foster and Catherine Foster. 11. Paragraph 5 of the post-nuptial agreement attached to the final decree as exhibit UA" (collectively referred to as the "Divorce Decree") entered on May 26, 1998, in the Divorce Action, provides, inter alia, as follows: The real estate proceeds in the amount of $19,270.03 held in escrow by Husband's attorney at First Capitol Bank shall be applied in their entirety, together with interest accrued thereon, to the Helen Latshaw debt. Any balance remaining due on said debt shall be divided between the parties [Catherine Foster and Tracy David Foster], with the Husband [Tracy David Foster] assuming 60% of the liability and the Wife [Catherine Foster] assuming 40%. The parties shall make payment on any balance remaining pursuant to the tenure of the original note dated July 18, 1996. A true and correct copy of the Divorce Decree is attached hereto as Exhibit "C" and incorporated herein by reference. 12. After the real estate proceeds described above were applied to the amount owed to Helen Latshaw, the outstanding balance on the Installment Note as of July 16, 1998 was $12,004.20. 13. Pursuant to the Divorce Decree, Tracy David Foster is responsible for payment of 60% of the outstanding balance, or $7,202.52. 14. I, . he immediately resume payments in the amount of $379.37 per month. A true and correct copy of said letter is attached hereto as Exhibit "D" and incorporated herein by reference. 15. By letter dated August 19, 1998, from Tracy David Foster to Lowell Latshaw, Tracy David Foster acknowledged the personal debt of $7,202.52 and requested that the terms of the loan be modified to allow him to repay said amount monthly over a period of 48 months at a rate of 8.25%. A true and correct copy of said letter is attached hereto as Exhibit "E" and incorporated herein by reference. 16. By letter dated August 23, 1998, from Lowell Latshaw to Tracy David Foster, Lowell Latshaw agreed to modify the terms of the repayment as requested. A true and correct copy of said letter is attached hereto as Exhibit "F" and incorporated herein by reference. 17. Subsequent to August 23, 1998, Tracy David Foster was to make monthly payments in the amount $176.67 to Lowell Latshaw on behalf of Helen Latshaw, which were to continue until July 2002. 18. payments. ~~'-?'- "-. Lowell Latshaw has not received the payments due for October, November and December of 1999 and January and February of 2000. 20. Tracy David Foster's failure to make monthly payments constitutes a material breach of the installment note and any modifications thereto. 21. Lowell Latshaw has demanded that Tracy David Foster pay the overdue installments, but he has failed to do so. 22. As of February 28, 2000, the outstanding principal balance owed by Tracy David Foster on the Installment Note is five thousand three hundred and forty dollars and six cents ($5,340.06), and the outstanding interest owed by Tracy David Foster on the Installment Note is one hundred ninety-nine dollars and twenty-five cents ($199.25). 23. As of February 28, 2000, Tracy David Foster owes five thousand five hundred thirty-nine dollars and thirty-one cents ($5,539.31), for the outstanding principal and interest owed by him on the Installment Note, and interest will continue to accrue thereon at a rate of 8.25% per annum. The Installment Note provides, inter alia, that the parties agree "to waive demand, notice of nonpayment and protest, and in case suit shall be brought for the collection hereof, or the same has to be collected upon demand of an attorney, to pay reasonable attorney's fees for making such collection." 26. To date, Lowell Latshaw has incurred attorney's fees in the amount of approximately one thousand one hundred dollars ($1,100.00) relating to the collection of the money owed by Tracy David Foster under the Installment Note, including a demand by the attorneys and filing of this action. 27. Upon information and belief, Lowell Latshaw will continue to incur attorney's fees relating to this collection action.
