COMPLAINT
Plaintiff The Gorman-Rupp Company, by its attorneys, Snelbaker, Brenneman & Spare,
P. C. files this Complaint against Defendants Howard Robson, Inc., United States Fidelity and
Guaranty Company and St Paul Surety as follows:
BACKGROUND
1. Plaintiff The Gorman-Rupp Company is a business corporation organized under the
laws of the State of Ohio with a business address of305 Bowman Street, Mansfield, Ohio.
2. Defendant Howard Robson, Inc. ("Howard Robson") is a Pennsylvania business
corporation with a principal office located at 809 Stony Battery Road, Landisville, Pennsylvania.
3. Defendant United States Fidelity and Guaranty Company ("USF &G") is a Maryland
business corporation with an office and place of business located a 2605 Interstate Drive,
Harrisburg, Pennsylvania.
4. Defendant St Paul Surety is a business corporation with an office and place of
business located at 2605 Interstate Drive, Harrisburg, Pennsylvania.
5. On August 5, 1998 Defendant USF&G and Defendant Howard Robson, Inc. entered
into and issued a Labor and Materialmen's Bond (the "Bond") with respect to a pump station and

treatment plant improvement project of the Northumberland Sewer Authority (the "Project")
located in Northumberland, Pennsylvania. A true and correct copy of the Bond is attached
hereto and incorporated by reference herein as "Exhibit A".
6. On or about May 5, 1999 Plaintiff and Defendant Howard Robson entered into a
certain Purchase Order whereby Plaintiff agreed, inter alia, to furnish and deliver a sewage
pumping station and accessories for the Project in exchange for the price and payment by
Defendant Howard Robson to Plaintiff of the total sum of$166,000.00. A true and correct copy
of the Purchase Order is attached hereto and incorporated by reference herein as "Exhibit B." It
is believed and therefore averred that copies of the Project Plans, Specifications and addenda
referenced in the Purchase Order are in the possession of Defendant Howard Robson and
therefore are not attached to this Complaint.
7. On or about June 16, 1999 Plaintiff shipped to Defendant Howard Robson at the
Project location the pump station and accessories in accordance with the requirements of the
Purchase Order.
8. The pump station and accessories made reference to in Paragraph 7, above, were
received at the Project location on June 16, 1999.
9. On June 16, 1999 Plaintiff issued an invoice to Defendant Howard Robson in the
amount of$166,OOO.OO. A true and correct copy of the invoice issued by Plaintiff to Defendant
Howard Robson is attached hereto and incorporated by reference herein as "Exhibit C".
10. On or about September 9, 1999 Defendant Howard Robson made payment to
Plaintiff in the amount of$157,700.00.
11. Despite repeated demands by Plaintiff, Defendant Howard Robson has failed and

refused to pay Plaintiff the balance due of$8,300.00.

12. The averments of Paragraph 1 through 11, inclusive, of this Complaint are
incorporated by reference herein.
13. Defendant Howard Robson has breached its obligations under the Purchase Order by
failing and refusing to make final payment to Plaintiff when same has been due and owing.
14. All conditions precedent to Plaintiff s right to recover the balance due under the
Purchase Order have occurred or have been waived by Defendant Howard Robson.
WHEREFORE, Plaintiff demands judgment against Defendant Howard Robson, Inc. in
the amount of$8,300,00 together with interest and costs of this action.
COUNT II
Plaintiff The Gorman-Rupp Company v. United States Fidelity
and Guaranty Company
IS. The averments of Paragraphs I through 14, inclusive, of this Complaint are
incorporated herein in their entirety.
16. Plaintiff has performed labor, rendered services and furnished materials applicable to
the Project for which the Bond has been issued.
17. Plaintiff has not been paid in full within 90 days after the date when the last of
Plaintiff s work or labor was performed or materials furnished.
18. All conditions precedent to Plaintiff s right to maintain an action against Defendant
USF&G have occurred.
WHEREFORE, Plaintiff demands judgment against Defendant United States Fidelity and

Guaranty Company in the amount of$8,300.00 together with interest and costs of this action.
COUNT III
Plaintiff The Gorman-Rupp Company v. Defendant St. Paul Surety
19. The averments of Paragraphs 1 through 18, inclusive, of this Complaint are
incorporated by reference herein in their entirety.
20. Based upon information and belief, Defendant St Paul Surety is a parent company of
Defendant USF&G or an affiliate of Defendant USF&G and has assumed liability and
responsibility for all acts, omissions, obligations and breaches of Defendant USF&G.
21. In the alternative to Paragraph 19, above, Defendant St Paul Surety is the successor
by merger or other corporate reorganization or transaction of Defendant USF&G and has
therefore assumed all liability and responsibility for the acts, omissions, obligations and breaches
of Defendant USF&G.
WHEREFORE, Plaintiff demands judgment against Defendant St Paul Surety in the
amount of$8,300.00 together with interest and costs of this action.
The claims of Plaintiff in this action, exclusive of interest and costs do not exceed the
amount established for mandatory arbitration in Cumberland County.

KNOW ALL MEN BY TIlESE PRESENTS, that we Howard-Robson, Inc. as Contractor, hereinafter
called Principal, and IJIIITED STATES FIDELITY AND CUARilNTY COMPANY A MARYLAND CORPlIIAT~ety, hereinafter
called Surety, are held and firmly bound unto Northumberland Sewer Authority as Obligee, hereinafter
called Owner, and the penal sum of eight hundred twenty-three thousand dollars and zero cents
($823,000.00) lawful money of the United States, for the payments of which sum well and truly to be
made, we the Principal and Surety bind ourselves, our heirs, personal representatives, successors and
a~si~, jointly and severally, firmly by these presents.
WHEREAS, Principal has by written agreement dated

and all assignees of said Principal and of such Subcontractors shall promptly make payment for all labor
performed, services rendered and materials furnished in the performance of the work provided for in said
contract, or in any amendment or extension of or addition to said contract, then the above obligation shall
be void; otherwise to remain in force and effect; provided, however, that this bond is subject to the
following conditions and limitations:
(I) All persons who have performed labor, rendered services or furnished materials, the same being al~
construed to include that part of water, gas, power, light, heat, oil, gasoline. telephone service or rental
of equipment directly applicable to the Contract. equipment or machinelY as aforesaid who have not
been JllIid in full befure the Cltpiratioil of a period of ninety (90) days after date on which the last of
such claimant's work or labor was performed, or materials were furnished, shall have a direct right of
action against the Principal and Surety on this bond, which right of action shall be assened in
proceedingS instituted in the Slate in which such labor was performed, services rendered or materials
furnished (or where labor has been performed, services rendered, or marerials furnished urnkr said
Contral:t in more.than one State, then in any such Slate). Insofar as pennitted by laws ofsueh Slate,
such right of action shall be asserted in a proceeding instituted in the name of the Owner to the use
and benefit of the person instituting such action and of all other persons having claims hereunder,
shall have the right to be made a party to such proceeding (within one year after the time the cause of
action accrued) and to have such claim adjudicated in such action and judgment rendered thereon.
(2) The Surety shall not be liable hereunder for any damages or compensation recoverable under any
workmen's compensation or employer's liability stattlte.
(3) In no event shall the Surety be liable for a greater sum that the penalty of this bond, or subject to any
suit, action or proceeding thereon that is instituted later titan one (1) year after the rime the cause of
action accrued.

(4) As used herein, the term "person" refers to any person, fum or cOlporation who has furnished
materials or machinery to be used on or incolporated in the work or the prosecution thereof provided
for in said Contractor in any amendment or extension of or addition to said Contract, and/or to any
person engaged in the prosecution of the work provide for in said Contract, or in any amendment or
extension of or addition to said Contract, who is an agent, servant Or employee of the Principal, Or of
any subcontractor. and also anyone so engaged who perfonns the work of a laborer or of a mechanic
regardless of any contractual relationship between the Principal or any subcontractor, and such laborer
or mechanic. but shall not include office employees not regularly stationed at the site of the work.
The said Surety, for value received, hereby stipulates and agrees that no change, extension of time,
alteration or addition to the tenTIS of this Contract or to the work to be perfonned thereunder or the
Specifications accompanying the same, shall in any way affect its obligation on this Bond. and it does
hereby waive notice of any such change, extension of time, alteration or addition to the terms of the
Contract to or the work or to the Specifications. .
