COMPLAINT
AND NOW comes the Plaintiff, Eagle Steel, Inc., who, by and through its
attomeys, Thomas A. Beckley, Esquire, Thomas S. Beckley, Esquire, and Beckley &
Madden, of Counsel, files this Complaint against Defendant, Phoenix Industrial, Inc., and
avers as follows:
1. Plaintiff is Eagle Steel, Inc. ("Eagle Steel"), a corporation organized and
existing under the laws of the Commonwealth of Pennsylvania, with a business address of
20023 Hanunond Road, Post Office Box 177, Spring Run, Pennsylvania 17262.
2. Defendant is Phoenix Industrial, Inc. ("Phoenix Industrial"), a corporation
organized and existing under the laws of the Commonwealth of Pennsylvania, with a
business address of950 Woodland Street, Unit B, Mechanicsburg, Pennsylvania 17055.

COUNT I - BREACH OF CONTRACT
3. Paragraphs 1 and 2 of this Complaint are incorporated herein as though set
forth here at length.

4. At some point in time prior to August 14, 1998, Phoenix Industrial entered into
a contract to construct a new production facility ("Project") for the Patriot News located
in Hampden Township, Cumberland County, Pennsylvania.
5. On or about August 14, 1998, Eagle Steel entered into a written contract
("Agreement") with Phoenix Industrial in which Eagle Steel agreed to install reinforced
steel on the Project. A true and correct copy of that agreement is marked as Exhibit "A,"
attached hereto and made a part hereof.
6. In return, Phoenix Industrial agreed to pay the sum of $440.00 per ton of
reinforced steel which Eagle Steel actually installed on the project.
7. Eagle Steel installed 582,176 pounds (291.088 tons) of reinforced steel for a
total sum of $128,078.72.
8. Eagle Steel completed its work on the project on or about May 7, 1999.
9. On or about August 27, 1998, Phoenix Industrial agreed to compensate Eagle
Steel (in addition to the foregoing amount) for time lost on the Project due to changes
instituted by Phoenix Industrial on a time and material basis. The total amount owed by
Phoenix Industrial for the work done pursuant to the second written addition to the
Agreement was $1,413.00. This agreement was evidenced in writing on August 28,
1998, and again on January 7, 1999. True and correct copies of those documents are
marked as Exhibits "B-1" and "B-2" respectively, attached hereto and made a part hereof.
10. On August 27, 1998, Eagle Steel and Phoenix Industrial entered into a second
written addition to the Agreement in which Eagle Steel agreed to both place on and

remove certain re-barfrom the Project. Phoenix Industrial agreed to compensate Eagle
Steel on a time and materials basis at Eagle Steel's normal hourly rates. The total amount
owed by Phoenix Industrial for the work done pursuant to the third written addition to the
Agreement was $1,040.75. True and correct copies of those documents are marked as
Exhibits "C-1" and "C-2" respectively, attached hereto and made a part hereof.
11. On February 2, 1999, Eagle Steel and Phoenix Industrial entered into a third
written addition to the Agreement in which Eagle Steel agreed to add additional re-bar on
the Project. Phoenix Industrial agreed to compensate Eagle Steel on a time and materials
basis at Eagle Steel's normal hourly rates. Eagle Steel's total cost for this work was
$381.00. True and correct copies of those documents are marked as Exhibits "D-1" and
"D-2" respectively, attached hereto and made a part hereof.
12. The total contract price, including the three additions, is $130,913.47.
13. To date, Phoenix Industrial has paid to Eagle Steel a total of$117,822.13.
14. Phoenix Industrial still owes Eagle Steel the principal sum of$13,091.34.
15. To date, Phoenix Industrial has failed and refused to pay the aforesaid amount
owed.
16. Eagle Steel has performed all conditions precedent to payment.
17. The amount demanded does not exceed the amount required for compulsory
arbitration.

18. Eagle Steel is entitled to payment of the principal amount due, plus interest,
penalties and attorneys' fees as provided under the Contractor and Subcontractor Payment
Act. 73 P.S. 9501 et seq.
WHEREFORE, Eagle Steel, lnc., demands that this Court enter a judgment in its
favor and against the Defendant, Phoenix lndustrial, lnc., in the amount of $13,091.34,
plus interest, penalties, costs and attorney's fees as provided under the Contractor and
Subcontractor Payment Act. 73 P.S. 9501 et seq.
COUNT II - QUANTUM MERUIT
19. Eagle Steel hereby incorporates paragraphs 1 through 18 of this Complaint at
though set forth here at length.
20. The fair and reasonable value of Eagle Steel's materials and services which
remain unpaid is $13,091.34.

WHEREFORE, Eagle Steel, Inc., demands that this Court enter a judgment in its
favor and against the Defendant, Phoenix Industrial, Inc., in the amount of $13,091.34,

The Contractor and Subcontractor agree as set forth below, intending to be legally
bound hereby:
ARTICLE 1. THE WORK. The Subcontractor shall perform all the Work
required by the Contract Documents for:
a) contract time:
One hundred twelve (112) days
Teniative Commencement Date 7-6-98
Tentative Completion Date 12-10-98
b) contract sum:
Four hundred forty dollars ($440.00) per ton,
c) scope of work:
o Installation of reinforcing steel.
o Estimated weight - 238 tons.
o Tie wire supplied by Eagle Steel.
d) APPLICATIONS FOR PAYMENT: Phoenix shall pay the Subcontractor monthly prpgress payments
on the basis on invoict1s which are to be submitted in duplicate on or betore the 2011I of each month,
representing the actual amount of labor performed andlor material delivered and installed during the
month. Monthly payments are for work in place only. Payments for stored materials will not be
considered. Invoices received after the 20U. of the month will not be processed for the current billing
cycle.
ARTICLE 2. THE CONTRACT DOCUMENTS. The Contract Documents for this subcontract oonsist of
this Agreement and any Exhibits attached hereto, the Agreement between the Owner and the Contractor, the
conditions of the contract between the ONner and Contractor (General, Supplementary and other Conditions), the
Drawings. the SpecifICations. aU Addenda issued prior to and aU Modifications issued after execution of the
Agreement between the Owner and contractor and agreed upon by all parties to this Subcontract, all of which are
incorporated herein. The Subcontractor assumes all duties to the Contractor that the Contractor assumes to the
Owner, Be. are applicable to the Subc:Onlracto(s work. II shall be the Subconbaclor's duty to nwiew and be familiar
with all of the Contract Documents and to coordinate SubContractor's INOrk with other work shown on the plans,
drawings and specifications. A set of the Contract Documents will be available at the project site at all times.
ARTICLE 3. CHANGES IN THE WORK. The Subcontractor msy be ordered in writing by the Contractor,
without invalidating this SubcOntract. to make changes in the Work Within the general scope of this Subcontract
consisting of additions, deletions, or other revisions, the Conbact Surn and Contt'act Time being adjusted
accordingly. The Subcontractor, prior to the commencement of such changed or revised Work, shall submit
prompuy to the Contractor written copies of any claim for adjustment to the Contract sum and ConUact Time for
such revised work in a manner consistent with the Contract Documents.
ARTICLE 4. TERMS AND CONDtTIONS. The Subcontract Tenm. & Conditions on the r&Verse side of
this agreement andlor attached hereto constitute a part of this agreement. Please read carefully.
