PLAINTIFF'S COMPLAINT
1. Plaintiff, CompHealth, Inc. ("CompHealth") is a corporation authorized to do
business in the Commonwealth of Pennsylvania and has a principal place of business at 4021
South 700 East, Salt Lake City, Utah 84107-2184.
2. Defendant, Family Physician's Association of New Cumberland ("Family
Physician's") is, upon information and belief, a corporation existing under the laws of the
Commonwealth of Pennsylvania with a principal place of business therein at 1900 Bridge
Street, New Cumberland, Pennsylvania 17070.
3. Plaintiff, CompHealth, is in the business of providing physicians on a temporary
and/or permanent basis to hospitals, physician practice groups, and other healthcare
providers,

4. Defendant, Family Physician's is, upon information and belief, a corporation
organized and existing in order to provide family healthcare services to individuals in the New
Cumberland area.
5, On or about April 21, 1999, the President of Family Physician's entered into a
contract entitled "Service Order For Locum Tenens Coverage" with CompHealth (the
"Agreement") whereby CompHealth agreed to provide Family Physician's with a physician to
practice medicine on behalf of Family Physician's at its medical facility. A true and correct
copy of the Agreement is attached hereto as Exhibit "A".
6. The Agreement provides on pages 2 and 3 under the heading Later Placements
as follows:
You may wish to enter into a direct long or short-term relationship with a
physician who has worked with you or has been introduced through CompHealth.
Our business depends on preserving our locum tenens network which we have
expended considerable' resources to develop. Therefore. as separate
consideration for our efforts in locatina and referrina a phvsician to you, vou
aaree to pay us a recruitment fee in the amount of $~4,OOO for any physician
introduced to yOU by CompHealth (Client must inform CompHealth within 24
hours if any physician presented by CompHealth is already known to the Client.
Otherwise, the physician(s) will be conclusively presumed to have been
introduced by CompHealth.) or who has provided services for you through
CompHealth who:
. accepts a position. within two years after termination of this Aareement and
whether or not in the area served by your facility or practice where the
physician performed locum tenens services for you. with you or any affiliate
(meaning any individual practice, group, clinic, or other organization that is
owned, managed or operated, directly or indirectly, by you or by any persons
or entities of which you are, directly or indirectly, an owner, partner, agent,
employee or subsidiary, or with whom you regularly provide medical services
through licensed physicians, or that is jointly owned or controlled by or with
you), or
. accepts a position in the area served by your facility or practice in which the
physician provided locum tenens coverage under this Agreement, within two
years after termination of this Agreement, if you assist in obtaining the

position or receive any services or benefits as a result of the physician's
placement, or
. engages in locum tenens coverage, other than through CompHealth, for you
or any of your affiliates (as defined above), whether or not in the area served
by your practice or facility where the physician performed locum tenens
services for you, within two years after termination of this Agreement.
If the phvsician accepts a permanent position, the recruitment fee is due in full on
the first dav the phvsician performs services in the new permanent position. If
the physician provides services in any temporary position (including non-
CompHealth locum tenens coverage), the recruitment fee shall be paid to
CompHealth ratably, in amounts equal to the locum tenens fees that you would
have paid if the services were performed under this Agreement.
Our agreements with physicians have similar limitations and conditions on
accepting other positions with you or your affiliates and within your community,
The restrictions and obligations in this LATER PLACEMENTS section will last for
two years from the termination or cancellation of this Agreement, at any time or
for any reason, and regardless or whether either of us is in breach of any other
terms of this Agreement.
For your protection, our physician agreements requires your consent to any
placement of, or practice by, the physician within the area served by your facility
or practice in which the physician provides services under this Agreement for a
period of two years after the physician's contract with CompHealth terminates
(which may occur later than the date the physician completes an assignment with
you).

COUNT 1
(BREACH OF CONTRACT)
7. On or about April 22, 1999, CompHealth placed with Family Physician's Dr.
Vincent Alfieri for a one day assignment pursuant to the Agreement.
8. Upon information and belief, Family Physician's hired Dr. Alfieri on a permanent
basis in September, 1999.
9. Pursuant to the Agreement, Family Physician's agreed to pay CompHealth a
placement fee of $24,000.00 upon the hiring of Dr. Alfieri on a permanent basis"

10. Despite repeated demands, Defendant, Family Physician's, has refused to pay

CompHealth the $24,000.00 permanent placement fee due under the Agreement.
11. As a result of Defendant, Family Physician's continued refusal to pay
CompHealth the $24,000.00 permanent placement fee due under the Agreement, Defendant,
Family Physician's has breached the Agreement.
12, As a result of Defendant, Family Physician's breach of the Agreement,
CompHealth has suffered damages in the principal amount of $24,000,00.
13. The Agreement at page 4 further provides:

If you breach this Agreement, you will be responsible for all expenses and costs,
including interest and attorney's fees which may be incurred in enforcing this
Agreement. If your account becomes past due, you agree to pay interest of 1-1/2
percent per month on the unpaid balance from the due date.
14. Under the Agreement, Family Physician's is liable to CompHealth for the
$24,000,00 permanent placement fee, interest at a rate of 1% percent per month from the date
Dr. Alfieri was hired by the Defendant on a permanent basis, plus all expenses, costs, and
attorney's fees incurred by CompHealth in enforcing the Agreement.
WHEREFORE, Plaintiff, CompHealth, Inc., demands judgment against Defendant,
Family Physician's Association of New Cumberland, in an amount less than Twenty-Five
Thousand ($25,000.00) Dollars, plus interest, costs, attorney's fees, and such further relief that
this Honorable Court deems appropriate.

16, Plaintiff, CompHealth, spent considerable time, effort and money in providing a
temporary physician to the Defendant.
17. The Defendant has failed and refuses to compensate Plaintiff to the extent that a
benefit was received from the physician staffing services performed.
18. These facts and circumstances demonstrate that it would be inequitable to permit
the Defendant to retain the benefit received from the temporary physician staffing while failing
and refusing to compensate CompHealth in the amount due and owing.
19. Defendant, Family Physician's has been unjustly enriched to the extent that it has
benefited from the services and work performed by CompHealth in providing temporary

physician staffing, but for which the Defendant has not remitted full payment to CompHealth,
WHEREFORE, Plaintiff, CompHealth, Inc., demands judgment against Defendant,

1. Plaintiff CompHealth, Inc. ("CompHealth") filed its Complaint on March 16,
2000.
2. The Complaint was served on Defendant Family Physician's Association of New
Cumberland ("Family Physician") on March 21, 2000.
3. CompHealth's Complaint raises a breach of contract claim based upon an alleged
written agreement attached as Exhibit "A" to Complaint, and an unjust enrichment claim.
DEMURRER TO COUNT I
OF THE COMPLAINT
4. CompHealth alleges that Family Physician contracted with it to provide a
temporary physician, Dr. Vincent Alfieri, for a one-day assignment on April 22, 1999.
5. CompHealth asserts that Family Physician's alleged full-time hiring of Dr. Alfieri
triggered the "Later Placements" provision of the written document attached as Exhibit "A" to
the Complaint.

6. The "Later Placements" provision allegedly requires Family Physician to pay
CompHealth $24,000 if Family Physician hired Dr. Alfieri full-time.
7. The written document attached as Exhibit "A" to the Complaint was not signed by
CompHealth until April 24, 1999, three (3) days after Dr. Alfieri performed services to Family
Physicians.
8. Since the alleged contract was not executed by CompHealth until three (3) days
after Dr. Alfieri performed services for Family Physicians, the alleged contract was not formed at
the time of Dr. Alfieri's employment and cannot be the basis for a breach of contract action.
WHEREFORE, Defendant Family Physician's Association of New Cumberland
respectfully requests that Count I ofthe Complaint be dismissed.

response, the Contract between Plaintiff, CompHealth, Inc., and Defendant, Family Physician's
Association of New Cumberland, specifically provides that Defendant, Family Physician's
Association of New Cumberland, is obligated to pay CompHealth $24,000.00 if the Defendant
hires any physician provided by Plaintiff, CompHealth, Inc.
7. Denied as stated. The Contract attached to CompHealth, Inc.'s Complaint as
Exhibit "A" is in writing and speaks for itself and any characterization thereof is expressly
denied, By way of further response, Dr. Alfieri was introduced to Defendant, Family
Physician's Association of New Cumberland through Plaintiff, CompHealth, Inc., and
Defendant agreed to pay CompHealth a $24,000.00 fee if Dr. Alfieri or any other physician
introduced to the Defendant by Plaintiff, CompHealth, Inc., became an employee or was
otherwise hired by the Defendant.
8. Denied, This paragraph constitutes a conclusion of law to which no responsive
pleading is required. By way of further response, the parties hereto agreed to the terms of the
Contract attached to Plaintiff's Complaint as Exhibit "A" and the written contract memorializes
the agreement between the parties hereto. Plaintiff, CompHealth, Inc., offered to provide
locum tenens physician services to the Defendant subject to the terms and conditions set forth
in Exhibit "A" to the Complaint and Defendant, Family Physician's Association of New
Cumberland, accepted that offer and signed the Contract on the date that Dr. Alfieri was
provided to Defendant by Plaintiff. Defendant, Family Physician's Association of New
Cumberland, accepted CompHealth, Inc.'s offer and the terms and conditions of the contract
by and between Family Physician's Association of New Cumberland and Plaintiff, CompHealth,

1, Plaintiff, CompHealth, Inc, ("CompHealth") is a corporation authorized to do
business in the Commonwealth of Pennsylvania and has a principal place of business at 4021
South 700 East, Salt Lake City, Utah 84107-2184.
2. Defendant, Family Physician's Association of New Cumberland ("Family
Physician's") is, upon information and belief, a corporation existing under the laws of the
Commonwealth of Pennsylvania with a principal place of business therein at 1900 Bridge
Street, New Cumberland, Pennsylvania 17070.
3, Plaintiff, CompHealth, is in the business of providing physicians on a temporary
and/or permanent basis to hospitals, physician practice groups, and other healthcare
providers.

4. Defendant, Family Physician's is, upon information and belief, a corporation
organized and existing in order to provide family healthcare services to individuals in the New
Cumberland area,
5. On or about April 21, 1999, the President of Family Physician's entered into a
contract entitled "Service Order For Locum Tenens Coverage" with CompHealth (the
"Agreement") whereby CompHealth agreed to provide Family Physician's with a physician to
practice medicine on behalf of Family Physician's at its medical facility, A true and correct
copy of the Agreement is attached hereto as Exhibit "A",
6, The Agreement provides on pages 2 and 3 under the heading Later Placements
as follows:
You may wish to enter into a direct long or short-term relationship with a
physician who has worked with you or has been introduced through CompHealth,
Our business depends on preserving our locum tenens network which we have
expended considerable resources to develop. Therefore. as separate
consideration for our efforts in locatina and referrina a phvsician to vou, vou
aaree to pav us a recruitment fee in the amount of $24,000 for anv physician
introduced to yOU bv CompHealth (Client must inform CompHealth within 24
hours if any physician presented by CompHealth is already known to the Client.
Otherwise, the physician(s) will be conclusively presumed to have been
introduced by CompHealth.) or who has provided services for you through
CompHealth who:
. accepts a position. within two years after termination of this Aareement and
whether or not in the area served bv your facilitv or practice where the
physician performed locum tenens services for YOU, with YOU or any affiliate
(meaning any individual practice, group, clinic, or other organization that is
owned, managed or operated, directly or indirectly, by you or by any persons
or entities of which you are, directly or indirectly, an owner, partner, agent,
employee or subsidiary, or with whom you regularly provide medical services
through licensed physicians, or that is jointly owned or controlled by or with
you), or
. accepts a position in the area served by your facility or practice in which the
physician provided locum tenens coverage under this Agreement, within two
years after termination of this Agreement, if you assist in obtaining the

position or receive any services or benefits as a result of the physician's
placement, or
· engages in locum tenens coverage, other than through CompHealth, for you
or any of your affiliates (as defined above), whether or not in the area served
by your practice or facility where the physician performed locum tenens
services for you, within two years after termination of this Agreement.
If the physician accepts a permanent position. the recruitment fee is due in full on
the first day the physician performs services in the new permanent position, If
the physician provides services in any temporary position (including non-
CompHealth locum tenens coverage), the recruitment fee shall be paid to
CompHealth ratably, in amounts equal to the locum tenens fees that you would
have paid if the services were performed under this Agreement.
Our agreements with physicians have similar limitations and conditions on
accepting other positions with you or your affiliates and within your community.
The restrictions and obligations in this LATER PLACEMENTS section will last for
two years from the termination or cancellation of this Agreement, at any time or
for any reason, and regardless or whether either of us is in breach of any other
terms of this Agreement.
For your protection, our physician agreements requires your consent to any
placement of, or practice by, the physician within the area served by your facility
or practice in which the physician provides services under this Agreement for a
period of two years after the physician's contract with CompHealth terminates
(which may occur later than the date the physician completes an assignment with
you),

COUNT I
(BREACH OF WRITTEN CONTRACT)
7. On or about April 22, 1999, CompHealth placed with Family Physician's Dr.
Vincent Alfieri for a one day assignment pursuant to the Agreement.
8, Upon information and belief, Family Physician's hired Dr. Alfieri on a permanent
basis in September, 1999.
9. Pursuant to the Agreement, Family Physician's agreed to pay CompHealth a
placement fee of $24,000.00 upon the hiring of Dr. Alfieri on a permanent basis.

10, Despite repeated demands, Defendant, Family Physician's, has refused to pay
CompHealth the $24,000.00 permanent placement fee due under the Agreement.
11. As a result of Defendant, Family Physician's continued refusal to pay
CompHealth the $24,000.00 permanent placement fee due under the Agreement, Defendant,
Family Physician's has breached the Agreement.
12, As a result of Defendant, Family Physician's breach of the Agreement,
CompHealth has suffered damages in the principal amount of $24,000,00,
13. The Agreement at page 4 further provides:
If you breach this Agreement, you will be responsible for all expenses and costs,
including interest and attorney's fees which may be incurred in enforcing this
Agreement. If your account becomes past due, you agree to pay interest of 1-1/2
percent per month on the unpaid balance from the due date.
See Exhibit "A" at p. 4.
14. Under the Agreement, Family Physician's is liable to CompHealth for the
$24,000.00 permanent placement fee, interest at a rate of 1 Y:, percent per month from the date
Dr, Alfieri was hired by the Defendant on a permanent basis, plus all expenses, costs, and
attorney's fees incurred by CompHealth in enforcing the Agreement.
WHEREFORE, Plaintiff, CompHealth, Inc., demands judgment against Defendant,
Family Physician's Association of New Cumberland, in an amount less than Twenty-Five
Thousand ($25,000.00) Dollars, plus interest, costs, attorney's fees, and such further relief that
this Honorable Court deems appropriate.
COUNT II
(BREACH OF ORAL CONTRACT)
15. Plaintiff incorporates by reference paragraphs 1 through 14 above as if set forth
fully herein.

16, Pennsylvania Rules of Civil Procedure 1020 permits parties to plead causes of
action in the alternative.
17. CompHealth maintains that it entered into a written contract with Family
Physician's, the terms of which are fully set forth in the Agreement attached hereto as Exhibit
"A"; CompHealth further maintains in Count I above that Family Physician's breached the
written Agreement between it and CompHealth as further set forth in Count I above,
18, To the extent Family Physician's maintains that it did not breach the written
Agreement attached hereto as Exhibit "A", CompHealth maintains that Family Physician's
entered into an oral agreement whereby CompHealth agreed to provide Family Physician's
with Locum Tenens Coverage and Family Physician's agreed to pay CompHealth for such
Locum Tenens Coverage. Moreover, CompHealth further maintains that the terms of any oral
agreement ("agreement") between CompHealth and Family Physician's were memorialized in
the Agreement attached hereto as Exhibit "A". The terms of that oral agreement as set forth
on pages 2 and 3 under the heading Later Placements provides as follows:

20. Upon information and belief, Family Physician's thereafter hired Dr. Alfieri on a
permanent basis in September, 1999,
21. Pursuant to the agreement between Family Physician's and CompHealth, Family
Physician's agreed to pay CompHealth a placement fee of $24,000 upon the hiring of Dr.
Alfieri on a permanent basis.
22. Despite repeated demands, Defendant, Family Physician's, has refused to pay
CompHealth the $24,000 permanent placement fee due under the agreement between the
parties,
23. As a result of Family Physician's continued refusal to pay CompHealth the
$24,000 permanent placement fee due under the agreement, Family Physician's has breached
its agreement with CompHealth.
24. As a result of Family Physician's breach of its agreement with CompHealth,
CompHealth has suffered damages in the principal amount of $24,000.
25, As set forth in the Agreement at page 4, Family Physician's agreed to pay
CompHealth for all expenses and costs, including interest and attorney's fees incurred in
CompHealth in enforcing the agreement between CompHealth and Family Physician's. Family
Physician's further agreed to pay CompHealth interest of 1 % % per month on the unpaid
balance from the due date.
See Exhibit "A" at p, 4.
26. Pursuant to the agreement between CompHealth and Family Physician's, Family
Physician's is liable to CompHealth for the $24,000 permanent placement fee, interest at a rate
of 1 % % per month from the date Dr. Alfieri was hired by Family Physician's on a permanent

basis plus all expenses, costs, and attorney's fees incurred by CompHealth in enforcing the
agreement between Family Physician's and CompHealth.
WHEREFORE, Plaintiff, CompHealth, Inc., demands judgment against Defendant,
Family Physician's Association of New Cumberland, in an amount less than Twenty-Five
Thousand ($25,000.00) Dollars, plus interest, costs, attorney's fees, and such further relief that
this Honorable Court deems appropriate.
COUNT III
(UNJUST ENRICHMENT)
27. Plaintiff incorporates by reference paragraphs 1 through 26 above as if set forth
fully herein.
28. Plaintiff, CompHealth, spent considerable time, effort and money in providing a
temporary physician to the Defendant.
29. The Defendant has failed and refuses to compensate Plaintiff to the extent that a
benefit was received from the physician staffing services performed,
30. These facts and circumstances demonstrate that it would be inequitable to permit
the Defendant to retain the benefit received from the temporary physician staffing while failing
and refusing to compensate CompHealth in the amount due and owing.
31. Defendant, Family Physician's has been unjustly enriched to the extent that it has
benefited from the services and work performed by CompHealth in providing temporary
physician staffing, but for which the Defendant has not remitted full payment to CompHealth.
WHEREFORE, Plaintiff, CompHealth, Inc., demands judgment against Defendant,

32, Plaintiff incorporates by reference paragraphs 1 through 31 above as if set forth
fully herein.
33. Pursuant to the written Agreement attached hereto as Exhibit "A" and/or the
verbal agreement between CompHealth and Family Physician's, Family Physician's was
obligated to pay CompHealth a $24,000 placement fee upon the hiring of Dr. Alfieri on a
permanent basis,
34, Upon information and belief, Family Physician's hired Dr. Alfieri on a permanent
basis in or about September, 1999.
35. Family Physician's deliberately concealed from CompHealth the fact that it hired
Dr. Alfieri on a permanent basis in September, 1999 with the specific intent to deceive and
defraud CompHealth in an effort to deliberately and maliciously deprive CompHealth of the
$24,000 placement fee which Family Physician's agreed to pay CompHealth pursuant to the
written Agreement and/or oral agreement between Family Physician's and CompHealth.
WHEREFORE, Plaintiff, CompHealth, Inc., demands judgment against Defendant,
Family Physician's Association of New Cumberland, in an amount less than Twenty-Five
Thousand ($25,000.00) Dollars, plus interest, costs, attorney's fees, punitive damages, and
such further relief as this Honorable Court deems appropriate.

FIRST AMENDED COMPLAINT
1. Plaintiff CompHealth, Inc. (nCompHealthn) filed its Complaint on
March 16, 2000.
2. The Complaint was served on Defendant Family Physician Associates,
Inc. of New Cumberland (nFamily Physiciann) on March 21,2000.
3. On or about July 11, 2000 Family Physician filed its Brief in Support of
its Preliminary Objections.
4. On or about July 20, 2000 CompHealth submitted its First Amended
Complaint.

PRELIMINARY OBJECTION IN THE NATURE
OF A DEMURRER TO COUNT I
5. Paragraphs 1 through 4 above are incorporated by reference herein as if
fully set forth.
6. CompHealth alleges that Family Physician contracted with it to provide
a temporary physician, Dr. Vincent Alfieri, for a one-day assignment on April 22,
1999.
7. CompHealth asserts that the alleged full-time hiring of Dr. Alfieri
triggered the "Later Placements" provision of the written document attached as
Exhibit "A" to the First Amended Complaint.
8. The "Later Placements" provision allegedly requires Family Physician to
pay CompHealth $24,000 if Family Physician hired Dr. Alfieri full-time.
9. The written document attached as Exhibit "A" to the Complaint was not
signed by CompHealth until April 24, 1999, three (3) days after Dr. Alfieri performed
services to Family Physician.
10. Since the alleged contract was not executed by CompHealth until three
(3) days after Dr. Alfieri performed services for Family Physician, the alleged contract

was not formed at the time of Dr. Alfieri's employment and cannot be the basis for a
breach of contract action.
WHEREFORE, Defendant Family Physician's Association of New
Cumberland respectfully requests that Count I of the First Amended Complaint be
dismissed.
PRELIMINARY OBJECTION IN THE NATURE
OF A DEMURRER TO COUNT II
11. Paragraphs 5 through 10 above are incorporated by referenced herein as
if fully set forth.
12. Count II of Plaintiffs First Amended Complaint purports to be a breach
of oral contract claim. However, Count II is based entirely upon the alleged
agreement attached to the First Amended Complaint as Exhibit A. See Plaintiffs
First Amended Complaint at paragraphs 17 - 26.
13. As alleged by Plaintiff, Plaintiffs claim against Family Physician for
payment of a recruitment fee is only based upon the Later Placement provision of the
document attached to the Complaint as Exhibit A.

14. Therefore, Count II of the First Amended Complaint is based entirely
upon a written agreement.
15. Accordingly, Count II of the First Amended Complaint alleging breach
of oral contract is legally insufficient and must be dismissed.
WHEREFORE, Defendant Family Physician's Association of New
Cumberland respectfully requests that Count II of the First Amended Complaint be
dismissed.
PRELIMINARY OBJECTION TO COUNT IV IN THE NATURE OF
DEMURRER OR, IN THE ALTERNATIVE, IN THE NATURE OF MOTION
FOR MORE SPECIFIC PLEADING, AND MOTION TO STRIKE
16. Paragraphs 11 through 15 above are incorporated by referenced herein
as iffully set forth.
17. Count N of the First Amended Complaint alleges fraud. See First
Amended Complaint at paragraphs 32-35.
18. Count N alleges that Family Physician is obligated to pay CompHealth
a recruitment fee because Family Physician allegedly hired Dr. Alfieri permanently in
September of 1999.

19. Plaintiff seeks to recover in tort for what is essentially a breach of
contract claim.
20. Plaintiff has failed to state any conduct on part of Family Physician that
is actionable as an action for fraud, and, therefore, Count IV must be dismissed.
21. The Pennsylvania Rules of Civil Procedure require that averments of
fraud be averred with particularity. Pa. R.C.P. 1019(b).
22. Plaintiffs First Amended Complaint contains only conclusionary
allegations of fraud and, therefore, fails to conform to the Pennsylvania Rules of Civil
Procedure.
23. Furthermore, the Wherefore clause of Count IV of the First Amended
Complaint seeks punitive damages.
24. Count IV does not set forth a claim for punitive damages and
accordingly, request for such relief should be stricken.
