COMPLAINT
1. The Plaintiff is Mason-Norton Company, Inc., a corporation organized and
existing under the laws of the Commonwealth of Pennsylvania with an address of 310
South Tenth Street, Lemoyne, Cumberland County, Pennsylvania 17043.
2. The Defendant, TurnKey Construction, Inc. (hereinafter TurnKey), is an entity
duly organized and existing under the laws of the Commonwealth of Pennsylvania, with an
address of 2440 Lycoming Creek Road, Williamsport, Lycoming County, Pennsylvania
17701.
3. The Defendant, Fidelity & Deposit Co. of MD is engaged in the insurance
business, which includes the furnishing of surety bonds, and having an address of 720
Grant Building, Pittsburgh, Pennsylvania 15219.

4. On or about March 25, 1999, Plaintiff and Defendant TumKey entered into an
agreement for the purchase and delivery of certain items, as more fully set forth and
described on the quotation prepared by the Plaintiff, which is attached hereto as Exhibit
"A", which quotation was confirmed to by the Defendant via purchase order No. 798-0981,
as noted thereon, attached hereto as Exhibit "B".
5. The items were shipped and delivered by the Plaintiff to the Defendant TurnKey,
and final payment was due and owing 30 days thereafter, pursuant to the terms and
conditions of the parties' contract.
6. The Plaintiff billed the Defendant TurnKey for the full amount of the of the items,
after delivery, as stated on the invoices, copies of which are attached as Exhibit "C".
7. Pursuant to the terms of the contract, interest accrued at the rate of 12 percent
per annum, 30 days after each invoice.
8-. The Plaintiff has made partial payment on account of the invoices, leaving a
balance due of $34,000.00, plus continuing interest, as indicated on the statement attached
hereto and made a part hereof as Exhibit "B".
9: Despite demand, the Defendant TumKey has failed and refused to pay the
aforementioned unpaid balance plus interest as aforesaid.

10. Paragraphs 1 through 9 are incorporated herein by reference as if fully set forth
at length.
11. By reason of the contract with the Plaintiff, Defendant TurnKey is liable to the
Plaintiff for the aforesaid unpaid balance and interest.
WHEREFORE, the Plaintiff requests this Honorable Court to enter judgment in favor
of the Plaintiff and against the Defendant TurnKey in the amount of $34,000.00 plus
continuing interest at the rate of 12 percent per annum, plus costs of this proceeding.
COUNT II
MASON-NORTON V. FIDELITY & DEPOSIT CO. OF MD
12. Paragraphs 1 through 9 are incorporated herein by reference as if fully set forth
at length.
1~. The Plaintiff believes and, therefore, avers that the Defendant TurnKey
contracted with the East Lycoming School District, for the installation of the aforesaid
materials at the Hughesville Jr/Sr High School, in Hughesville, Pennsylvania.

14. Under said contract Defendant TurnKey agreed to furnish labor and materials for
said project.
15. Defendant TurnKey and Fidelity & Deposit Co. of MD executed and furnished to
the East Lycoming School District a joint and severable labor and material payment bond
for the protection of all persons supplying materials in connection with the performance of
the work provided for under TurnKey's constmction contract.
16. The bond was accepted by the owner and work was undertaken by TurnKey.
17. Thereafter, the Plaintiff supplied materials described in Exhibits "A" and "B".
18. The Plaintiff's prices were fair and reasonable market prices for the materials
provided.
19. All of the materials that were ordered, used and installed in and about the
constmction were at the project referred to above.
20. More than 90 days and less than one year has elapsed since the Plaintiff last
supplied materials to said project.
21. TurnKey has not paid the Plaintiff or anyone else for the full amount of materials
supplied by the Plaintiff nor has anyone else paid the Plaintiff, whereby there remains

justly due and owing to the Plaintiff under Linde's contract the sum of $34,000.00, plus
interest at the rate of 12 percent per armum.
22. The Plaintiff has complied with all conditions relating to and required under the
bond, as well as applicable statutes, and the Plaintiff is entitled to bring tbis action at tbis
time to recover from the Defendant the sums justly due and owing.
WHEREFORE, the Plaintiff requests tbis Honorable Coillt to enter judgment in favor
of the Plaintiff and against the Defendant Fidelity & Deposit Co. of MD in the sum of
$34,000.00 plus continuing interest at the rate of 12 percent per annum plus the cost of tbis
proceeding.

FOR SPECIALTY BUILDING PRODUCTS
L This quotation is subject ro change at withdtawal at any time as MASON-NORTON COMPANY, INC. is doing a brokerage
business, for specialry products used in Construction. All quotations are based on delivery of matetials within a reasonable time,
subject ro escalarion on a net basis, without profit or over head. Proof of changes in COst will be produced on request of buyer.
Material must be shipped within one year from the latest date of quotation, or order could be subject ro Facrory escalation,
2. This quotation does not include taxes of any kind; such as Federal, State, Local, Business or Privilege Taxes are not included,
Use taxes are not included. This quotation is subject to any future taxes or tax increase which may be imposed. Collection of
Taxes is for the convenience of the purchaser and will be remitted ro the Taxing Authority on his behalf. MASON-NORTON
COMPAl'IY, INC. assumes no responsibility for taxes unpaid by buyer.
3. MASON-NORTON COMPANY, INC. does not intend ro be bound ro any buyer based upon a contract which that buyer
may have with another party. Quotations are given in good faith for materials which are considered to be acceptable for the
project referenced, but it must be kept in mind that final approval is at the discretion of others over whom we have no control.
4, All guarantees on materials are the Manufacturers standard and no other warranty is made by MASON-NORTON
COMPANY, INC., just as all quotarions cover materials made to the standard specifications and details of the named
manufacturer, which is deemed ro be what is desired. Contracts which may be cancelled due to a third party interpretation of
the requirements, which vary from our own, shall impose no liability on MASON-NORTON COMPANY, INC. ro furnish
other materials or pay any part of the cost of so doing. Cancellation of this contract is subject to written acceptance of the
manufacturer, and MASON-NORTON COMPANY, INC. A minimum cancellation charge of ten percent may be imposed
on the buyer. Material is not to be returned without written permission.
5. Quotations include freight cost unless stated otherwise, however, shipment is EO.B. Factory for delivety to job, or ro the nearest
rail or truck terminal. Title of goods shall pass from the shipper to the buyer on receipt of a common carrier or by receipt given
to the delivering agent of the shipper, Collect shipments are ro be paid by buyer then deducted from account if applicable.
Damage claims, unloading of shipments and storage of same are the responsibility of the buyer. Notificarion of shorrages,
damages, and/or defecrive materials must be made to MASON-NORTON COMPANY, INC., the day of delivety. Material
deliveries are not to be refused under any circumstances.
6. MASON-NORTON COMPANY, INC. shall not be liable for any loss, damage, detenrion or delay caused by freight damages,
shortages, defective or incorrect material, or by circumstances beyond their control: Delivery dates are dependent upon the
performance of others, so they are given as probable, not as a guarantee of performance.
7. The acceptance of this quotation by a signature here-on, by telephone, facsimile, written purchase order or subcontracr, shall
constitute a contract of sale only after written acknowledgement by MASON-NORTON COMPANY, INC. Change orders are
accepted under the original terms and conditions of our Order Acknowledgment.
8. This quotarion shall be deemed a parr of the agreement between MASON-NORTON COMPANY, INC. and the buyer even
if not specifically mentioned in any written of verbal order given ro MASON-NORTON COMPANY, INC. by the buyet.
9. A written acknowledgement from MASON-NORTON COMPANY, INC. shall constitute an acceprance of the contract in
Cumberland County, Pennsylvania. MASON-NORTON COMPANY, INC. will only perform on rhe basis of the terms and
conditions herein stated, which terms shall govern, in case of conflicts between the buyer's order and this quotation. Any contract
which develops ftom this quotation may be assigned ro a third party for handling and/or collection of the account without any
liability on the parr of MASON-NORTON COMPANY, INC.
10. Terms of payment are 30 days net, after date of invoice, on full or partial shipments and interest will be charged at the rate of
120/0 annually on all over due accounts. No waiver of payment terms will be gran red for any reason if not requested in writing
before the 30 days expire.
In the event of default of the payment of any sums due hereunder, and upon the necessity of MASON-NORTON COMPANY,
INC. placing the collection of such sums in the hands of an attorney upon default, MASON-NORTON COMPAl'IY, INC.
shall be entitled to reimbursement of all reasonable and necessary atrorney's fees incurred for the collection of the same, and all
costs and expenses of collecrion, which amount shall be in addition ro all other sums due and owing hereunder.
11. Waiver and Releases of Liens will not be executed by MASON-NORTON COMPANY, INC. until full payments are received.
12. MASON-NORTON COMPANY, INC. accepts no parrial payments, retainages, liquidated damages, or backcharges without
previous written notification of problem and their costs. Any charges MUST have: the written acceptance of iviASON-
NORTON COMPANY, INC.

1. Defendant, TurnKey Construction, Inc., (hereinafter "TurnKey"), is a corporation
duly organized and existing under the laws of the Commonwealth of Pennsylvania, with a business
address of 2440 Lycoming Creek Road, Williamsport, Lycoming County, Pennsylvania, 17701.
2. Defendant, Fidelity and Deposit Company of Maryland, (hereinafter "F&D
Company"), is a corporation engaged in the insurance business including the furnishing of surety
bonds and having an address of720 Grant Building, Pittsburgh, Pennsylvania, 15219.
3. This civil action has been brought in the County of Cumberland on an alleged cause
of action which arose in Lycoming County.
4. The Defendant TurnKey has no place of business or resident office in the County of
Cumberland in the Commonwealth of Pennsylvania.
5. The Defendant F&D Company has no place of business or resident office in the

7. The Defendant F&D Company conducts minimal business within the County
of Cumberland in the Co=onwealth of Pennsylvania.
8. The Plaintiff is Mason-Norton Company, Inc., a corporation organized and existing
under the laws of the Co=onwealth of Pennsylvania (hereinafter "Mason-Norton") with an address
of 31 0 South Tenth Street, Lemoyne, Cumberland County, Pennsylvania, 17043. Refer to Mason-
Norton's Complaint ~ 1.
9. On or about March 25, 1999 Plaintiff Mason-Norton and Defendant TurnKey entered
into negotiations in Lycoming County for Defendant TurnKey's purchase of certain items including
aluminum windows and accessories. Said items are referenced in Plaintiff Mason-Norton's
Complaint at Exhibit "A".
Norton's sale to Defendant TurnKey certain windows and accessories as itemized on Plaintiffs
Complaint at Exhibit "A".
11. Plaintiff Mason-Norton agreed to deliver said windows and accessories to ajob site
at the Hughesville Junior/Senior High School in Hughesville, Lycoming County, Pennsylvania.
12. Plaintiff Mason-Norton, during the course of its relationship with Defendant
TurnKey, according to its Quotation at Exhibit "A" of Plaintiffs Complaint and according to its
invoice at Exhibit "C" to its Complaint, provided service and materials to Defendant TurnKey only
in the County of Lycoming in the Co=onwealth of Pennsylvania.

WHEREFORE, Defendant TurnKey and Defendant F &D Company request that judgment
be entered in favor of said Defendants against Plaintiff Mason-Norton because venue in Cumberland
County is improper, and transfer of this matter to the Lycoming County Court of Common Pleas is
warranted pursuant to Pa.R.C.P. 2179.

14. Plaintiff avers that Defendant TurnKey and Defendant F & D Company executed and
furnished to a third party a payment bond for the protection of all persons supplying materials in the
connection to the construction contract. Plaintiffs Complaint '\[15.
15. Plaintiff Mason-Norton avers in Count II of its Complaint that it "is entitled to bring
this action at this time to recover from [F & D Company] the sums justly due and owing." Plaintiff s
Complaint '\[22.

17. Plaintiff has no standing to bring this action against Defendant F & D Company.
18. Plaintiff has failed to attach to its Complaint the bond it avers to be in effect relative
to its Complaint. Plaintiffs Complaint '\[15.
19. Plaintiffhas failed to specify any details, including bond number and date ofissuance
relative to the payment bond it avers to be relative to its Complaint.
20. Plaintiff has misjoined the F & D Company as a Defendant in this matter.

WHEREFORE, Defendant Fidelity & Deposit Company of Maryland prays this Honorable
Court dismiss the action brought by Mason-Norton Company, Inc. for the legal insufficiency ofthe

payment bond it avers is relative to this matter.

AMENDED COMPLAINT
1. The Plaintiff is Mason-Norton Company, Inc., a corporation organized and
existing under the laws of the Commonwealth of Pennsylvania with an address of 310
South Tenth Street, Lemoyne, Cumberland County, Pennsylvania 17043.
2. The Defendant, TurnKey Constmction, Inc. (hereinafter TurnKey), is an entity
duly organized and existing under the laws of the Commonwealth of Pennsylvania, with an
address of 2440 Lycoming Creek Road, Williamsport, Lycoming County, Pennsylvania
17701.
3. The Defendant, Fidelity & Deposit Co. of MD is engaged in the insurance
business, which includes the furnishing of surety bonds, and having an address of 720
Grant Building, Pittsburgh, Pennsylvania 15219.

4. On or about March 25, 1999, Plaintiff and Defendant TurnKey entered into an
agreement for the purchase and delivery of certain items, as more fully set forth and
described on the quotation prepared by the Plaintiff, which is attached hereto as Exhibit
"A", which quotation was confirmed by the Defendant via purchase order No. 798-0981. as
noted thereon, attached hereto as Exhibit "B".
5. Pursuant to the terms of the Exhibits "A" and "B", the contract between the
party was formed in Cumberland County, Pennsylvania, upon acknowledgment by the
Plaintiff on April 19, 1999. A copy of the Acknowledgment is attached hereto and made a
part hereof as Exhibit "C".
6. The items were shipped and delivered by the Plaintiff to the Defendant TurnKey,
and final payment was due and owing 30 days thereafter, pursuant to the terms and
conditions of the parties' contract.
7. The Plaintiff billed the Defendant TurnKey for the full amount of the items, after
delivery, as stated on the invoices, a copy of which is attached as Exhibit "0".
8. Pursuant to the terms of the contract, interest accrued at the rate of 12 percent

9. The Plaintiff has made partial payment on account of the invoices, leaving a

at length.
14. The Plaintiff believes and, therefore, avers that the Defendant TurnKey
contracted with the East Lycoming School District, a contracting body under the Public
Works Contractors' Bond Law of 1967, for the installation ofthe aforesaid materials at the
Hughesville Jr/Sr High School, in Hughesville, Pennsylvania.
15. Under said contract Defendant TurnKey agreed to furnish labor and materials for
said project.
16. Pursuant to the aforementioned Public Works Contractors' Bond Law,
Defendant TurnKey and Fidelity & Deposit Co. of MD executed and fumished to the East
Lycoming School District a joint and severable labor and material payment bond for the
protection of all persons supplying materials in connection with the performance of the
work provided for under TurnKey's constmction contract. A copy of the Payment Bond is
attached hereto and made part hereof as Exhibit "E".

17. The bond was accepted by the owner and work was undertaken by TurnKey.
18. Thereafter, the Plaintiff supplied materials described in Exhibits "A" and "B".
19. The Plaintiff's prices were fair and reasonable market prices for the materials
provided.
20. All of the materials that were ordered, used and installed in and about the
construction were for the project referred to above.
21. More than 90 days and less than one year has elapsed since the Plaintiff last
supplied materials to said project.
22. TurnKey has not paid the Plaintiff or anyone else for the full amount of materials
supplied by the Plaintiff nor has anyone else paid the Plaintiff, whereby there remains
justly due and owing to the Plaintiff under Turnkey's contract the sum of $34,000.00, plus
interest at the rate of 12 percent per annum.
23. The Plaintiff has complied with all conditions relating to and required under the
bond, as well as applicable statutes, and the Plaintiff is entitled to bring this action at this
time to recover from the Defendant the sums justly due and owing.

FOR SPECIALTY BUILDING PRODUCTS
L This quotation is subject to change or withdtawal at any time as MASON-NORTON COMPAc'iY, INC is doing a brokerage
business, tor specialty products used in Construction. .All quotations are based on delivery of materials within a reasonable time,
subject to escalation on a net basis, without profit or over head. Proof of changes in Cost will be produced on request of buyer.
Material must be shipped within one year from the latest date of quotation, or order could be subject to Factory escalation.
2. This quotation does not include taxes of any kind; such as Fedetal, State, Local, Business or Ptivilege Taxes ate not indnded.
Use taxes are not included. This quotation is subject to any future ta.xes or ta.x increase which may be imposed, Collection of
Taxes is for the convenience of the putchaset and will be remitted to the Taxing Authority on his behalf. MASON-NORTON
COMPANY, INC assumes no tesponsibility for taxes unpaid by buyer,
3, MASON-NORTON COMPANY, INC does not intend ro be bound to any buyer based upon a conttact which that buyet
may have with another party. Quotations are given in good faith for materials which are considered to be acceptable for the
project referenced, but it must be kept in mind that final approval is at the discretion of others over whom we have no control.
4, All guatantees on matetials are the Manufacturets standatd and no othet warranty is made by MASON-NORTON
COMPANY, INC., just as all quotations cover materials made to the standard specifications and details of the named
manufacturet, which is deemed to be what is desited. Conttacts which may be cancelled due to a third patty intetptetation of
the tequitements, which vary ftom our own, shall impose no liability on MASON-NORTON COMPANY, INC to furnish
other materials or pay any part of the cost of so doing. Cancellation of this conttact is subject to wtitren acceptance of the
manufaCtutet, and MASON-NORTON COMPANY, INC A minimum cancellation chatge of ten percent may be imposed
on the buyer. Material is not to be returned without written permission.
5. Quotations include freight COst unless stated otherwise, however, shipment is EO.B. Factoty for delivery to job, Ot to the neatest
rail or truck terminal. Tide of goods shall pass from the shipper to the buyer on receipt of a common carrier or by receipt given
to the delivering agent of the shipper. Collect shipments ate to be paid by buyer then deducted from account if applicable.
Damage claims, unloading of shipments and storage of same ate the responsibility of the buyer, Notification of shortages,
damages, and!ot defective matetials must be made to MASON-NORTON COMPANY, INe., the day of delivery, Material
deliveries are not to be refused under any circumstances.
6. MASON-NORTON COMPANY, INC. shall not be liable fot any loss, damage, detention or delay caused by freight damages,
shortages, defective or incorrect material, or by circumstances beyond their control: Delivery dates are dependent upon the
performance of others, so they are given as probable, not as a guarantee of performance.
7. The acceptance of this quotation by a signature here-on, by telephone, facsimile, written purchase order or subcontract, shall
constitute a contract of sale only after written acknowledgement by IvL-\SON"NORTON COMPANY, INC Change otders ate
accepted under the original terms and conditions of our Order Acknowledgment.

INe. placing the collection of such sums in the hands of an attorney upon default, MASON-NORTON COMPANY, INC.
shall be entitled to reimbursement of all reasonable and necessaty attorney's fees incurted fot the collection of the same. and all
costs and expenses of collection, which amount shall be in addition to all othet sums due and owing hereundet.

4, It is admitted that Plaintiff and Defendant TurnKey entered into an agreement for
the purchase and delivery of certain items. Plaintiff's Exhibit "N', as a written document speaks
for itself Plaintiff's Exhibit "B" as a written document speaks for itself By way of further
answer, Plaintiff's Exhibit "N' was not accepted by Defendant TurnKey.
5, The Acknowledgment attached to Plaintiff's Complaint as Exhibit "c" is a written
document which speaks for itself
6. It is admitted that items were shipped and delivered by the Plaintiff to the
Defendant TurnKey. It is specifically denied that final payment was due and owing 30 days after
delivery, as the items shipped and delivered were damaged, were of quality inferior to that which
was contracted for, and were delivered late,
7. It is admitted that Plaintiff billed the Defendant TurnKey for the amount listed in
Exhibit "D". As a written document Plaintiff's Exhibit "D" speaks for itself By way of further
answer, the items were delivered late, were damaged, and were of inferior quality.

8, It is specifically denied that pursuant to the terms of the contract interest accrued
at the rate of 12% per annum, 30 days after each invoice, as payment was not due and payable in
light of the lateness, damage, and inferior quality of the items shipped.
9. It is admitted that Defendant TurnKey has made partial payment on account on the
invoices. It is specifically denied that a balance of$34,000.00 is due with interest, as the items
delivered by Plaintiff were of inferior quality, improperly sized, delivered late and were damaged.
10, It is admitted that Defendant TurnKey has paid $29,600.00 to Plaintiff. By way of
further answer, there is not a balance of$34,000.00 due and owing by Defendant TurnKey to
Plaintiff.

WHEREFORE, Defendant Fidelity & Deposit Company of Maryland requests this
Honorable Court to dismiss with prejudice Count II against Defendant Fidelity & Deposit
Company of Maryland.
24. The Plaintiff's claim against both Defendants is barred by an accord and
satisfaction fully executed by the Plaintiff and Defendant TurnKey.
2S. The Plaintiff is estopped by Defendant TurnKey's satisfaction ofthe accord
entered into by Plaintiff.
26, The Plaintiff's claim is barred by Defendant TurnKey's justification in making
payment in the actual amount remitted by Defendant TurnKey,

Paragraph No, 11 of the Payment Bond, attached hereto as Defendants' Exhibit No. L
31. Plaintiff has provided no Notice of Claim to Defendant Fidelity and Deposit
Company of Maryland, as required by the Payment Bond, Paragraph 4, Exhibit No. 1 attached
hereto,
32, Plaintiff is estopped in its claim against Defendant Fidelity and Deposit Company
ofMaIy1and by virtue of its breach of the Payment Bond conditions at Paragraph No, 4,
33. The Plaintiff contracted to deliver the windows ordered by Defendant TurnKey on
or before July 25, 1999,
34, The windows provided by Plaintiff to Defendant TurnKey were delivered on
September 10, 1999, in breach of the contract between Plaintiff and Defendant TurnKey,
35. The windows delivered by Plaintiff were required to be trimmed by Defendant
TurnKey by as much as 1 Yz inches, due to the delivered windows not complying with the
contracted specifications, in breach of the contract therefor.
36. In breach of the contract, the miters on the window sashes delivered by Plaintiff
had an exposed mill finish aluminum cut which required Defendant TurnKey to paint the
windows.
37, In breach of the contract, Plaintiff never supplied to Defendant TurnKey
warranties applicable to the materials purchased by Defendant TurnKey.
38. Twelve to sixteen of the integral blinds on the windows delivered by Plaintiff were
inoperable.
39, The glazing for the window sashes on the windows delivered by Plaintiffwas
smeared and needed to be touched up by Defendant TurnKey,

40. The spandrel panels delivered by Plaintiff were not within the specifications
contracted for by Defendant TurnKey.
41. Defendant Turnkey incurred $5,560.00 in additional labor costs as a result ofthe
Plaintiff's delay in delivering the items, and as a result of modifications needed to be made to the
materials by Defendant TurnKey.

tion in the terms "labor, materials or equipment" that
part of water, gas, power, light, heat, oil, gasoline,
