BARNES, as successor in interest to the Pat Anderson Insurance Agency and individually, Defendant CIVIL ACTION - LAW JURY TRIAL DEMANDED COMPLAINT Plaintiff Samuel L. Sims, by his undersigned counsel, Michael V. Brown, Esquire of Balaban and Balaban, files this Complaint against Defendant Donald E. Barnes and avers as follows: 1. Plaintiff Samuel L. Sims ("Plaintiff'), an adult individual who resides at 1133 East Valley Road (formerly, RD 1, Box 226), Loganton, Pennsylvania 17747, is a former insurance agent with the Pat Anderson Insurance Agency, and holds a certification of qualification issued by the Pennsylvania Insurance Commissioner with authorized powers to sell and solicit several lines of msurance. 2. Defendant Donald E. Barnes is an adult individual who, upon information and belief, resides at 715 Grampin Boulevard, Williamsport, Pennsylvania, and, as successor in interest to the Pat Anderson Insurance Agency, is the owner and operator of an insurance agency with its principal business office located at 519 Pine Street, Williamsport, Pennsylvania. 3. The amount in controversy exceeds Twenty-Five Thousand and 00/100 ($25,000.00) Dollars, which places it outside the limits for Compulsory Arbitration. -- ,",-- , " -Ir;:[;-". 4. From 1972 through June 1996, Plaintiff Samuel 1. Sims was employed as an independent contractor and sub-agent with the Pat Anderson Insurance Agency engaged in the sale and solicitation of insurance policies in the Commonwealth, pursuant to an oral contract with the Agency, which included Mr. Sims right to renewal commissions on the policies he produced. 5. While acting as an authorized sub-agent to the Pat Anderson Insurance Agency, Mr. Sims actively solicited the purchase of insurance products (policies) from prospective policyholders; took insurance applications; wrote and delivered policies and serviced policyholders for the Agency. 6. In exchange for performing his various duties as a sub-agent, Samuel Sims was paid commissions by the Pat Anderson Insurance Agency on new policies written by Mr. Sims and the renewals of those policies as long as the policies remained in place and the premium for the policies were paid. 7. Plaintiff Samuel Sims was vested in his right to receive renewal commissions on policies written through the Pat Anderson Insurance Agency, in 1973. 8. Part and parcel to his sub-agency agreement with the Pat Anderson Insurance Agency and consistent with the custom and practice of the insurance industry in the sale of Life, Accident and Health insurance, was the understanding that Mr. Sims' vested right to receive renewal commissions would survive his death and also survive his retirement from the Pat Anderson Insurance Agency. 2 - ~~ " -', 9. The amount of commissions paid to Mr. Sims by the Pat Anderson Agency was fifty percent (50%) of premiums on first year business and a flat ten percent (10%) rate on renewal business. 10. For approximately twenty-four (24) years, pursuant to terms of his sub-agency agreement with the Pat Anderson Insurance Agency, Mr. Sims received fust year and renewal commissions at the percentages set forth in paragraph nine (9) above from the Pat Anderson Insurance Agency on policies placed by him. Copies of commission statements documenting some payments to Plaintiff from the Pat Anderson Insurance Agency are jointly attached hereto as "Exhibit A" and incorporated by reference herein. 11. The payment of commissions to the Plaintiff from the Pat Anderson Insurance Agency ceased at the time of the death of its owner, Patricia D. Anderson, on June 20,1996. 12. On December 31, 1996, through a written agreement ("the Agreement"), the Estate of Patricia D. Anderson sold and transferred the Pat Anderson Insurance Agency with all its interests and assets therein to Defendant Donald E. Barnes. A copy of the December 31,1996 Agreement is attached hereto, incorporated herein and marked as "Exhibit B". 13. Prior to the execution of the December 31, 1996 Agreement (see, Exhibit B), Defendant Barnes, who was also an agent for the Pat Anderson Insurance Agency, assumed responsibility for the day to day operation of the Agency from June 20, 1996. 14. In or around July of 1996, Plaintiff was informed by Mr. Charles M. Billys that Defendant in his capacity as acting principal for the Pat Anderson Insurance Agency had promised 3 ,,~- " ~, "-~8 to resume commission payments to the agency's sub-agents once they were received from the applicable insurance companies. 15. Pursuant to paragraph 2 of the aforesaid Agreement (Exhibit B), Defendant assumed all responsibility for the operation of the agency, including the remittance of vested renewal commissions to Plaintiff accruing since June 20,1996. 16. Pursuantto paragraph 4 of the aforesaid Agreement (Exhibit B), Defendant assumed all responsibility for the debts and liabilities of the Pat Anderson Insurance Agency which accrued from June 20, 1996, including the remittance of vested renewal commissions to Plaintiff Samuel Sims. 17. Subsequent to July of 1996, Plaintiff Samuel Sims was informed by Mr. Charles M. Billys that the Defendant had breached the agreement of the Pat Anderson Insurance Agency to pay renewal commissions to its sub-agents, including Mr. Sims, by refusing to pay said sub-agents the vested renewal commissions to which they were entitled. 18. Plaintiff has not received renewal commissions from Defendant on any renewal business accruing since June 20, 1996. Count One - Breach of Contract 19. Plaintiff Samuel Sims acted at all times relevant as a sub-agent of the Pat Anderson Insurance Agency. 21. Mr. Sims' oral contract with the Pat Anderson Insurance Agency provided that Mr. Sims would solicit insurance policies for the Agency and in return would receive compensation in the form of commissions from the Pat Anderson Insurance Agency and its successor agency. 22. The Pat Anderson Insurance Agency receives and continues to receive renewal commissions on policies written by Mr. Sims, which commissions the Agency is wrongfully withholding from Mr. Sims. 23. Upon the transfer and sale of the Pat Anderson Insurance Agency to Defendant Barnes, Defendant Barnes unilaterally stopped making renewal commission payments to Mr. Sims. 24. As a result of Defendant's unlawful breach of contract by his refusal to pay commissions to Plaintiff, Plaintiff Samuel Sims has suffered damages in the loss of renewal commissions on business he placed with the Pat Anderson Insurance Agency. Count Two - AccountiDl~ 25. Paragraphs 1 through 24 of the Complaint are incorporated herein as if set forth in their entirety. 26. Defendant Donald E. Barnes, as successor to the Pat Anderson Insurance Agency, accepted and continues to accept direct payment of commissions from insurance companies for renewal business on policies written and/or placed by Samuel Sims. 5 " - -,- ,,:; 27. Plaintiff Samuel Sims is unable to determine the exact commissions to which he is entitled without all of the necessary account information, including but not limited to, collections of increases in premium amounts and lapsed policies, which is maintained by Defendant. Count Three - Uniust Enrichment 28. Paragraphs 1 through 27 of the Complaint are incorporated herein as if set forth in their entirety. 29. Since in or around June 20, 1996, Defendant Donald E. Barnes has refused to pay Plaintiff Samuel Sims renewal commissions on the insurance policies which he placed through the Pat Anderson Insurance Agency and to which he is vested. 30. Since in or around June 20, 1996, Defendant Donald E. Barnes has illegally retained the commissions of Samuel Sims as a windfall for his own use and benefit. 31. Defendant's retention of Plaintiffs commission constitutes unjust enrichment. Relief Reauested WHEREFORE, Plaintiff Samuel Sims respectfully requests this court to render judgment with regard to all Counts in its favor and against Defendant Donald E. Barnes, individually and as 6 ~ , successor in interest to the Pat Anderson Insurance Agency, for the following: a) Damages in an amount in excess of $25,000 for Plaintiff's loss of commissions, reasonable anticipated income and other losses; b) c) An Accounting; Damages for unjust enrichment; d) Interest; alld e) Such other relief as the Court may deem appropriate. "" - " "- AGREEMENT THIS AGREEMENT is made this 31 st day of December, 1996, by and between: THE ESTATE OF PATRICIA D. ANDERSON, by and through its Executor, Stephen B. Coslett, of 3282 S.E. River Vista Drive, Port St. Lucie, Florida (hereinafter referred to as "Seller") and DONALD E. BARNES, an adult individual who resides at 519 Pine Street, Williamsport, Pennsylvania (hereinafter referred to as "Buyer"). WITNESSETH: WHEREAS, Seller is the owner of any and all interest in the Pat Anderson Insurance Agency which was an asset of the decedent at the time of her death on June 20, 1996; and WHEREAS, Buyer was the sole remaining salesman for the agency and has continued to operate said agency since the date of decedent's death; and WHEREAS, Seller wishes to sell and Buyer wishes to purchase any and all interest in the said agency. NOW, THEREFORE, the parties hereto, in consideration of the above recitals, the mutually made and to be kept promises set forth hereinafter, and for other good and valuable considerations, and intending to be legally bound hereby and to legally 1 ~--~- " Co, _G_' - ..~, . pind their heirs, successors, assigns, personal representatives, do hereby covenant, promise, and agree as follows; 1: Seller shall transfer any and all interest that it may have in any assets or liabilities of the Pat Anderson Insurance Agency to Buyer, in consideration of the payment of ONE THOUSAND AND 00/100 {$1 ,000.00l DOLLARS, which was determined to be the fair market value of the agency per the appraisal of the decedent's accountant which is attached hereto and marked as Exhibit A. 2. Buyer shall continue to assume all responsibility for the operations of the agency, and is entitled to receive any and all income derived from any commissions that have accrued since the date of decedent's death until the date of this Agreement, and all those derived thereafter. 3. Seller shall contact any and all insurance companies advising them of the transfer of the agency to Buyer, and will take whatever steps are necessary to divest itself of any interest it may have relative to the insurance companies. 4. Buyer agrees to provide Seller with an allocation of any and all income derived by decedent until the date of her death which shall be attributable to her 1996 taxable income, and will be responsible for any and all income derived by the agency from the date of decedent's death on June 20, 1996, until the end of the year. (1) A DECREASE IN PERCENTAGE OF COMMISSIONS ON POLICIES WRITTEN, BY SEVERAL OF THE COMPANIES. (2) A DECREASE IN THE NUMBER OF COMPANIES FOR WHICH SHE WAS ABLE TO . WRITE INSURANCE. SOME COMPANIES WILL TERMINATE AN AGENT UNLESS A CERTAIN VOLUME OF BUSINESS IS WRI';t'TEN. (3) A LOSS OF SEVERAL AGENTS, WHO AFTER LEAVING, BEGAN TO WRITE POLICIES WITH THE SAME COMPANIES. ALTHOUGH HER BOTTOM LINE WENT FROM A LOSS OF $3309 IN 1992; A LOSS OF $8776 IN 1993, TO A PROFIT OF $9806 IN L994 AND $5893 IN 1995, THESE INqREASES WERE DUE TO THE MAJORITY OF WORK BEING DONE OUT OF HER HOME, THEREBY REDUCING OPERATING EXPENSES TO THE BONE. HOWEVER, THIS CERTAINLY IS NOT A LIVING TO BE EARNED BY A PERSON WITH THE RESPONSIBILITY OF OPERATING A BUSINESS AND ITS HEADACHES.
