ASSIGNMENT OF JUDGMENT
FOR VALUE RECEIVED, the undersigned PNC BANK, National Association does
hereby grant, bargain, sell, convey, transfer, assign and make over unto LAND HOLDING,
INC., its successors and assigns any and all right, title and interest it may have in and to a certain
judgment recovered by PNC Bank, National Association in the Court of Common Pleas for
Cwnberland County, Pennsylvania to docket number 2000-02847 against Edward V. Kellogg
and Mary E.P. Kellogg for the sum of One Hundred Ninety-Seven Thousand Seven Hundred
Seventy-Eight and 11/100 Dollars ($197,778.11), together with interest thereon at the rate
provided in the Note and costs of suit described in Plaintiff's Complaint; and together with all the
benefits and advantages that may be obtained thereby, and full power to enforce and recover the
judgment to its own and their own use. I further authorize and empower the prothonotary or any
attorney on behalf of the assignee to mark the judgment to the assignee's use.
IN WITNESS WHEREOF, the undersigned has caused this instrument to be executed

1. The name and address of the Plaintiff is PNC Bank, National Association, 4242
Carlisle Pike, Camp Hill, Cumberland County, Pennsylvania 17011.
2. The names and last known address of the Defendai1ts is 816 Anthony Drive,
Mechanicsburg, Cumberland County, Pennsylvania 17055.
3. Defendai1ts executed and delivered to Plaintiff a Promissory Note dated September
28, 1995 ("Note"), a true and correct photostatic reproduction of the original of which is attached
hereto as Exhibit "A" and made a part hereof.
4. Defendants are in default of Defendants' obligations to make payment to Plaintiff as
required in the Note, and Plaintiff has demanded payment in full of all outstanding amounts as
provided in the Note. A copy of Plaintiff's demand is attached hereto as Exhibit "B" and made a

with a consumer credit transaction.

DEFAULT. Borrower wiil be in default if any of the following happens: (a) Borrower faiis to make any payment when dUe. (b) Borrower breaks any
promise Borrower has made to Lender, or Borrower fails to comply with or to perform when due any other term, obligation, covenant, or condition
contained in this Note or any agreement related to this Note, or in any other agreement or loan Borrower has with Lender, (c) Borrower defaults under
any loan, extension of credit, security agreement, purchase or sales agreement, or any other agreement, in favor of any other creditor or person that
may materially affect any of Borrower's property or Borrower's abiiity to repay this Note or perform Borrowers obiigafions under this Note or any of the
Related Documents, (d) Any representation or statement made or furnished to Lender by Borrower or on Borrower's behalf is false or misleading in any
material respect either now or at the time made or furnished. (e) Borrower dies or becomes insolvent, a receiver is appointed for any part of Borrower's
property, Borrower makes an assignment for the benefit of creditors, or any proceeding Is commenced either by Borrower or against Borrower under
any bankruptcy or insolvency laws. (f) Any creditor tries to take any of Borrower's property on or in which Lender has a lien or security interest. This
includes a garnishment of any of Borrower's accounts with Lender. (g) Any of the events described in this default section occurs with respect to any
guarantor of this Note. (h) A material adverse change occurs in Borrower's financial condition, or Lender believes the prospect of payment or
performance of the Indebtedness is impaired.
LENDER'S RIGHT'S. Upon default, Lender may, after giving such notices as required by applicable law, declare the entire unpaid principal balance on
this Note and all accrued unpaid interest immediately due, and then Borrower will pay that amount. Upon default, including failure to pay upon final
maturity, Lender, at its option, may also, if permitted under applicable law, increase the interest rate on this Note 5.000 percentage points. The interest
rate will not exceed the maximum rate permitted by applicable law. Lender may hire or pay someone else to help collect this Note if Borrower does not
pay. Borrower also will pay Lender that amount. This includes, subject to any limits under applicable law, Lender's attorneys' fees and Lender's legal
expenses whether or not there is e iawsuit, inciuding attorneys' fees and legal expenses for bankruptcy proceedings (Including efforts to modify or
vacate any autom~fic stay or injunction), appeals, and any anticipated post-judgment collecfion servtces. If not prohibited by appUcable iaw, Borrower
also will pay any court costs, in addition te all other sums provided by law. If judgment is entered in connection with this Note, interest will continue te
accrue on this Note after judgment at the existing interest rale provided for in this Note. This Note has been delivered to Lender and accepted by
Lender In the Commonwealth at Pennsylvania. II there Is a lawsuit, Borrower agrees upon Lender's request to submit to IheJurlsdlcllon 01 the

RIGHT OF SETOFF. Borrower grants te Lender a contractual possessory security interest in, and hereby assigns, conveys, delivers, pledges, and
transfers to Lender all Borrower's right, title and interest in and to, Borrower's accounts with Lender (whether checking, savings, or some other
account), including without limitation all accounts held jointly with someone else and aU accounts Borrower may open in the future, excluding howev~r
all IRA, Keogh, and trust accounts. Borrower authorizes Lender, to the extent permitted by applicable law, to charge or setoff aU sums owing on thiS
Note against any and aU such accounts.
COllATERAl.. This Note is secured by a Mortgage dated September 28, 1995, to Lender on reai property iocated in CUMBERLAND County,
Commonwealth of Pennsylvania, all the terms and conditions of which are hereby incorporated and made a part of this Note.
GENERAl. PROVISIONS. Lender may deiay or forgo enforcing any of ils rights or remedies under this Note wilhout iosing them. Borrower and any
other person who $igns, guarantees or endorses this Note, to the extent allowed by law, waive presentment, demand for payment, protest and notice of
dishonor. Upon allY change in the terms of this Note, and un.less otherwise expressly stated in writin.g, no party who signs this Note, whether as maker,
guarantor, accommodation maker or endorser, shall be released from liability. All such parties agree that Lender may renew or extend, (r~peatedly and
for any length of time) this loan, or release any party or guarantor or collateral; or impair, fail to realize upon or perfect Lend~r's secunty Interest In the
collateral; and take any other action deemed necessary by Lender without the consent of or notice to anyone. All such parties also,agr:ee that Lend~r
