COMPLAINT IN CONFESSION OF JUDGMENT
1. The. Plaintiff, First Union National Bank, successor by
merger to CoreStates Bank, N.A., is a national banking associati0n
maintaining an office at 600 Penn Street, P.O. Box 1102, Reading,
PA 19601 (the "Bank") .
2. The Defendants, James R. Diem, Linda K. Diem, Glenn H.
Yohn, and Sharon M. Yohn, are adult individuals with a last known
address of 14441 Mountain Green Road, Willow Hill, Franklin
County, Pennsylvania 17271 (individually and collectively, the
" Defendants" ) .
3. On July 28, 1998, Diem and Yohn Swine Enterprises
executed and delivered to CoreStates Bank, N.A. a Commercial
Promissory Note in the original principal amount of $100,000.00,
together with an Explanation and Waiver of Rights Regarding
Confession of Judgment thereto (the "Note"). A true and correct
copy of the Note and Waiver of Rights are attached hereto as
Exhibit "A" and is incorporated herein by reference.
4. On July 28, 1998, the Defendants, James R. Diem and
Linda K. Diem, executed and delivered to CoreStates Bank, N. A.
their Guaranty agreement which contained a Confession of Judgment
clause and by which Defendants James R. Diem and Linda K, Diem
guaranteed payment of the obligations of Diem and Yohn Swine
Enterprises under the Note (the "Diem C;uaranty") .

5. On July 28, 1':98, the Defendants, Glenn H. Yohn and
Sharon M. Yohn, executed and delivered to CoreStates Bank, N.A.
their Guaranty agreement which contained a Confession of Judgment
clause and by which they guaranteed payment of the obligations of
Diem and Yohn Swine Enterprises under the Note (the "Yohn
Guaranty") . . A true and correct copy of the Diem Guaranty is
attached hereto as Exhibit "B" and incorporated herein by
reference. A true and correct copy of the Yohn Guaranty is
attached hereto as Exhibit "CN and incorporated herein by
reference.
6. The Plaintiff. has not assigned the Note, the Diem
Guaranty or the Yohn Guaranty and is the holder thereof.
7. Judgment has~ not been entered on the Note, the Diem
Guaranty or the Yohn Guaranty in any jurisdiction.
8. The Defendants have defaulted in their obligations under
the Note, the Diem Guaranty and the Yohn Guaranty due to, without
limitation, failure to make payments when due. The Note, Diem
Guaranty and Yohn Guaranty permit entry of judgment by confession
against the Defendants at this time.
9. Judgment is not being entered by confession against a
natural person in connection with a consumer transaction.
10. The, Defendants are liable to the Plaintiff under the
Note, Diem Guaranty and Yohn Guaranty as follows:

REGARDING CONFESSION OF JUDGEMENT

I. On the date hereof. Swine Enterprise, a(n) Partnership
(the "Obligor") is signing and delivering to CoreSlates Sank. N.A. (the "Sank,) a
Master Demand One Hundred

($ 100.000.00 );

(as the same may be renewed, modified, amended, extended. restated or replaced, whether one or more. the
"Obligation"). The Obligor has been advised by the Bank (and by the Obligor's legal counsel. if applicable) that the
Obligation contains a clause char provides that the Sank may confess judgment against the Obligor. The Obligor has
read the Obligation and cle:llly and specifically understands mat by signing the Obligation which contains such
confession of judgment clause:
(a) The Obligor is authorizing the Bank to enter ajudgment against the Obligor and in favor of the Sank,
which will give the Bank a lien upon any real estate which the Obligor may own in any county where tile
judgment is entered; ,
(b) The Obligor is giving up an important right to any notice or opportunity for a hearing before the entry
of this judgment on the records of the Court;
(c) The Obligor is agreeing that the Bank may enter this judgment and understands that the Obligor will
be unable to contest the validity of the judgment, should the Bank enter it, unless the Obligor successfully
challenges enlry of the judgment through a petition to open or strike the judgment, which will reCluire die
Obligor to retain counsel at the Obligor's expense;

(d) The Obligor may be giving up an important right to any notice or opportwrity for a hearing before
the Bank may request and use the power of the state government to deprive the Obligor of its property pursuant
to the judgment by seizing or baving the Sheriff or other official seize the Obligors bank accounts, inventory,
eCluipment, furnishings, or any other personal property that the Obligor may own, to satisfY the Obligatio~l; .
(e) The Obligor may be immediately deprived of the use of any property that is seized by the Bartk
pursuant to the judgment without notice or a hearing, and the procedural rules of Pennsylvania's court system
do not guarantee that the Obligor will receive a promPt hearing after the Obligor's property is seized: and
(1) If the Obligation is the Bank's printed fonn of Master Demand Note. Commercial Promissory Note
or Security Agreement, or a Master Note Agreement prepared by the Sank, the Obligor is agreeing that the
Bank may enter judgment whether or not there is a default under the Obligation,

Obligation contains a clause chat provides that the Bank may confess judgment against the Obligor. The Obligor has

(a) The Obligor is authorizing the Bank to enter a judgment against the Obligor and in favor of the Bank,
which will give the Bank a lien upon any real estate which the Obligor may own in any county where the

equipment, furnishings, or any other personal property that the Obligor may own, to satisfy the Obligation;
(e) The Obligor may be immediately deprived of the use of any property that is seized by the Bank
pursuant to the judgment without notice or a hearing, and the procedural rules of Pennsylvania's court system
do not guarantee that the Obligor will receive a prompt hearing after the Obligor's property is seized: and
(f) If the Obligation is the Bank's printed form of Master Demand Note, Commercial Promissory Note
or Security Agreement, or a Master Note Agreement prepared by the Bank, the Obligor is agreeing that the
Bank may enter judgment whether or not there is a default under the Obligation.
2. The Obligor knows and understands that it is the confession of judgment clause in the Obligation
which gives the Bank the rights described in subparagraphs (a) through (f) of para",araph 1 above.
3. Fully and completely understanding the rights which are being given up If the Obligor signs the
