COMPLAINT
1. Plaintiff Central Pennsylvania Ear, Nose & Throat Clinic, P.C., ("Central
Pennsylvania ENT") is a Pennsylvania professional corporation with its registered office
at 1 000 North Front Street, Suite 400-A, Wormleysburg, Cumberland County,
Pennsylvania, 17043.
2. Defendant is Central Penn Ear, Nose and Throat, or "CPENT, Inc."
("Central Penn ENT"), a professional corporation with a registered fictitious name of
Central Penn Ear, Nose and Throat, with a principal office address at 3242 Enola Road,
Carlisle, Cumberland County, Pennsylvania 17013.
3. Central Pennsylvania ENT filed its Articles of Incorporation with the
Pennsylvania Corporation Bureau on or about June 27, 1978. A true and correct copy

of Central Pennsylvania's ENT's Articles of Incorporation are attached hereto as Exhibit
"A".
4. Central Pennsylvania ENT filed Articles of Amendment -- Domestic
Business Corporation, changing its corporate name to Central Pennsylvania Ear, Nose
and Throat Clinic, P.C. with the Department of State on October 30,1991. A true and
correct copy of Central Pennsylvania ENT's Articles of Amendment - Domestic Business
Corporation are attached hereto and incorporated as Exhibit B.
5. As of at least October, 1999, Defendant, Central Penn ENT was doing
business as "Central Penn, Ear, Nose & Throat" and advertising and holding itself out to
the public using that name. A true and correct copy of a business card and promotional
mailing from Central Penn ENT from October, 1999 is attached hereto as Exhibit "C".
6. On or about November 2, 1999 Central Pennsylvania ENT, by and
through counsel, demanded that Central Penn ENT cease and desist using its
confusingly similar name. A true and correct file copy of Central Pennsylvania ENT's
counsel's demand letter is attached hereto and incorporated as Exhibit "D".
7. Despite Central Pennsylvania ENT's request that Central Penn ENT cease
and desist from using a name that was confusingly similar to Central Pennsylvania ENT,
Central Penn ENT proceeded to utilize said name.
8. Central Penn ENT made its application for registration of the fictitious
name "Central Penn Ear, Nose & Throat" on or about February 20, 2000 with the
Department of State. A true and correct copy of the Corporation Bureau Application for
register of Central Penn ENT's fictitious name is attached hereto and incorporated as
Exhibit "E".

9. Central Penn ENT's corporate name is confusingly similar to Central
Pennsylvania ENT's corporate name.
10. The Business Corporation Law of 1988 specifically prohibits corporate
names that are the same or confusingly similar to the name of any other domestic
corporation. In pertinent part, the statute reads as follows in Section 1303(b):
Duplicate use of names. - the corporate name shall not be the same as
or confusingly similar to: (1) The name of any other domestic
corporation. ..) 15 Pa.C.S. S1303(b).
11. Notwithstanding Central Pennsylvania ENT's requests, Central Penn ENT
has failed and refused to change its corporate name to a name that is not confusingly
similar to that of Central Pennsylvania ENT.
12. Central Penn ENT's had actual and constructive knowledge of the
confusing similarities of its name to Central Pennsylvania ENT's long-registered name
prior to filing its incorporation and fictitious name documents within the Corporation
Bureau.
13. Central Penn ENT's use of its confusingly similar name is ongoing and
continuous.
14. Central Penn ENT's use of a confusingly similar name has produced
numerous examples of actual confusion, to wit:
payments for patients of Central Pennsylvania ENT have been
inadvertently forwarded to Central Penn ENT's clinic; confusion of among
patients regarding the two corporations and their offices; confusion by
Health America with respect to audits of the companies.
15. Central Pennsylvania ENT has no adequate remedy at law.

WHEREFORE. Central Pennsylvania ENT prays that this Honorable Court grant
the following relief: (a) that an injunction be issued requiring the Central Penn ENT to
immediately change its corporate name to a name that is not confusingly similar to that
of the Central Pennsylvania ENT. and in the absence of such immediate change of
corporate name, revoking the Central Penn ENT's incorporation; (b) restraining and
enjoining Central Penn ENT, its agents, seNants and employees from using a name
confusingly similar to that of the Central Pennsylvania ENT; and (c) any such other and
further relief as this Court deems just and fair.

which has traded under this name for a number of years and established a reputation in
the community of Central Pennsylvania. It has been called to my attention that you are
trading under Central Penn Ear, Nose & Throat Inasmuch as my client has established
a right to the use of his clinic's name, which has been registered with the
Commonwealth of Pennsylvania as a professional corporation trading under said name,
your clinic's name has such a close resemblance that it is in violation of Pennsylvania
law.
I am asking you to immediately cease and desist from the use of this
name. In order to assure that you have complied with this request, I would ask that you
