Diller, Inc., Plaintiff Westwood Hills Associates, LLC, Defendant Docket No. t~>~-- ~-q~ Civil Action - Law COMPLAINT AND NOW, comes the Plaintiff, Boyd E. Diller, Inc.. by its attorneys. CGA Law Firm, who files the following Complaint averring that: 1. Plaintiff, Boyd E. Diller, Inc. ("Plaintiff"), is a corporation organized and existing under the laws of the Commonwealth of Pennsylvania, with offices at 6820 Wertzville Road, Enola, Cumberland County, Pennsylvania 17025. 2. Defendant, Westwood Hills Associates, LLC, ("Defendant"), is a limited liability company authorized and organized in the Commonwealth of Pennsylvania with its registered office located at RD 1, Box 368, Palmyra, Dauphin County, Pennsylvania 17110. 3. Defendant is the developer of land and improvements that is a residential subdivision located in East Pennsboro Township, Cumberland County, Pennsylvania, known generally as Westwood Hills that has been designated by Defendant as Westwood Hills Phase 1, Westwood Hills Phase I1 ("Phase W'), Westwood Hills Phase 2-A or I1-A ("Phase 2A"), Westwood Hills Phase 2-B or II-B ("Phase 2B"), Westwood Hills Phase III ("Phase Ill"), Westwood Hills Phase IV ("Phase IV"), and Westwood Hills Phase V ("Phase V"). 4. Defendant entered into contracts with Plaintiff for construction and work to be performed by Plaintiff to the land and improvements at Westwood Hills Phases II, 2A, 2B, IH, and IV, which included, but was not limited to, erosion control measures, site grading and preparation, sanitary sewer installation, storm sewer installation, street construction, water line installation, electrical trenching, gas line services, road widening, and sanitary trench excavation; and the following are the dates on or about the contracts were entered into by the parties and copies of the relevant documents, which are incorporated by reference herein and attached as described below: Phase of Westwood Hills (a) Phase II (b) Phase 2A (c) Phase 2B (d) Phase III (e) Phase IV Date of Contract: Exhibit: September 10, 1998 A February 28, 2001 B February 28, 2001 C July 1, 1998 and November 12, 1999 D September 10, 1998 E The work performed and materials supplied for Phase V were included in the invoicing and documents for Phase IV and will not be itemized separately. 5. Plaintiff completed its work as a contractor, hired by the Defendant, on or about the following dates: Phase of Westwood Hills: Completion Date: 16. Defendant received certain services, supplies, materials and work from Plaintiff as set forth above; and Defendant has failed to make complete payment, with no promise to do so in the near future. 17. As a result of Defendant's failure to make timely and complete payments, Defendant has been unjustly enriched by receiving the benefit of the services, supplies, materials and work provided by Plaintiff. 18. As a result of Defendant's unjust enrichment, Plaintiff has sustained, and will sustain, the damages as set forth above. WltEREFORE, Plaintiff respectfully requests that this Honorable Court enter judgment in its favor and against Defendant in the amount set forth in paragraph 8 above, together with pre and post judgment interest, court costs and attorney's fees, if applicable, in addition to any other legal or equitable relief that this Honorable Court deems to be just and appropriate. COUNT I11[ PROMISSORY ESTOPPEL 19. Paragraphs i through 18 are incorporated by reference herein. 20. Defendant promised to pay Plaintiff for the services, supplies, and work received by Defendant as set forth above. 21. Defendant intended that Plaintiff rely on Defendant's promises to pay; and Defendant did nothing to change or correct Plaintiff's reliance on the promises as Defendant performed the work as described above. All of the work performed, labor supplied, expenses paid and materials supplied by Plaintiff were done so with Defendant's complete knowledge and approval as the work was being performed. 22. Plaintiff did reasonably rely on Defendant' s promise to pay in a timely and complete manner. 23. As a result, Plaintiff has suffered a detriment for the damages as set forth above. WHEREFORE, Plaintiff respectfully requests that this Honorable Court enter judgment in its favor and against Defendant in the amount set forth in paragraph 8 above, together with pre and post judgment interest, court costs and attorney's fees, if applicable, in addition to any other legal or equitable relief that this Honorable Court deems to be just and appropriate. COUNT IV CONTRACTORS AND SUBCONTRACTORS PAYMENT ACT 24. Paragraphs I through 23 are incorporated by reference herein. 25. Plaintiff avers, upon information and belief, that six (6) or more residential units would have been under construction on the real property of Phases I1, 2A, 2B, III, and IV. Plaintiff would also include Phase V in this claim if it is determined that residential units were constructed. 26. Defendant has not paid Plaintiff either under the terms of the construction contracts, following the presentation of the last unpaid progress invoice, or the submission of the final invoice for payment in full, npon completion of the work at the Phases. 27. It has been more than twenty (20) days since Defendant has received the last progress invoices or final invoices, and Defendant has not paid the total outstanding balances. 28. Defendant asserts the following claims and damages pursuant to the Pennsylvania Contractors and Subcontractors Payment Act, 73 P.S. Sections 501 et seq.: a. the payment of the outstanding balances, as set forth in paragraph 8, that Defendant owes based on the work performed, expenses paid and materials supplied at Phase I; b. after the twenty-seventh (27th) day when the last unpaid progress invoice or final invoice was due after delivery, whichever is earlier, one percent (1%) interest per month, or fraction of the month, from the time when the payment is due from the Defendant and until Plaintiff is paid; c. a penalty of one percent (1%) per month of the amount that was wrongfully withheld: and d. reasonable attorney fees, in an amount to be determined by the Court or arbitrator, together with expenses incurred to collect and litigate upon the debt. It is admitted that Westwood Hills entered into a series of contracts with Plaintiff for certain work to be performed by various phases of Westwood Hills including, but not limited to, Phases II, 2A, 2B, III and IV. It is denied that Exhibit A to the Complaint represents a contract between the parties as it is an unsigned proposal. It is further denied that Exhibit B is a contract between the parties as it is also an unsigned proposal. It is further denied that Exhibit C is a contract between the parties as it is an unsigned proposal. It is admitted that page 2 of Exhibit D is a signed page 3 of a letter dated January 30, 1998 regarding Westwood Hills Phase III. It is deniied that the remaining pages other than page 2 represent a contract between the parties as they are of different dates and are unsigned. It is denied that Exhibit E is a contract between the p:~rtics as it is unsigned and undated. Westwood Hills. Denied. It is denied that Plaintiff completed its work on any of the phases in To the contrary, Plaintiff has yet to complete :its work in an acceptable and workmanlike manner. 6. Denied. It is denied that the "Job Cost History Reports" annexed to the Complaint as Exhibits F, G and H represent the contract amounts due and owing. To the contrary, these are documents that have never been seen by Defbndant and therefore Defendant denies the accuracy of their contents. Furthermore, it is denied that any of the terms of the proposal set forth as Exhibit B to the Complaint constitute a binding and enforceable contract. To the contrary, Westwood Hills has paid more than what was due and owing on the various contracts. 7. Denied. It is denied that Plaintiff completed[ the work at the various phases without complaint. To the contrary, Defendant complained on numerous occasions to Plaintiff regarding the defective and shoddy nature of the workmanship at the site. It is further denied that Plaintiff has performed all contingencies and conditions of the contract. To the contrary, the Plaintiff has failed to remediate defective and shoddy workmanship and complete portions of the work for which it was hired to do and for which it was already paid. 8. Denied. It is denied that Defendant owes any money to Plaintiff. It is specifically denied that Westwood Hills owes Defendant the amount set forth in paragraph 8 of the Complaint. Admitted in part, denied in part. It is admitted that from time to time Plaintiff would send invoices and other requests for payment to Defendant. It is admitted that Plaintiff has made demands upon Defendant to pay the outstanding balances. However, it is denied that the balances set forth in paragraph 10 are due and owing. It is admitted that, in an effort to resolve certain disputes regarding mechanic's lien claims which were later dismissed on preliminary objections, Defendant endeavored to pay a portion of the net proceeds of the sale of certain lots to Plaintiff in exchange for a release of liens. This was specifically predicaLted on the assertion that Defendant was not admitting any liability or culpability to Plaintiff for any sums due and owing. COUNT I - BREACH OF CONTRACT 12. Defendant is entitled to a set-offbecause Plaintiff failed to perform under the contract as bargained-for by the parties in that Plaintiff did not complete all of the work and the work that was performed was done in an unworkmanlike manner. COUNTERCLAIM Defendant Westwood Hills Associates, LLC, by' and through its attorneys, Stevens & Lee, sets forth the following counterclaim and avers as follows: 1. On or about September 10, 1998, PlaintiffDiller and Defendant Westwood Hills entered into a contract whereby Diller agreed to perform, and Westwood Hills agreed to pay for, certain services related to construction activities for a property commonly known as "Westwood Hills - Phase II." On or about February 28, 2001, PlaintiffDiller and Defendant Westwood Hills entered into a contract whereby Diller agreed to perform, and Westwood Hills agreed to pay for, certain services related to construction activities for a property commonly known as "Westwood Hills - Phase 2A." On or about February 28, 2001, PlaintiffDiller and Defendant Westwood Hills entered into a contract whereby Diller agreed to perform, and Westwood Hills agreed to pay for, certain services related to construction activities for a property commonly known as "Westwood Hills - Phase 2B." A true and correct copy of the agreement cannot be located at this time. 4. On or about July 1, 1998 and November 12, 1999, Plaintiff Diller and Defendant Westwood Hills entered into a contract whereby Dill[er agreed to perform, and Westwood Hills agreed to pay for, certain services related to construction activities for a property commonly known as "Westwood Hills - Phase III." A tree and correct copy of the agreement cannot be located at this time. 5. On or about September 10, 1998, PlaintiffDiller and Defendant Westwood Hills entered into a contract whereby Diller agreed to perform, and Westwood Hills agreed to pay for, certain services related to construction activities for a property commonly known as "Westwood Hills - Phase IV." A true and correct copy of the agreement cannot be located at this time. 6. Plaintiff performed some of the work specified in the contract but did so in an unacceptable and unworkmanlike manner. 7. Plaintiff failed to perform most of the work specified in the contract. 8. Plaintiff was hired to perform certain grading, top-soiling and seeding work, gas line trenching, sewer placement, clearing and grubbing and rough grading of the Westwood Hills phases at issue. 9. Plaintiff failed to perform its paving, stoning of the streets and first course of blacktop, 1,000 linear feet of curbing and the sewer line, storm sewer, street cut into subgrade, curb preparation and finish grading. 02/28/03/SL1 315723vl/68380.004 8 10. Finally, in or about September 2001, the Conservation District submitted a notice of violation to Westwood Hills Associates for wetlands violations caused by Plaintiff. Plaintiff performed clearing and grading work in an area that had been designated as wetland on the site plans. COUNT I - BREACH OF CONTRACT 11. Defendant Westwood Hills repeats and realleges the preceding paragraphs of this answer as if set forth at length herein. 12. Plaintiff and Defendant entered into a valid and binding agreement. 13. Plaintiff failed to perform its obligations under the contract, while Defendant fulfilled its obligations under the contract as they became due and owing. 14. Because Plaintiff failed to fully perform the contract, Defendant Westwood Hills was forced and will be forced to hire other contractors to complete the work and repair the poor workmanship of the work already performed. 15.
