COMPLAINT
The Plaintiff, MARTIN DALE-HUBBELL, by its attorneys, KODAK & IMBLUM, P.C.,
brings this action of Assumpsit against the Defendant to recover the sum of SIX
THOUSAND NINETY-TWO DOLLARS AND EIGHTY-EIGHT CENTS ($6,092.88), along
with interest thereon at the statutory rate as set forth herein, upon a cause of action of
which the following is a statement:

The Plaintiff, MARTINDALE-HUBBELL, is a corporation organized and existing
under the laws of the State of Massachusetts, having its principal office and place
of business at 121 Chanlon Road, New Providence, NJ 07974.
The Defendant, RUPP AND MEIKLE, a Professional Corporation, is a corporation
organized and existing under the laws of the Commonwealth of Pennsylvania,
having its principal office and place of business at 355 North 21St Street, Suite 205,
Camp Hill, Cumberland County, Pennsylvania 17001-0395.

3. On or about June 2, 2003, Defendant entered into a contract with Plaintiff whereby
Plaintiff would provide advertising and lawyer listings for Defendant in Plaintiff's
publication for the 2004 year. A true and correct copy of said June 2, 2003 contract
is attached hereto, marked Exhibit "A" and made a part hereof.
4. On or about March 16, 2004, Defendant entered into a contract with Plaintiff
whereby Plaintiff would provide advertising and lawyer listings for Defendant in
Plaintiffs publication for the 2005 year. A true and correct copy of said March 16,
2004 contract is attached hereto, marked Exhibit "B" and made a part hereof.
5. In consideration of said advertising and lawyer listing Plaintiff billed Defendant, per
the June 2, 2003 contract, the sum of Two Thousand Four Hundred Fifty-Nine
Dollars and Twenty Cents ($2,459.20) as set forth on Plaintiff's Statement of
Account attached hereto, marked Exhibit "C"and made a part hereof.
6. In consideration of said advertising and lawyer listing Plaintiff billed Defendant, per
the March 16, 2004 contract, the sum of Two Thousand Six Hundred Eighteen
Dollars and Twenty Cents ($2,618.20) as set forth on Plaintiff's Statement of
Account attached hereto, marked Exhibit "C"and made a part hereof.
7. The prices charged for said labor performed and services provided were just and
reasonable, were the legal and market prices therefor and were the prices which the
Defendant contractually promised and agreed to pay to Plaintiff.

8. The balance due and owing by Defendant to Plaintiff is the sum of Five Thousand
Seventy-Seven Dollars and Forty Cents ($5,077.40), as appears by Exhibit "C"
hereto.
9. Due to the default of Defendant, and pursuant to the terms and conditions of the
Contracts executed by Defendant and attached hereto as Exhibits "A" and "B",
attorney's fees in the total amount of One Thousand Fifteen Dollars and Forty-Eight
Cents ($1,015.48) have been added to said account.
10. Plaintiff frequently demanded payment from Defendant of said amount due and
owing as aforesaid, but Defendant refused and neglected and still refuses and
neglects to pay said amount or any part thereof.
WHEREFORE, Plaintiff brings this suit to recover from Defendant the sum of SIX
THOUSAND NINETY-TWO DOLLARS AND EIGHTY-EIGHT CENTS ($6,092.88), along
with interest thereon at the statutory rate as set forth herein.

LAWYER HOMEPAGES/PREMIUM WEBSITES - TERMS AND CONDITIONS
1. DEFINITIONS.'MH' means Martindale-Hubbell, a division of Read Elsevier Inc. 'You" and "your' mean the persson,or 110% named in the Agreement. 'Agreement' means the order form between you and MH that
incorporates these terms and conditions. "Service' means the'LHP Service' or'LHP Plus Service Qr'PfemiurA Web Site Service' as described in paragraph 2 below. 'LHP Web Site' means LHP or LHP Plus or Premium
Web Site created under the Agreement, including domain name, user interface, all related technology, Nnteet A Software. 'Content' means any text grsphlos, pictures, audio or video appearing in the LHP Web Ske.
.Your Content" means any Content provided by you for use in the LHP Web Site. 'Software: means any software and related tools that MH makes available for your use in connection with the LHP Web Site.'MH Law
Directory' means the Marindsle-Hubbell Law Directory, the preeminent directory of lawyers and law firms.'MH Edition Year' means the applicable yearly edition of the MH Law Directory. 'MH Lisbng' means your
professional biographies appearing in the MH Law Directory. 'Online Directory means the content of the MH Law Directory searchable at or through MH Web Sites and certain Web sites that MH partners with.'MH Web
Sites" means Web sites owned by MH including wyn law m s cum.
2. LHP AND LHP PLUS AND PREMIUM WEBSITE SERVICE. Subject to the terms of the Agreement, MH agrees to provide you with the Service specified in the Agreement with reasonable skill and care and you
agree to pay MH the applicable fees for to Service and to promptly provide MH with Information It requests to perform the Service. 1-HP Service Includes: LHP Web Site construction and hosting, up to 15 pages of
Content; preferred positioning in the Online Directory and links from the MH Web Sites; a personalized Web address: automatic updates In conjunction with updates to your MH Listing and unlimited updates to other
sections; an interactive map feature; registration with search vehicles; and client feedback fours. LHP Plus Service also includes: 10 additional pages of Content email capabilities for up to 15 users; and a unique Web
address that you own. Premium Web Site service also Includes 10 additional pages of content above the number available with the LHP Plus Service; secure email capabilities for an unlimited number of attorney users;
a unique web address that you own; the Search Placement Pro product and 4 hours of development assistance. Unused development assistance purchased for a particular year will not be carried over to subsequent
years. 4 new hours of new development assistance will be incuded with your renewal of the Prer ium Web Site service. Additional features for the Service may be available for purchase separately. MH generally will
make the Service available seven days a weak, twenty-four hours a day, except for certain periods during which MH may shut down the Service for the purposes of system upgrades, maintenance, or backup procedures,
plus other times as determined in MH's sole discretion as required for major upgrades or maintenance. In addition, there may be events that from time to time will make the system inaccessible for a limited amount of
time due to unforeseen software, hardware, network, power and/or Internet outages. MH will we reasonable commercial efforts to promptly restore access In the event of such unforeseen circumstances.
3. ONLINE DIRECTORY. As a customer of the Service, your MH Listing will be displayed in Onlne Directory search results before lawyers and firms that are not customers of the Service. MH will place one or more
links to the LHP Web Site from your MH Listsg in the Online Directory. The LHP Web Site will be indexed in the Online Directory based upon Information contained In your MH Listing (e.g., geographic location, cross-
reference listing, firm and attorney level areas of practice, and language capabilities). Placement and presentation of the LHP Web Site and links thereto are subject to layout and other organizational elements that MH
may modify from time to time. MH will use commercially reasonable efforts to maintain sinner relative priority of your MH Listing in the Online Directory and links to the LHP Web Site after any such modifications.
4. CUSTOMIZED WEB ADDRESS. The LHP Service includes a personalized Web address for the LHP Web Site wing your firm name of up to 25 characters within the 1me1sJ8spmfs.rsm domain name owned by MH
(i.e., bmmLjIbsodlm fgm;yourfrmname). Web addresses for the LHP Service are designated on a 'firat-come, first-served' basis and MH reserves the right to refuse permission to we any Web address that utilizes the
amm I.Weirs.co domain, in the exercise of MH's ownership rights to such domain name. Under the LHP Plus Service and Premium Web She Service, MH will akher register one unique domain name for you as owner
at no charge (e.g., www.yourfrmname.com) or, h you own an existing domain name, assist you In the transfer of such domain name to MH to host the LHP Web Site on your behalf, provided, however, that you and the
host of any existing Web she and/or domain name you own are solely responsible for proper and effective transfer of the domain name. You are solely responsible for any Infringement of the intellectual property rights of
others when selecting, displaying, advertising, and using a domain name for the LHP Web Ste and for any related liability incurred by MH and/or those acting on Its behalf. You warrant that you are the owner of, or are
authorized by the owner of, any trademark or name used In the domain name for the LHP Web Site. Registration of domain names is subject to availability of the requested name and the procedures, rules, regulations,
end policies of the registry administrators and other governing authorities, including the Internet Corporation for Assigned Names and Numbers ('ICANN'). You agree to be bound by these procedures, rules, regulations,
and policies, and hereby appoint MH as your agent for the purpose of such registration, including the execution of any documentation necessary for registration. MH does not guarantee the availability of domain names
and is not liable to you for any errors, omissions or any other actions by the registry administrators or other authorities related in any way to your domain name registration. Termination of the Agreement with respect to
LHP Service terminates your right to use the personalized domain name or any domain name staring with the prefix 1www.lawyers m." Upon termination. of the Agreement with respect to the LHP Plus Service and e
written request by you within 30 days of such termination, MH will cooperate in the transfer of the applicable unique domain name for such service to you or another service provider designated by you; provided,
however, that you are solely responsible for proper and effective transfer of the domain name, and after such termination and/or transfer you or your service provider are solely responsible for all administrative
responsibilities or the domain name. If upon termination of the LiiP Plus Service you fail to provide a timely written request to transfer your domain name and the administration thereof to you or another service provider.
MH has the right in Its sole discretion to cancel the domain name registration or let such registration lapse, or to direct users that access the domain name to any MH Web Site and/or your MH Listing in any MH Web

5. SEARCH VEHICLE SUBMISSIONS. MH will arrange for the LHP Web Site to be registered with one or more third-party, search engines or directories. MH does not own or control such search engines and
directories and therefore makes no representations or warranties that the LHP Web Site will be accepted or indexing, the speed with which it will be indexed, the accuracy with which it will be indexed, that it will be listed
or ranked in any particular manner or order within search engines or directories, or that the indexing will be maintained by such search engines or directories.
6. ONLINE PAYMENT FACILITY. The Service provided to you under this Agreement may include, in MH's sole discretion, compatibility with a feature that enables you to accept credit card payment for certain
transactions via the LHP Web Site. Your use of such feature Is subject to you being approved and accepted for such feature by the third-party provider of such feature and your acceptance of the separate terms and
conditions required by the third-party provider of such feature. You acknowledge that MH is not the provider of this feature and shall not be liable to you for any acts or omissions of such third-party provider or any
damages to you or others who utilize such feature.
7. ELIGIBILITY; TERM OF AGREEMENT AND SERVICE; TERMINATION. You are eligible to purchase and receive the Service only while you are eligible for, purchase, and maintain an MH Listing. Unless earlier
terminated as provided herein, the tern of the Sella cams for the term of the MH Edition Year for which you have purchased or renewed on MH Listing, and automatically renews with the renewal of your MH Listing. MH
may terminate the Agreement and the Service If you breach any term of the Agreement and fail to sae such broach within 30 days after receiving notice of the breach from MH. Upon termination, your. right to me the
