First and Final Account of Trustee was filed on September 1, 2006 with the Clerk of
Orphans' Court for Cumberland County, P A. This Account was not adjudicated.

Family Irrevocable Trust under agreement, dated September 6, 2002.

Settlor, Catherine A. McKinney, conveyed 603 Fairway Dr., Camp Hill, Cumberland
County, P A to the Trustee on 10/02/02. The Trustee received two MetLife Annuities
Nos. 550008217 and 550008223 from Settlor on 05/02/03.

5.02 General Power of Appointment. Catherine A. McKinney is hereby granted the
general power to appoint some or all of the principal of this Trust to herself, her estate or
any other individual, in such proportions and upon such terms (in trust, outright gifts or
in any other manner) as she deems advisable. This power shall not be exercised under
her Will. If Settlor fails, either in whole or in part, to exercise this general power of
appointment herein granted, the unappointed principal shall continue in trust and shall be
administered according to the terms of this Trust.
10. Explain the reason for filing this Account (if filed because of the death of a party, state
name of person, relationship to Trust and date of death):
This Amended First and Final Account of Trustee is filed pursuant to that certain
Opinion and Order of Court, entered on December 27,2006, by the Honorable 1. Wesley
Oler, Jr. Judge of the Orphans' Court. Paragraph 2 of the said Order required the filing of
an Amended First and Final Account within 30 days of the date of the order.

No petition for a Guardian/Trustee Ad Litem has been filed because both of the
Petitioners, Catherine A. McKinney and Patricia M. Kilkenny, are sui juris.

On January 25, 2007, per certified mail return receipt, a deed duly executed by Trustee,
for 603 Fairway Drive, Camp Hill, Cumberland County, P A; a MetLife Annuity No.
550008217, together with completed transfer documents; and a MetLife Annuity No.
550008223, together with completed transfer documents, were received by Michael L.

and Patricia M. Kilkenny. Thus, as of January 25, 2007, the only assets remaining in this
Trust are income cash of$I,695.67 and principal cash of$I,538.72. The total of that cash
is $3,237.39.
The Trustee's position is that the only issues to be resolved are the discharge of the
Trustee and, in connection with the full termination of the Trust, the amount of the
Trustee's fees for the months of July 2006 through December 2006, inclusive; the
Trustee's fee for preparation of the fiduciary income tax returns for the tax year ending
December 31, 2006; the amount of the Trustee' s Termination fee; and the amount to be
allowed as legal fees attributable to preparation of the original First and Final Account.
The Trustee requests a fee of$750.00 for the six (6) months of July 2006 through
December 2006, inclusive. The monthly fee of$125.00 equals one-twelfth (l/12th) of the
minimum annual fee of $1 ,500.00, as contained in the fee schedule applicable to
Irrevocable Trusts such as the Patricia M. Kilkenny Family Irrevocable Trust.
The fiduciary income tax return preparation fee of$275.00 is the same fee that was
charged on March 14, 2006 for the tax year ending December 31, 2005.
The Trustee requests a Termination Fee of$I,851.55 that is comprised of the fees
actually charged for the months of January and February 2006, plus $125.00 per month
for the months of March though December 2006, inclusive. The Account Termination
Fee was calculated in accordance with the terms of the fee schedule applicable to
Irrevocable Trusts such as the Patricia M. Kilkenny Family Irrevocable Trust.
The Trustee requests the sum of$I,388.50 as the legal fees attributable to preparation of
the First and Final Account filed with the Clerk of Orphans' Court for Cumberland
County, Pennsylvania on September 1, 2006.

14. Written notice of the Audit as required by Pa. a.c. Rules 6.3, 6.7 and 6.8 has been or will
be given to all parties in interest listed in item 15 below. In addition, notice of any
questions requiring Adjudication as discussed in item 13 above has been or will be given
to all persons affected thereby.
A. If Notice has been given, attach a copy of the Notice as well as a list of the names
and addresses of the parties receiving such notice.
B. If Notice is yet to be given, a copy of the Notice as well as a list of the names and
addresses of the parties receiving such Notice shall be submitted at the Audit
together with a statement executed by Petitioner(s) or counsel certifying that such
Notice has been given.
C. If any such party in interest is not sui juris (e.g., minors or incapacitated persons),
Notice of the Audit has been or will be given to the appropriate representative on
such party's behalf as required by Pa. a.c. Rule 5.2.
D. If any charitable interest is involved, Notice of the Audit has been or will also be
given to the Attorney General as required under Pa. a.c. Rule 5.5. In addition,
the Attorney General's clearance certificate (or proof of service of Notice and a
copy of such Notice) must be submitted herewith or at the Audit.

County, Pennsylvania, on or before February 2,2007, and that the Clerk will present the same to
the Court for confirmation, audit and distribution on March 6, 2007. Any person who objects to
the transactions shown in the Account must file written objections with the Clerk on or before 9
a.m. on March 6, 2007, or the Court may otherwise assume that no objections exist or that any
objections have been waived.
