On March 9, 1998, letters testamentary were granted to Petitioner and Respondent (collectively as "Parties"). The Parties were named co-executors and aze now serving i¢ that capacity. 7. Respondent also serves as legal counsel to the Estate. 8. Irreconcilable differences have arisen between Petitioner and Respondent with regard to administratio� of the Estate. 9. Respondent has failed and/or refused to cooperate with Petitionec with respect to administration ofthc 8state. ]0. Hendershot("Neil'}, as a co-exe�dtor of the Estate ofEmily F. Hendershot, deceased, in his capacities as a fiduciary of the Estate and also as a one-third residuary beneficiary of the Estate, in response to that"Petition for Leave to Resign", dated March 20, 2015 (the"Petition"}, filed by Dennis C. Hendershot, as the other co-executor of the Estate. Service and Response The Petition was served upon Neil by United States Mail, which was received by Neil on Friday, April 6, 2015. Although the underlying Order and Citation were dated March 25, 2015. Neil should have a right of reply within twenty days of service upon him, which would state a return date of April 26, 2015, so that this Answer is timely filed. Answers to the Allegations of the Petition 1. Admitted, with clarification. Dennis is also a one-third residuary beneficiary of the Estate, and has accepted distributions in the past from the Estate. 2. Admitted, with clarification. Neil is also a one-third residuary beneficiary of the Estate, and has accepted distributions in the past from the Estate. By way of further answer, the third equal residuary beneficiary is Linda C. Ziegler ("Linda', 5246 Strathmore Drive, Mechanicsburg, PA 17050, who has not been served with a copy of the Petition, but who is affected by it. Absent service upon her, the relief requested by Dennis cannot be granted by this Court. 1 3. Admitted. Emily F. Hendershot is referenced in this Answer as either the"Decedent" or as"Mother", since Dennis, Neil, and Linda are all her natural children. 4. Admitted. S. Admitted. 6. Admitted. 7. Denied. Neil serves only as a co-executor, but the law firm with which he is associated does not serve as legal counsel for the Estate. That law firm has not entered an appearance in the Estate's administration. Neil has filed Annual Reports listing his home address when he filed as a co-executor. No one at this law firm has communicated with Dennis since Neil entered into that association in 2010, including any consultation regarding the matters set forth in the Petition. This law firm has not billed the Estate anything, and does not maintain an open file or a client relationship. 8. Denied. This is a legal conclusion to which no responsive pleading is required. However, to the extent that this allegation pleads a fact or assets a relevant legal position, it is denied; and proof thereof, if relevant, is demanded at trial. By way of further answer, Neil states as follows: a. The"irreconcilable differences" referenced by Dennis arise from a disagreement between Neil and Dennis as to the appropriate time for distributions, manner of valuations for in-kind distribution of Estate assets during administration since approximately 2006, the impropriety of an in-kind distribution initiated unilaterally by Dennis in April, 2014, in conjunction with Linda, but without notice to Neil, as to land in York County held by the Estate, and the remaining administration of the Estate following Neil's disagreement with Dennis over the effect of that distribution and the completion of remaining in- kind distributions or sales of three remaining tracts of unimproved land located in Union Township, Fulton County, Pennsylvania. b. By citing "irreconcilable differences", Dennis ignores the appropriate disagreement of Neil, both as a fiduciary and a beneficiary, but does not inform the Court as to the nature of such disagreements. c. Instead, Dennis pleads this allegation and other conclusions of law and factual statements that are partially or completely false, which are denied below, while 2 seeking to relieve himself of both accountability and liability as a fiduciary to Neil as a beneficiary. d. Dennis severed all communications with Neil, as set forth below. e. Dennis has not provided justification for his request to resign as a Co-Executor or cited facts sufficient to grant the relief requested from the Court. f. This Answer's responses to other averments of the Petition are incorporated by reference in the response to this Paragraph's allegations. 9. Denied. This is a legal conclusion to which no responsive pleading is required. However, to the extent that this allegation pleads a fact or assets a.relevant legal position, it is denied; and proof thereof, if relevant, is demanded at trial. By way of further answer, Neil states as follows: a. Neil has cooperated with Dennis in his requests for information, for meetings, and for equitable and fair distribution of the Estate, considering the equal one- third shares of Dennis, Neil, and Linda required by the Decedent's Will. b. To the contrary, for more than ten years, Dennis chose not to involve himself in the administration of the Estate, leaving all aspects of its administration solely to Neil. c. During this time, Neil believes that he held an intention not revealed to Neil about the York County Land. —to distribute the York County Land to Linda without equalization of interests. d. Dennis failed to cooperate and communicate his intentions with Neil since approximately October, 2008. At that time, when the Estate was ready for distribution, Dennis refused to distribute or sell certain unimproved land owned by the Estate located in Newberry Township, York County, consisting of 26.583 acres located along River Road with frontage on Grandview Drive (the"York County Land'), after the Estate received a real estate appraisal report, dated October 6, 2008, prepared by Clauser Real Estate Appraisals (the"Appraisal Report'. e. The Appraisal Report was entitled "Appraisal Report for Dennis Hendershot". It stated, on page 1: "My client and only intended user are Dennis Hendershot, Neil Hendershot, and the Estate of Emily Hendershot". 3 f. Nevertheless, Neil believes and therefore alleges that he provided the Appraisal Report to Linda when issued George Clauser to the Estate. g. The Appraisal Report listed the value of the York County land at $350,000.00, in an "as is"condition as of August 6, 2008.1 h. Neil desired to sell the York County Land in 2008 after receiving the Appraisal Report. That would have been consistent with the intentions of his parents to increase the value of the land as an investment for the ultimate benefit equally of all three children. This intention was expressed to Neil by both his father, Clyle R. Hendershot, who acquired the land when Neil was in early years of college, but who died in 1980, and also later by his Mother, who acknowledged before her death the forthcoming financial obligations and needs of Dennis to educate his two children, of Neil to educate his four children, and of Linda to educate her three children. i. As to the alleged failures or refusals to cooperate in the administration, such deficiencies were all those of Dennis, who did virtually nothing following the death of the Decedent in 1998. j. Neil addressed all initial Estate administration matters, including death taxation, until the Decedent's residence was sold on April 20, 2006, after considerable prolonged efforts by Neil alone. k. Neil and Dennis cooperated in arranging George Clauser to appraise the York County Land, and Dennis received the report. Neil and Dennis also cooperated in obtaining valuations for three tracts of unimproved land located in Union Township, Fulton County, Pennsylvania (the"Fulton County Lands'. I. Thereafter, for reasons unknown at that time and until 2014 by Neil, Dennis refused either to sell or to distribute in-kind, for actual market values per the appraisals obtained by the Estate or for current market value, either the Fulton County Lands or the York County Land, or to distribute equalizing of cash in the Estate resulting from sale of the Decedent's residence. 1 For privacy purpose of family members,the Appraisal is not attached for the record. However,a copy is provided to Dennis upon service of this Answer,and a copy can be provided to the Court,in camera.,prior to a hearing. 4 m. Neil consistently asserted, and believed, that the market value of the York County Land should be the basis for an equal distribution among all three beneficiaries. n. During the ensuing years, from 2008 to 2013, Dennis did nothing in the administration of the Estate. i. Neil addressed a suitable memorial for his Mother at Rolling Green Cemetery, which had been neglected by Dennis and Linda. ii. Neil dealt with a forestry company for timbering upon the York County Land. iii. Neil, from Estate funds, paid York County real estate taxes assessed annually. iv. Neil alone filed Annual Reports, indicating that administration should be concluded in a reasonable time, but Dennis still would not distribute at fair market value or sell the York County Land. v. Neil met with adjoining landowners regarding potential encroachments upon the York County Land, and arranged for markers and "No Trespassing"signs to be posted. vi. Neil responded to Newberry Township concerns about dumping along River Road on the York County Land. vii. Neil reported such matters to Dennis periodically, who showed no interest in such matters and who did nothing to lift the burdens from Neil. o. Neil did not take any commissions as a co-executor for such prolonged efforts, which preserved the value of the York County Land and the Fulton County Lands. p. This Answer's responses to other averments of the Petition are incorporated by reference in the response to this Paragraph's allegations. 10. Denied. This is a legal conclusion to which no responsive pleading is required. However, to the extent that this allegation pleads a fact or assets a relevant legal position, it is denied; and proof thereof, if relevant, is demanded at trial. By way of further answer, Neil states as follows: a. Neil did not fail or refuse to cooperate with Dennis. Instead, Neil was open with Dennis about his periodic efforts required to administer the Estate. Dennis did 5 not express any interest in administering the Estate or in distributing it, until approximately January, 2014. b. To the contrary, Dennis'failure from 2008 through 2013, to involve himself or participate in the administration of the Estate resulted in the complete burden of Estate matters to fall upon Neil, while Dennis did nothing. c. The"necessary business"of the Estate remained its final distribution, which Dennis refused to conduct after 2008. d. This Answer's responses to other averments of the Petition are incorporated by reference in the response to this Paragraph's allegations. 11.Agreed in Part; Denied in Part. It is admitted that certain years'Annual Reports were not filed timely. It is denied that Neil had any responsibility to file such Annual Reports as counsel for the Estate. It is denied that Neil was solely responsible to file such Annual Reports or that Dennis had no knowledge of such matters. a. To the extent that such filings are implied to be the sole responsibility of Neil, this allegation is denied. For those years in which Annual Reports were not filed timely, Dennis also received notification. Dennis never responded to those notices. b. Despite his equal responsibility to file Annual Reports, Dennis never signed or filed an Annual Report. Neil filed all Annual Reports and sent copies to Dennis. c. Neil filed all Annual Reports, which are current to date, as an individual, and never as counsel for the Estate. d. Dennis did not object to such filings made by Neil until the presentation of his Petition. His allegation is made by one with unclean hands, who failed ever to file such an Annual Report, and who waived any objection to such matters repeatedly. e. The dilatory filing of Annual Reports is not a ground for the resignation of Dennis from his fiduciary duties, and does not support the relief requested in his Petition. f. This Answer's responses to other averments of the Petition are incorporated by reference in the response to this Paragraph's allegations. 12. Denied. This allegation is not only untrue; it is a flagrant misstatement to the Court. Proof of such allegation is demanded at trial. 6 a. To the contrary, Neil supplied bank information available to him upon Dennis' request in 2013, when Dennis indicated an interest, finally, in distributing the assets and land of the Estate. b. Since the three beneficiaries were equalized in Estate distributions after the April, 2006 sale of the Decedent's residence, and have not raised any objections to those matters since then, the period for relevant information is 2007 through 2015. c. In 2014, Neil provided copies of the Fulton Bank statements for the Estate's non- interest-bearing checking account to Dennis for the years 2007 to 2010. d. Dennis did not identify what information from such years he wished to examine and did not dispute it to date. e. In early 2014, Neil obtained from Fulton Bank complete monthly statements for the Estate's checking account for the years 2011, 2012, 2013, and 2014, which were supplied to Dennis, per his request. f. For Dennis to state that Neil "solely possesses knowledge and information regarding the assets of the Estate"is blatantly false, and also demonstrates bad faith in the filing of his Petition. g. Furthermore, in 2015, Neil told Dennis that he had searched his basement for Estate records, which he thought had been destroyed in a flood of the basement in 2013. Dennis replied that he was not interested in such records. Those records remain available. h. This Answer's responses to other averments of the Petition are incorporated by reference in the response to this Paragraph's allegations. 13. Denied. The response to Paragraph 12 above is incorporated by reference. Such an allegation is false and also made in bad faith to the Court. Proof of such an allegation is demanded at trial. This Answer's responses to other averments of the Petition are incorporated by reference in the response to this Paragraph's allegations. 14. Denied. This is a legal conclusion to which no responsive pleading is required. However, to the extent that this allegation pleads a fact or assets a relevant legal position, it is denied; and proof thereof, if relevant, is demanded at trial. This Answer's responses to other averments of the Petition are incorporated by reference in the response to this Paragraph's allegations. By way of further answer, the nature of Dennis' 7 Petition and the requested relief indicate that Dennis does not intend to"execute his responsibilities as Co-Executor of the Estate", except in the inappropriate and inequitable fashion described in further responses below. 15. Denied. Proof of such allegation is demanded at trial. a. Dennis never formally requested of Neil "an accounting necessary to the administration of the Estate"; and so Neil could not fail or refuse to respond to such a request. Instead, Dennis undertook to prepare a financial accounting himself, and Neil cooperated. b. When Dennis inquired about records of the Estate, Neil provided the requested information to Dennis. c. Thereafter, Dennis entered all the data into his Quicken software on his computer, with entries beginning on December 26, 2006, and going forward. d. Dennis told Neil that whenever he could not determine the nature of a withdrawal or expense, he attributed that to Neil alone as a distribution. Such entries, initially, included annual real estate payments for the York County Land and the Fulton County Lands. e. When Neil objected, Dennis corrected some items. f. Dennis provided a proposed initial distribution printout to Neil, and, later, upon Neil's request, Dennis provided the Quicken data file to Neil. g. Neil bought the Quicken software to cooperate with Dennis in an informal accounting among beneficiaries for the Estate. h. The latest version of such Quicken data related to the Estate, as prepared by Dennis and provided upon request to Neil, was February 2, 2014. i. Dennis' Quicken data does not contain a distribution calculation. 16.Admitted in Part; Denied in Part. It is admitted that the Fulton County Lands remain in the Estate. By way of further answer, Dennis does not know such facts about the Fulton County Lands based "upon information and belief", but upon directand persona/know/edge. It is denied that the Fulton County Lands are the only Estate assets that must be addressed by the Co-Executors. a. Dennis likely visits the Fulton County Lands more than Neil does, because Neil broke his neck in 2009 and has not traveled there other than perhaps once or twice, due to his limitations. 8 b. Dennis also reviewed drafts of deeds for the Fulton County Lands that he requested Neil draft in November, 2014, giving at least one of the parcels to him as an in-kind distribution. 17. Denied. Since 1998, Neil paid real estate taxes from Estate funds on land owned by the Estate. Dennis never participated once in such matters and declined involvement consistently. The Estate never lost any land due to a failure to pay real estate tax, despite Dennis'total disregard of such matters, which Neil was compelled to address in his absence. 18. Denied. Other than one payment on the York County Land, which Dennis did not discuss with Neil before making such alleged payment, and which Dennis never documented to Neil thereafter, all real estate tax was paid by the Estate. Proof of Dennis'averred advancement and the reason for such payment, if relevant, is demanded at trial. 19. Denied. The Estate has adequate funds to pay real estate taxes for the Fulton County Lands. 20. Denied. There are sufficient funds in the Estate to pay real estate taxes on the Fulton County Land. As to allegations of refusal to cooperate, the responses set forth in Paragraph 23 are incorporated by reference. Dennis has severed all communication with Neil, and left all Estate matters in the hands of Neil alone without making any efforts to administer the Estate. It is Dennis who must be compelled to cooperate with Neil in distributing the remaining Estate assets and in equalizing the in-kind distribution of the York County Land received by Linda. 21. Denied. This averment is repetitive. The responses to similar allegations, as stated above, are incorporated by reference, particularly the responses set forth in Paragraph 10 above. 22. Denied . This is a legal conclusion to which no responsive pleading is required. It is also repetitive. However, to the extent that this allegation pleads a fact or assets a relevant legal position, it is denied; and proof thereof, if relevant, is demanded at trial. By way of further answer, the nature of Dennis' Petition and the requested relief indicate that Dennis does not intend to"execute his responsibilities as Co-Executor of the Estate", except in the inappropriate and inequitable fashion described in further responses below. a. Dennis told Neil that Linda wanted the York County Land, after all the years, because her husband, Robert, would retire from service as the Recorder of Deeds of Cumberland County effective January, 2015, and that they wanted to move to York County, by building a new house on the York County Land. b. Neil responded that the shares should be equalized, and the transfer of the York County Land to Linda would not be easily equalized. c. Dennis' response was, "Linda should get it." d. Neil then realized that Dennis had compelled Neil to administer a "land bank" by way of the Estate to hold the York County Land until Linda and Robert were prepared to take it in kind without equalization. In the meanwhile, the Estate had paid all real estate taxes on the York County Land, and Neil had done all the work in administering the York County Land, but without equalization and without compensation. e. Neil had taken advance distributions of cash from the Estate, but believed that his entitlement exceeded that amount, particularly when the current fair market value of the York County Land and the Fulton County Lands were considered; and he indicated that he did not seek to receive any in-kind distribution of those lands. 10 f. Thereafter, without notice to Neil, Dennis, in conjunction with Linda and her counsel, James D. Bogar, Esq., arranged unilaterally to prepare an Estate deed for an outright transfer to Linda and her husband, Robert Ziegler, as joint grantees, outright, of the fee simple title to the York County Land, which he signed by Deed prepared by Attorney Bogar on April 26, 2014. g. There was no receipt, release, or refunding agreement prepared by Dennis or any counsel in conjunction with such distribution from the Estate. h. The value of that land should have been declared for distribution purposes, at the very least, at its 2008 Appraisal Report value of$350,000.00, but more properly at its current fair market value. i. Neil believes and avers that the value of the York County Land significantly increased during the intervening seven years, so that its value should be much more. j. Neil also objected that 26 acres of land was far more than needed for a building lot, and therefore vested significant appreciation in Linda, and not in the other two beneficiaries. k. Over Neil's prior objections, Dennis ignored basic valuation issues involved in an in-kind distribution of the York County Land, and also ignored the equal shares to which each Dennis, Neil, and Linda were entitled. He cooperated with Linda and her counsel in effectuating an outright transfer of the York County Land to Linda and her husband (not a beneficiary of the Estate). I. The current market value of the York County Land should be determined by further appraisal so that the distributive shares of the Estate can be equalized among the three beneficiaries. m. Dennis informed Neil that his Quicken calculations indicated that Neil should receive in the range of an additional $44,000 if the York County Land would be distributed to Linda at its 2008 appraised value. Neil disagreed on the basis that the York County Land had increased in value significantly and that the Estate also had paid all real estate taxes to maintain that land, which reduced the cash for equalization. 11 n. Dennis nevertheless demanded that the York County Land be transferred to Linda without any formal agreement or further discussion, and he unilaterally signed a deed prepared by Linda's attorney to accomplish that. o. Thereafter, Linda sent repeated scurrilous email messages accusing Neil of impropriety and ignoring Neil's statements why transfer of the York County Land to her benefitted her significantly above himself and Dennis. p. In the one year since transfer of the York County Land, Dennis has refused to discuss this matter with Neil, saying in an email message dated August 24, 2014, "I will have nothing further to do with this estate." He further stated, I do not even want to ever be informed about the resolution of the estate. I don't care." q. Dennis severed a relationship with Neil by writing in that email, "I have blocked all of your email addresses on all of my accounts. If you want to communicate further on the estate, you may contact my lawyer when I get one." r. Dennis did not inform Neil as to the filing of the Petition before it was served, and has not communicated since then. s. Dennis has not served Linda with a copy of his Petition, although it has substantial effects upon her, as a beneficiary of the Estate. t. In his Petition, Dennis makes untrue, unfounded, and incomplete statements about Neil, which compel Neil to respond by way of this Answer. u. Rather than continue such hostility, Dennis should cooperate with Neil in concluding the Estate with a negotiated equalization or settlement of the Estate's final distributions. This cannot be accomplished if Dennis is released from his fiduciary duties. v. If Dennis would be released from his fiduciary role after having neglected his duties for years, and then having acted improperly in distributing the York County Land to Linda without equalization, Neil might not have adequate remedies involving his prior non-actions and improper actions. w. Denial of his Petition would allow the beneficiaries of the Estate to work out the disagreements and matters among them, hopefully without further litigation. 12 Request for Relief WHEREFORE, Neil , as Respondent, requests that the Court deny the Petition, and that the Court compel Dennis to cooperate in finalizing and equalizing distributions of the Estate at current fair market values.
