The undersigned, Lavon J. Gartzke ("Disclaimant"), being the
surviving spouse of VICTOR FREDERICK GARTZKE ("Decedent"), intending to be
legally bound, makes the following disclaimer:
With respect to the Gartzke Bypass Trust created under Article
FIFTH, I disclaim the right to exercise the special power of appointment created
under Article FIFTH (c) to the extent that it would permit the distribution of assets
of the Gartzke Bypass Trust during my lifetime to any person other than myself. I
do reserve the right to exercise the special power of appointment effective at or after
my death.
This Disclaimer is irrevocable and unqualified.
