To our Shareholders:
The Board of Directors at its regular meeting on January 27th, voted in
favor of purchasing a limited amount of Beistle Company Stock. Stock acquired
as a result of this purchase will be held by thel Company as Treasury Stock. A
reduction in shares outstaoding may benefit the remaining shareholders by a
possible increased earnings per share, reduction ill shares eligible for dividends
and, quite likely, a corresponding increase in future values of Company stock.
It is anticipated that if more shares are received as a result of this offer than
funds allocated for the reduction in shares outstanding, some excess shares could
be offered to the Trustee of the Company ESOP.
An independent appraisal of the fair market value of the Common Stock of The
Beistle Company has been made by a consultant not associated with the Bank or the
Company. This appraisal was dated May 26, 1993 and will be used as the value for
shares sold under this offering. The price set in this appraisal is $117.00 per
share.
We offer to buy at this time, at a price of $117.00 per share, an amount of
stock equivalent to 12% of any shareholder's holding on the record date of
January 27, 1994. We will endeavor to purchase at least 50 shares from each
shareholder of record on that date if 12% is not equal to 50 shares. This offer
ia an effort on our part to effect a fair and equitable purchase among presellt
'shareholders, although we reserve the right to make a further proration if funds
are not sufficient to purchase all stock offered. If you elect to sell your
stock. please complete the enclosed form and return it by February 18. 1994.
Settlement will be made as soon as possible thereafter.
The number of shares eligible for sale by each shareholder wIll be computed
on the basis of combined account balances held individually or jointly on the
record date. This offer does not apply to shares transferred subsequent to that
date.
If you wish to accept this offer, please complete the enclosed form and
return it to The Beistle Company together with appropriately endorsed stock
certificates on or before February 18. 1994.

In response to the request for an appraisal of real estate
owned the Estate of Helen G. Koontz, I am sending you my
estimation of fair market value. The property is known as
105 East Orange Street, Shippensburg, PA and is located in
the Borough of Shippensburg. Cumberland County. The lot is
about 47 feet by 62 feet including one-half of an alley used
in common with adjoining property owners. The property is
more fully described in the Cumberland County Recorder of
Deeds Book Q14, Page 513.
The lot is improved wi th a two and one-half story frame
dwelling covered with aluminum siding. Roofing is
interlocking shingles. The property is served by public
water, public sewer, and city gas. To the rear of the
dwelling is a macadam parking area. The house in utilized as
an over-and-under duplex. The first floor has a living room,
formal dining room. eat-in kitchen, two bedrooms, 1 1/2
baths. and a central hall. The house has a partial basement,
the front of which is used as a recreation room. A crawl
space is under the rear section of the house. The rear
portion of the basement has laundry connections. The heating
