Clouser, of the Township of Franklin, County of York and Commonwealth of Pennsylvania, being of sound mind, memory and understanding, do hereby publish and declare this to be my Last 1'1111 and Testament, hereby revoking and declaring null and void any and all l'Iills and Codicils heretofore written by me. ITl!:M I. I direct that all my just debts and funeral expenses be paid as soon after my demise as may be convenient to the proper adm~nistration pf my estate, ITEM II. I give, devise, and bequeath unto my friend, Janet Roberts, the sum of $10,000,00 and the right to live in the property I own in Franklin Township for as long as she lives however if she prefers she may elect to receive the sum of $15,000.00 and agree to remove from the property within three months of date of my death. ITEM III. I order and direct my hereinafter named Executrix, Jane M. Alexander, to convert my entire estate except the time sharing contract I own in the Poconos into cash at either public or private sale, whenever in her discretion it may be most expedient for the proper administration of my estate. In the event of such conversion, I authorize my said Executrix to execute a good and sufficient Warranty Deed to the purchaser of any real estate of which I may die seized, in the same manner and capacity as I could if living. ITEM IV. I direct that all inheritance and estate taxes be paid on my estate prior to further distribution, ITEM V. I direct that tile proceeds of th0 above mentioned conversion be ~istributed in the following manner: a. To my son, Kirby Leo Clouser, $2,000.00, however deducted from said sum sl1all be all those funds advanced to him prior to my death and not repaid. b. (17) (I SI (lQ) 120) (20A) 12081 17171 4a~,U7aa INSTALLMENT AGREEMENT OF SALE THIS AGREEMENT, made this 7th day of June, 1988, by and between MILTON p, CLOUSER, single man, of the Township of Franklin, County of York and Commonwealth of Pennsylvania, party of the first part, hereinafter referred to as "Seller"j and L, R, LUTZ and ELENORA V, LUTZ, his wife, of 526 Mountain Road, Dillsburg, Pennsylvania, parties of the second part, herelnaft~r referred to as "Buyers". WITNESSETH: WHEREAS, Seller presently owns a tract of real estate, with residential improvements thereon found, all situate in the Township of Franklin. County of York and Commonwealth of Pennsylvania, being more particUlarly described in Exhibit "A" attached hereto and incorporated herein by reference thereto, which the Buyers desire to purchase and the Seller desires to sell to the Buyers, all under the terms and condition~ hereinafter set forth. NOW, THEREFORE, in consideration of these premises and the mlltual covenants hereinafter contained, the parties hereto, intending to be legally bound hereby, do now covenant and agree as follows: 1. Obligation of Parties: Seller, hereby covenants and agrees to sell, and Buyers, hereby covenant and agree to purchase all of Seller's right, title and interest in and to that certain premises situate in the TownShip of Frankl in, County of York and Commonwea lth of Pennsyl van i a, together with improvements thereon found, more particularly described as set forth in Exhibit "A", attached hereto and incorporated herein by reference thereto, 2. Consideration: The purchase price to be paid by Buyers shall be the sum of Fifty-Five Thousand Dollars ($55,000,00) to be paid to the Seller as follows: ,(a) As earnest money, the sum of Five Thousand Dollars ($5,000.00) upon the execution of this agreement, the receipt whereof is hereby aCknowledged; and, (b) The balance of Fifty Thousand Oellars ($50,000,00) together with interest thereon at the rate of nine per cent (9%) per annum, to be paid in equal, consecutive monthly installments of Five Hundred Doll a rs ($500,00) per month, the fi rs t paymen t hereunder to be due one month from the date hereof, with similar payments to be due on or before the same day of each and every successive month thereafter, until the end of the term hereof. Said monthly payments shall be applied first to interest, with the balance to principal, and shall continue so long as there remains an unpaid balance hereunder. (c) In addition to the monthly payments set forth in paragraph (b) hereof, and as additional consideration, the Buyers shall pay to the Seller the sum of Five Thousand Dollars ($5,000,00) on or about the first of January of each year, which payment shall be applied solely to reduction of principal, until said payments, together with the monthly payments hereinbefere recited, retire the balance of the purchase price hereunder. (d) The Seller, his heirs or assigns, reserves the right to demand payment in full ef the entire principal sum and interest due, if any, at any time after three (3) years from the date of thi s Agreement. At such time as the interest and principal are paid in full, Seller shall convey to the Buyers premises described herein in fee simple, by deed containing covenants of general warranty, free and clear of all liens and encumbrances, except building and zoning restrictions, conditions and ordinances, easements of record, privileges and rights of public utilities or service companies, and all other encumbrances visible upon inspection, Title is to be good and marketable as will be insured by a title insul'ance company doing business in the Commonwealth of Pennsylvania at standard rates, Buyers shall be responsible for all costs of title and for the recording of the deed, 3. Prepayment: Buyers shall have the right to preiaY'111 or any part of the unpaid principal balance, without penalty for such ,'r',payment, at any -2- time and from time to time on any regular installment due date, together with interest on such prepayment to the date of payment. At the time of payment in full, together with interest as aforesaid, Seller shall tender a deed of General Warranty to the Buyers. 4. ~tionment. of Real Estate Taxes, Rents and Expenses: Local real estate taxes shall be apportioned on a fiscal year bas'ls to the date of execution of this Agreement, Rents, interest on mOI'tgage assumptions, water rents, sewer rents, refuse charges and municipal assessments w1l1 be apportioned, pro-rata, a~ of the date of execution hereof, 5. Future Water, Sewer and All Municipal Assessments and Claim~: Future water, sewer and all municipal a5sessments and claims accruing from the date of execution hereef shall be paid by Buyers when and as the same shall become due and payable, Failure of Buyers to make such payments on the current basis, shall give Seller the option to make payment of the delinquent rents or charges and to add the amounts paid, with interest or penalties plus a five per cent (5%) accommedation charge, to the payments otherwise required by this Agreement. Failure of Buyers to submit such rents, assessments or charges to proper authority or to Seller herein within six (6) months after the due date stated on the appropriate billing shall constitute default on the part of the Buyers under this Agreement, 6. Transfer Taxes: Rea I es ta te taxes, wa ter and sewer charges and any other lienable charges of a similar nature, if any, shall be apportioned as of the date hereof and shall hereafter' be borne and paid for by Buyers, including the payment of any benefit assessments and other lienable items imposed against the premises, Buyers shall pay any increases in the rate hereof, Documentary taxes sha 11 be pa i d one-ha 1f (I) by the Buyers and one-half (l) by the Seller herein, at the time of the recerding of a Deed of General Warranty. 7.
