LAST WILL AND TESTAMENT
BE IT REMEMBERED THAT
I, WILLIAM E. WERTZ, a resident of Cumberland County,
Pennsylvania, being of sound and disposing mind, memory and under-
standing, do make, publish and declare this to be my LAST WILL and
TESTAMENT, hereby revoking any and all Wills and Codicils previously
made by me.
I
I declare that I am married to KATHRYN E. WERTZ and that
I have one (1) child, WILLIAM E. WERTZ, II.
II
I direct that my debts and funeral expenses be paid as
soon after my death as is practicable by my Executrix out of my
residuary estate, but not from any assets, funds, death benefits or
insurance proceeds which are otherwise excludable or exempt from my
gross estate for federal estate valuation or tax purposes.
III
I direct that all estate, succession, legacy, inheritance
or other transfer taxes, however designated that shall become payable
by reason of my death in respect of all property comprising my gross
estate for death tax purposes, whether or not such property passes
under this LAST WILL, shall be paid by my Executrix out of my resid-
uary estate, but not from any assets, funds, death benefits or in-
surance proceeds which are otherwise excludable or exempt from my
gross estate fo~ federal estate valuation or tax purposes.

I give, devise and bequeath all of my property, whether
real or personal, wherever situate, including any property over which
I may have a power of appointmont to my wifo, KATnRYN E. WERTZ, pro-
vided that she survive me by thirty (30) days,

I nominate, oonstitute and appoint my wife, KATHRYN E.
WERTZ, as Exeoutrix of this LAST WILL, to serve without bond. If
my wife is unable or unwilling to aot in that oapaoity, then I
nominate, oonstitute. and appoint my son, WILLIAM E. WERTZ, II, as
Exeoutor of this LAST WILL, to serve without bond.

WHEREAS, William E. Wertz, late of the BG~cugh of MeohUnics-
CUI';" '. rIp,
burg, County of Cumberland and Co~nonwealth of pennsylvania, died on
the 17th day of February, 1994 having first made his last Will and
Testament in writing dated September 21, 1984, which since his decease
was duly probated before the Register of Wills of said cumberland
County and Letters Testamentary issued to William E. Wertz, II, the
Executor named in the last Will and Testament of said decedent.
NOW KNOW ALL MEN BY THESE PRESENTS, that I, William E.
Wertz, II, being the surviving legatee and distributee next in the
order of succes~ion named in the Will of said deoedent and the person
entitled to share in the residuary distribution of the Estate of said
decedent, do hereby declare and say that I have been fully aware of
the conduct of the Executor, William E. Wertz, II as to the marshal-
ling of the assets in the estate and to the payment of all account~
due and owing and of the computations used to arrive at the net value
of the estate distributed to ma by the Executor. I acknowledge that I
have received from William E. Wertz, II, Executor of the Estate of
William E. Wertz, all of the remaining assets whether in kind or cash
in the Estate of William E. Wertz, deceased, after payment of all
taxes, fees and bills due and owing by the Estate.
NOW THEREFORE, I, the said William E. Wertz, II, do by these
presents, remise, release, quitclaim and forever discharge the said
William E. Wertz, II, Executor, his heirs, executors and
