I, WILLIAM PENCE FE1JCHTENBERGER of Cumberland County,
Pennyslvania, being of sound and disposing mind, memory, and
understanding, do hereby make, publish and declare this as my
last will and testament, hereby revoking all prior wills and
codicils made by me.
FIRST:
I direct that all my debts not barred
by a statute of limitations and the expenses of my last illness
. and funeral, including my gravemarker, shall be paid out of my
estate, as soon as practicable after my decease.
SECOND: I give and bequeath all of my tangible
personal property, including automobiles, together with all
insurance on such property to my wife, ELAINE A. FEUCHTENBERGER,
of Cumberland County, Pennsylvania, if she survives me by thirty
(30) days. In the event that she fails to survive me by thirty
(30) days, I give and bequeath to such of my daughters who
survive me by thirty (30) days, so much of the said tangible
personal property and all insurance policies on such property as
they shall select. The balance of such property shall be sold
and the proceeds added to my residuary estate.

I give, devise and bequeath all thfl
rest, residue and remainder of my estate to my wife, ELAINE A.
FEUCHTENBERGER, if she survives me by thirty (30) days. In the

FOURTH: If my wife, ELAINE A. FEUCHTENBERGER,
does not survive me by thirty (30) days, and if I have no issue
then living, I give my entire estate as follows:
A. One-half thereof to my next of kin that
survives me by thirty (30) days, as then asoertained under the
intestate laws of Pennsylvania then in existence.
B. The remaining one-half thereof to the next
of kin of my wife, ELAINE A. FEUCHTENBERGER, that survives me by
thirty (30) days, as then asoertained under the intestate laws
of Pennsylvania then in existence, as though she had died at
such time a resident of Pennsylvania owning such property.
FIFTH: I appoint my exeoutrix(es) guardl<m of any
property that passes to a minor and with respect to whioh I am
authorized to appoint a guardian and have not otherwise
speoifically done so. Such guardian shall have the power to
use principal as well as interest from time to time for the
minor's education, support, and welfare without regard to his or
her parent's ability to provide for such education, support, or
welfare, or to make payment for these purposes, without further
responsihility, to the minor or to the minor's parent or to any
person taking care of the minor.

SIXTH: All estate, inheritance and other death
taxes and any interest and penalties thereon imposed by reason
of my death on property passing under my will and on gifts made
by me during my lifetime shall be paid out of the principal of
my residuary estate, without apportionment or reimbursement.
~EVENTH: I authorize my executrix(es), without
oourt approval, to exercise the following powers, in addition to
those given by law:
(a) To retain and invest in any property,
without restriction to investments authorized by law.
(b) To sell at public or private sale :Eor cash
or credit, to exchange, or to lease for any period of time, any
real or personal property, and to give options for sales,
exchanges or leases.
(c) To borrow money and pledge or mortgage any
assets as security therefor.
(d) To compromise or settle claims.
(e) To make distribution in kind and to cause
any share to be composed of cash, property or undivided
fractional shares in property different in kind from any other
share.
(f) To arrange for custodian, accounting and/or
investment advisory services, and to charge the expense thereof
to principal or to income, or partly to each, without diminution

(g) To exercise all power, authority, and
disoretion given by this will after the termination of any trust
oreated herein until the same is fully distributed.
(h) To sell any private business or business

I appoint my wife, ELAINE A.
FEUCHTENBERGER, executrix of this my last will. Should my wife,
ELAINE A. FEUCHTENBERGER, for any reason fail to qualify or
oease to act as exeoutrix, I appoint such of my four daughters
then living, executrixes of this my last will, with the same
duties, powers, and discretion as if originally appointed.
B. No executrix(es) serving hereunder
shall be required to enter bond or other security in any
jurisdiotion.
