. I, HARRY H, DRAKE, of the Town of Morris town. in
.the County of Morris and State of New Jersey, do hereby
make, publish and declare this my last will and testament,
hereby revoking all wills and codicils to wills previously
made by me, in manner following, that is to say:
FIRST: I direct that all my just debts, funeral
expenses, expenses of my last illness and costs of adminis-
tering my estate be paid as soon as practicable after my
death,
SECOND: All the rest, residue and remainder of
my estate, real and personal, wheresoever situate and of
whatsoever the same may consist, whether. in possession or
remainder, which I shall own or which shall be subject to
my disposition at the time of my death (all of said prop-
erty being herei.nafter referred to collectively as my
"residuary estate"), I give, devise and beq\leath to my
sister, HELEN DRAKE, if she shall survive me,
In the event my said sister shall not survive me,
I order and direct that my residuary estate be distributed
~nd disposed of by my executor in the following shares and
proportions:
(a) Eighty per cent (80%) thereof to AMERICA'S
KESWICK, Whiting, New Jersey, to be used and expended by
its governing body in any manner it deems appropriate; and
(b) Twenty per cent (20%) thereof to WASHINGTON
VALLEY CHAPEL, Morris Township, New Jersey, to be used by
its governing body in any manner it deems appropriate,

paragraphs (a) or (b) shall fail to take effect, the be-
quest so failing shall be added to such of the bequests as
shall take effect.
THIRD: Subject to any provision inconsistent
herein contained in this will or any codicil hereto, I or-
der and direct that, in making any division, settlement or
distribution of my estate. whether for the purpose of pay-
, ing legacies or distributing shares or portions of my es-
tate, my executor is authorized and empowered, in the exer-
cise of its judgment, to make any division. settlement, pay-
ment or distribution in investments or property which I
shall own at the time of my death or which my executor may
have acquired, or in money or partly in investments or
other property and partly in money; provided, ~owever. that
my executor shall make all such divisions, settlements, pay-
ments or distributions on an equitable basis taking into ac-
count the fair market value of the various items of prop-
erty on the date or dates of distribution.
FOURTH: I nominate, constitute and appoint
AMERICAN NATIONAL BANK & TRUST OF NEW JERSEY, with offices
at 65 Madison Avenue, Morristown, New Jersey, or any corpo-
ration which under the laws of the State of New Jersey or
the laws of the United States of America shall be the suc.
cessor to its trust business, whether by merger, consolida-
tion or otherwise, as executor of this, my last will and
testament. The word "executor" wherever used in this will
shall be deemed to refer to the executor above named and to

the will annexed. I order and direct that the said AMERICAN
NATIONAL BANK & TRUST OF NEW JERSEY, or its successor as
aforesaid, shall not be required to post any bond or other
security for the proper discharge and faithful performance
of its duties as executor hereunder, in the State of New
Jersey or elsewhere.
FIFTH: If any beneficiary under this will shall
die ,in such circumstances that it cannot be determined
which of us died first, such beneficiary shall be deemed
I to have predeceased me and my estate shall be dist.ributed
as if such benefiCiary had, in fact, predeceased me.
SIXTH: In addition to the powers herein specific-
ally granted and those given by law, my executor, in the
exercise of its discretion and without any order of Court,
may:
(a) Continue to hold and retain any and all
bonds, stocks, evidences of indebtedness, real or personal
property and other investments which may form part of my
estate or which may become part thereof, notwithstanding
the fact that any or all thereof, or any portion thereof,
individually or as a group, may not be authorized by law
as legal investment.s for fiduciaries or notwithstanding the
fact that the enUre estate or any part thereof (no matter
how large a part) may be invested in the stock or other se-
curities or obligations of one corporation or in only one
kind or class of investments or property;
(b) Horrow from anyone, inc1ud1.ng itself, indi-
vidually or as executor under this will or any other

instrument, with or without pledge or mortgage of any as-
sets of any such estate, any sum or sums which, in the in-
dependent judgment of my executor, may at any time be nec-
essary or advisable to provide funds for any obligation or
purpose which it deems proper;
(c) To invest or reinvest the whole or any por-
tion of the money or property at any time constituting my
estate or the proceeds thereof, snd all accretions thereof
and accumulations of principal and income thereof, in such
common or preferred stocks, or interest and investment
funds, mutual funds, one or more common trust funds (of the
corporate executor or others), bonds, real and personal
property and other investments, whether such investments
or any property included therein or covered thereby, shall
be within or without the State of New Jersey, as my execu-
tor may deem advisable and for the best interest of my es-
tate, and my executor shall not be limited to investments
authorized by any decision or statutory law, ruling of
Court or principles concerning the investment of trust
funds, or the amount which shall be invested in anyone
investment or type of investment and even though all or
substantially all of the funds may be invested in common
stock or so-called "equities"; and
(d) To exercise any appropriate powers enumer-
ated in Section 2 of Chapter 270 of the New Jersey Laws of
1968 (N.J.S.A, 3A:6-l6.2), as the same is presently in ef-
fect, or as it may hereafter be supplemented or amended.
SEVENTH: I order and direct my executor to pay

from the property and estate which I shall own at
the time of my death, without right of apportion-
ment, deduction or reimbursement, all estate, in-
heritance, succession or other transfer. taxes and
death duties which shall be assessable upon or by
reason of the inclusion as a part of my gross tax-
able estate of any property or interest, real or
personal. My executor is hereby authorized and
empowered, in its judgment and discretion, to com-
promise and settle any and all such taxes and
charges, direct or contingent, and any and all
claims either on behalf of or against my estate,
without asking for or obtaining instructions or
approval by any court or any person interested in
my estate.
EIGHTH: I again hereby revoke and annul

any and all wills and codicils to wills by me at
any time heretofore made, and I declare this in-
strument to be my last will and testament.
