to none-third (1/3) distributive share of the residuary estate; and
WHEREAS, ench of the pnrties to this Agrcement has been furnished with n complete listing
of the estatc nssets, receipts nnd disbursements ns set forth on the Accounting as allached
hereto and marked as Exhibit" A"; and
WHEREAS, it is the desire of the parties that in order to avoid the expense and time involved
In the filing of a formal acconnt and schedule of distribution, the parties agree that no formal
account is necessary and the parties do hereby agrec and conscntto distribution bclng made
withoutthc filing of an account and schcdulc of distribution, thc samc to bc with the samc
force and effect as if they had bcen filed and confirmcd by thc Orphans Court Division of the
Court of Common Pleas of Cumbcrland County; and
WHEREAS, the partics to this Agrccmcnt cnch acknowledgc rcccipt 'of a proposed Schedule
of Distribution attachcd hereto and marked as Exhibit "B", and
WHEREAS, each of thc partics to this Agrccmcnt docs acknowledge that there has been no
advancc distributionllladc by thc Administratrix;
NOW, THEREFORE, WITNESSETH, in considcration of the mutual promlscs, covenants
and agrccmcnts rccited herein thc partics do hereby agree as follows:
I. Each of the partics to this Agreemcnt does hcreby release and forever
discharge Mary L, Nancarrow, Administratrix, as the nforesaid Administratrix, and as an

c111lms and dcmands whlltsocver for or by reason thercof, or of any other act, maller, cause
or thing whlltsoever and from any liability which may from time to timc arise in connection
with her service as Administralrix of the Estllte of William T. Nancarrow, Deec<'lsed.
2. Mary L, Nancarrow, Ruth L. Nancarrow anfl Jamcs W, Nancarrow,
Individually, as rcsiduary bcndlciarics hereby agrec to indcmnify and hold harmlcss said
Mary L. Nancarrow as Administralrix and Individually from any and allliabllily which may
arisc againstthc cstate which she may be required to pay as the result of the assessmcnt of
any additional slate tax, federal tax or any other claims, debts, actions or assessments against
the Estate of William T. Nam:arrow, Deceased, which may arise or be asserted at any time in
the future and Mary L. Nancarrow, Individually, Ruth L. Nancarrow and James W.
Nancarrow agree that they will pay and proportionately reimburse the said Mary L.
Nancarrow, Administratrix, any sUlns she may thus be required to pay in connection
therewith.
3. The parties acknowledge that a reservc has bccnlcft inthc estate chccking
account for misccllaneous payments and expenses, Whcn Mary L. NancarroIY chooses to
close the estate checking account, any remaining amount of this reserve shall be divided
equally between Mary L, Nancarrow, Ruth L. Nancarrow and James W, Nancarrow.
4. Each of thl' parties docs hereby acknowledge receipt of the assets described on
