TO THE
LAST WILL AND TESTAMENT OF
MATHILDA A. WORTZ
I, ,MATHILDA A. WORTZ, of the Borough of Lemoyne, Cumberland
County, Pennsylvania, being of sound memory and understanding, do
hereby make, publish and declare this as and for a Codicil to my
Last Will and Testament dated November 24, 1992
I.
I hereby amend item II H. to make the bequest to my nephew,
John Frenzel the sum of Ten Thousand Dollars ($10,000.00) rather
than the sum stated in the will.
II.
I hereby amend item II G. to read as follows:
The sum of Ten Thousand Dollars ($10,000.00) unto my nephew, Henry
E. Frenzel, III, or if he is not living, then unto such of the
children of Henry E. Frenzel~s survive me.
III.
I hereby add the following provision as item II Q:
The sum of Two thousand Dollars ($2,000.00) unto my niece,
Ida Frenzel.
ALL OTHER provisions of my La&t Will and Testament aforesaid
shall remain in full force and effect, except to the extent that
they are changed by this Codicil.

County, Pennsylvania, being of sound memory and understanding, do
hereby make, publish and declare this as and for a Codicil to my
Last Will and Testament dated November 24, 1992
I.
I hereby amend item II H. to make the bequest to my nephew,
John Frenzel the sum of Ten Thousand Dollars ($10,000.00) rather
than the sum stated in the Will.
II.
I hereby amend item II G. to read as follows:
The sum of Ten Thousand Dollars ($10,000.00) unto my nephew, Henry
E. Frenzel, III, or if he is not 1i ving , then unto such of the
children of Henry E. Frenzel~s survive me.
III.
I hereby add the following provision as item II Q:

4, I was named as Co-Executor of this Estate, In my mother's Will, along with
my brother, HENRY E. FRENZEL, III. Because my brother has no legal or tax expertise,
and because he had certain family obligations, he was unable to assist me in this
capacity ,
5. I was the sole person who performed all services of attorney, accountant,
and Executor of this Estate, I spent approximately 150 hours In the administration of
this Estate, including ascertaining the assets, Including sorting many large plies of
disorganized papers which had been accumulated over a number of years, researching
Pennsylvania law with respect to taxes, probate administration, and transfer of real
estate, contacting the registered transfer agent of each and everyone of the
companies In which my mother held securities in order to effect the distributions to my
brother and myself, preparing federal and state Estate and Fiduciary tax returns and
my mother's final form 1040, and conducting the entire administration of this Estate,
6, Noting that much of this work could have been done by either a paralegal,
secretary, or other lower paid staft, I can apply my normal hourly billing rate of
$150.00 per hour to the 150 hours that I spent conducting the Job of three (3) people
in this Estate, and my fees wOLlld have been llppr(1ximately $22,500.00, If I had
chosen to charge any,
7. I have reviewed the Final Accounting submitted by attorneys Stone and
La Faver, with respect to my aunt's estate, at the request of my brother, HENRY E.
FRENZEL, III.

amount of the $10,000.00 bequest, within a few months after receiving a copy of my
aunt's Will In the mail.
5. During the course of the following year, I have received no communication
from either the attorney or the personal representative, regarding the status of this
Estate, nor the size of the Estate, nor the approximate amount of my residual bequest.
The only communications I had received from either of these attorneys, was in the
form of requesting more documentation to be completed by me,
6. On or about April 15, 1995, I, and presumably the other three (31 residual
beneficiaries, received a copy of the proposed Final Accounting prepared by the
attorneys, previously filed with this Court, and Waiver of Filing the Final Accounting,
which would then serve to release the attorney and personal representative from
liability, and constitute an approval of their fees, and a letter notifying me that, if I
would sign the Waiver and return the form, I would be entitled to receive the remaining
distribution of approximately $ 110,000,00.
7. Since I am not an attorney, nor experienced in estate administration, I sent
these documents to my sister, Tina M, Turner, who is both an attorney and certified
public accountant, licensed to practice in the State of Florida,
8, My sister, Tina M, Turner, who administered my mother's estate in her
capacity as Co-Executor of the estate, which is approximately the same size as this
estate, but involving a more complex mixture of assets, and who acted and fulfilled
the jobs of the attorney, accountant, and executor, advised me that she believed the

fees being charged by the Executor and attorney, In this estate were excessive, I
attach hereto, es Exhibit "A", a copy of her Affidavit In Support of thlr. contention,
9. I then called the attorneys and spoke to Mr. David Stone, advising him that
I felt that the fees might be excessive, who, In turn, advised me, that If I did not sign
the Waiver, it would hold up the entire probate process, and the distributions of the
other residual beneflcierles, I asked him for caples of the tax returns, and he provided
same.
10. Subsequent to our telephone conversation, Mr, Stone sent out a letter to
the residual beneficiaries, advising them that I was the only one who had failed to
return the Waiver, and that if I did not return It by May 19, 1995, It would hold up
their distributions until they could have a final hearing, which they advised that they
had set for June 20, 1995, They also advised that they had filed a Final Accounting
with this Court at that time,
11. Since I received this letter very close to May 19, 1995, I decided not to file
the Waiver, since the hearing date was nearby, and I believed that this Court should
review and reduce the fees and attorney and Personal Representative are proposing to
charge.
12. I believe that this matter needs to be reviewed by the JLldge, that the
attorney and executor fees that the attorneys Stone and LaFavere are attempting to
charge, are clearly excessive and should be reduced, and that this cause needs to be
brought to final resolution, and an Order of Final Distribution need be entered now.

MOTION TO DISMISS OBJECTIONS
TO THE HONORABLE, THE JUDGES OF SAID COURT I
AND NOW comes the Movant, Jon F. LaFaver, Exeoutor of the Estate
of Mathilda A. Wortz, by and through his attorneys, Stone LaFaver &
Stone, and respectfully represents as follows I
1. The said Mathilda A. Wortz died on March 29, 1994, a resident
of Cumberland County, Pennsylvania, leaving a will dated November 24,
1992, which was admitted for probate on April 12, 1994, by the Regis-
ter of Wills of Cumberland County, Pennsylvania, and Letters Testamen-
tary thereon were granted to Jon F. LaFaver as Executor.
2. A First and Final Account and Proposed Distribution were
filed on May 19, 1995, in the Office of the Orphans' Court of
Cumberland County.
3. On June 16, 1995, objections were improperly filed to the
First and Final Account by Henry E. Frenzel, III, by facsimile trans-
mission to the Court Administrator's Office. The objections were not
delivered to the Honorable Harold E. Sheely, President Judge, until
June 27, 1995.
4. After confirmation but before the Executor received the
objeotions, distribution was made and the attorney'8 fee and the
Executor's commission were paid.

Dear Judge Sheely:
This letter is in response to the telephone call I received from your
Chambers on June 27, 1995, and the subsequent Order of Court regarding the
revocation of the confirmation of the First and Final Account filed in the
above captioned estate. As I indicated to you on the telephone, distribu-
tion of the shares and payment of the fees were made in accordance with the

County, Pennsylvania, being of sound memory and understanding, do
hereby make, publish and declare this as and for a Codicil to my
Last Will and Testament dated November 24, 1992
I.
I hereby amend item II H. to make the bequest to my nephew,
John Frenzel the sum of Ten Thousand Dollars ($10,000.00) rather
than the sum stated in the Will.
II.
I hereby amend item II G. to read as follows:
The sum of Ten Thousand Dollars ($10,000.00) unto my nephew, Henry
E. Frenzel, III, or if he M! not living, then unto such of the
children of Henry E. Frenzel~s survive me.
III.
I hereby add the following provision as item II Q:
The sum of Two thousand Dollars ($2,000.00) unto my niece,
Ida Frenzel.
AL~ OTHER provisions of my Last Will and Testament aforesaid
shall r~main in full force and effect, except to the extent that
they are changed by this Codicil.
