LAST WILL AND TESTAMENT
OF
LOUIS J. SHEEHAN
I, Louis J. Sheehan, of Cumberland County, Pennsylvania,
being of sound and disposing mind, memory and understanding, do
hereby make, publish and declare this as and for my Last Will and
Testament, hereby revoking any and all prior Wills and all
Codicils made by me at any time heretofore.
ITEM 1. I di rect tha t all my legally val id debts / funeral
and administration expenses/ and inheritance and estate taxes
payable on account of my death shall be paid by my personal
representative out of my residuary estate as soon after my death
as practicable.
ITEM 2. ! give, devise and bequeath all the rest/ residua
and remainder of my estate/ unto the children of mine who survive
me by a period of thirty (30) days, in equal shares, per stirpes.
ITEM 3. My Executor shall have the following powers in
addit.ion to those vested by law or other provisions of this
Will:
a. To retain as investments of my estate, any or
all of my estate, real or personal or mixed, without
regard to any principal of diversification, and to hold

b. To pay all taxes, ohargesand expenses of
maintenanoe, upkeep, improvement, development,
proteotion, preservation and investment of any retained

Trustee, Executor or other personal representatives
shall determinel
c. To retain or invest any and all funds, whether
principal or income, in any real or personal property,
without restrictions to legal investments;
d. To purchase investments at premiumsl to
exeroise all rights of a security holder or shareholder
in any corporationl and to lease, mortgage, pledge, give
options upon or sell at public or private sale and
without approval of any court and without any
responsibility to the buyer or buyers to see to the
application of the purchase price, any real or personal
property, or portion or portions thereof, irrespective
of the manner or the means by wh ich the same was
aoquiredl

partly in kind, at valuations fixed by my Trustee,
Executor or other personal representatives at the time
of distribution.

James Michael Sheehan, of Carlisle, Pennsylvania, as Executor of
this my Last Will and Testament.
ITEM 5. My Executor herein named shall not be required to
post a bond or enter security in any jurisdiction. If a bond is
nevertheless requir~d, it shall be without surety.
ITEM 6. Any and all payments of any sum or sums/ whether in
cash or in kind, and whether for principal or income, payable to
my children, shall be made upon the sole receipt of the
respective individual to whom payment is made, and free from
anticipation, alienation, attachment, and pledget and free from
control by the creditors of any such beneficiary. All shares of
income and principal herein shall be free from anticipation,
assignment, pledge or obligation of the beneficiary, and shall
not be subject to any execution or attachment.

AFFIDAVIT
On Maroh 15, 1994, I witnessed that Louis James Sheehan, due
to certain physioal inoapaoities, was unable to sign his own name
or to make a mark. Louis James Sheehan charged and directed Louis
Joseph Sheehan to sign Louis James Sheehan's name, while in Louis
James Sheehan's presenoe, to the oodioil dated March 15, 1994 and
indicated and deolared that he desired the aforementioned oodicil
to become a part of his last will and testament and, further, Louis
James Sheehan charged and direoted Louis Joseph Sheehan to oross
out Louis Joseph Sheehan's name on the aforementioned oodioil as
oo-exeoutor of Louis James Sheehan's estate and to leave Louis
Joseph Sheehan's sister, Maryellel1, as sole executor of Louis James
Sheehan's estate, I, along with Louis Joseph Sheehan, Louis James

Family Agreement - Waiving filing of Aooount
This Agreement is entered into this "llday of ),(ay ;!{".;
by and between Maryellen Sheehan Martin, in her capacity as
Executrix of the estate of Louis James Sheehan, Deceased,
file number 21.19940339, and, Louis Joseph Sheehan, co-
beneficiary with Haryellen Sheehan Hartin of the estate of
Louis James Sheehan. For purposes of this agreement, when
Maryellen Sheehan Hartin is referred to in her fiduciary
cap3city, the term "Executrix. will be uSAd.
BACKGROUND
1. Louis James Sheehan ("Decedent.) died on March 15,
1994, a resident of Camp Hill, Pennsylvania.
2, Decedent's will was admitted to probate by the
Register of ~1i11 of Cumberland County, the estate was
given file number 2119940339 and letters testamentary
were issued to Maryellen Sheehan Martin, as Executrix.
3, In his will, Decedent named his two children,
Maryellen Sheehan Martin and Louis Joseph Sheehan as
the beneficiaries of his estate,
4, The Executrix advertised the grant of letters
testamentary, prepared and filed and Inventory and
Appraisement of Decedent's propel.ty and prepared and
filed a pennsylvania Inheritance Tax Return and
federal and state income tax returns and paid the
appropriate taxes thereon,
5. The Executrix paid the beneficiaries and all the
taxes, debts and expenses of the estate know to her,
and she has no knowledge of any unpaid claims,
absolute or contingent, which may be asserted against
the estate nor does she have any reason to believe
there are any such claims.
6, 'rhe Executrix has completed the administration of the
estate and has distributed the net assets of the
estate equally to herself and Louis Joseph Sheehan,
the beneficiaries named in the will,
7, Both Maryellen Sheehan Martin and Louis Joseph Sheehan
desire that this Family Agreement make unnecessary the
filing of an accounting wi th the Orphans' Court
Division of the Court of Corrunon pleas of Cumberland
County,

8. Louis Joseph Sheehan has been given the opportunity to
review the books and records of the Executrix, and
based upon such oppor.tunity or examination, he has
determined that he has sufficient information to make
an informed decision to waive his right to an
accounting, '
AGREEMENT
In consideration of the willingness of the Execut~ix to
distribute and terminate the estate in accordance with the
terms of the will without the protection afforded them by a
formal adjudication of an Executor's account, Maryellen
Sheehan Martin and Louis Joseph Sheehan, the undersigned
beneficiaries, individually and with respect to their
heirs, personal representatives, successors and assigns, do
hereby:
1. Acknowledge that we have read this Agreement and
represent that the facts set forth above are true and
correct to the best of our knowledge, information and
belief. We further acknowledge that we are familiar
with the provision of the will of decedent;
2, Waive the filing of a formal account of the
administration of this estate, with respect to the
income and principal thereof, in any court which has
jurisdiction, in particular, the Orphan's Court
di vision of the Court of Common Pleas of Cumberland
County, Pennsylvania;
3, Warrant that we know of no outstanding and unsatisfied
claims against the estate and approve the
distribution;
4. Absolutely and irrevocably release and discharge the
Executrix, her personal representatives, heirs,
successors and assigns, from any and all actions,
liabilities, claims and demands, including
specifically but not limited to liability arising in
connection with any mistake of fact or law, or
negligent or careless act or omission by the Executrix
in connection with the administration and distribution
of assets;
5. Agree to refund to the Executrix such part of all of
the distr.ibutive share which has been distributed
which may at any time be determined to have been an

erroneous distribution regardless of the cause of such
error/ even if attributable to negligence;
6. Agree that any period of limitation of actions for the
collection for any erroneous distribution shall
commence only a t such time as the Execu trix has
obtained actual knowledge of such erroneous
. distribution and that in no event shall the obligation
to collect any erroneous distribution start earlier
than the actual discovery thereof by the Executrix;
7. With respect to any distributions of income or '
principal received upon execution of this agreement,
agree to indeTtU'li. fy and hold harmless the EX8cutr.lx,
her personal representative, heirs, successors and
assigns, from any 1iabi1ity, loss or expense
(including but not limited to costs and counsel fees) /
arising from any cause whatsoever, which may be
incurred by the Execu tr ix as a resu1 t of the
administration to this estate or distribution in
accordance wi th this agreement including / but not
limited to, any liability for federal estate tax,
Pennsylvania inheritance tax or any other death taxes
and federal and state income taxes, together with any
. interest and costs incidental thereto, relating in any
way to the estate and also including, but not limited
to, any assets received or payments or distributions
made by reason of any negligence or mistake or fact or
law;
8. Und~rstand that this Agreement may be signed in
counter part originals, all of which together shall be
deemed to constitute one original; and
9. Agree that this agreement shall be governed by the
laws of the Commonwealth of Pennsylvania.
