I, MARY B. GRAHAM/ of the Leader Nursing Home, 940 Walnut
Bottom Road, Carlisle, Pennsylvania, 17013, being of sound mind
and memory, do make / publish and declare this to be my last will
and testament/ hereby revoking all former wills by me at any time
heretofore made.
ITEM ONE: I direct my hereinafter named Executor or
Alternate Executrix to pay all my just debte and funeral expenses
and in the event that I have not done so prior to my death, I
direct my Executor or Alternate Executrix to purchase and place a
suitable marker upon my grave / and stlOuld the circumstanaes
require it, upon the grave of my husband, as SOOIl as conveniently
may be after my death.
PART I
ITEM TWO: I hereby nominate and appoint my son/ WILLIAM P.
GRAHAM III, of RD 9/ Box 50, stumpstown Road, Trout Run,
Mechanicsburg, Pennsylvania, 17055, Executor of this my last will
and testament.
ITEM THREE: I hereby nominate and appoint my daughter-in-
law / SUSAN AMES GRAHAM, of RD 9, Box 50, stllmpstown Road, Trout
Run, Mechanicsburg, Pennsylvania, 17055, Alternate Executrix of
this my last will and testament in the event that my son/ WILLIAM
P. GRAHAM III/ should predecease me or in event he should fail to

whatever amounts my Trustee may think
appropriate; and my Trustee may give
suoh oonsideration to the other
resouroes of my granddaughter, SUSAN
PATTON GRAHAM, as my Trustee may think
appropriate; and,
I hereby nominate and appoint my
daughter-in-law, SUSAN AMES GRAHAM, of
RD 9, Box 50, stumpstown Road, Trout
Run, Mechanicsburg, Pennsylvania,
17055, Alternate Trustee herein should
my son, WILLIAM P. GRAHAM III,
predeoease me or in the event he should
fail to qualify or cease to act as

any beneficiary becomes entitled to an outright distribution of
income or principal and is (i) under the age of 21 or (ii) in my

all or part of my real estate, in whatsoever state situate, at
pUblic or private sale or sales, for such pricos or
considerations and upon such terms and conditions as to my said
Executor or Alternate Exeoutrix may doom bost, and by proper doed
or deeds, conveyances in law, to be duly executod, acknowledged
and perfected, to gr.ant and conv~y the same to tho purchaser or
purchasers thereof, her, his or their heirs and assigns, free
from all liability for or on account of the application of the
purchase money.
ITEM ELEVEN: All federal, state and other doath taxes
payable on tho property forming my groBs estate for those
purposes, whether or not it passes under this will, shall be paid
out of the principal of my probate estate just as if they were my
debts, and none of those taxes shall be ohargod against any
beneficiary. This provision shall not apply to any property over
which I have a general po\~er of appointment for federal estate
tax purposes.

LAST WILL AND TESTAMENT
I, MARY a. G~M, of the Leader Nursing Home, 940 Walnut
Bottom Road, carlisle, Pennsylvania, 17013, being of sound mind
and memory, do make, publish and declare this to be my last will
and testament, hereby revoking all former wills by me at any time
heretofore made.
ITEM ONE: I direct my hereinafter named Executor or
Alternate Executrix to pay all my just debts and funeral expenses
and in the event that I have not done so prior to my death, I
direct my Executor or Alternate Executrix to purchase and place a
suitable marker upon my grave, and should the circumstances
require it, upon the grave of my husband, as soon as conveniently
may be after my death.

ELIZABETH AMES GRABAM and SUSAN PATTON GRAHAM, both of RD 9, Box
50, stumps town Road, Trout Run, Meohanicsburg, Pennsylvania,
17055, to be placed in two separate equal trusts, one trust for
the benefit of my said granddaughter, ELIZABETH AMES GRAHAM to be
oalled the ELIZABETH AMES GRAHAM TRUST, and the second trust for
the benefit of my said granddaughter, SUSAN PATTON GRAHAM, to be
called the SUSAN PATTON GRAHAM TRUST, to take possession,
control, and management of the trust property, invest and
reinvest it, collect and receive any income and, after deducting
all proper expenses of the trust, dispose of the net income and
the principal as follows:

being the same two (2) tracts of land which Norma S. Crittenden,
a widow, by her deed dated July 25, 1958, granted and conveyed
unto my beloved husband, william P. Graham, and me; my said
husband, william P. Graham having died April 14, 1973, thereby
vesting title in me, by operation of law] to my son, WILLIAN P.
GRAHAK III, IN TRUST NEVERTHELESS, for the benefit of my said
granddaughters, ELIZABETH AMES GRABAH and SUSAN PATTON GRAHAM, to
take possession, oontrol, and management of the trust property,
invest and reinvest it, collect and receive any income and, after
deducting all proper expenses of the trust, dispose of the net
inoome and the prinoipal as follows:
7.1 As long as my said granddaughters, ELIZABETH

hereby authorize and direct my Executor or Alternate Executrix

all or part of my real estate, in whatsoever state situate, at
public or private sale or sales, for such prices or
considerations and upon such terms and conditions as to my said
Executor or Alternate Executrix may deem best, and by proper deed
or deeds, conveyances in law, to be duly executed, acknowledged
and perfected, to grant and convey the same to the purchaser or
purchasers thereof, her, his or their heirs and assigns, free
from all liability for or on account of the application of the
purchase mone.y.
ITEM ELEVEN: All federal, state and other death taxes
payable on the property forming my gross estate for those
purposes, whether or not it passes under this will, shall be paid
out of the principal of my probate estate just as if they were my
debts, and none of those taxes shall be charged against any
beneficiary. This provision shall not apply to any property over
which I have a general power of appointment for federal estate
tax purposes.

GRAHAM, individually and in their own rights, being the principal
legatees and distributees named in the Will of said Decedent and
parties to the Agreement and the persons entitled to share in the
residuary distribution of the Estate of said Decedent, do hereby
declare and say that we, and each of us, have examined the
attached Account and statement of Proposed Distribution, and find
the same to be true and correct, and in strict accordance with
the terms and provisions of said Will and Agreement, and we do
hereby acknowledge that we, and each of us, this day have, had
and received of and from WILLIAM P. GRAHAM, III, Executor of the
Estate of MARY B. GRAHAM, the cash, personalty and/or real estate
set opposite our respective names in the above statement of
Proposed Distribution, in full satisfaction, payment and
discharge of all such sum or sums of money, legacies and
bequests, share or shares, purports and dividends which were due,
owing and payable and belonging to us, and each of us, by any
means whatsoever, for or on account of our full share, part or
dividend of the Estate of MARY B. GRAHAM, Deceased;
NOW, THEREFORE, we, and each of us, the said WILLIAM P.
GRAHAM, III, SUSAN PATTON GRAHAM, and ELIZABETH AMES GRAHAM, do
by these presents, remise, release, quit-Claim and forever
discharge the said WILLIAM P. GRAHAM, III, his heirs, executors
and administrators, of and from our said shares or dividends of
the Estate aforesaid, and of and from all actions, suits,

payments, aooounts, reckonings, olaims and demands whatsoever,
for or by reason thereof, or of any aot, matter, oause or thing
whatsoever, from the beginning of the world to the day and date
of these presents.
AND, desiring to avoid the delay and expense of the
settlement of said Estate by filing the foregoing Account of said
administration in t~e Office of the Register of Wills of said
Cumberland County and by having the balance in the hands of the
Executor, as shown by said Account, distributed by the Court of
Common Pleas of Cumberland County - Orphans' Court Division, we,
do hereby agree that the foregoing Account and statement
concerning the matter of settlement may be recorded with the same
effect upon us, as if the same had been reported upon by said
Court, in a deoree of distribution made on such proposed
statement of Distribution by the said Court of Common Pleas _
Orphans' Court Division.
AND in oonsideration of the aforesaid settlement being made
without the aid of such Court of Common Pleas - Orphans' Court
Division, that we, and eaoh of us, the said WILLIAM P. GRAHAM,
III, SUSAN PATTON GRAHAM, and El,IZABETH AMES GRAHAM, do hereby
agree that if any debts or demands other than those included in
the above referenced First and Final Aooount, as hereinbefore set
forth, shall be hereafter reoovered against the Estate of said

REVISED FAMILY SETTLEMENT AGREEMENT
THIS AGREEMENT made and entered into this .~+t day of

WILLIAM P. GRAHAM, III, EXftcutor of and
Trustee under the Last Will and Testament of
MARY B. GRAHAM, Deceased, party of the first
part, hereinafter called "Executor /Trustee" ,
AND
ELIZABETH AMES GRAHAM (hereinafter
individually called "Elizabeth") and SUSAN
PATTON GRAHAM (hereinafter individually
called "Susan"), parties of the second part,
hereinafter collectively called
"Beneficiaries" :
WITNESSETH I
WHEREAS, Mary B. Graham (hereinafter called "Decedent") died
on April 22, 1994, leaving her Last Will and Testament dated July
7, 1992 (hereinafter called "Will") a oopy of whioh is attaohed
hereto marked "Exhibit A" and incorporated herein by reference
thereto, said Will having been duly probated and recor.ded in
Estate No. 1994-00422 in the Office of the Register of Wills in
and for Cumberland County, Pennsylvania, on May 5, 1994; and
WHEREAS, Letters Testamentary were duly issued to Executor/
Trustoe on May 5, 1994, by the Register of Wills in and for
Cumberland County, Pennsylvania; and
WHEREAS, Executor/Trustee entered upon his administrative
duties and is now prepared to make distribution of the net
assets; and
WHEREAS, the Will provides, inter alia, in Part II, Item
Four, that $150,000.00 should be held in trust by Executor/
Trustee for the joint benefit of the Benefioiaries until they
attain the age of 28 years (hereinafter oalled "the Trust"); and
WHEREAS, the Benefioiaries are now 25 years of age and sui
juris; and
WHEREAS, Exeoutor /Trustee is the son of Deoedent arid the
father of Benefioiaries; and
WHEREAS, Executor/Trustee believes that both Benefioiaries
are suffioiently mature and fully oapable of reoeiving and
managing the assets to be transferred to the Trust and that the
Trust is both unneoessary and inoonvenient in light of the
Beneficiaries' maturities; and
WHEREAS, the Decedent's estate contains, inter alia, certain
speoific assets having values established as of the Decedent's
date of death as follows:

called "Juniata Valley Stock"):

WHEREAS, the parties hereto entered into a Family Settlement
Agreement ("First Agreement") on December 27, 1994, which
oonsisted of distributing the Real Estate and PNC Stock in kind
plus $32,510 in oash for a total in value of $150,000; and
WHEREAS, the parties did not perform said Agreement, but
have renegotiated the terms as now contained in this Revised
Agreement, and now desire to cancel the First Agreement and to
substitute this Revised Agreement therefore; and
WHEREAS, Executor/Trustee now proposes to deliver to
Beneficiaries and Beneficiaries now agree to acoept the Real
Estate, PNC Stook, Juniata Valley stock and ACNB Stock in kind
plus the Bum of $6,160.00 in oash in fulfillment of the Trust as
follows:
a. Real Estate to Beneficiaries as joint
tenants with right of survivorship
and not as tenants in oommon: $85,000.00
b. TO: Elizabeth (individually)
(1) 570 shares of PNC Stock
@ $28.50 $16,245.00
(2) 245 shares of Juniata
Valley stock @ $40.00 9,800.00
(3) 75 shares of ACNB

WHEREAS, the parties desire and intend to document and
permanently reccrd their understanding by these presents;
NOW, THEREFORE, in consideration of these presents and the
m"tual premises, benefits and undertakings set forth herein, and
intending to be legally bound hereby, the parties mutually agree
as follows:
1. The foregoing preamble and paragraphs are incorporated
herein by reference thereto as though set forth hereinbelow in
full.
2. The parties hereby cancel, extinguish and abrogate the
original Agreement dated December 27, 1994, and hereby agree that
the terms and provisions of this Revised Agreement shall be
substituted therefor.
3. The parties hereby cancel, extinguish and abrogate the
Trust under said Will and hereby agree that the terms and
distributions under this Revised Agreement shall be substituted
therefor.
4. In furtheranoe of the parties' agreement, desires and
intentions, Executor/Trustee agr~es to transfer, convey and
assign the Real Estate, PNC stock, Juniata Valley stock, ACNB
stock and cash to Beneficiaries (hereinafter collectively called
"Assets") as follows:

A. Real Estate to Beneficiaries as joint tenants with
the right of survivorship and not as tenants in
common;
B. PNC stock: 570 shares to Elizabeth individually
and 570 shares to Susan individually;
C. Juniata Valley stock: 245 shares to Elizabeth
individually and 245 shares to Susan individually;
D. ACNB Stock: 75 shares to Elizabeth individually
and 75 shares to Susan individually; and
E. Cash: $3,080.00 to Elizabeth individually and
$3/080.00 to Susan individually.
5. Beneficiaries jointly and sevenlly agree to and aocept
the values of the Assets being transferred in kind as follows:
A. Real Estate: $85,000.00.
B. PNC stock: i! $28.50 per share.
C. Juniata Valley stock: i! $40.00 per share.
D. ACNB Stock: i! $45.00 per share.
6. Executor/Trustee shall fulfill, perform and accomplish
the transfer of said Assets as soon as reasonably possible
following the execution and delivery ot these presents.
7. Upon completion of the transfers of Assets as provided
hereinabove, this document shall serve as a receipt from
Benefioiaries to Executor/Trustee for the delivery and
distributions of said Assets in full satisfaotion, payment and
discharge of all sums of money, legacies, bequests, shares,
purparts and dividends which were/are due, owing and payable and
belonging to us, Beneficiaries, and each of us, by any means
whatsoever, for or on account of our respective full shares,

parts or dividends of the estate and under the will of Decedent;
and said Beneficiaries individually and in their own rights, and
also jointly, ahall be deemed to releaae, remise, quit-Claim and
forever discharge Executor/Trustee, his heirs and personal
representatives, of ~nd from all payments, accounts, reckonings,
claims or demands whatsoever, for or by reason of our individual
interests in said Decedent's estate and assets.

8. The parties acknowledge and agree that the real estate
identified in Item six of the will (then located in cumberland
TownShip, Adams county, Pennsylvania) was disposed of by Decedent
during her lifetime, thereby causing the provisions of said Item
six to be deemed cancelled and abrogated.
9. This agreement shall be legally binding upon the heirs,
personal representatives and assigns of each of the parties
hereto.
IN WITNESS WHEREOF, the parties have hereunto set their
hands and seals the day and year first written above.
