and SHEILA S. LINFOOT, as shall survive me. the issue surviving
me of any child of mine who shall not survive me to tllke per
stirpes the share the deceased child would have taken had the
deceased child survived me. My Executor aha11 represent any
beneficiary less than age twenty-one in any division of this
property and shall deliver to the person standing in the place of
a parent to the beneficiary. without bond. the portion of the
beneficiary's share of this property as my Executor, after
considering the wishes and needs of the beneficiary, shall deem
appropriate, and shall sell the balance of the share and deposit
the proceeds in an interest-bearing federally insured savings
account payable to the beneficiary upon attaining age twenty-one
or to the beneficiary's estate in the event of the beneficiary's
death prior thereto.
THIRD: RESIDUE: All the rl:!st, residue and
remainder of my estate, real and personal. I give and devise to
my my wife, JEANNE W. SWEENEY, if she shall survive me; but if
my wife, JEANNE, shall not survive me, I give and devise this
residue in equal shares to my children, MARTIN J. SWEENEY, 3rd,
DENNIS C. SWEENEY and SHEILA S. LINFOOT, as shall survive me, the
issue surviving me of any child of mine who shall not survive me
to take per Iltirpes the shllre the deceased child would have taken
had the deceased child survived me.
FOURTH:
PRINCIPAL RETENTION:
My Trustee shall hold

IIny property distributable under this Will to any beneficisry who
is less than age twenty-one, IN TRUST; invest and manllge the
principalj apply income and principal as necessary for the
support or education of the beneficiaryj accumulate and add to
principal all income not eKpended in a calendar year for these
purposes; and distribute all remaining principal and accumulated
income to the beneficiary upon attaining age twenty-one or to the
beneficiary's estate in the event of the beneficiary's death
prior thereto.
FIFTH:
ADNlNISTRATlON EXPENSES AND TAXES:
All
debts, administration expenses and taKes, and interest and
penalties thereon, that may become payable by reason of my death
with respect to the property comprising my gross estate for tax
purposes, whether or not the property passes under this Will,
shall be paid from the principal of my residuary estate, without
apportionment or right of reimbursement. In addition, any excise
taxes on excess diGtributions from any qualified employee benefit
, plan payable to my estate shall be paid from the principal of my
residuary estate.
SIXTH: PROTECTIVE PROVISION: The interest of any
beneficiary under this Will, shall be free of the debts,
contracts, alienations and anticipations of the beneficiary and
'shall not be liable to any levy. attachment, execution or
sequestration, legal or equitable.

SEVENTH:
MANAGEMENT PROVISIONS:
In addition to the
powers granted by law, my Fiduciary, without order of any court,
and until the actual distribution of all property, may:
(a) Retain any property regardless of lack
of dive.rsification, risk or nonproductivity,
(b) Invest in any property. wherever located,
without being confined to legal investments for
fiduciaries, including, without limication, &11 types
of real property in any form (whether improved or
unimproved); stocks, bonds, options or other
securities; shares of investment companies; and
participations in common trust funds.
(e) Adjust, compromise
abandon and settle claims
any trust hereunder.
(d) Sell real and personal property, at public or
private sale, for cash or creditj lease or mortgage
property for any period of timej give options for
sales, exchanges or leases; manage, develop, alter,
repair, improve, subdivide, exchange or join in the
partition of relll property.
(with or without security),
of or against my eHtate or
(e) Apply or retain income or principal to which
any beneficiary is entitled directly for the
beneficiary's support or education should my Fiduciary
in my Fiduciary's sole discretion deem the beneficiary
incapable of receiving it by reason of age, illness or
any infirmity or incapacity, or pay it to IIny person
selected by my Fiduciary to disburse. it, whose receipt
shall be a complete acquittance, without the
intervention of any guardian and accumulate and IIdd to
principal all income not needed for these purposes.
(f) Distribute in cash or in kind, or partly each.
(g) Should a corporate Fiduciary not be
serving under this Will, my individual Fiduciary shall
have the aut.hority to open and maintain a custodian
account, employ investment counselors or otherwise
empower persons or entities to assist in the'
administration of my estate or any trust, the costs of
which ~hould be charged as an expense of my estate or
the trust.

(h) Exercise any option, or amplify or modify any
provision of this Will which may be advantageous from
the viewpoint of overall tax reduction.
(i) Execute and deliver all writings necessary
or appropriate for the exercise of. any power and do all
other acts in my Fiduciary 1 Ii judgment neces sary or
desirable for the proper management. investment and
diutribution of my estate or any trust.
EIGHTH:
INTERPRETATION:
The following shall be
applied in the interpretation or conlitruction of this Will:
(a) As the context may require', the use of any
gender shall include all genders, and the singular
shall include the plural and the plural the singular.
(b) The word "education" shall include, without
llmitat'lon, education 1,n a school, college or
university and any graduate or professional training,
taking into consideration other financial resources the
beneficiary may have,
(c) The word "Fiduciary", unless
specifically stated. shall include
Trustee or Guardian serving under this
otherwise

2. Copy of U.S. Estate Tax Return [FOrm 706] indicating
no tax due.
3. Certified copy of the Will dated September 19, 1988
of Martin J. Sweeney, Jr.
The only reason the decedent's Will was probated was to
obtain a Short Certificate because a life insuranoe company
insuring the life of Martin J. Sweeney, Jr, insisted upon itl and
would not pay the proceeds to his widow until received,
