~/lvania, '.nake this will, revoking all my former wills and codicils.
l'n'M I: I direct that all my just debts, funeral expenses and
administration expenses, includID;r my grave ll'arker, shall be paid from the
assets of my estate as soon as practicable after my decease,
1'l'J!lol II: I devise and bequeath all of my household goods to my
hereafter-narred children to be divided among them as they may agree; but in
the event no agreerrent is reached, the same shall be sold by my hereafter-
named Executors,
l'n'M III: I devise and bequeath the residue of my estate, of
every nature and wherever situate, in equal shares to my two (2) sons,
ronald L, Blosser and Robert L. Blosser, or their issue, per stirpes.
l'n'M IV: I direct that all taxes that may be assessed in
consequence of my death, of whatever nature and by whatever jurisdiction
:l.nposed, shall be paid from my residuary estate as a part of the expense of
the administration of my estate.
l'n'M V: I appoint my sons, ronald L. Blosser and Robert L.
Blosser, or the survivors thereof, Executors of this, my last Will.

and JANE W. LONG, of the Borough of Carlisle, Cumberland County,
Pennsylvania,
GRAliTEE
WHEREAS, the said Mary V, Day, beoame in her lifetime,
seized as of fee of and in a certain lot or piece of ground,
together with the buildings and improvements thereon erected,
situate in the Borough of carlisle, County of cumberland,
Commonwealth of Pennsylvania, known as 160 West Park street, and
being more particularly described hereinafter; and being so
seized, departed this life on May 18, 1994; and
WHEREAS, Letters Testamentary in said estate have been duly
issued by the Register of wills in and for cumberland County,
wherein Robert L. Blosser and Donald L. Blosser, have been
appointed Executors (Estate No, 21-94-515); and
WHEREAS, said Letters Testamentary remain in full foroe and
effect; and
WHEREAS, said hereinafter described property was not
speoifioally devised by said Deoedent; and
WHEREAS, the within sale is made pursuant to section 3351 of
the Probate, Estates and Fiduoiaries Code,
NOW THIS INDENTURE WITNESSETH that the said Robert L.
Blosser and Donald L. Blosser, for and in consideration of One
Hundred Twenty-five Thousand and no/l00 ($125,000.00) Dollars
lawful money of the United states/ to them in hand paid by the
said Grantee at and before the sealing and delivery hereof, the
receipt whereof is hereby acknowledged, have granted, bargained,
sold, aliened, released and confirmed, and by these presents do
grant, .bargain / sell / alien / relAase and confirm unto the said
Grantee/ her heirs and assigns,
. ALL THOSE CERTAIN lots of ground, together with the
buildings and improvements thereon erected, situate in the
Borough of Carlisle, County of Cumberland, Commonwealth of
Pennsylvania, more particularly bounded and described as follows:
TRACT NO, 1: BEING Lots 13 and 14 as shown on Plan of Lots
recorded in the Office of the Recorder of Deeds in and for said
county of cumberland in Plan Book 2, Page 45, said lots having a
frontage of 50 feet on Park Avenue West (now West Fark street)
and a depth of 116 feet, more or less.
BEING the same premises which Carlisle Trust company, by
deed dated February 23, 1939, and recorded in Cumberland County
Record Boole lIylI, Volume 11, Page 186, granted and conveyed to
George C. Blosser.
TRACT NO.2: ON the north by North street; on east by Park
Avenue West; on the south by' Lot 14, now or formerly of Carlisle
Trust Company Bank; on the west property now or formerly of E. L.
Adams; having a frontage of 52 feet on Park Avenue West (now West
Park street) and extending at all even width 115 feet, more or
less, to the aforesaid land now or formerly of E. L. Adams; it
being composed of Lots 15 and 16 on Plan of Lots offered for sale
by John Linder and recorded in cumberland County Plan Book 2,
Page 45,
BEING the same premises which Clarence E, Baughman and
Blanche W, Baughman, by deed dated February 23, 1939, and
recorded in cumberland county Record Book lIYll, Volume 11, Page
187, granted and conveyed to George C. Blosser.
UNDER AND SUBJECT to restrictions of record,
The said George C, Blosser died on December 18, 1949, after
having made his Last Will and Testament which was duly probated
being will No, 1470 and recorded in the Cumberland County
Register of Wills Office in Will Book 46, Page 159, wherein one-
third of his estate was devised and bequeathed to his wife, Mary
V, Blosser, and the balance in equal shares to his three sons,
Harold L. Blosser, Donald L, Blosser and Robert L. Blosser.
Letters Testamentary on sald estate were issued to Mary V,
Blosser, (See Estate No. 6008,)
The said Harold L, Blosser died on October 14, 1976, after
having made his Last Will and Testament which was duly probated
in the Cumberland county Regiater of Wills Office wherein he
devised and bequeathed his entire Estate to his wife, Madeline
Blosser, (See Estate No. 21-76-565.)
The said Madeline Blosser a/k/a Madeline M. Blosser died on
January 29, 1992, after having made her Last will and Testament
which was duly probated in the Cumberland County Register of
Wills Office wherein she devised and bequeathed her entire Estate
in equal shares to her two children, Ricky L. Blosser and Mildred
K, Sondermann. (See Estate No. 21-92-127.)

The said Mary V. Blosser intermarried with Millard G. Day,
who died on september 4, 1987.
TOGETHER with all and singular buildings, improvements,
ways, waters, water-courses, rights, liberties, privileges,
hereditaments and appurtenances whatsoever, thereunto belonging
or in any wise appertaining, and the reversions and remainders,
rents, issues and profits thereof; and also all the estate, .
right, title, interest, use, trust, property, possession, claim
and demand whatsoever of the said Mary V. Day at and immediatelY
before the time of her death, in law, equity or otherwise
howsoever, of, in, to or out of the same,
TO HAVE &~D TO HOLD, the said buildings, improvements,
hereditaments and premises hereby granted and released, or
mentioned and intended so to' be, with the appurtenances, unto the
said Grantee, her heirs, and assigns, to and for the only proper
use and behoof of the said Grantee, her heirs or assigns,
forever.
AND the said Grantors covenant, promise and agree to and
with the said Grantee, her heirs and assigns, by these presents,
that the said Grantors have not done, committed, or knowingly or
willingly suffered to be done or committed, any act, matter or
thing whatsoever whereby the premises hereby granted, or any part
thereof, is, are, shall or may be impeached, charged or
encumbered, in title, charge, estate, or otherwise howsoever.
WITNESS the due execution hereof the day, month and year
first above written.

Dear Mr, Black:
You had requested our office to provide you with the basis of
. valuation used in assignin9 a value to the 20 shares of G,C.
Blosser, Inc. common stock for the purposes of the 1993 gift tax
return of Mary V. Day.
As you are aware, on July 15, 1993, Donald L, 810sser sold 107
shares of G.C. Blosser, Inc. common stock to Robert L. Blosser.
The 107 shares represented all of Donald Blosser's ownership in the
company, and constituted 45.7~ of the total common shares
outstandi ng, The tota 1 purchase pri ce for the 107 shares was
$500,000, or $4,672.96/share. The negotiations between Donald and
Robert Blosser transpired over several years, and each was
represented by their own legal and financial advisors. Thus, the
sale between the Blossers represents a bonafide "arms-length-
transaction".
Mary V. Day also gifted her 20 shares of G.O, Blosser, Inc. on
July 15, 1993. The value used on' her gift tax return was
$4,672.96/share-the same value Donald Blosser received for his
shares in the armS-length-transaction with Robert Blosser.
