of sound mind, memory and understanding, do make, publish and declare this
as and for My Last Will and Testament, hereby revoking and making null and
void any and all Wi Us and Testaments r or writings in the nature thereof
by me at any time heretofore made.
ITEM I - I direct my hereinafter named Exocutor to pay all my
just debts and expenses as soon as may be conveniently done after my death.
ITEM II - I give, devise and bequeath my entir.e estate, whether
real, personal or mixed and \~heresoever situate unto my husband, ARTHUR
UPDEGRlIFF.
ITEM III - If my husband, ARTHUR llPDrWRlIFF, should predecease me,
then and in that event, I give, devise and bequeath my entire estate, what-
ever the nature of such property may be, whether real, personal or mJ.xed
and wheresoever situate unto my throe (3) sonfl, AR'l'IlUR J. UPDEGRAFF, WAYNE
W. UPDEGRAFF and LARRY E. UPDEGRAFF, share and share alike.
ITEM IV - I nominate, constitute and appoint my husband, ARTHUR
UPDEGRAFF, as Executor of this My Last \1ill and Testament. In the event
my husband, ARTHUR UPDEGRAFF shou ld predecease me, I then nominate, con-
sti tute and appoint my son, ARTHUR J. UPDEGRAFF, as Executor of this My
Last Will and Testament.

the Estate informally in order to avoid the expense and delay in-
volved with the formal adjudication of a First and Final Aooount
by the Orphans' Court Division of the Court of Common Pleas of
Cumberland County, Pennsylvania (the "Court").
5. The Benefioiaries desires to forever settle and oompro-
mise any and all claims and rights which they may possess, now or
hereafter, in the Estate and to confirm their aoceptance of the
Informal Account (the "Account") and the Schedule of Distribu-
tions and Proposed Distributions (the "Schedule") which are
attached hereto as Exhibits "A" and "B", respectively, and
incorporated herein by this reference.
6. The Beneficiaries wish to release the Executor and to
indemnify him against any and all claims that may be asserted
against the Estate or the Executor after the date hereof.
7. The Executor is willing to settle the Estate informally
in consideration of the indemnifications hereinaftur provided by
the Beneficiaries.
NOW, THEREFORE, in consideration of the foregoing and
intending to be legally bound, jointly and severally, the
Beneficiaries, for themselves, their successors and assigns:
1. Represent and warrant that they have read and
understand this Agreement and confirm that the
facts set forth above are true and correct, to the
best of their knowledge, information and belief.
2. Declare that they have sufficient information to
make an informed waiver of their right to a formal
accounting with the Court, and do hereby waive the
filing and aUditing of the same.
