LAST WILL AND TESTAMENT
OF
DONALD M. MUHDOCII
I, DONALD M. MURDOCH, now of !,ower Paxton 'l'ownship, Dauphin
County, Pennsylvania, declare this to be my Last Will and Testament
and hereby revoke all prior Wills and Codicils made by me.
ITEM I. I bequeath all my automobiles, household and
personal effects and any other tangible personalty of like nature,
together with any existing insurance thereon, unto my wife, MARY C.
MURDOCII, provided she survives me by thirty (30) days. Should my
wife, MAHY C. MURDOCH, predecease me or die on or before the thirtieth
(30th) day following my death, I bequeath such tangible personalty
and insurance thereon to my son, WILLIAM A. MURDOCH.

ITEM II. If my wife, MARY C. MURDOCH, predeceases me
or dies on or before the thirtieth (30th) day following my death,
I give my real estate situate at 1912 Princeton Avenue, Camp lIill,
Cumberland County, Pennsylvania, to my daughter, MARILYN M. HOCKER,
or her issue, per stirpes.
ITEM III. I give and devise all the rest, residue and
remainder of my estate of every nature and wherever situate unto
the then serving Trustee(s) of the Donald M. Murdoch Trust Agreement

to the principal of the Trust created by said Agreement to be held
by said Trustee(s), managed and distributed in accordance with the
provisions of said Trust Agreement.
ITEM IV. I appoint my son, WILLIAM A. MURDOCH, Executor,
of this my Last Will and Testament. In the event that he should
fail to qualify or cease to act in such capacity, I then appoint
my 80n, ROBERT F. MURDOCH, First Contingent Executor of this my
Last Will and Testament. In the event that he should also fail
to qualify or cease to act in such capacity, I then appoint DAUPHIN
DEPOSIT BANK AND 'I'RUS'l' COMPANY, Harrisburg, pennsy 1 vania, as my
Seoond Contingent Executor. No bond shall bo required of my personal
representative in any jurisdiction.

Representative{s) by operation of law/ the following powers are
herein given to him to be exercised by him at his sole discretion.
(The words "he" and "him" as used herein shall be deellled to include
the words "she", "it", "they", "them", "his", and "her" as appropriate.)
A. To retain any property received and to invest any
funds held by him during the term of my Personal R8presentative's
service in any stocks, bonds, notes or other securities or property,
real or persenal/ within the limitations of the law.
B. To continue the operation of any business in which
I am engaged or in which I have an interest at the time of my
death for the term of his service as he deems advisable, with
the power to borrow money and to pledge the assets of the business
and to do all other acts which 1, in my lifetime, could have
done, or to delegate such powers to a partner, manager or employee
without liability for any loss occurring therein.
C. To hold investments in the name of a nominee, exercise
and dispose of warrants.
D. To sell or otherwise dispose of any property/ real
or personal, at any time forming a part of my estate, during
the term of his ser~ice, for cash, property or credit, in such
manner and on such terms as my Personal Representative deems
advisable within the limitations Df the law.
E. To manage, operate, repair, improve, mortgage 9r
lease for any term any real estate at any time held or owned
by my Personal Representative.
F, In general, to exercise all pow~rs in the management
and settlement of my estate which any individual could exercise
in the management of similar property owned in his own right
upon such terms and conditions as my Personal Representative
deems best, and to execute and deliver all instruments and to
do all acts which he may deem necessary or proper to carry out
the functions of a Personal Representative.

Dear Mr. Placey:
We were asked by you to appraise the value of the stock of Penn
Appliance Distributors, Inc. as of March 23, 1994, the date of
death of Donald M. Murdoch who was an o~ml3r of 200 shares of
common stock of Penn Appliance Distributors, Inc. This
represented a 2.241% ownership in the Company.
Since Penn Appliance Distributors, Inc. is a closely-held
corporation and there have been no arms-length capital stock
transactions for many years, there is no active market or
precedent upon which to base the value of the stock. As a
result, we had to rely on analytical techniques and current
valuation norms to make a determination of the current value. We
examined both the historical data and considered the future
earnings potential of the Company. Our summary of historical
data is contained on the accompanying pages.
Our analysis shows that for the years 1989 through 1993, the
Company's earnings were below what would be expected given the
current fair market value of t.he assets invested and the degree
of risk in the wholesale appliance industry. Consequently, the
Company does not have any addltional value as a result of
exceptional earnings. Actually, the earnings history has been
substandard in relation to expected returns on similar
investments. This coupled with the many negative factors that
will affect the future of the Corporation and industry (discussed
in the following paragraph), we bolieve that the Corporation has
no value above the value of its tangible assets. As a result,
the fair market value of the Corporation's stock is its value if
it were to be liquidated I however, the stock value must be
discounted further because Closely-held corporation stock has no
readily available market to facilitate its sale. A discount of
at least 30% of the otherwise fair market value would be
appropriate for the lack of marketability of closely-held
corporation stock. Since the valuation is for a very small
minority ownership interest, we believe that an additional 45%

discount would be appropriate because of a minority owner's lack
of control, even the lack of control to force liquidation. A
discussion of the credibil i ty of these discounts is contained
later in this letter.
In regard to the future of the Company, management sees many
issues that will have a negative impact. What follows is a
discussion of some of the more significant issues.
EROSION OF CUSTOMER BASE
The consumer appliance manufacturers are beginning to ship
directly to the retailers and thus bypassing the wholesale
distributor. Penn Appliance has experienced this with the
loss of one of its major customers, Boscovs Department
Store, which now buys Sharp microwaves directly from the
manufacturer. Penn Appliance's maj or suppl ier, lVhi te
Consolidated Industries, sells appliances using several
different brand names. Of all of these brands, the Gibson
label (the only brand of white goods that Penn Appliance
sells) is the only one that is still marketed through a
wholesale distribution network. Management feels that
within ten years, the Gibson product line will also be sold
directly to retailers. In addition, a large portion of the
customer base for the wholesale appliance distributor has
been the small appliance retailer. \qe have been seeing the
demise of the small retailer as the large discount retailers
have become more dominant. In response, the small appliance
retailers have formed buying cooperatives which can make
purchases of larger quantities and thus obtain pricing
similar to what the large retailers are paying. All of
these factors are causing the Company I s customer base to
erode.
LACK OF DIVERSIFICATION
The Company is strictly in the wholesale appliance
distribution business. This lack of diversification in an
industry that is shrinking will cause sales and profits to
continue to erode.
PRICE PRESSURE
The retail appliance industry is becoming dominated by fewer
and larger retailers, or many smaller retailers who have
joined together in buying groups. Those entities that have
not begun buying directly from the manufacturer are exerting
more clout in requesting better prices. This is causing the
distributors margins to decline.
LESS IMPORTANCE ON BRAND NANES
The consumer appliance industry has become dominated by a
few manufacturers who market similar products under
different brand names. For example, Penn Appliance has the
distributorship for the Gibson appliance line. Gibson is

manufactured by White CDnsDlidated Industries, which also
manufaDtures appliances under the name of Frigidaire, whlte-
westinghouse, KelvinatDr, and Tappan. Unlike the autDmobile
industry which has been able to promDte brand IDyalty,
consumer appliances are seen as similar across brand names.
When a product IDoses its brand identity, the seller is less
able to receive higher prices for any Dne brand when
compared to a cDmpetitor. This causes margins tD erode and
decreases the value Df a brand distributDrship.
I have determined that discDunts for lack of marketabil i ty and
minority ownership of 30% and 45%, respectively, are appropriate.
I offer the fDllowing discussiDn to support that view. There is
consensus among the courts, the Internal Revenue Service and
valuation experts that stock of closely-held corporations shDuld
be discounted because such stock in not easily marketed. What is
at issue then, is the amount of the discount that is appropriate.
There is agreement that the discount should be determined on a
oase-by-case basis considering all of the relevant facts. It is
a matter of judgement. However, it is useful to look at the
history of discounts that have been used by other companies to
provide some insight into the amount of discounts that are
commonly held to be appropriate. In his bODk "Valuation of II
Closely Held Business", R. James Alerding, Jr., CPA of Blue &
Co., LLC of Indianapolis, Indiana, states that studies of
pUblicly-traded, restricted securities is a good starting pDint
for determining a lack of marketability discount. This is stock
of a publicly-traded company that cannot be sold until the
passage of time or until certain events have Dccurred. Although
the restrictions placed on restricted securities is not whDlly
comparable tD the lack of marketability that exists with closely-
held stock, a decline in value occurs in both instances because
the stock cannot be readily sold on an existing securities
exchange. The most well-known study of restricted stDck is the
"SEC Institutional InvestDr Study". These and other similar
studies indicate that a starting point for a marketability
discount is about 35%, which is approximately the mean discount
that results from the studies.
There are also some studies of private transactions and SDme
court decisions that can be used to conclude on the
appropriateness of a discount for lack of marketability. There
are several such private transaction studies. Two were conducted
by John D. Emory, Vice President of appraisal services at Robert
W. Baird & Company of Milwaukee covering the periods 1980-1981
and 1985-1986. In his studies, he compared the difference in
market value between the initial offering price of a ~eries Df
stocks and the valuA as determined by actual sales of these
stocks within five months of their going public. For 1980-81,
the average discount was 60% and the mean, 66%. During the
period 1985-86, the average and mean were both 43%. Another
study by Williamette Associates, Inc. used the same methodology

as Emory, except that it spanned a period of ten years and used a
look back period of three years instead of five months. The
results of the Williamette studies indicated average
differentials between the private transaction prices and the
public: transaction pricea of 42 %-74%. All of these studies
involved minority interests. These studies as well as the one by
the Securities and Exchange Commission would seem to indicate
that a 30% lack of marketability discount is reasonahle.
The ~ther discount used was the discount reflective of the
ownership of less than a controlling interest in a corporation,
the minority discount. The cour.ts and valuation experts have
long held that stock should be significantly discounted when it
represents a less than controll ing int.erest in a closely-held
corporation. The Internal Revenue service has often balked at
that practice. However, in Rev. Rul. 93-12, 1993-7 IRB 13, the
Service ruled that a minority discount is appropriate in gifts of
olosely-held stock among family members. Again, the amount of
the discount is what is called into question. Here we can also
look to the history of similar transactions to see the trends.
In a study conducted by H. Calvin Coolidge as described in an
article in Estate Planning , Probate 6< Trust, October, 1991,
ninety-three arms-length transactions were examined over a
twenty-nine year period ending in 1989. Discounts were measured
from book value, except in cases where there was substantially
appreciated real estate, in which case fair market value of the
real estate was substituted for book value. The average discount
for minority ownership was 45.5% and the median was 48%. only
22.5% of the transactions used discounts of less than 30%. More
than half of the transactions used discounts ranging from 40% to
69.9%. Since Mr. Murdoch was the only nonfamily member to own
stock in the Company, he had virtually no control. In addition,
the Corporation had made an election under subchapter S of the
Internal Revenue Code so that the taxable income of the
Corporation was passed through to the shareholders. Thus, Mr.
Murdoch was in the position of having to report and pay income
tax on his share of the corporation'S income but had no ability
to demand the dividends from the Company to reimburse him for
that tax. Given these circumstances, I feel that a minority
discount of 45% for Penn Appliance is appropriate.
When using liquidation value as the method of valuation,
liquidation costs must also be included. U,quidation costs would
include such things as sales commissions, administrative costs,
legal and accounting costs, taxes and operating losses during the
period of liquidation. In addition, certain assets will realize
less than going concern value when in a liquidation acenario.
Most notab1y, accounts receivable would not likely be fully
collectible and inventory values would not be fully realized.
This view is shared by R. James Alerding, Jr. in the pUblication
noted above.

and repairs, and the trust assets shall provide the other one-half
of the expenses of maintaini.ng this home. '['he 'I'rustee shall
not be restricted to making equal payments to my wife and my

granted by law, my Trustees shall have the following disoretionary
powers / applicable to principal and income, which shall be exercisable
without leave of court and shilll continue until distribution

company controlling the corporate Trustee;
B. To invest in all forms of property (including,
but not by way of limitation, real estate/ all types of stocks,
bonds, options and participations in common trust funds and money
market funds), without being confined to investments prescribed
by statute and without being required to diversity;
C. To buy investments at a premium or discount;
D. To hold property unregistered or in the name of
a nominee;
E. To give proxies, both ministerial and disoretionary,
F. To compromise claims;
G. To join in nny merger, consolidation, reorganization,
voting trust plan or ot:her concerted llction of SQcurJty hOlders,

SEVEN'I'H: Non-Assignment: No part of the income or
principal of the property held under this 'l'rust shall be subject
to attachment, levy or seizure by any creditor, spouse/ assignee
or trustee or receiver in bankruptcy prior to actual receipt
thereof. 'l'he 'l'rustee shall pay over the net income and the principal
to the persons herein designated, as their interests may appear,
without regard to any attempted ant:icipation (except: ns spocifically
provided in this agreement), pledging or assignment under the

trustee, 10BERT F. MURDOCH and WILLIAM !I. MURDOCH shall be the
Co-Trustees. Upon the death of ROBEI\'!' F. MURDOCH or WILLIAM

Pennsylvania, shall be the Co-Trustee, and upon the death of
both of them, shall be the sole Trustee.
The income beneficiaries of the herein created trusts
after the death of Donald M. Murdoch, may, by instrument in writing,
hand delivered to the Trustee, with or without the consent and
permission of that Trustee, change the Trustee to another Trustee.
NIN'l'lI: D:l.scretionary Payments of Principal and Interest:
All decisions as to discretionary payments of principal and income
as provided under paragraph Second !I hereof shall be made by
the Trustee who is not the income beneficiary pursuant to the
provisions of that paragraph. TI 'l'rustee who is a income beneficiary
shall not particpate in said decisions.

THIRD: Right to Revoke and Amcnd: I rcserve the right
to revoke or amend this Trust, in whole or in part, at any time
and from time to time by an instrument in writing, delivered
to the Co-Trustee and intending to take effect during my lifetime;
The Trustee reserves the right, at any time upon thirty (30)
days advance written notice to me, to resign and deliver the
trust estate to me.
FOURTH: Additions to Trust: Subject to the approval
of the Co-Trustees or Trustee, either I or any other person or
entity may add property, real and personal, to the principal
of this trust.
FIFTH: Trustees' Powers: In addition to the powers
granted by law, my Trustees shall have the following discretionary
powers, applicable to principal and income, which shall be exercisable
without leave of court and shall continue until distribution
is actually made:
!I. To accept and retain any or all property, holding
stock or other securities of the corporate Trustee or of a holding
company controlling the corporate Trustee,
B. To invest in all forms of property (including,
but not by way of limitation, real estate, all types of stocks,
bonds / options and participations in common trust funds and money
market fundsl, without being confined to investments prescribed
by statute and without being required to divcrsitYI
C. To buy investments at a premium or discount,
D. To hold property unregistered or in the name of
a nominee,
E. 'fa give proxies, both ministerial and discretionary:

G. 'fo join in any merger, consoli.da tion, reorganization,
voting trust plan or other concerted action of seourity holders,
and to delegate discretionary duties with respect thereto,

H. To borrow from itself or from others, and to pledge
real or personal property as security therefor; to loan cash
or securities upon such terms and conditions as Trustees deem
appropriate;
I. To sell at public or private sale for cash or credit
or partly for each, to exchange, to improve, or to lease for
any period of time, any reill or personal property, and to give
options for sales, exchanges or leases;
J. To allocate any property received or charge incurred
to principal or income or partly to each, without being obliged
to apply the usual rules of trust accounting;
K. To distribute in cash or in kind or partly in each;
L. To retain any part or all of my business interests
held in this Trust as long as the Trustees consider it advisable
to do so, and to conduct, alone or with others, any such business
in which I am engaged, with all the powers of an owner or with
respect thereto, including the power to delegate discretionary
duties to others and to pay adequate compensation to any such
persons/ to invest other property in such business and to incorporate
it or change its form.
SIX'l'II: Compensation: 'l'he corporate Trustee hereinafter
named shall be compensated in accordance with its standard schedule
of charges in effect from time to time during the period of its
services.
SEVENTH: Non-Assignment: No part of the income or
principal of the property held under this Trust shall be subject
to attachment, levy or seizure by any creditor, spouse, assignee
or trustee or receiver in bankruptcy prior to actuill receipt
thereof. The Trustee shall pay over the net income and the principal
to the persons herein designated, as their interests may appear,
without regard to any attempted anticipation (except as specifically
provided in this agreement)/ pledging or assignment under the
Tru~t, and without regard to any claim hereto or attempted levy,
attachment, seizure or other process against me.

I, DON!lLD M. ~lURDOCII, now of Lower Paxton 'l'ownship / Dauphin
County/ Pennsylvania, pursuant to the authority contained in Article
Third of the Donald M. Murdoch Trust Agreement dated october 12/ 19B8,
do hereby.amend said Trust Agreement by deleting in its entirety
!lrticle Second B and substitution therefor the following:
"SECOND: B. Upon the death of both of the above-named
beneficiaries; my Trustee shall pay the then remaining principal
and undistributed income of this trust as follows:
i. One-third (1/3) thereof to my son/ ROBERT F. MURDOCH,
or his issue, per stirpes.
ii. Two-thir~ (213) thereof to my daughter/ M!lRILYN HOCKER,
or her issuer per stirpes.
Should either of them predecease distribution herein
provided for and not be survived by issue, I give the entire amount
of this Trust to the survivor or his or her issue, per stirpes.
Should any person entitled to distribution hereunder
be under the age of twenty-one (21) at the time for such distribution,
the Trustee shall hold the share of such person until such person
has attained the age of twenty-one (21) and until such person has
attained such age, Trustee shall payor apply so much of the income
and so much of the principal as Trustee/ in its sole discretion,
deems necessary after considering other resources available to
suoh person to enable such person to maintain a reasonably comfortable
standard of living, to meet the costs of suoh person's preparatory/
collegiate and professional education and to meet the expenses
of any unusual or emergency occurrence such as those arising from
serious illness, physical incapaoity or the like. Upon such person
attaining the age of twenty-one (2.1.)/ Trustee shall distribute
such person's share to him or her absolutely."
In all other respects/ I hereby ratify and confirm all
other provisions of the Donald M. Murdoch Trust Agreement dated
Ootober 12/ 19BB.

PETITION TO CHANGE SITUS OF TRUST PVRSUANT
TO SECTION 711(3) OF THE "'WBATf<:, I~ST ATES AND FII>lJCIARIES CODE
TO Tim HONORABLE. THE JUDGES OF SAIO COURT:
Thl~ Petition of'DAlJPHIN DEPOSIT BANK AND TRUST COMPANY, by its
attorneys, Placey & Wright, sets fi.mh the following:
1. Dauphin Deposit Bank and Tnlst Company, through its Trust Office located at
Two West High Street, Carlisle, Pennsylvania 17013, is the Successor Trustee under the Donald
M, Murdoch Trust Agreement of October 12, 1988 between Donald M. Murdoch as Settlor and
Donald M. Murdoch and William A. Murdoch as Co-Trustees. The Trnst Agreement was
amcnded under date of June 23, 1989. Copies of the Trust Agreement and Amendment arc
attached hereto as Exhibits "A" and "13" respectively and arc hereinafter collectively rcferred to
as the Agreement.
2, Settlor, Donald M. Murdoch, died on March 23, 1994, a resident of
Cumberland County, Pennsylvania.
3. The Agreement provides that after the death of the Settlor, his wife, Mary C.
Murdoch, and his son, William A. Murdoch, or the survivor of them, arc the income and
discretionary principal beneficiaries. Mary C. Murdoch died on July 2, 1994, and William A.
Murdoch became the sole income/principal beneficiary. Upon the death of William A. Murdoch,
pursuant to Paragraph Second 13 of the Trust Agreement as Amended, any remaining principal
tlnd undistributed income of the Trust is payable to Settlor's son, Robert r, Murdoch, und
Settlor's daughter, Marilyn Hocker.
4. Donuld M. Murdoch did not designnte a Successor Trustee during his lifetime.
As a result, pursuant to Paragraph Eighth of the Agreement, Robet1 F. Murdoch and William A.
Murdoch became Co-Trustees.
5. On October 31, 1995, William A. Murdoch and Robert F. Murdoch resigned as
Co-Trustees as set fOl1h in Exhibits "C" and "0" attaclH~d hereto.
6. Pursuant to Paragl'Uph Eighth of the Trust Agreement, William A, Murdoch,
the then income beneficiary of the Trust appointed Dauphin Deposit Bunk and Trust Company as
sole Trustee as set forth in Exhibit "C" attached herelo.

Dauphin County/ Pennsylvania, hereby transfer to my son, WILLIAM
A. MURDOC~, and myself, as CO-'I'rustees (they and their SUcoessors
are hereinafter individually and collectively referred to as
"Trustee" unless specifically noted otherwise), the property
described on the attached schedUle, to be held In 'I'rust as follows:

A. All of the net income shall be paid to me or accumulated
and added to principal, as I may direct in writing. In addition,
so much of the principal shall be pilid to me as I may direct
in wri ting .
B. If, in the opinion of the Co-Trustee, I am at ilny
time Unable to ilct or to apply the payments to my own best interest
and advantage, the CO-'I'rustee may apply directly for my benefit
as much of the income andlor principal as the Co-'J'rustee may,
from time to timer deem appropriate for my welfare, comfort,
support or emergency needs and may add to principal ns much of
the income as the Co-Trustee deems advisable.
SECOND: Disposition After my Death: Upon my death
while this Trust continues, the Co-Trustee shall pay all of my
then outstanding debts including expenses of my last illness,
funeral expenses, costs of my gravemarker, if any, all taxes
due during my lifetime and in consequence of my death, and fees
and expenses incurred in sett.ling my affairs and estate, if any/
and shall retain the balilnce of principal and undistributed income
to be held In Trust as follows:

Trustee shall maintain my home for my wife and my son, WILLIAM
A. MURDOCH, or the survivor of them, if it is practical and feasible
for these benefioaries, or the survivor of them, to reside in
that home. Trustee may make arrangements for either my daughter,
MARILYN 1I0CKER, or either of my sons, HOBEH'l' I'. ~IUHDOCII or DON!lLD
1(. MURDOCH, to live in my home with my son, IHLLI!lM, to aid in
maintaining that home for him. My son, ~/II,LI!lN, however, shilll
have the right to approve or reject any such living arrangements.
In the event that thi.s occurs, the persons who li ve i.n the house
with WILLI!lM shall, from their O'o'in resources, pay one-half of
the epxenses of maintaining the home, including taxes, insurance
and repairs, and the trust assets shall provide the other one-half
of the expenses of mai.ntaining this home. 'J'he 'l'rustee shall
not be restricted to making equal payments to my wife and my
son/ WILLI!lM, from tlwse trust assets, but may make those payments
as my Trustee deems best.
B. Upon the death of both of thEJ above-named beneficiaries,
my Trustee shilll divide the then remaining principal and undistributed
income of this trust into as many equal shares as I have children
who are either then surviving or who are deceased but have children
surviving, and as to each of my children, the Trustee shall pay
to such child his or her share. If any of my children fail to
survive the t.ime of this distribution, but have living issue
then surviving, the 'l'rustee shall hold that share for such child
or children until they arc age twenty-five (25). !It that time,
the Trustee shall distribute such child or children's share to
them absolutely. '['here shull be deducted from the share due
to my son/ DONALD K. NUHDOCII, or his children, pursuant to this
paragraph, the value of Dona Id K. ~lurdoch' s ownership interest
in Murdoch Insurance and Investments, Inc. determined as of
December 31 of the year prior t.o my death or the consideration
received by him from the sale of his ownership interest in that
company should that occur prior to my death, and such amount shall

'l'IIIRD: Right to Revoke and Amend: I reserve the right
to revoke or amend this Trust/ in whole or in part, at any time
and from time to time by an instrument in writing, delivcred
to the Co-Trustee and intending to take effect during my lifetimel
1'he Trustee reserves the right, at any time upon thirty (30)
days advance written notice to me, to resign and deliver the
trust estate to me.
FOURTII: Additions to 'l'rust:
Subject to the approval
of the Co-Trustees or Trustee, either I or any other person or
entity may add property/ real and personal, to the principal
of this trust.
FIFTH: Trustees' Powers: In addition to the powers
granted by law, my Trustees shall have the following discretionary
powers/ applicable to principal and income, which shall be exercisable
without leave of court and shall continue until distribution
is actually made:
!I. To accept and retain any or all property, holding
stock or other securities of the corporate Trustee or of a holding
company controlling the corporate Trusteel
B. To invest in all forms of property (including,
but not by way of limitation, real estate, all types of stocks,
bonds, options and participations in common trust funds and money
market funds), without being confined to investments prescribed
by statute and without being required to diversity I
C. To buy investments at a premium or discountl
D. To hold property unregistered or in the name of
a nominee,
E. To give proxics, both ministerial and discretionary:

G. To join in any merger, consolidation, reorganization,
voting trust plan or other concer.ted action of security holders,
and to delegate discretionary duties with respect thereto I

H. To borrow from itself or from others, and to pledge

or securities upon such terms and conditions as Trustees deem

options for sales, exchanges or leases;
J. To allocate any property received or charge incurred
to principal or income or partly to each, without being obliged
to apply the usual rules of trust accounting;
K. To distribute in cash or in kind or partly in each;

L. To retain any part or all of my business interests
to do so, and to conduct, alone or with others, any such business
in which I am engaged, with all the powers of an owner or with

SIXTH: Compensation: 1'he corporate Trustee hereinafter
named shall be compensated in accordance with its standard schedule
of charges in effect from time to time during the period of its
services.

principal of the property held under this Trust shall be subject
to attaChment, levy or seizure by any creditor, spOUse, assignee
or trustee or receiver in bankruptcy prior to actual receipt
thereof. The Trustee shall pay over the net income and the principal
to the persons herein designated, as their interests may appear,
without regard to any attempted anticipation (except as specifically
provided in this agreement), pledging or assignment under the

EIGII'l'H I Successor Trustee I During my Ii f etime, I
may terminate' the initial Co-Trustee herein named and name such
successor trustee or successor co-trustee as I deem advisable.
Upon my death or incapacity, without having designated a successor
trustee, ROBERT F. MURDOCH and WILLIAM A. MURDOCH shall be the
Co-Trustees. Upon the death of ROBERT F. MURDOCH or WILLIAM
A. MURDOCH, DAUPHIN DEPOSI'!' BANK AND 'rHUS'I' COMPANY, lIarrisburg,
Pennsylvania, shall be the Co-Trustee, and upon the death of
both of them, shall be the sole Trustee.
The income beneficiaries of the herein created trusts
after the death of Donald M, Murdoch, may, by instrument in writing,
hand delivered to the Trustee, with or without the consent and
permission of that Trustee, change the Trustee to another Trustee.
NINTH: Discretionary Payments of Principal and Interest:
All decisions as to discretionary payments of principal and income
as provided under paragraph Second A hereof shall be made by
the Trustee who is not the income beneficiary pursuant to the
provisions of that paragraph. A Trustee who is a income beneficiary
shall not particpate in said decisions.
'l'EN'l'lI: Governing Law: This 'I'rust is created and accepted
in the Commonwealth of Pennsylvania and shall in all respects
be governed by its laws and shall have its situs at Dauphin County,
Pennsylvania.

'l'RUS'l' AGREEMEN'r
I, DONALD M. MURDOCH, now of Lower Paxton Township, Dauphin
County, Pennsylvania, pursuant to the authority contained in Article
Third of the Donald M. Murdoch Trust Agreement dated October 12, 198B,
do hereby amend said Trust Agreement by deleting in its entirety
Article Second B and substitution therefor the followingl
"SECOND: B. Upon the death of both of the above-named
beneficiaries, my Trustee shall pay the then remaining principal
and undistributed income of this trust as follows:
i. One-third (1/3) thereof to my son, ROBERT F. MURDOCH,
or his issue, per stirpes.
ii. Two-third3 (2/3) thereof to my daughter, MARILYN HOCKER,
or her issue, per stirpes.
Should either of them predecease distribution herein
provided for and not be survived by issue, I give the entire amount
of this Trust to the survivor or his or her issue, per stirpes.
Should any person entitled to distribution hereunder
be under the age of twenty-one (21) at the time for such distribution,
the Trustee shall hold the share of such person until such person
has attained the age of twenty-one (21) and until such person has
attained such age, Trustee shall payor apply so much of the income
and so much of the principal as Trustee, in its sole discretion,
deems necessary after considering other resources available to
such person to enable such person to maintain a reasonably comfortabls
standard of living, to meet the costs of such person's preparatory,
collegiate and professional education and to meet the expenses
of any unusual or emergency occurrence such as those arising from
serious illness, physical incapacity or the like. Upon such person
attaining the age of twenty-one (21), Trustee shall distribute
such person's share to him or her absolutely."
In all other respects, I hereby ratify and confirm all
other provisions of the Donald M. Murdoch Trust Agreement dated
Ootober 12, 1988.
