LAST WILL AND TESTAMENT
OF
C. DUNCAN ESTILL
I, C. DUNCAN ESTILL of the Borough of Mechanicsburg, Cumber~
land County, Pennsylvania, declare this to be my Last Will and
Testament, hereby revoking any will previously made by me.
I - I direct the payment of all my just debts and
funeral expenses out of my estate as soon as may be practical
after my death.
II - I devise and bequeath all of my estate of whatever
nature and wheresoever situate unto my wife, Shirley Anne Estill.
III - Should my said wife predecease me, then I devise
and bequeath all of my automobiles and all other articles of
personal or household use, including household goods, furniture
and personal effects, to my children, including adopted children,
to be divided among them as they may agree, or, in the absence
of agreement or if any of them is under the age of 21 years, as
my executor may think appropriate provided that articles which my
executor considers unsuitable for my children may be sold and the
proceeds thereof added to my residuary estate. My executor may,
without further responsibility, distribute property passing to a
minor under this paragraph to the minor or to any person taking
care of the minor. Should any of my said children not be living
at the time of distribution, then his or her bequest contained in
this paragraph only shall lapse.
IV - Should my said wife predecease me, then I devise
and bequeath all the rest, residue and remainder of my estate of
whatever nature and wheresoever situate unto my trustees herein-
after named for the following uses and purposes and under the

following terms and conditions I
A. The trust shall be held in equal shares for
my children, including adopted children, and the trustees shall
have the power at their sole and absolute discretion to distribute
to each beneficiary his or her share of the income for his or her
health, welfare, maintenance, support and education, and to aGsist
him or her in a business venture, and may likewise, at their sole
discretion from time to time, make expenditures from principal
for those purposes. If, in the trustees' sole opinion, any bene-
ficiary is incapable of disbursing funds because of youth, ill-
ness or other reasons, trustees may apply his or her income or
principal for his or her benefit.
B. When each child attains the age of 21 years,
he or she shall have the right to withdraw 10% of his or her
remaining principal share of the trust and any accumulation of
income. Thereafter, the trustees shall distribute to him or her
his or her net annual income from his or her share of the trust.
When each child attains the age of 25 years, then he or she shall
have the right to withdraw all of his or her remaining principal
share of the trust. Should any beneficiary die prior to attaining
age 25, his or her share shall be distributed at the time of his
or her death to his or her issue, if any, and if there are no
such issue, shall be distributed to my surviving child or child-
ren and held in accordance with the terms and conditions of this
trust, or given to his or her issue, if any, as the case may be.
Issue includes adopted issue.
v - The interest of the beneficiaries shall not be
subject to anticipation or to voluntary or involuntary alienation.
VI - The trustees shall have, in addition to other
powers granted by law, the additional powers hereinbelow set forth
A. To purchase or otherwise acquire and to retain,
whether originally a part of the trust estate or subsequently
acquired, any and all stocks, bonds, notes or other securities,
or any variety of real or personal property, including stocks or
interests in investment trusts and common trust funds, as they may
deem advisable, Nhether or not such investments be of the charac-
ter permissible for investments by fiduciaries or be unsecured,
unproductive, underproductive or of a wasting nature. Investments
need not be diversified and may be made or retained with a view
to a possible increase in value. The trustee may at any time
render liquid the trust estate, in whole or in part, and hold
cash or readily marketable securities of little or no yield for
such period as they may deem advisable.
B. To sell, lease, pledge, mortgage, transfer,
exchange, convert or otherwise dispose of, or grant options with
respect to any and all property at any time forming a part of the
trust estate in such manner, at such time or times, for such pur-
pose,s, for such prices and upon such terms, credits and conditions
as they may deem advisable.

C. To vote in person or by general or limited
proxy with respect to any shares of stock or other securities held
by them; to consent, directly or through a committee or other
agent/ to the reorganization, ccnsolidation, merger, disBolution
or liquidation of any corporation in which t.ho trust may have any
interest, or to the sale, lease, pledge or mortgage of any prop-
erty by or to any such corporation; and to make any payments and
to take any steps whioh they may deem necessary to enable them to
obtain the benefit of any such transaction.
D. To hold investments in the name of a nominee.
E. To pay/ compromise, compound, adjust, submit to
arbitration, sell or release any claims or demands of the trust
against others or of others against the trust on such terms as
they may deem advisable, inCluding the acceptance of deeds of real
property in satisfaction of bonds and mortgages, and to make any
payment.s in connection therewith which they may deem advisable.
F. To borrow money for any purpose connected with
the protection, preservation or improvement of the trust estate
whenever in their judgment advisable, and as security to mortgage
or pledge any real or personal property forming a part of the
trust estate upon such terms and conditions as they may deem
advisable.
G. To make distribution of the principal of the
trust estate in kind and to cause any share to be composed of
cash, property or undivided fractional shares in property differ-
ent in kind from any other share.
H. To execute and deliver any and all instruments
in writing which they may deem advisable to caIry out any of the
foregoing powers. No party to any such instrument in writing
signed by the trustees shall be obliged to inquire into its valid-
ity/ or be bound to see to the application by the trustees of any
money or other property paid or delivered to them by such party
pursuant to the terms of any such instrument.
